For twenty years it has been building momentum in the technical cultures that built the Internet and the World Wide Web. Now it’s breaking out into the commercial world, and that’s changing all the rules. Are you ready?1 I. INTRODUCTION For those within the information technology (IT) industry, the phrase “open source” has been as prominent at water cooler and boardroom discussions over the last several years as the phrase “out source.” Open source is at once a software develop- ment model, a business model, a social movement, and a philosophy that has recently garnered attention from outside of the IT sphere. As such, the topic has become increasingly fertile ground for academic scholarship from several disciplines. Economists, legal academics and practitioners, computer engineers, and social commentators have offered their varying perspectives on open source software. Whether or not this attention is warranted, and whether or not this is truly “an idea whose time has finally come,” remains unclear. In fact, clarity and certainty are not adjectives that fit the open source movement particularly well. Indeed, from a legal perspective, there are more questions than answers in this area at present. Despite these legal uncertainties, some open source software projects have flourished in the United States and abroad. Several open source software projects also serve as critical infrastructure for the World Wide Web. Beyond open source software specifically, there are also numerous and important questions about the legitimacy and enforceability of mass-market software license agreements in general. Courts that have been asked to interpret these agreements have offered various approaches and conclusions. Some courts have applied Article 2 of the Uniform Commercial Code (UCC) to these transactions; others have held that it does not apply. Given the increasing importance of computer software in our economy and the widespread use of these license agreements, consistent and uniform rules would be desirable. A recent effort to codify uniform rules to govern software licenses appears to be languishing. The National Conference of Commissioners on Uniform State Laws (NCCUSL) recently proposed the Uniform Computer Information Transactions Act (UCITA) for adoption by all the states. At present, only two states have adopted UCITA and the prevailing logic suggests that further adoption will be an uphill struggle. In large part, UCITA was controversial because it was perceived as overly protective of large commercial computer software developers–most notably, Microsoft. A diverse and energetic collection of interests, aligned against UCITA, has succeeded thus far in derailing its progress. Although the argument that Microsoft is hampered by a lack of uniformity and certainty in the law is not likely to engender a great deal of sympathy, that same argument in the context of open source software might be more 1. In this Comment, I argue that the open source movement necessitates a rethinking of UCITA, or at least a UCITA-like uniform code to govern software licensing transactions. If UCITA benefits the open source movement, then former opponents may be willing to take another look at the statute. Part II of this Comment offers some basics of software programming and the relevance of those basics to the open source approach. Part III provides some background by introducing the legal protection for computer software under existing intellectual property laws. Part IV builds on this legal background by examining the evolution of the software licensing regime. Courts have failed to offer consistent guidance in this area of the law. Part V explores the trials and tribulations of UCITA, from its earliest stages to its current static existence. Part VI provides a general introduction to the open source movement, including a discussion of the various open source licenses that are currently being used. What started as a limited group of academic and hobbyist programmers sharing source code has become a prominent landmark on the software development landscape. Open source software now serves as the foundation of several successful businesses. A brief overview of the various open source licenses is also included in this section. Part VII includes a discussion of the legal uncertainties facing the open source movement and speculation on the extent to which these uncertainties might be limiting broader participation in the open source approach. Part VII also offers a brief analysis of the impact that UCITA might have with regard to the open source movement and a discussion of what lessons might be learned by thinking about UCITA and open source software simultaneously. For a number of reasons, a rethinking of UCITA, in light of the open source movement as well as some important amendments to UCITA itself, leads to the conclusion that UCITA should now be adopted by the states. II. SOFTWARE PROGRAMMING 101: SOME BASICS In order to better understand the legal issues raised by the development of open source software, it is appropriate to provide a brief introduction to the technology of software programming. The term “source” in “open source” refers to source code. Source code is the language that programmers use to both speak to computers and command them to execute desired functions.2 Source code has been described as the “holy grail” of the open source movement.3 Actually, it is technically incorrect to say that programmers speak directly to computers because computers do not directly read nor respond to source code. Programmers and computers do not speak the same language.4 Computers respond to another type of language, usually referred to as “object code” or “executable code.”5 Object code is a binary language of consecutive ones and zeros that controls on/off switches in the computer hardware.6 Programmers 2. J.L. & TECH. 24, ¶ 7 (2000). 160 MAINE LAW REVIEW [Vol. 58:1 use a number of different programming languages to write source code, all of which are readable and understood by humans.7 These programming languages are the expressive medium through which programmers dictate the desired function of a program. The source code is then translated into the computer-readable object code before the computer is able to respond to the commands of the programmer.8 This process is called compilation.9 This distinction between source code and object code is an important one because it lies at the heart of what distinguishes traditional proprietary software from open source software.10 The key difference between open source software and proprietary software lies in the development and distribution method. Traditionally, commercial software developers have utilized the proprietary model, distributing software in object code form only and keeping the source code secret.11 Open source proponents have sharply criticized this model of software distribution on both moral and practical grounds, supporting free and open access to source code.12 They liken the proprietary distribution model to selling a car with the hood welded shut.13 A car buyer in this situation would have no way of knowing how the car operates and would be unable to repair any internal problems themselves. Although many, if not most, car owners care little about what is under the hood, never mind being able to make their own repairs, there are some that would at least like to have this option. "Proliferation" refers to the scores of FOSS licenses that are now in use with more being created all the time. The Open Source Initiative ("OSI") has certified over seventy licenses as conforming to the Open Source Definition, a key measure of whether a license embodies FOSS principles. Many believe that license proliferation encumbers and retards the success of FOSS. Why does proliferation occur? What are the pros and cons of multiple licenses? Does the growing number of FOSS licenses represent hopeless confusion (as many assume) or (instead) helpful diversity? To provide context and color, these issues are examined using the story of his creation of the Simple Public License (SimPL) and submission of the SimPL to the OSI for certification. Professor Robert Gomulkiewicz joined the UW law school faculty in 2002 to direct the graduate program in Intellectual Property Law and Policy. Prior to joining the faculty, he was Associate General Counsel at Microsoft where he led the group of lawyers providing legal counsel for development of Microsoft's major systems software, desktop applications, and developer tools software (including Windows and Office). Before joining Microsoft, Professor Gomulkiewicz practiced law at Preston, Gates & Ellis where he worked on the Apple v. Microsoft case. Professor Gomulkiewicz has published books and law review articles on open source software, mass market licensing, the UCITA, and legal protection for software.

Das Gegenteil kann der Fall sein: Die Wahl für eine Open Source Plattform kann Herstellern ein Lizenzmodell aufoktroyieren, das mit den Unternehmenszielen nicht vereinbar ist. Zeit für eine Richtigstellung: Nach der "public domain software" und der bereits genannten "free software" kam im Siegeszug von Linux und mit der Veröffentlichung der Quellen des Netscape-Browsers im Mozilla-Projekt Anfang 1998 die "open source software" und mittlerweile aus dem Hause Microsoft auch noch den Begriff der "shared software" (man hat verstanden, dass derartige Campagnen durchaus Marketing-Charakter tragen). Die Free Software Foundation distanziert sich übrigens vom Begriff "open source Software"2. Allerdings steht gerade dieser Begriff für das kollektive Erstellen von Software-Projekten, aber weniger wegen eines speziellen philosophischen Ansatzes, sondern weil er zu einer Zeit geprägt wurde, in der die hohe Durchdringung der weltweiten Vernetzung die Kommunikation innerhalb der Entwicklergemeinschaft ermöglichte und weil Linux als augenscheinlicher Vertreter für Open-Source-Produkte den Kondensationskern für das Bewusstsein von kostenfreier Software darstellte. Richard Stallman wollte "Freiheit für Software", er wollte aber nicht Software im Sinne von Freibier (so seine eigene Formulierung). Die Freiheit besteht im wesentlichen darin, dass der Hersteller sein geistiges Erzeugnis, die Sourcen verfügbar macht. Deren Nutzung ist allerdings durchaus im rechtlichen Rahmen der mitgelieferten Lizenzvereinbarung zu sehen. Es geht also weder darum, Software - 2 - ohne lizenzrechtliche Einschränkungen nutzen zu können, noch geht es darum, die Anwender mit lizenzfreier Software zu versorgen.

Microsoft’s Shared Source Initiative as an Alternative to Open Source Software Anne-Kathrin Kuehnel Department of Law and Criminology, University of Wales Aberystwyth Email: [email protected] Introduction: “Judging a Book by its Cover” There are few certainties in life: everybody is playing football but, in the end, Germany wins. The murderer is always the butler. Or the gardener. It never rains in “Midsomer Murders”. Until recently, one of these used to be “Open Source good, Microsoft bad.” But now, it would appear that times have, indeed, changed and nothing in the software industry is as perceived and traditional wisdom would have it: Microsoft is opening up some of its source code. Over the past few years, Microsoft has promoted a project called “Shared Source Initiative” which allows access to source code to certain customers (e.g. research institutions and independent software vendors) on a restricted basis. Furthermore, it has also introduced some licenses which appear to give unrestricted access to source code and seem to closely resemble ‘traditional’ Open Source licenses. Given that availability of source code is a prime characteristic of Open Source Software it could be argued that Microsoft has embraced the Open Source Software philosophy. And indeed, one of Microsoft’s sharpest critics, Lawrence Lessig, is openly praising Microsoft for its Shared Source Initiative for opening up some of their source code.1 Rumour also has it that Microsoft has at least been thinking about submitting some of their licenses to the Open Source Initiative for certification.2 Does this mean that Microsoft has (finally) seen the light and embraced the Open Source philosophy? If Open Source Software was only defined by the accessibility of source code, the availability of source code would equal open source.

Fighting back against what FLOSS enthusiasts viewed as overly restrictive intellectual property protections placed on proprietary software, FLOSS was designed with the intent of granting users the right to study, modify, adapt, or otherwise tinker with the source code of software. As such, FLOSS users were able to collaborate in producing software that could be distributed freely and widely to others, who could, in turn, make changes to the software.

    Open Source Software: Risks and Rewards v2.0, 03 August 2005 Author(s)Gary Hein Conclusion Open source software (OSS) brings new opportunities and risks to information technology (IT) vendors and customers. Software commoditization is being profoundly affected from the infrastructure layer and moving up to the application layer. As a result, OSS is changing the strategies and business models of hardware and software vendors and system integrators. Customers should understand the risks and rewards of OSS, and should formulate strategies that bring OSS benefits to their IT departments while mitigating the business and legal risks. Synopsis Open source software (OSS) is more than just free software. It’s a development process, a distribution model, and a set of new software licenses. And, as characterized by OSS proponents, it’s a movement. OSS projects, such as Linux and Apache HTTP server, are commoditizing enterprise and Internet infrastructure, and thus pose threats for some vendors while creating new market opportunities for others. OSS brings more to information technology (IT) than just free software. It grants freedom from vendor lock-in and application churn, freedom to inspect, modify, and improve source code, and the freedom to influence or contribute to projects key to a company’s survival. But these freedoms come at a price. Although OSS is free, it isn’t always less expensive to implement due to migration, support, training, and maintenance costs. OSS projects add new twists to business risks such as vendor viability and stability, and legal issues remain uncertain as many popular licenses have yet to be tested in a court of law.

FLOSS has indeed reached a high level of economical maturity. It is not “just” an alternative movement any more, nor is it a simple option that companies of the field can choose to take or simply ignore. It is a reality that everyone has to acknowledge, understand and deal with, no matter which commercial strategy or business model is implemented. FLOSS is based upon an outstanding permissive licensing system coupled with an unrestricted access to the source code, which enables the licensee to modify and re-distribute the software at will. In such context, intellectual property is used in a versatile way, not to monopolize technology and reap royalties, but to foster creation on an open and collaborative basis. This very particular use of initially “privative” rights firstly amazed… then became source of inspiration. Indeed, scientists, academics and other thinkers noticed that the free and open source system actually worked quite well and gave birth to collaborative and innovative, but also commercially viable ecosystems.

    Elements Of Free And Open Source Licenses: Features That Define Strategy CAN: Use/reproduce: Ability to use, copy / reproduce the work freely in unlimited quantities Distribute: Ability to distribute the work to third parties freely, in unlimited quantities Modify/merge: Ability to modify / combine the work with others and create derivatives Sublicense: Ability to license the work, including possible modifications (without changing the license if it is copyleft or share alike) Commercial use: Ability to make use of the work for commercial purpose or to license it for a fee Use patents: Rights to practice patent claims of the software owner and of the contributors to the code, in so far these rights are necessary to make full use of the software Place warranty: Ability to place additional warranty, services or rights on the software licensed (without holding the software owner and other contributors liable for it) MUST: Incl. Copyright: Describes whether the original copyright and attribution marks must be retained Royalty free: In case a fee (i.e. contribution, lump sum) is requested from recipients, it cannot be royalties (depending on the use) State changes: Source code modifications (author, why, beginning, end) must be documented Disclose source: The source code must be publicly available Copyleft/Share alike: In case of (re-) distribution of the work or its derivatives, the same license must be used/granted: no re-licensing. Lesser copyleft: While the work itself is copyleft, derivatives produced by the normal use of the work are not and could be covered by any other license SaaS/network: Distribution includes providing access to the work (to its functionalities) through a network, online, from the cloud, as a service Include license: Include the full text of the license in the modified software.
