Présentation de l’opération 1.1 Contexte de l'opération et présentation de la mission de FINEXSI 1.1.1 Contexte de l’opération Le groupe TECHNICOLOR (ci-après « TECHNICOLOR », « le Groupe » ou la Société) a depuis plusieurs années un fort endettement au regard de la rentabilité de ses activités, l’ayant notamment conduit à : - Restructurer sa dette, dans le cadre d’un plan de sauvegarde approuvé par le Tribunal de Commerce de Nanterre en février 2010 ; - Refinancer une partie de sa dette en 2013, en souscrivant à de nouveaux emprunts afin d’étendre la maturité de la majorité de ses dettes financières jusqu’en 2020 ; - Renégocier le coût de sa dette auprès de ses créanciers financiers en 2014. Au 31 décembre 2019, et malgré ses différentes opérations, le niveau d’endettement de TECHNICOLOR reste élevé, à hauteur de 1.298 M€1, soit un ratio dette brute / EBITDA de 4,01x.2 Dans ce contexte, TECHNICOLOR a dévoilé en date du 13 février 2020, un nouveau plan stratégique 2020-2022 prévoyant une réduction substantielle de ses coûts (« Plan Panorama I et II»), et annoncé sa volonté de procéder à une augmentation de capital à hauteur de 300 M€ qui devait lui permettre de renforcer ses réserves de liquidités pour faire face à son important besoin en fonds de roulement saisonnier et financer le plan de transformation envisagé. Cependant, l’impact de la crise sanitaire Covid-19 sur les activités du Groupe et l’incertitude en résultant sur les conditions de marché boursier, ont limité la possibilité de lancer l’augmentation de capital envisagée dans le délai prévu, et augmenté de plus de 100 M€ les besoins de liquidités du Groupe. Dans ce cadre, afin de trouver une solution de financement adaptée à ses importants besoins opérationnels et au remboursement du Crédit-Relais (ci-après le « Bridge ») souscrit auprès de JP MORGAN , le Groupe a annoncé le 26 mai 2020 avoir initié des discussions avec les actionnaires et principaux créanciers, et avoir demandé l’ouverture d’une procédure de conciliation. Le 1 er juin 2020, TECHNICOLOR a annoncé avoir reçu l’accord de la majorité requise de ses créanciers pour l’ouverture d’une procédure de conciliation, et le 2 juin 2020, la SELARL FHB (Maître Hélène BOURBOULOUX et Maître Gaël COUTURIER) a été désignée en tant que conciliateur pour une durée maximale de 2 mois.
