Where information was obtained from magazines, books, or newspapers, Web pages were tracked down that contained or confirmed the same information. The result is that anyone with the desire—and the time and the patience—to check the thousands of references can do so without leaving his or her computer. Trump, although foretold by Matt Groening’s The Simpsons,1 was a surprise to many.2 But the shock, disbelief, and horror were especially acute for the intelligentsia. They were told, guaranteed really, that there was no way for Trump to win. Yet he prevailed, pulling off what poker aficionados might call a back- door draw in the Electoral College. Since his victory, the reverberations, commotions, and uproars have never ended. Some of these were Trump’s own doing and some were hyped-up controversies. We have endured so many bombshells and pur- ported bombshells that most of us are numb. As one crisis or scandal sputters to a pathetic end, the next has already commenced. There has been too much fear, rage, fire, and fury, rendering it impossible for many to make sense of it all. Some Americans sensibly tuned out, missing the breathless nightly reports of how the latest scandal would doom Trump or why his tormentors would soon get their comeuppance. Nonetheless, our reality TV President is ratings gold for our political talk shows. In his Foreword, Professor Michael Klarman, one of America’s fore- most legal historians, speaks of a degrading democracy.3 Many difficulties plague our nation: racial and class divisions, a spiraling debt, runaway entitlements, forever wars, and, of course, the coronavirus. Introduction When the #MeToo movement emerged in October 2017 in the wake of the Harvey Weinstein scandal, its revelations prompted a nationwide reckoning with the epidemic of sexual harassment, sexual assault, and abuse – largely of women – in the workplace that could no longer be denied.1 The Civil Rights Act of 1964 has prohibited many forms of sexual harassment for over 50 years, providing crucial protections for millions of American workers. As #MeToo makes clear, however, abusive, hostile work environments are still very much part of the 21st century workplace. The movement has brought long overdue attention to both the importance and power of the law to protect workers, and some its dramatic failures to prevent and remedy widespread harassment thus far. At its core, sexual harassment rests on entrenched imbalances and abuses of power, and truly meaningful, lasting change will only come when the overall power structures of the American workplace have shifted. Practically speaking, such systemic change cannot come from individual legal action alone, or even primarily; its costs are simply too high and its reach too limited, particularly for low-wage workers.

    ANNA WINDEMUTH The #MeToo Movement Migrates to M&A Boilerplate abstract. In the #MeToo era, companies pay for unchecked sexual harassment with plummeting stock prices. Corporate lawyers have addressed this liability by developing the #MeToo clause in mergers and acquisitions (M&A) agreements. The #MeToo clause generally represents that, to a target company’s knowledge, senior employees have not been subject to allegations of sexual harassment. This Note explains the clause’s creation and evaluates its significance based on an original analysis of public filings and interviews with practitioners. It argues that the clause is a form of reactive M&A growth uniquely rooted in a movement driven by women of color rather than a temporary response to a one-off event. As a result, the clause is likely a permanent addition to M&A boilerplate. Moreover, this Note argues that the clause should not be viewed as an intentional effort by the M&A industry to curb sexual harassment, but rather as a tool to protect shareholder wealth and decrease shareholder risk. Nonetheless, it has the potential to improve antiharassment mechanisms in the workplace. Finally, this Note provides recommendations for shifting the clause’s focus from cataloguing incidences of sexual harassment to improving reporting channels and policies. Implementing these recommendations would ensure that the clause serves not only corporate interests, but also the #MeToo movement’s ideals. author.
