E-tenders in the prescribed format are invited by the Chairman, Pujali Municipality from bonafide, experienced, resourceful, and eligible individuals, firms, Companies, Co-operative Societies, NGOs, Agencies, for the following work :- Contractual Takeover, Operation and Management of Old-Age-Home “BELA SESHE PUJALI”, situate at Pujali.

Name of Work : Contractual Takeover, Operation and Management of Old Age Home “Bela Seshe Pujali” situate at Pujali, adjacent to Pujali Municipal Matri Sadan and Municipal Office complex, Phani Bhushan Pathak Road, Pujali Municipality.

Introduction :

Pujali Municipality (hereinafter referred to as the “Municipality” in short) The agencies that fulfill the requirements as specified under the clauses of this document shall be eligible to apply;

The representative(s) of the individuals, firms, Companies, co-operative Societies, NGOs, Agencies may visit the office of the Chairman of the Municipality for inspection of site and appraisal of work involved, between 10.00 am to 5.00 pm on any working day w.e.f. (date) onwards with advance intimation and confirmation.

1. Details of the Old age home : Map and Room details are in Annexure 2

2. Scope of work Contractual Takeover, Operation & Management of the Old Age Home “Bela Seshe Pujali” situate at Pujali for 15 (fifteen) years.

3. Responsibility of the new management of the Old Age Home :

4.1 The new management of the old age home has to furnish a periodic report as advised by the Chairman.

4.2 The new management of the old age home has to maintain constant liaison with the entrusted officer of the municipality.

4.3 Maintenance : All electrical appliances, gadgets, fittings & fixtures shall be maintained and electricity bill shall be paid by new management.

4.4 Water supply : The municipality shall maintain Water supply and pipe-fittings at the cost of the new management at the old age home.

4.5 Any loss/damage of property of old age home caused by tenderer, the penalty for the above damage/loss will be charged to the tenderer as decided by the Chairman of the Municipality, who is competent authority of the Municipality.

2 Other terms & conditions :

1. EMD by Demand Draft drawn on any scheduled bank payable at Kolkata in favour of the Chairman of the Municipality should be submitted. EMD shall bear no interest. Any bid not accompanying with EMD is liable to be treated as non-responsive and rejected. The successful tenderer shall remit a security deposit 15 lakh and the EMD already remitted by the successful tenderer will be adjusted against the security deposit. The security deposit will be refunded without any interest at the time of termination of the contract. EMD of unsuccessful tenderers shall be returned.

2. The tenderer should give details of their business soundness and provide list of ventures they have previously undertaken for Government Departments/Undertakings/public/private sectors with contact details.

3. The bids shall be written in English language and any information printed in other language shall be accompanied by an English translation, in any case for the purpose of interpretation of the bid, the English translation shall govern.

4. The municipality reserves the right of accepting any bid other than the lowest or even rejecting all the bids without assigning any reasons therefor. The decision of the Municipality is final and binding in all the matters of tender and purchase.

5. The bidder should give a declaration regarding following issues while submitting the Tender. Work Experience :- The Firm / Agency should have been registered as a Proprietary Firm / Partnership Firm / Registered Company

6. Prior to commencement of the Contract municipality officials shall inspect office of the Tenderer. Also, during the period of the contract, there shall be periodical inspection whenever necessary.

7. Solvency Certificate :- The Tenderer should furnish the Banker’s Solvency Certificate amounting Rs. 15 lakh from any Nationalized / Scheduled Bank certifying the financial soundness of the Tenderer. If the Solvency Certificate is not attached along with the tender, the tender shall be rejected.

8. Maintenance of Records :- The Successful Tenderer shall have to maintain the Old Age Home Occupancy Register.

9. Supervision of day-to-day activities :- The Successful Tenderer shall supervise effectively the operation of old age home and follow all the instructions and requirements given by the Municipality when necessary.

10. Deduction of Taxes :- The Income Tax as per rules shall be deducted from the bill. All statutory deductions such as TDS, etc. wherever applicable, but not limited to this list indicated, shall be deducted from the bills payable to the Successful Tenderer at the applicable rates from time to time.

11. Period of Contract : The Contract shall be valid initially for a period of 15 years i.e. from the date of contract. The MUNICIPALITY reserves the right to terminate the Contract awarded at any time during the currency of the Contract without assigning any reasons by giving one months’ notice in advance in writing. The Successful Tenderer shall be required to give three months’

3 advance notice in writing for termination of the contract, failing which the security deposit shall stand forfeited.

12. Under no conditions the Tenderer for his staff shall claim the benefits of MUNICIPALITY Rules, Wages & Allowance, facilities etc.

13. Arbitration :

13.1 Except as otherwise provided elsewhere in the contract, if any dispute, difference, question or disagreement or matter whatsoever, shall, before or after completion or abandonment of work or during extended period, hereafter arises between the parties, as to the meaning, operation or effect of the contract or out of or relating to the contract or breach thereof, shall be referred to a sole arbitrator to be appointed by the Chairman of the municipality at the time of the dispute.

13.2 If the arbitrator to whom the matter is originally referred dies of refuses to act or resigns/withdraws for any reason from the position of arbitration, it shall be lawful for the Chairman of the municipality to appoint another to act as arbitrator in the manner aforesaid. Such person shall be entitled to proceed with reference from the stage at which it was left by his predecessor if both the parties consent to this effect failing which the arbitrator shall be entitled to proceed denovo.

13.3 It is a term of the contract that the party invoking arbitration shall specify all disputes to be referred to arbitration at the time of invocation of arbitration under the clause.

13.4 It is a term of the contract that the cost of arbitration shall be borne by the parties themselves.

13.5 Subject as aforesaid the provision of the Arbitration and Conciliation Act 1996 and any statutory modifications or re-enactment of rules made thereof under and for the time being in force shall apply to the arbitration proceedings under this clause.

14. Termination :

i. The Municipality shall at any time be entitled to determine and terminate the contract for any reason including unsatisfactory performance or violation of the terms & conditions of the tenderer whatsoever. A notice in writing from the Municipality to tenderer shall be issued giving 30 (thirty) days time for such termination and vacation of the premises, without assigning any reasons thereof. ii. If all or part of the contract is terminated in accordance with the provisions contained above, the Municipality shall pay to charges up to the effective date of termination. However, the termination of the contract shall not relieve the tenderer of any of his/her obligations imposed by the contract with respect the work performed by them prior to such termination.

15. PPP Model (Govt. order with proforma) in “consonance” with Indian Audit/Financial/Contract Act with Rules/Municipal Act & Rules provisions shall be adhered to.

16. External work of Building will be done by Municipality. Internal shaping and reshaping may be done with prior written permission from the Chairman i.e. Municipal authority.

17. Use of vacant land and plantation or gardening and landscaping will be done by the party under contract. No objection from the Chairman is absolutely necessary for this purpose.

4 18. Non-compliance of provisions of this contract, alongwith Municipal Laws and Rules shall make the contract ineffective and null and void.

19. The amount of Rs. 1,66,00,000.00 (Rupees one crore sixty six lakh) or quotated rate, (the cost of the Building) or quoted amount shall have to be paid by the 2 nd party @ 10% per year with 3 instalments be paid in advance during signing the contract.

20. At the beginning of the 2 nd year, 4 th instalment shall be paid within 15 days of the year reckoning from the 1 st date of the 2 nd year. This process of year wise payment shall continue till the last instalment is paid and Rs. 1.5 crore or quotated amount is paid up in full.

21. One time premium of Rs. 1.66 lakh (base price) or above, during the time of contract is to be paid. This amount will remain effective upto the end of 15 yrs. Contract in favour of the highest amount above the base price quoted / offered by the tenderer will be accepted, subject to fulfilment of other eligibility criteria. It is not binding for the Municipality to accept the highest bidder above the base price if all other requirements are not complied with fully and satisfactorily.

22. For the vacant land purpoted to be used by the organization / trust / persons living, a land use fee of Rs. 20.00 (Rupees twenty) per square metre for 5754 sq,m. per year shall paid to 1 st Party by the 2 nd Party. The successful tenderer shall pay the first instalment during signing the contract. From the second year onwards, yearly payment shall be made within 15 (fifteen) days of the beginning of the year.

23. Outward or External part of the building shall be maintained by BoC. A fee of Rs. 2 lakh shall be paid yearly within 15 days of the beginning of the year towards cost of maintenance. Year-wise payment will continue thereafter in similar manner.

24. A committee shall be formed with representatives of the Municipality and the organization to sort out any problem and the matter of dispute will be settled amicably to uphold the reputation of the Municipal Body (BoC) and the organization who will operate the Old-Age-Home.

25. Local persons shall be engaged wherever feasible in the operation and maintenance of the Old-Age- Home and immediate contact shall have to be made with the Chairman in this regard.

26. The 2 nd Party (promisee) will hold the Old-Age-Home building and adjoining land for the use of the senior citizens in usufruct. The usufruct, that is, the right of enjoying the use and advantages of Old- Age-Home Building and adjoining land in the complex short of any kind of damage, injury, destruction or waste of its substance remain valid and effective till the period of the contract. This usufruct shall automatically termed void if the 2 nd Party does not comply with the condition as laid down herein above and below.

27. This contract is being legalized and registered under the free consent of both the parties.

28. Emergency treatment, Ambulance facility, conveyance shall be arranged by 2 nd Party on time for the aged people living in the Home.

29. No liability shall be borne by the municipality in day-to-day administration and working of Old-Age- Home.

30. Map and Building details will be signed during registration of the agreement / contract by both parties.

5 31. The right to land of the entire project shall exclusively be held by the BoC of the Pujali Municipality. For outward / inward maintenance or repair job, whenever be taken, there shall be free access to the land / building for municipality.

32. The Hospital Outdoor facility, service of full-fledged Dentistry Department, Diagnostic facilities etc. may be utilized by the 2 nd Party for benefit of the aged people living in the Home. A mutually beneficial arrangement may be agreed upon in this matter by the two Parties of the contract.

The 1 st Party i.e. the Municipality has a broader view to serve the senior people of the society in last lap of life as an social obligation and respect to the people. This should be given top most priority by both the parties concerned.

33. Not-with-standing anything mentioned in any clause in the agreement the tenderer shall provide in advance the operation style of running the Old-Age-Home to the Municipality prior to entering into the contract and operation of the Old-Age-Home.

34. The intending party bidding the tender are welcome to inspect the Building and the Site well in advance with prior intimation to the Municipality Contact Nos. 2482-2267, 2482-0252, Fax : 033 2482-0252
