MINUTES of the BOARD MEETING held July 17, 2019

Present: Don Flannery (Presiding), Erica Axiotis, Ashley Bohnenkamp, Matt Busick, Harvey Freese, Becky Greenwald, Kevin Kacere, Shawn Mullen, Doug Saltsgaver, Absent: Katie Cownie, Tim Lillwitz, Catherine Staub

1. No Conflicts of Interest Declared. 2. New Board Members were welcomed: Ashley Bohnenkamp, Katie Cownie (absent), Harvey Freese and Becky Greenwald

3. Approved minutes of meeting held June 19, 2019 on motion by Saltsgaver and seconded by Mullen.

4. Approved the financials ending June 30, 2019 on motion by Greenwald and seconded by Freese.

Items 5 through 13 were approved by consent agenda on motion by Mullen and seconded by Axiotis.

5. Designated Bankers Trust as the 2019-20 fund depositories with authorized signatures: Executive Director Kitte Noble up to $5000; or President, President-Elect, Vice President, Secretary-Treasurer, singly, with two of the above signatures for funds over $5,000.

6. Designated and authorized fund distribution and trading for the Rotary Club of Des Moines CD’s for the 2019-2020 Rotary year. The Rotary Club of Des Moines: with authorized signatures: Executive Director Kitte Noble up to $5000 or President, President-Elect, Vice President, Secretary-Treasurer, singly, with two of the above signatures for funds over $5,000.

11. Governance: Approved Mission Statement:

The Object of Rotary is to encourage and foster the ideal of service as a basis of worthy enterprise and, in particular, to encourage and foster: First. The development of acquaintance as an opportunity for service; Second. High ethical standards in business and professions; the recognition of the worthiness of all useful occupations; and the dignifying by all Rotarians of their occupation as an opportunity to serve society; Third. The application of the ideal of service by all Rotarians to their personal, business and community life; Fourth. The advancement of international understanding, goodwill, and peace through a world of fellowship of business and professional persons united in the ideal of service.

12. Approved RCDM Vision Statement: The Rotary Club of Des Moines engages leaders who see our community and the world as a place where our service creates transformative impact and positive change. The Club will do this by: • Engaging hundreds of community leaders each week to exchange ideas, form friendships and professional connections • Investing in transformative local and global initiatives • Focus the community around relevant and current challenges

13. All D&O insurance is covered through Rotary International dues. Both Club and the RCDM Foundation are covered under this policy. Coverage Limits: $2,000,000 per claim; $15,000,000 Aggregate; $25,000 Self- insured retention. This was reviewed by LaMair Insurance (Mark Lyons) in 2018-19 and found to be adequate.

14. President’s Business and Rotary Office Matters:

a. The 2019-20 budget was approved unanimously on motion by Kacere and seconded by Axiotis, the motion includes a $24k cost/revenue board challenge for Rotary year 2019- 2020. b. Due to a late start because of severe weather and time constraints with the meeting space, the remaining governance items will move to the August meeting- conflict of interest/code of ethics statements.
