Such a decision could be expected to lead to attempts by religiously-motivated individuals and entities to engage in proxy contests and shareholder derivative actions designed to establish or alter a target company’s religious identity, requiring significant time and resources to defend against. Granting corporations free exercise rights would also draw corporate stakeholders into divisive debates over contentious social issues, jeopardizing effective corporate management. Finally, allowing for-profit corporations to ignore generally applicable federal laws and regulations in the name of religion would result in an uneven regulatory playing field. The brief urges the Court not to interpret RFRA in a manner that would lead to such market- skewing results.
