This Grant Contract is made and entered into by and between Tillamook County ("County"), and Tillamook Forest Heritage Trust ("Recipient").

RECITALS

Whereas, in November 2013 Tillamook County voters approved a county-wide transient lodging tax (TL T) which requires that Seventy Percent (70%) of this tax be used for tourism promotion and tourism related facilities;

Whereas, the funds provided under this Grant Contract were derived from TL T funds and designated for use on Tourism Related Facilities;

Whereas, the Tillamook County Economic Development Council (EDC) and County have reviewed Recipient's application, submitted on January 15, 2016 (the "Application") and determined the Salmonberry Trail ("Project"), as hereafter defined, is feasible and merits funding.

NOW THEREFORE, the parties agree as follows:

1. Contract. This Grant Contract shall include the following, which in the event of any inconsistency are to be interpreted in the following order of precedence: A. This Grant Contract without any Exhibits. B. Special Conditions of Award, attached as Exhibit A. C. Approved Project budget showing a breakdown of sources of funds, attached as Exhibit B. This Exhibit supersedes the Project budget submitted in Recipient's Application; and D. Recipient's application, which by this reference is incorporated herein.

2. Grant. In reliance upon Recipient's Application and covenant to comply with all local, state and federal laws, rules and regulations as set forth herein, County agrees to provide the Recipient funds in the amount of $100,000.00, the use of which shall be expressly limited to the Project and the activities described in the Application. A. The use of these funds shall also be subject to the approved Project budget in Exhibit B, and the Special Conditions in Exhibit A, if any. B. If any change exceeds ten percent (1 0%) of the approved budget in Exhibit B, Recipient shall get a modification prior to purchases or completing work for which reimbursement will be sought. C. Subject to the terms and conditions of this Grant Contract, County shall disburse the grant funds to Recipient on an expense reimbursement basis after County's receipt and approval of cash request forms from Recipient.

The approved grant activities must be completed within thirty-six (36) months from the date of this Grant Contract ("Project Completion Date"). By the Project Completion Date, all Project activities must be completed, including submission of the Project Completion Report and all cash requests.

4. Recipient's Covenants - Compliance with Laws. A. The Recipient agrees to comply, and cause its agents, contractors and subgrantees to comply, with all applicable local, state and federal laws, regulations, policies, guidelines, and requirements with respect to the use of and the administration, distribution, and expenditure of the funds provided under this Grant Contract, including but not limited to the following: (1) The Davis-Bacon Act, as amended, 40 USC 276a to 276a-5; if applicable. (2) When procuring goods or services to be paid for in whole or in part with County funds, the Recipient shall comply with ORS Chapters 279, 279A, 279B and 279C. County's performance under this Grant Contract is conditioned upon the Recipient's compliance with these provisions. The Attorney General Model Public Contract Rules shall govern procurements under this Grant Contract unless the Recipient or its public contract review board has adopted its own rules, then those rules shall apply. B. The Recipient shall maintain all fiscal records relating to this Grant Contract in accordance with generally accepted accounting principles for state and municipal corporations established by the National Committee on Governmental Accounting in a publication entitled "Governmental Accounting, Auditing and Financial Reporting ("GAAFR"). In addition, the Recipient shall maintain all other records pertinent to this Grant Contract in such a manner as to clearly document the Recipient's performance. The Recipient shall retain and keep accessible all such books, accounts, records, reports, files and other papers or property for a minimum of three (3) years from closeout of this grant, or such longer period as may be required by applicable law, or until the conclusion of any audit, controversy or litigation arising out of or related to this Grant Contract, whichever date is later. C. The Recipient will assume all of the responsibilities for environmental review, decision-making and action pursuant to the National Environmental Policy Act of 1969, 42 USC 4321-4370, if applicable.

5. Default and Remedies. A. Default. Recipient shall be in default under this Grant Contract upon occurrence of any of the following events: (1) Recipient actions are not completed in accordance with the Project Schedule or County's approval of a Progress Report provided for in this Grant Contract. (2) Any representation, warranty, or statement made by Recipient herein or in any documents or reports relied upon by County is untrue in any material respect when made.

B. Remedies upon Default. If Recipient's default is not cured within a reasonable term, as defined by County, or such longer period as County may authorize at its sole discretion, County may pursue any remedies available under this Grant Contract either at law or in equity. Such remedies include, but are not limited to termination of this Grant Contract.

6. Termination. A. County reserves the right to terminate this Grant Contract immediately upon notice to the Recipient: (1) if Recipient fails to perform or breaches any of the terms of this Grant Contract; or (2) if the Recipient is unable to commence the Project within six (6) months from the date of this Grant Contract; or (3) if federal or state laws, regulations or guidelines are modified or interpreted in such a way that either the grant made pursuant to the terms of this Grant Contract or payments to be made hereunder are prohibited. B. County and Recipient may mutually agree in writing to terminate this Grant Contract. C. In the event of termination prior to Project completion, County will have no further obligations or liabilities under this Grant Contract, including that it will not reimburse any Project costs incurred by Recipient.

7. Indemnification. To the extent permitted by the Constitution and the Oregon Tort Claims Act, Recipient shall indemnify, defend, and hold harmless the County and its officers, employees, and agents from all claims, suits, actions, losses, damages, liabilities, costs and expenses of any nature resulting from, arising out of or relating to the activities of the Recipient or Recipient's officers, employees, sub-contractors, or agents under this Grant Contract. Recipient's indemnifications shall extend to any and all claims arising out of or relating to Grantee's agreements with a non-government organization sponsored by Recipient and associated with this Grant Contract, if any.

8. Miscellaneous. A. This Grant Contract shall be null and void if this Grant Contract is not executed and returned to County by the Recipient by October 31, 2016. B. County and the Recipient are the only parties to this Grant Contract and are the only parties entitled to enforce its terms. Nothing in this Grant Contract gives, is intended to give, or shall be construed to give or provide any benefit or right, whether directly, indirectly or otherwise, to third persons unless such third persons are individuals identified by name herein and expressly described as intended beneficiaries of the terms of this Grant Contract. C. Recipient shall provide to County, for review and approval of compliance with provision 4.A of this Grant Contract, all contracts to be entered into between

D. Except as otherwise expressly provided in this Grant Contract, any communications between the parties hereto or notices to be given hereunder shall be given in writing by personal delivery, facsimile, or mailing the same, postage prepaid, to County or the Recipient at the address or number set forth on the signature page of this Grant Contract, or to such other addresses or numbers as either party may hereafter indicate. Any communication or notice so addressed and mailed shall be deemed to be given five (5) days after mailing. Any communication or notice delivered by facsimile shall be deemed to be given when receipt of the transmission is generated by the transmitting machine. E. This Grant Contract shall be governed by and construed in accordance with the laws of the State of Oregon without regard to principles of conflicts of law. Any claim, action, suit or proceeding (collectively, "Claim") between County and Recipient that arises from or relates to this Grant Contract shall be brought and conducted solely and exclusively within the Circuit Court of Tillamook County for the State of Oregon; provided however, if a Claim must be brought in a federal forum, then it shall be brought and conducted solely and exclusively within the United States District Court for the District of Oregon. F. This Grant Contract and attached exhibits constitute the entire agreement between the parties on the subject matter hereof. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this Grant Contract. No waiver, consent, modification or change of terms of this Grant Contract shall bind either party unless in writing and signed by both parties and all necessary County approvals have been obtained. Such waiver, consent, modification or change, if made, shall be effective only in the specific instance and for the specific purpose given. The failure of County to enforce any provision of this Grant Contract shall not constitute a waiver by County of that provision or any other provision.

Presented is a description of the entire Salmonberry Trail project for context and information relating to the specific project request of this application. Following the general overall project description we will present specific request il}formation relating to this application.

The Port of Tillamook Bay (POTB) railroad once connected the Willamette Valley to the Oregon Coast on a 86-mile rail corridor formerly owned by

1 9 of 38- TILLAMOOK COUNTY TRANSIENT LODGING TAX (TL T) GRANT PROGRAM FOR TOURISM RELATED FACILITIES- GRANT CONTRACT 2015-F15 Southern Pacific, running from Banks to the Tillamook Airport through the canyon of the Salmonberry River and the . Following a catastrophic storm with over 20 inches of rain over 2 days in December 2007, this rail connection was cut off due to major damage, particularly in the 16-mile stretch of tunnels and trestles deep within the Coast Range. After detailed engineering assessments, the POTB decided not to re­ establish the rail connection due to the costs involved and a changing market for rail service. An undamaged portion of the line is currently being used by the Oregon Coast Scenic Railway to conduct tours between Garibaldi and Milepost 816 at the confluence of the Nehalem and Salmonberry Rivers, but the remainder of the trail corridor lies unused except by a few hikers, hunters and fishermen.

This unique passage, which is referred to as the Salmonberry Trail, has a rich history, an outstanding scenic context and has the potential to connect urban and rural Oregon while tapping into a wide network of existing recreation trails and parks, educational opportunities and heritage sites. This wilt create strong economic opportunities for Tillamook County and help revitalize communities along the rail corridor, including the small towns along the coast from Wheeler to Tillamook. It will also define a new trail for active, human-powered transportation, from the urban population of the Willamette Valley through the wild wooded Coast Range to the beaches and farms of Tillamook County.

The Salmonberry Trail offers a potential connective trail link between the Willamette Valley and the Oregon Coast- realizing a long-term vision of many hikers, cyclists and equestrians. It can become part of a grand "infinity loop" that conceptually connects to the Cascade Range and Columbia Gorge. This Trail is identified as one of the top 24 regional trails, and will also connect a number of existing and proposed trails at several points, which will provide a source to users as well as potential loop options.

There are gateways to the Salmonberry Trail, as well as communities that can be considered as likely to benefit from recreational improvements. In studies of present corridors across North America, such communities are often referred to as "trail towns." These are communities typically have existing commercial resources. Most tourists revenue from a full or partial trail on the Trail would likely be derived in trail towns on the Oregon Coast, specifically Tillamook, Bay City Garibaldi, Rockaway Beach and Wheeler. There may be some benefit for Banks, as a small bike rental and repair shop has recently opened near the trailhead to the Banks-Vernonia Trail. Oregon State University researches found clear economic benefits to coastal communities from state parks on the coast (White, Goodding, and Rosenberger, 2012). A significant amount of research on the economic

? 10 of 38- TILLAMOOK COUNTY TRANSIENT LODGING TAX (TLT) GRANT PROGRAM FOR TOURISM RELATED FACILITIES- GRANT CONTRACT 2015-F15 benefits of trails is collected in the Portland State University student-led report entitled "The Long Trails Project' as well as in numerous publications coordinated by the national Rails to Trails Conservancy.

The Salmonberry Trail will provide 86 miles of mixed-use, non-motorized path. Each segment of the trail will provide unique experiences and opportunities for users.

The entire trail consists of four segments; the Coast Segment- a 26-mile section of the trail hugs the coast from the city of Wheeler on the north to Tillamook on the south. Segment- this section spans 17 miles from the confluence of the Salmonberry and the Nehalem rivers to the City of Wheeler, located on the shores of scenic Nehalem Bay. Salmonberry River Segment- this 16-mile section is the wildest, passing through the rugged and remote Salmonberry River canyon. Valley Segment - approximately 25 miles of "rail to trail" this segment starts at the City of Banks and rises 1 ,600 feet in elevation to its summit at Cochran, west of Timber. Each segment is identified in the Concept Plan with a 'Trail Atlas". Segment also have "Tiles" which identify specific locations and aerial photographs with key information such as nearby roads, pubic lands and streams.

The fact that this Trail traverses a relatively wild section of the Coast Range, with few roads, will make it popular with hikers, campers, kayakers and anglers. It is currently highlighted in some blogs as a hiking destination and was featured in a now out-of-print Sierra Club hiking guide to the Tillamook State Forest. Anglers are walking along the rail line and driving down the Beavers !ide Road to access the river. There is a state Water Trail from the Nehalem Confluence west and some kayakers have ventured east toward Enright to paddle the rapids within the Salmonberry Canyon Segment. Some even travel crass-country to access the North Fork of the Salmonberry. ·

When completed, the trail will afford users and opportunity to explore dense Douglas fir forests, iconic Oregon Rivers, lush coastal farmlands, and the scenic beaches, bays and estuaries of Tillamook County. On foot, bicycle or horseback, the trail will connect users with the diversity of forests, rivers and coastline that makes Oregon unique.

The Specific Project Request and Description relating to this application is a Coastal Segment Supplemental Planning Project Through a professional services contract with a qualified firm, retained through a request for proposal solicitation process, OPRD will supervise a contract or to implement a planning process with the following key components:

In consultation with OPRD, Tillamook County, the Port of Tillamook Bay and staff from local cities, identify 4-6 tiles in the study area that are included in Coastal segments tiles numbered 33-48 which have been identified in the Salmonberry Corridor Concept Pl~m. previously prepared by Walker Macy.

Phase2 Conduct a review ofthe concept Plan and other available information to support analysis of the following alternatives on the selected ''tiles"- Rail to Trail, Rail with Trail, or Bypass.

Conduct site investigations of study areas to document existing conditions, and identify specific limitation and constraints to implementing alternatives.

Phase 3 Prepare feasibility analysis relative to physical constraints (geotechnical, civil engineering), regulatory constraints (permitting hurdles), and right-of-way issues, to include: Identifying significant barriers or fatal flaws to implementation on representative study areas (tiles)

Developing rough order of magnitude (ROM) costs for additional studies, engineering and permitting for representative segments.

Provide recommendations for further study as needed.

2. Describe how this project will have a positive economic impact on the county and local community; how will it lead to increased and sustained jobs,· how it will enhance current services or provide an identified need; and how it will increase community capacity for tourism.

There is increasing demand for this type of trail. The Statewide Comprehensive Outdoor Recreation Plan (SCORP) includes survey data

12 of 38- TILLAMOOK COUNTY TRANSIENT LODGING TAX (TL T) GRANT PROGRAM FOR TOURISM RELATED FACILITIES- GRANT CONTRACT 2015-F15 for recreational activities in Region 1, the NW Coast- and Region 2, Portland Metro, which brackets the length of the Trail. Recent survey results (November 2012) note that the top two activities in both regions include "walking on local sidewalks" (61.6% in Region 1 and 68.9% in Region 2) and "walking on local trails/paths (59.9% and 62.1% respectively). With an aging population, low impact activity such as walking is increasing dramatically in popularity, with biking and day hiking also gaining. Accordingly, the highest priority needs noted by the SCORP surveys are walking paths, public access to waterways, nature viewing, off street cycle trails and paved paths. In fact, 7 of the top 10 needs identified are trail-related.

In preparation the 2015-2024 Oregon Trails Plan, the Oregon Parks and Recreation Department contracted with Oregon State University to conduct surveys of Oregon residents regarding their participation in four categories of trail-related recreation non-motorized trail, non-motorized boating, motorized (AlV/OHV), and snowmobile recreation. Each survey was designed to elicit information of current use patterns (amount, location, and type of use, user experiences and preferences and the economic contribution of the recreation activity.

Walking and hiking was the most popular trail activity with respect to both participation frequency and usage rate. The number of hours per day spent on trails varied across activities engaged in -with backpacking and horseback riding having the highest percentage of people spending six or more hours. Almost all respondents (98%) took at least one trail related day trip and 81% took at least one multi-day trip in the past 12 months.

Trial user expenditure varied across regions and trip types ..;... day trips versus multi-day trips. There are an estimated 162 million annual trail activity user days by Oregon residents in the state. This level of participation in non-motorized trail activit!es led to an estimated $2.1 billion in expenditure across the state. In turn, this expenditure contributed 21,730 jobs, $1 billion in value added and $672 million in labor income. When out­ of-state visitors are included, the estimated amounts increase to 24,340, $1.2 billion in value added and $753 million in labor income.

Using this multiplier the Banks Vernonia Trail with 97,389 visitors would have generated $1 ,262,161 in expenditures, 13 jobs, $600,890 value added and $404,164 in labor income.

Recognizing the demand for such recreational amenities, The Salmonberry Trail project will provide a positive experience for visitors and communities along the trail and businesses will develop by providing needed support and amenities.

And several comments recognized that the development of the trail would assist with tourism and local economic growth. One future example maybe Rex, an avid hiker who leads trips down the Salmonberry every summer. He needs to arrange car shuttles and support information for his clients so more of the Canyon and remote scenety can be accessed.

3. Describe how this project would improve the visitor experience, attract new visitors or encourage a longer stay and return visits; how it will increase non-peak destination spending by visitors; and how it aligns with Visit Tillamook Coast tourism priorities.

Based on the research the demand for trail access and inventory is growing. The opportunity to explore a trail that has been for the most part unrecognized and/or inaccessible to most visitors will provide a great draw to the region. This project meets Tillamook County's Tourism priorities:

The Salmonberry Trail project partners have given strong consideration to the impact the trail will have on the region's ecological and natural resources and to the cultural and historical importance of the project. (Reference page 13-15 of the Concept Plan.) Care will be given to protect the vegetation, wetlands, river and tributaries, fish and wildlife in the area. As a significant historical story of Oregon, the project recognizes its setting, history, economic importance and connection communities feel to the region.

Tourism growth that improves economic conditions year-round create and require a unique project and set of partners. Fortunately there are aspects of this trail that differentiate it from other long trails in the US. If the entire trail is eventually built it is unlikely the many cyclists or hikers would attempt to ride to the coast and back in a single trip, simply because of the physical distance and difficulty. A one-way trip would be more feasible, the result of which would be more usage of motels, campsites, restaurants and other amenities.

Given the International popularity of Oregon and the Coast it can be anticipated that completed lengths of the trail in the coastal and Nehalem segments will introduce increased opportunities on existing facilities accessible from the Trail. Significant portions of the trail in Tillamook County can be constructed to a durable, all weather surface, providing a high quality trail experience for non-motorized users during the wet season. This presents a high probability of increasing visitation to the area during what is considered to be the off-season.

14 of 38- TILLAMOOK COUNTY TRANSIENT LODGING TAX (TLT) GRANT PROGRAM FOR TOURISM RELATED FACILITIES- GRANT CONTRACT 2015-F15 A key goal of this plan is to create a strong pedestrian connection of trail segments linking parks, recreation areas and cities together. A maintained and interconnecting system of trails will provide a variety of recreation opportunities for walkers, hikers, cyclists and other trail users. The cities of Tillamook, Wheeler, Rockaway Beach, Bay City and Garibaldi, along with the City of Banks and Washington County are reviewing their local plans to include or participate with The Salmonberry Trail Project As the project moves forward, and the marketing and awareness materials are created and distributed, it will benefit the entire region bringing greater awareness and visitation.

New and current industries will be needed to meet the needs of trail visitors. Tourists cycling, hiking, fishing or horse riding will spend on lodging, meals and other needs, bringing a boost to the coast economy. In addition they will enjoy some of the most beautiful forests and mountain scenery in the world. The buzz among cyclists and travelers will provide a multiplier effect bringing more visitors as the word spreads of this exciting travel resource. Tillamook County as a partner and recipient will benefit from this project.

4. Who will operate and maintain {O&M) the completed project and how will O&M be funded over the life of the project? Submit a written O&M plan signed by the party who will be performing the O&M.

This substantial project includes the participation of regional, county, and community leaders, and State Agencies and boards. The Oregon Parks and Recreation Department, the Oregon Department of Forestry, the Board of Commissioners for Tillamook County, and the Port of Tillamook Bay recently formed a new intergovernmental agency under ORS Chapter 190, the Salmonberry Trail Intergovernmental Agency (STIA). The STIA was formed for the expressed purpose of providing oversight and governance for the development and operation of the trail. ·

Voting Members of the STIA are: Port of Tillamook Bay, Tillamook County, Oregon Department of Forestry and Oregon Parks and Recreation.

Ex-Officio Members: Washington County. Washington County Visitors Association, Tillamook Forest Heritage Trust, Cycle Oregon, State Senator - District 16, State Representative - District 32, and the North Coast Regional Solutions Director.

The Salmonberry Trail Intergovernmental Agency's purpose will be to plan the development and maintenance of the Salmonberry Trail. As the project moves forward work will fit into tree distinct phases - Planning, Development and Operation.

In recognition of the demand for such recreation amenities, there is also significant political support for this project The North Coast Regional Solutions Team, which includes the Department ofTransportation (ODOT}, Department of Land Conservation and Development (DLCD), Department of Environmental Quality (DEQ) and other state agencies, has identified The Salmonberry Trail project as a regionally significant project In March of 2014, the Oregon Legislature passed Senate Bill1516 that directs OPRD and ODF to work with the Salmonberry Coalition to identify potential sources of funding and management options by October 1. 2015. The Coalition has a visible and vocal supporter in State Senator Betsy Johnson, and Representative Debbie Boone.

The 14-month process to develop the concept plan for the trail, included a range of opportunities for stakeholder and public review and discussion. OPRD and ODF are the lead State agency partners in managing this concept plan, with OPRD serving as direct project managers and facilitators of the public meetings, as well as the recipient of public input through a variety of sources, including a regularly updated blog. This blog has been viewed over 28,000 times by visitors from over 32 countries.

6. Is the project ready to be constructed? Has due diligence been done regarding bids, zoning, permits, funding designs, and plans? What more needs to be done before the project can begin?

The overall Salmonberry Trail Project is still in the planning phase. The specific planning that could be accomplished with funds from this grant will move us closer to the trail construction by providing more detailed siting, engineering and cost information for the most challenging trail sections along the coast. This additional planning, combined with the other efforts descried below, will provide information needed to put specific cost figures to different sections of the trail, which is critical to seeking the grants an donations needed to fund the overall project. The Tillamook Forest Heritage Trust, with help from the Metropolitan Group of Portland has conducted a fundraising feasibility study and developed a capital campaign plan for the project. The capital campaign plan has a 10-year goal to raise $23 million for the trail construction. The TFHT is currently implementing the initial stage of this campaign effort, focused on raising $300,000 in up~ front capacity funds. Several significant donations have already been received through this initial effort, and others are pending. These initial fuf!dS will enable the TFHT to hire the necessary staff, develop additional outreach tools, and implement the full capital campaign.

The vision for a connected recreational corridor over the Coast Range between Tillamook and the Willamette VaHey has inspired many Oregonians. The Salmonberry Trail concept plan is an ambitious proposal that will take many years to realize. The energy displayed by the thousands of citizens who have participated ·in shaping the plan will be needed in the

The Salmonberry Trail traverses several different zones in Tillamook County and cities of Tillamook, Bay City, Garibaldi, Rockaway and Wheeler.

The Salmonberry Trail Local Code Adoption Project The Port of Tillamook Bay was awarded a Transportation Growth Management (TGM) grant from the Oregon Department of Transportation. The TGM grant is being used to conduct transportation and land use plan assessments for the Trail within Tillamook County. After assessments of current local plans, suggested local plan amendments will be developed for the cities of Wheeler, Rockaway Beach, Garibaldi, Bay City and Tillamook as well as Tillamook County to incorporate the trail description and alignment into each jurisdiction's local comprehensive transportation and other plans. Information will also be provided on regulatory agencies that may be involved in permitting trail development.

An Environmental Protection Agency Brownfields Assessment Grant was awarded to Tillamook County in December 2014. This grant will further the planning efforts for the Salmonberry Trail. The three year grant funds an inventory of sites eligible for environmental assessments along the 62 miles of potential trail within Tillamook County. The project goal is to determine what properties along the proposed trail would most benefit the community by being cleaned up and redeveloped. 40 sites have been identified and will undergo a Phase 1 Assessment, 6 of those sites identified will go through a Phase 2 Assessment, which will include collecting and analyzing environmental samples. These assessment's will help identify which properties will eventually be cleaned up to ultimately support the development of the Salmonberry Trail.

7. Who will manage the project? What is their experience with project management? What will be the roles and responsibility for each of the project pattners?

Wrth support from Tillamook and Washington Counties, Cycle Oregon, ODF and OPRD has hired Dennis Wiley as the project manager for the Salmonberry Trail project. The primary responsibility of this position is to manage and implement the Salmonberry Trail Project. This position will coordinate with the counties, cities, state agencies and other jurisdictions

Dennis is a long tenured employee and park manager for ORPD, who brings a wealth of experience to this project Dennis worked with staff from the Oregon Department of Forestry during the development of the Interpretive Master Plan for the Tillamook State Forest, which provided the "blueprint" for the programs and exhibits at the Tillamook Forest Center.

THIS INTERGOVERNMENTAL AGREEMENT {hereinafter "Agreement") is made by and i:)etween the State of Oregon by and through the Oregon Department of Forestry (ODF), thE! Oregon Parks and Recreation Department (OPRD). Tillamook County, and t.he Port of Tillamook Bay (POTB), hereinafter referred to collectivelY as "Parties and individually as '1>arty".

RECITA~

WHEREAS, ORS 190.010 ~nd ORS 190.110 provide that units of local and state government may enter into agreements for the performance of any and all functions and actMties that a party to the

agreement1 l}S officers or agents, have authority to perform; and,

WHEREAS, under ORS 190.010, an intergovernmental entity designated to perform sp~cified functions or actlvitl?s is vested with ~~~ powers, righ~ and duti~ relating to those functions and activities that are vested by law in each separate party to the agreement, its officers and agencies; and,

WHEREAS, Tillamook County has the authority under ORS 2Q~.010{3J to enter Into con~racts; and,.

WHEREAS, the Port ofTillamook Bay (POTB) railroad once connected the Wil!amette Valley to the Oregon Coast on an 8&-mile rail corridor formerly owned by Southern Pacific, running from Banks to the Port of Tillamook Bay Industrial Park through the canyon of the Salmonberry River and ±he Tillamook State Forest; and, ·

WHEREAS, ~B 1S16 was passed by the 2014 lt;lgislature and required OPRD and ODF, in cooperation with other interested state agencies, local governments, nonprofit organizations and other stakeholders, to develop a plan to construct a trail along or adjacent to the portion oHhe former railroad line between Bani

WHEREAS, ~he public agency members joined with othf.lr stakeholders, and, after extensive . public involvement a.nd engagement, completed the Salmonberry Corridor Concept Plan (Concept Plan) which is intended tp be t!ie foundation for future clevelopment ofthls impol't!nt landmark and a gtJlde for developing more specific plans and desi&ns for individual segments of the Corridor; and,

WHEREAS, the Concept Plan listed four major goals within the document:

Ex-officio membership on the STB is Intended to be limited to those individuals and organizations that have or potentially have significant fn,.kind or other resources to contribute to the implementation of the concept plan. Ex-officio members are also called Directors, but are non-voting Directors; however, they can fully participate Tn discussions and deliberations of the STB. By and through this Agreement, the following groups shall have Ex-offido membership on the STB: Washington County; Cycle Oregon; the Tillamook Forest Heritage Trust (TFHT}; the Washington County Visitors A~ociation; the Oregon State Senator from District 16; the Oregon State Representative fl-om District 32; and the Governor's Regional Solutions Team North Coas.t Coordinator. Cycle Oregon, the TFHT, and the Washington County Visitors Association shall each designate one person to be an Ex-officio member ofthe Board of Directors and to help the Board of Directors accomplish the purposes set forth in paragraph 8. Ex-officio Directors shall also designate an alternate who can (!ttend meetings and speak on behalf of the primary Board member.

· 4. Adding Directors or Ex-Officio Members. The STB may add additional Ex-Officio Directors or . member agencies through an amendment to this Agreement. Ex-officio m~mbeis may be added at any time by consensus of the Board as specified In paragraph 11, or as otherwise provided in the by-laws.

5. Conveners. The STB shall establish Conveners or to~onveners whose rote will be determined within the STB by-laws. For calendar years 2015 and 2016, the Co-Conveners shall be the Director of the OOF and the Director of o'PRD. In January 2017, a new Convener or Co-Conveners shall be apppip~ed or reappointec.f by the STB in a~ordance with the adopted bylaws.·

6. Advisory .Committees and Board Subcommittees. The STB may establish Advisory Committees and Board Subcommittees as they believe appropriate. Example sul:ljects for which an Advisory Committee may be needed include: Technical Assistance, Natural Res~urces; Recreation; Tourism and Economic Development; Scenic Railroad Coordination, Adjacent Private. Landowners; and Local Government Coordination.

7. Salmonberry Coalition. The STB sh<~ll idimtify Salmonberry Corridor and trail stakeholders and invite each entity to designate ail individuai to be a rnember of th~ Salf!lonberry Cr;>alition-a groi,Jj:> s.irnilar to the stakehoh:fers who providep input in the drafting of the Salmonberry Corridor Concept Plan. s. Purpose of Intergovernmental Agency. The purpose of the Intergovernmental Agency is to plan the development and maintenance of a multi-use trail within the Salmonberry Corri<;lor, consistent with the goals established within the Salmonberry Corridor Concept Plan and Included in the Recitals above. The Salmonberry Corridor Concept Plan shall be the foundation forfuture development of the corridor and trail and a guide for developing more specific plans and designs for individual segments of the Trail.

9. Duties and Responsibilities of Aaem:y ancl the STB. The d,uties and responsibilities Qf the Agency and the STB include, but are not limited to, those listed on Attachment A to this Agreement, enumerated as Ownership/leadershipTasks. ln addition, the intergovernmental entity shall have all the powers glven to it under ORS chapter 19!).

Certain actions of the STB may need to be formally ratified by each Member's parent Board or Commission. Directors shall be responsible for determining whether an action contemplated by the STB requires ratification of the Member's Board or Commission.

18. Meetings. The STB shall meet as frequently as the Convener or Co-Conveners may determine, or as otherwise provided in the bylaws. All meetings shall comply with the Oregon Public Meetings statutes which begin atORS 192.610.

19. Duration and Termination. This Agreement shall remain in force for a period of ten {10) years from the date' last signed by a Director, unless specifically extended or otherwise modified by action of the Directors. At the end of the 10-year period, the Directors shall conduct 1:1 thorough review of their actiVities and make a dedsion on any needed changes to this Agreement, including its duration. A participating member agency may withdraw from the Intergovernmental Agenty upon 30-days written notice to the other Directors.

20. Amendments. This agreement may be amended only with approval of the Member agencies.

21. Agency relatiollShip. Nothing contained in ~his IGA or any transaction is intended to or should be construed as creating the relationship of partners, joint':'venturers, an association, or agency relationship between State an~ 1,1nits of local governments. Nt;!ither shall the employees,.agents, or representatiVes of either Party be considered to be employees, agents, or representatives of the other Party for the purposes of the Oregon Tort Claims Act, ORS 30.260 to 30.300, or for any other purpose.

22; Third patty beneficiaries. The State and the units of local government are the only Parties to the IGA and all transactions, and are the only parties entitled to enforce the terms of the IGA. Nothing in the IGA gives, ·is intended ·to give, or shall be construed to give or provide, any benefit or right, whether directly, indirectly, or otherwise, to third persons.

~3. ·Indemnification~ To the extent permitted by and subject to the limitations of the Oregon Constitution and the Oregon Tort Claims Act, and ,subject to ORS Chapter 180, each Party {First Party) shall defend, save, hold harmless and indemnify the other Parties and its ~ubdivisi~;>ns, qfflcers, director$, employees and agents, from and against all claims, s.tllts, action,s, lqsses, damages, liabilities, costs and expenses of any nattsi"e whatsoever, ihdutfing attorneys' fees, resulting from,. arising out of or relating to the acts or omissions ofthe First Party or its officers, directors, employees, subcontractors or agents under this Agreement.

24. Non appropriation clause. Each Parties' obligation to pay any amounts, perform any activities or provide any items under this IGA is conditioned upon that Parties' receiving funding, appropriations, limitations, allotments, or other expenqiture authority sufficient to allow it, in ~he exercise of its reasonable administrative discretion, to meet its obligations under this IGA. Nothing in this Agreement is to be construed as permitting any violqtion of Article XI, section 7 of the Oregon Constitution or any other law regulating liabilities or monetary obligations of the State of Oregon.

The 2013-151egislatively approved budget includes approximately 600 full-time equivalent employees located in the Salem headquarters office, the Oregon State Fairgrounds and three operating regions statewide. OPRD serves more than 42 million visitors per year with a biennial budget of $211 million.

The Recreation Grants and Community Programs Division provides technical and funding assistance to develop local and regional outdoor recreation opportunities for the citizens of Oregon.
