RULES AND RELATED MAnERS

REVISION OF RULE CONCERNING ACCEPTANCE OF TRAVEL REIMBURSEMENT Public Law 98-38, signed into law on June 6, 1983, included a provision amending Section 4 of the Securities Exchange Act of 1934. This provision gives the Commis- sion the authority to accept payment or reimbursement, in cash or in kind, from non-federal agencies, organizations and individuals to defray the cost of travel and subsistence expenses incurred by Commission members and employees while parti- cipating in meetings and conferences concerning the functions or activities of the Commission. The legislation requires the Commission to adopt regulations to prevent conflicts of interest before utilizing this newly granted authority. The Commission will consider draft regulations to implement its new authority to accept travel reimbursement from non-federal entities. ADMINISTRATIVE PROCEEDINGS

PROCEEDINGS INSTITUTED AND FINDINGS AND ORDER ENTERED AGAINST EVERETT J. WADLER The commission issued an Order Instituting Proceedings and Findings and Order of the Commission under Section l5(b) of the Securities Exchange Act of 1934 in an administra- tive proceeding against Everett J. Wadler. The Commission based its decision on a Final Judgment of Permanent Injunction entered against Wadler in u.s. District Court for the District of Columbia which enjoins Wadler from further violations of the antifraud provisions of the Securities Exchange Act of 1934 [SEC v. Olzman, et al., see LR-lOl04]. The Commission suspended Wadler from association with any broker-dealer for a period of 90 days, Wadler consented to the entry of the Commission's Order without admitting or denying the allegations or findings. CIVIL P.C£EDINGS

THREE DEFENDANTS PERMANENTLY ENJOINED AND ORDERED TO DISGORGE $42,054 The commission announced today that Final Judgments of Permanent Injunction and Other Equitable Relief were entered by the U.S. District Court for the District of Columbia against Saul Olzman, Chairman of Williarnhouse - Regency, Inc., Beatrice Blucher and Everett Wadler, enjoining them from further violations of the antifraud provisions of the Securities Exchange Act of 1934. Olzman and Blucher were ordered to pay $18,663 and Wadler was ordered to pay $23,391, to sellers of common stock of Williarnhouse - Regency, Inc., which the defendants were alleged to have purchased in violation of the securities laws. The Commission alleged, in its complaint, that Olz~n communicated material, non-public information concerning a proposed acquisi- tion of Williarnhouse to Blucher and Wadler, who then purchased Williarnhouse common stock while in possession of such information. Olzman, Blucher and Wadler consented to the entry of the Final Judgments without admitting or denying the allegations in the Commission's complaint. (SEC v.
