TAKEOVERS + SCHEMES REVIEW 2018 GTLAW.COM.AU 1 THE GILBERT + TOBIN 2018 TAKEOVERS AND SCHEMES REVIEW 2017 demonstrated a distinct uptick in activity for Australian public company mergers and acquisitions. Some key themes were: + The number of transactions announced increased by 37% over 2016 and aggregate transaction values were among the highest in recent years. + The energy & resources sector staged a recovery in M&A activity, perhaps signalling an end to the downwards trend observed over the last six years. The real estate sector made the greatest contribution to overall transaction value, followed closely by utilities/infrastructure. + Despite perceived foreign investment headwinds, foreign interest in Australian assets remained strong, with Asian, North American and French acquirers featuring prominently. Four of the five largest transactions in 2017 (including two valued at over $5 billion) involved a foreign bidder. + There was a material decline in success rates, except for high value deals greater than $500 million. Cash transactions continued to be more successful than transactions offering scrip. Average premiums paid fell slightly. + Regulators continue to closely scrutinise public M&A transactions, with the attendant lengthening of deal timetables. This Review examines 2017’s public company transactions valued over $50 million and provides our perspective on the trends for Australian M&A in 2017 and what that might mean for 2018. Susanne Mei, General Manager, People/Entertainment Weekly Network Susanne Mei is the General Manager of People/Entertainment Weekly Network—Time Inc.’s first-ever Over-the-top (OTT) service. When she joined Time Inc. last year, Mei worked across all Time Inc. brands focusing on video distribution partnerships. In her management of the ad supported video on demand (AVOD) platform, she oversees the strategy, operations, revenue and marketing. Mei joins Time Inc. with over 20 years of experience in entertainment business. Prior to joining Time Inc. she was Vice President of Digital Distribution and Business Development at AMC Networks. In this role she was responsible for revenue and strategy on all transactional digital platforms including iTunes, Xbox, Amazon, GooglePlay and others. Additionally, she led the team that launched the SundanceNOW Doc Club subscription video on demand (SVOD) service and ran day-to-day operations. Previously, Mei served as the Vice President of Digital Media for Smithsonian Networks during the initial launch of the network. From 2002 to 2006, Mei was a Director of Business Development at Showtime focusing on mobile, VOD and new channel development. She was part of the team that executed the deal with The Smithsonian Institution to launch the Smithsonian Network. Her start in the strategic world of digital media began as a Strategy Consultant at Concrete Media in 2000. Before that she spent several years at ABC News in production and was a part of the team that developed and launched the original abcnews.com. Mei earned her BA at Tufts University and her MBA at The Stern School of Business at NYU. -

The longtime NFL stars added an achievement that will without a doubt move to the top of their accolade-filled biographies when they were inducted into the Pro Football Hall of Fame inAugust, 2014. Jones and Brooks became the first pair of first-ballot Hall of Famers from the same class who attended the same college in over 40 years. The pair’s journey together started 20 years ago. Just as Brooks was wrapping up his All-America career at Florida State in 1994, Jones was joining the Seminoles out of Holmes Community College (Miss.) for the 1995 season. Brooks went to 11 Pro Bowls and never missed a game in 14 seasons (all with the Tampa Bay Buccaneers), while Jones became the NFL’s premier left tackle, going to nine Pro Bowls over 12 seasons with the Seattle Seahawks.
