2012 : A good year W ORE for the TPF group F

a summary of the key information  Consolidated sales increased from 114 to 132 million EUR.  Despite the economic downturn, which became a global phenomenon, our operating margin (EBITDA) increased from 11 million EUR at the end of 2011 to 11.5 million EUR at the end of 2012.  Continuing our policy of reducing debt has allowed us to reach a net debt ratio on EBITDA of 1.39 (our lowest ever).  Another reason for satisfaction is the net goodwill level reaching 3.7 million EUR, which is 2.8% of sales. Net goodwill is even negative for our European activities.

All this has allowed us to show a healthy balance sheet that will enable us to face an environment that is basically sluggish.

We were able to complete the following acquisitions during the 2012 financial year:  in Ukraine: purchase of a 51 % shareholding in ukrdesigngroup (udg),  in Portugal: acquisition of a 100 % shareholding in provia,  in Brazil: purchase of a 60 % shareholding in synergia.

The financial data mentioned in this foreword is that of the company accounts of the subsidiaries.

Europe

Belgium The annual turnover produced reached 39.4 million EUR, a similar figure to that of 2011 (39.9 million EUR). The profitability level has been maintained in a very difficult situation and the accounts structure has been strengthened thanks to a reduction in liabilities and debts. Prospects are looking towards a stable turnover and maintaining profit- ability in 2013.

Engineering Division louis engineering – tpf engineering After the drop in activity recorded in 2011, the consolidated turnover of tpf engineering and louis engineering returned to its 2010 level, which is 12.2 million EUR. Activity has remained profitable and the policy for reducing debt has been continued.

Utilities and Contracting Division tpf-utilities – socageth – ttr energy – tpf-basse sambre The whole of this division has produced an annual turnover of 27.2 million EUR, a slight drop compared to 2011 (29.3 million EUR). The profitability level has remained high, with a slight increase over that of last year.

beterem’s annual turnover, which had already grown by 5 % to reach 21.8 million EUR in 2011, has continued to grow to reach 23.2 million EUR at the end of 2012. As for net profit on turnover, this has remained at a level of 3% to reach 744,000 EUR. Our French subsidiary has also continued to reduce its liabilities and debts.

Our subsidiary ouest coordination has now been fully integrated into our accounts. It has produced an annual turnover of 13.9 million EUR and a net profit of 0.5% on turnover.

As for secmo, this company has produced a net profit of 230,000 EUR, for a turnover down by 18 % reaching 1.8 million EUR.

tpf-utilities sarl has recorded a 15 % increase in its annual turnover up to 1.4 million EUR and a profit was made.

spain The transfer of our final three assets is continuing. This is still the subject of legal proceedings.

Grand-Duchy of Luxembourg

tpf luxembourg Annual turnover for 2012 remained stable at 1 million EUR.

Poland

tpf sp. z.o.o. Our annual turnover (3.5 million EUR in 2011) rose to 3.7 million EUR. Net profit saw a slight increase to 350,000 EUR.

Portugal

tpf planege – prosistemas – provia Thanks to its activity which currently revolves around 95 % in exports, the annual turnover for tpf planege and prosistemas, now merged, has seen an increase to reach 15 million EUR (12 million EUR in 2011). The profit from this is 1.4 million EUR. We carried out the purchase of a 100% shareholding in the Portuguese Activity report 2012 company provia. This company, with around fifteen employees, has great expertise in motorway design and so has provided tpf planege with the final piece missing from its puzzle regarding design expertise, allowing it to strengthen its services provided for export. Amongst provia’s recent benchmark projects, there are the designs for the construction of the TP F G RO U P / Lisbon ring-road and for the IC11 motorway, the safety audits and design revisions for more than 500 km of motorways, as well as the design of the Dingue / Nconte road (70 km) in Angola.

romania tpf romania

2012 was a year for consolidation for tpf romania. Annual turnover remained stable at 750,000 EUR and for the first time in a number of years, a slight profit was made.

Ukraine tpf ukraine – udg For its second year of activity, the annual turnover for our subsidiary tpf ukraine reached 500,000 EUR.

Both directly and via its subsidiary tpf ukraine, TPF has taken a 51 % shareholding in the Ukrainian company ukrdesigngroup (udg). udg was founded in Lviv in 2006 by Ihor Kuzmak and Andriy Pobursko who are still its two directors. Specialising in the building sector, it has around 120 employees. Capable of designing all types of building projects (resi- dential, commercial, recreational, educational and industrial), amongst its prestigious benchmark projects are the football stadium for Euro 2012 in Lviv, the Lviv international airport and the “Hospital of the Future” children’s hospital in Kiev. This operation has allowed us to become a major player in western Ukraine.

Africa

Algeria tpf algérie Activity in Algeria mainly relates to the large contracts obtained by TPF Planege. The local share remained low at 300,000 EUR.

Angola tpf angola

The annual turnover produced by tpf angola has shown a strong increase, rising from 2.4 million EUR to 4.4 million EUR. TPF Angola is no longer just a subcontractor for TPF Planege as 1 million EUR now come from contracts signed directly by tpf angola with Angolan customers.

Morocco pyramide ingénierie – save project Following the slowdown in the property sector, all of our activities dropped to 3.6 million EUR (4.8 million EUR in 2011). Net profit itself reached 280,000 EUR, also a drop, although profitability on turnover remained satisfactory.

projetec - synergia

Two years of strong growth (2009 and 2010), during which projetec’s annual turnover increased four-fold, were followed by a year which dropped by 20 % to reach 20 million EUR in 2011. projetec’s turnover has once again seen a strong increase to rise to 22.3 million EUR at the end of 2012. This growth would have been even more significant at a consistent exchange rate, because the annual turnover would have reached 25 million EUR.

TPF has taken a 60 % shareholding in the Brazilian company synergia, founded and directed by Maria De Albuquerque, through buying shares and increasing capital. synergia is a company that specialises in scheduling, carrying out and managing the social, urban and environmental aspects of major mining, oil, logistics and urbanisation projects. This consists of dealing with the re-housing and training aspects and providing support for job-seeking, as well as subsequent operations such as assistance in preventing violence. With 80 employees, its customers are, amongst others, the LLX group, Vale and Anglo American as well as the Rio de Janeiro, São Bernardo and Recife city councils. With this operation, we are also strengthening our Brazilian subsidiary projetec, which is already working with synergia and which has directly acquired a 10 % holding.

Whilst it is true that the civil engineering sector performed particularly well this year, the effects of the economic downturn were still felt in the construction sector, and it was hit by a sizeable drop in new housing projects starting up, a reduction in the number of building permits and a stagnation in redevelopment activities. However, in this rather unfavourable situation, the three divisions of our engineering sector “Structural and Civil Engineering, Technical Utilities and Building” were able to seize new opportunities which have allowed them refill the order book satisfactorily. By way of a few examples, in the semi-industrial sector, we should mention the design of a new production unit for the Dandoy biscuit factory and a new meat pro- cessing and ready-meal preparation unit for the Colruyt group. In the housing sector, there is the redevelopment of the industrial site of the former sugar factory in Ath and the construction of a new social housing complex in the Rue

Sans Souci in Ixelles [01] . Finally, in the infrastructures sector, we have the construction of a metro depot and underground

conversion of the civil engineering structures on the rixensart – profondsart section of line 161 of the regional railway [03 - 04] During 2009, Tuc Rail called on us for our skills in railway infrastructures to produce detailed designs and to supervise the construction work relating to the conversion of the civil engineering structures located on the 3 km Rixensart – Profondsart section, as part of the conversion of the regional railway’s line 161 to a four-track line.

The designs were successfully completed in March 2010 for the construction work to start. This large-scale construction site was started in February 2011 and will be completed in mid-2014.

In addition to increasing the line to four tracks so as to increase the maximum speed of the trains, a large amount of civil engineering work is to be carried out, such as:  Constructing a 175 metre covered section on both sides of the Rue Boisacq and an underground car park with 155 spaces, as well as on the surface, the infrastructure of a new station and construction of a “village square” for pedestrians, public transport buses and cars.  Excavating a pedestrian underpass under the tracks.  Widening the Rue Froidmont tunnel into two traffic lanes.  The route of a new access road, across fields, providing access to the Profondsart station from the Rue des Bleuets.  Replacing the underpasses on the Rue des Bourgeois and the Rue des Ecoles with new structures.  Constructing the railway platform, requiring the supporting walls to be built.  Installing a noise reducing green wall to effectively reduce noise nuisance and to provide an undisputable aesthetic appearance.

This work will require detailed scheduling because the work along the existing tracks will be done between midnight and 5.00 am, with rail traffic being maintained during the day.

new vlevico meat processing and ready-meals preparation unit, halle [06 - 07] In the food processing sector, TPF Engineering has continued to produce designs relating to the construction, in Halle, of the new Vlevico meat processing and salad and ready-meal production unit, the Colruyt group’s meat processing plant.

As a reminder, the Franz Colruyt company, more generally known as Colruyt, was created in 1925 by Franz Colruyt. This Belgian family-owned company, with its head office in Halle, has become a major player in large-scale distribution, and nowadays has a large number of discount stores in Belgium, France, Luxembourg, and the Netherlands. It is its property subsidiary Colim SCRL who has contracted us firstly to produce the designs relating to architecture, industrial refrigeration, the HVAC systems, the electrical equipment, hygiene, processes and the environment, and secondly, to carry out the cost estimate in our additional function as general project manager.

In 2012, the preliminary design was completed and the permits were introduced as part of the planned construction of a building, having a total surface of 33,000 m², serving to the production of prepared salads, smoked and salted meats as well as ready-meals. The ground floor will Activity report 2012 be used for production, while the first floor will receive offices and social areas. The slicing installations and packaging equipment will be foreseen on the second floor.

However at the end of 2012, management of Colruyt decided for strategic TP F G RO U P / reasons to restudy the whole project program. This new preliminary design and its consequences on the entire project will mainly occur in 2013.

26 y TTR ENERGY ttr e n er g

In January 2008, TPF and Transcor Astra Group (a subsidiary of CNP) formed a partnership to create ttr energy. Its mission is to develop and invest in projects relating to wind, hydroelectric and solar energies as well as biomass.

Within the framework of the fund raised in partnership with the Bank Degroof, TTR energy has been set up to invest in two funds, each one with a sum of 46 million euros. Dedicated to renewable energies in Europe, the first one, raised in 2008, has almost been completely invested, whilst the second one, raised in 2011, is currently being invested.

By the end of 2011, 40 million euros had been invested, mainly in three companies. The first one, Bioenergetica, with a 45 % holding, is a cogen- eration plant (20 MW) in Spain using waste from olive production. The second, Ailenergie with a 60 % holding, is a French company developing wind farms in the Champagne-Ardenne region. Finally, the third, Eiden with a 100 % holding, is a French company developing wind farms in the Lorraine region. In 2012, the first project, a 10 MW wind farm located in Belgium, was sold. At the same time, a more general disinvestment process was launched with the shares of the first fund.

The first investment associated with the Green Fund II was made in 2011 in a company holding all the necessary licences and permits for the construction of a wind farm of 6 turbines, each with a nominal power of 2 MW, representing an investment of 5 million euros.

Over the course of this year, the Green Fund II has also taken the first 01. Biesles wind farm in Haute steps in two new investments. The Sonatrach group’s In 2010, TPF-Basse Sambre signed a turnkey contract with the Centre GL2Z gas liquefaction complex Terre et Pierre relating to the design and supply of a dredging silt and in Arzew (Algeria) sediment treatment plant on the banks of the Sambre. A year and a half later, this semi-mobile pilot installation, made up of equipment and appropriate peripherals mounted on an independent chassis, is providing the mineralurgical treatment of pulps, mainly of mineral origin (dredging silt and sediments). The advantage of this method is that the pollutant materials contained in the treated pulps are concentrated in a dry residue with a reduced volume. The platform, capable of treating 1.2 tonnes of dry material per hour, was handed over at the end of August.

replacement of the fire safety network at the sonatrach group’s gl2z gas liquefaction complex – arzew (algeria) [02 - 04] Built in the 1970s, the GL2Z gas complex has been updated several times. As its partially underground fire safety system is now in a rundown state and not very compatible with the efficient protection of the installations in the various zones (sea water pumping station, lique- faction trains, LNG and gasoline tanks, ship loading dock, etc.), Sonatrach has asked us to carry out the renovation. The construction site saw the work start in July 2011, and relates to the replacement of all the pipes in the network (around 15 km, 13 km of which are composed of underground pipes, 500 diameter for main lines and 300 diameter for service lines). It is clear that the task we have been given is not sim- ple given the technical complexity of the project, the discovery of many underground services we had not been informed of (and some not even working), the presence of rocky terrain alternating with sandy terrain and ground water, as well as the operational difficulties associated with operating a factory that has been built in a dangerous, potentially explosive area.

The project has currently progressed by about 50 %. Signed in June 2009, this important contract, representing some 40,000,000 euros should be completed in June 2014.

29 TPF FRANCE F RA N CE U ROPE / E

At the end of the 2012 financial year, TPF France recorded good results as shown by the rise in its consolidated annual turnover. Ensuring this growth in a lifeless economic situation was a real challenge. With this in mind, tpf france’s activity, carried out by its subsidiaries Beterem, Ouest Coordination, Secmo and MIPI was very sustained, on a scale of both production and innovative business actions, as well as from an organisational point of view. Following its acquisition by TPF France in September 2011, Ouest Coordination has resolutely continued its integration into the group throughout the year. Major organisational plans have been drawn up in order to sustainably improve the company’s performance and for setting up the initial synergies, with Beterem in particular. The start of the year was also marked by a major event: the setting up of the MIPI (Montage et Ingénierie de Projets Immobiliers) company, a subsidiary 100 % owned by TPF France. The purpose of this new entity is to develop assignments for contracting authority support, delegated contracting authority and setting up operations. Activity report 2012 TP F G RO U P /

01. Assurance des Motards In 2012, beterem was able to consolidate its position head office, Montpellier and reach a significant growth whilst maintaining a profitability that is the same as previous financial years. Amongst the key events of this year, we should mention the opening of a new agency in Reunion and the significant development of the agencies in Paris, Nice, and Lyon. The services provided over the last twelve months confirm the control that our subsidiary has over the building sector. This can be judged by the more detailed information that follows.

construction of a head office for assurance des motards, montpellier (hérault) [01] At the end of the year, Beterem Ingénierie was the successful candidate as design office consultants, for the property developer Cogedim, for producing the design studies and construction control designs for the new head office of Mutuelle des Motards in Montpellier. The building, designed for a workforce of more than 450 people by the Jacques Ferrier Architectures (JFA) firm of architects, will be modular in terms of operation, so that it can house several tenant companies. Located close to the Montpellier Fréjorgues airport, this building has a surface area of 8,500 m² over five levels shaped like a ring around a central atrium, with the basement housing a parking level for 150 vehicles. The external façade of the ring is protected by a double skin in cellular poly- carbonate, spaced about 80 cm from the façade. Finally, this project has been the subject of an HQE® (High Environmental Quality) procedure, so as to comply with the Effinergie label.

Beterem Ingénerie’s assignment includes providing engineering services for all building trades in the design and construction phase, as well as supervision of the works. Handover is planned for the first half of 2015.

construction of building c5 – eurocopter, marignane (bouches du rhône) [06] Eurocopter is the main manufacturer of civil and parapublic helicopters in the world. Its head office and main French production site are located in Marignane. A subsidiary of EADS, the company is also established in Germany and on all continents through its subsidiaries. The 80 hectare Marignan site has almost 12,000 people spread over various departments working on the development, manufacture, assembly, support and sales of helicopters. Eurocopter’s Research and Development/Design Office teams currently occupy several buildings.

As part of its innovation programme, a major axis for the group’s Vision 2020, Eurocopter is planning a building operation that aims to equip all of its personnel with the most modern and most efficient resources. And to do this, it has asked us to construct Building C5. More precisely, this relates to the construction of a building that will house, on the ground floor and mezzanine, the helicopter systems integration activities along with offices on 3 floors for 300 employees in the design office and factory. This building will have a total surface area of 6,650 m², 4,500 m² of which are for offices.

We are also acknowledging the project’s sustainable development aspect as the three floors of offices will be complying with the low consumption building standards, although not certified. Finally, we should mention that Beterem is the agent for the project management consortium along with the Al Project firm of architects, and that handover is planned for April 2013.

eurocopter framework partnership contract, marignane (bouches du rhône) Due to the professionalism, skills and reactivity shown by Beterem during the operation of the C5 project, in April 2012 our company was asked to set up a framework partnership contract for project management and contracting authority support assignments. We were awarded this contract in July for a period of 3 years, with an option for an additional 2 years. 02. - 06. Eurocopter, Marignane

The organisational efforts made in 2012 have 01. Centre Bretagne hospital complex, Kério, Pontivy allowed the company’s profitability to be improved, and this has been done despite a slight drop in production due to difficulties in financing and completing public and private projects. During this year, ouest coordination has been able to take advantage of all its skills in project management and works supervision in large-scale projects that, without a doubt, will strengthen its already prestigious list of benchmark projects.

construction of the centre hospitalier de centre bretagne hospital complex, kério, pontivy (morbihan) [01] The Centre Hospitalier de Centre Bretagne hospital complex (CHCB), located in Kério in the town of Noyal-Pontivy, was opened in March 2012 by the former Minister for Health, Xavier Bertrand. Created from the merger of the Pontivy and Plémet-Loudéac hospitals, the Centre Hospitalier de Centre Bretagne, whose building is connected to the polyclinic, is now the main centre for general public-private healthcare for the Brittany health authority. This is one of the State’s largest invest- ments in the Brittany region, with an amount for the construction work of € 120 million.

A very open structure, 160 metres long and 110 metres wide and with a surface area of 43,000 m², it fits in perfectly with the landscape. It has 6 floors, three of which are ground floors due to the slope of the terrain: a lower ground floor for personnel and supplier entrances, a garden floor level for stretcher-borne patients and an upper ground floor with a high façade reserved for the general public. With a capacity of 400 beds, 80 % of which are in single rooms, the accommodation units over 3 levels open out onto the quietest area of the site.

No less than 62 companies have been mobilised for its construction, and the heavy structural work started in September 2008. Ouest Coordination has been awarded the steering coordination assignment. It will require three years to carry out the work requiring a large amount of human resources and the implementation of innovative systems appropriate to the building’s technical constraints.

This hospital, built as part of a sustainable development procedure with a wood-burning heating system covering 80 % of the heating needs and operating using local wood suppliers, is the first hospital to be subsidised by the European “Heat Fund”. The planting of fast-growing tree species with a high calorific value has been encouraged.

european synchrotron radiation facility esrf, grenoble [03 - 04] The main source for high energy X-rays in the world, the ESRF (European Synchrotron Radiation Facility) is a remarkable example of scientific cooperation. And this is considered to be so by the 12 countries and 600 employees, 155 of whom are scientists, who contribute to its financing and operation. Commissioned in 1992, the ESRF currently makes 30 beamlines available to users.

It is as part of its modernisation programme lasting several years for the construction of a 12,700 m² extension that the consortium of Ginger Sechaud Bossuyt (contractor) and Sud Architectes has been taken on as project manager and Ouest Coordination for the steering coordination assignment. This is an ambitious project requiring a tight schedule to be met, taking into account the modification to the existing buildings to be made on an occupied site.

The extension relates to four buildings: one building, completely separate, housing offices over two floors and three “industrial” buildings added to the existing building being used for the extensions to the beamlines. One of the complex features of this project is the stability of the soils (static and dynamic), dealt with using an “apron” type structure with 35 cm of concrete reinforced at 330 kg per m3 put on a 65 cm cement mix (a bituminous interface to allow movement during drying and for limiting the mechanical shrinkage constraints with a total “apron” surface of 4,400 m², to which a temporal thermal stability (+/- 0.5°C) has to be added.

The construction site started in September 2011 for the phase relating to the modification of the existing building and moved on to the general earthworks in December 2011. It should be handed over in

Activity report 2012 mid-May 2013.

The real synergy between Ginger Sechaud Bossuyt and Ouest Coordination has allowed the first building (ID16) to be handed over on schedule. The ESRF is currently installing the beamlines whilst the Ginger Sechaud

Two of these are particularly interesting and have set the tone for the last twelve months.

the ingémédia european and mediterranean research centre and institute, toulon [07] The Toulon Provence Méditerranée district council is currently con- structing the Ingémédia Institute in the city centre. Designed by the Agence Nicolas Michelin et Associés, the project relates to the construction of 11,160 m² including administrative departments, teaching areas, human and social science research laboratories, audiovisual production studios, as well as a 300-seat lecture theatre. This is a complex urban project to say the least, being built over an existing underground car park that will remain operational throughout the whole duration of the construction site. It goes without saying that the superimposing of these two structures has led to a considerable amount of work in rebuilding the structure in place, as well as the foundations.

The project’s general architecture is based around 3 separate blocks built on a common plinth. The whole superstructure is in reinforced concrete. The façades of the 3 blocks are dressed in pearl white aluminium panels, whilst the exterior window and door frames are in aluminium. Quality landscaping will be carried out with a group of tall trees planted over the plinth. Ventilation of the buildings will be done naturally using 3 solar chimneys installed in each block. The acoustic properties of each area have also been carefully thought out. Finally, the building has a large network of fibre optic cables allowing audiovisual presentations to be broadcast in real time and to be processed outside the studios.

cactus group, windhof (koerich) [01] The financial year that has just ended can only consolidate the long-term links with the Cactus Group. Proof of this is in the handover and continuation of already existing projects as well as the launch of new projects, mainly at the Windhof site.

Following the successful provisional handover and commissioning of the extension to the “De Schnékert Traiteur” unit on behalf of Caterman, the well-known restaurant and catering company, a new cooperation relating to the complete renovation of the existing production unit was started this year. The work should be completed in autumn 2013. In addition, we should also mention that De Schnékert Traiteur is one of the largest catering companies in the Grand Duchy of Luxembourg.

At the same time, the Cactus Group asked TPF-Luxembourg to carry out the renovation of its Warehouse no. 2 located at the Windhof site. This is owned by the Resuma company, which is part of the Cactus Group. The renovation of the roofs and façades of Warehouse no. 2 aims to improve the overall energy performances of the building. tibucon project – seventh framework programme for research and development [05] TPF Sp. z o.o. is currently taking part in the Tibucon scientific project funded by the European Commission under the Seventh Framework Programme. This is a collaborative effort of European companies and science institutes aiming to create a Self-Powered Multi Magnitude Wireless Sensor Network for building thermal condition monitoring. The solution completely avoids the use of cables and removable batteries, thanks to the combination of extremely energy efficient wireless com- munication technology, ultra-low power electronics, and the power harvesting concept. This results in an easy-to-deploy and maintenance free building monitoring system that makes it the ideal candidate for either new or existing HVAC installations. The Tibucon HVAC Controller will integrate sensor device, power harvesting hardware and wireless data transmitter and package them into one small unit that can be mounted anywhere in the building. The controller will be able to wirelessly communicate with building BMS systems and send data concerning temperature, humidity and light intensity in any given area of the build- ing. The Tibucon sensors will harvest and utilize in parallel the energy from any light or heat source, air flow, micro vibrations etc. giving them enough power to function as totally independent units that can be scattered at any volume in the building or even a group of buildings, of any size.

43 UG AL TPF PLANEGE PORT U ROPE / E Despite the severe course of austerity inflicted on Portugal and a construction market that has almost come to a stop, 2012 was a good year for our oldest Portuguese subsidiary as it was able to increase its turnover. In addition to developing synergies with the group’s other subsidiaries, its development on an international scale is a key factor in its success. In fact, 95 % of its turnover is produced in exports, mainly in Algeria, Angola, Mozambique, Romania and Poland. As part of this, the construction projects for the Maison de Sécurité du Président de la République hospital in Angola and the new head office (and call centre) of the mobile telephone

The purpose of the project is to build the infrastructure (Portugal) necessary for storing the wastewater from the mining operation. The creation of the reservoir requires the installation of several structures, such as in particular, a backfill dam made from rockfill, 28.20 metres high and 629 metres long at the ridge and a volume of 407,700 m³, a retention basin for storing the sludge with a volume of 1,615 m³ and a rainwater diversion channel with a length of 775 metres. This investment is part of a European project with the purpose of eliminating the under-sea storage of toxic waste generated by the operation of sulphur mines. In addition to the production capacity, Somincor will see an increase in its waste storage capacity, which from an environmental point of view, is worth taking into account. alqueva irrigation project, são pedro dam in southern portugal (baixo province) [01 - 02] Located on the right bank of the Guadiana River, the purpose of con- structing the São Pedro dam is for land irrigation and the water supply. Its reservoir will allow the storage of 10.4 hm³. This is a zoned backfill (watertight screen) dam with a volume of 400 dam³, a height of 24 metres and length at the top of 733 metres. The specifications of the main associated structures are worth highlighting. The water intake tower, 22 metres high, is accessible by a 50-metre long footbridge. The installation of the 1,200 mm diameter bottom discharge pipe has required the construction of a concrete foundation under the body of the dam. The length of the “duckbill” labyrinth overflow channel is around 30 metres. We should also state that the 140 metre long discharge channel (or carrier) discharges into a type 3 USBR energy dissipation basin (discharge = 55 m³ per hour). Finally, a bitumen coating has been used for the access paths to the top of the dam.

ProSistemas has been responsible for the feasibility study, the construction plan and technical assistance for the construction work. The work is making good progress as it will be completed in 2013.

drinking water supply system, southern guadiana, beja region [03 - 04] This year our Portuguese subsidiary won a new contract for the connection of the Enxoé water supply subsystem to the Moura-Safara subsystem. This project is part of the programme for the drinking water supply for the Guadiana river basin and involves a very wide range of work. In particular we should mention the construction of 6 pumping stations (the output varies from 13.9 litres per second to 97.9 litres per second and the height from 62 metres to 188 metres depending on the station), the increase in the treatment capacity of the Enxoé treatment plant to 70,600 population equivalent (Q = 813 m³ per hour and 226 litres per second), the construction of 6 reservoirs (2 x 2000 m³, 1 x 1000 m³, 1 x 800 m³ and 2 x 150 m³), the extension of the supply network over 103 km (FFD and HD polyethylene pipeline with a diameter varying between 50 and 90 mm), and finally, the renovation of some reservoirs.

renovation of the olivais pumping station – 05. - 06. Renovation of the Olivais upper zone (lisbon) [05 - 06] pumping station – Upper Zone In Lisbon, the renovation work for the Olivais pumping station is well (Lisbon) under way. The structure, located close to the Tejo aqueduct, will carry water to the upper zone of the Lisbon council’s water supply network. With a maximum output of 2,293 m³ per hour, the electropump units (5 units with one in reserve) will be able to operate in parallel for a total water head elevation height of 124 metres. The designs have concentrated on the water intake, the discharge chamber and the hydropneumatic tanks (replacing and modelling the pipelines). The operations to be carried out on the pumping station itself relate to the building (enlarging it, coverings and existing roof), the hydromechanical equipment (rebuilding the suction and compression circuits and renewing and/or replacing the pumps) and the electrical installations.

50 PROVIA PROVIA

This year we are pleased to welcome the provia team to the group, and so expand our network in Portugal. This new acquisition, which supplements the activities developed by our subsidiaries TPF Planege and ProSistemas, will allow us to provide new services in the motorway design sector. Active in Portugal, as well as in Mozambique and Angola, where in Cabinda it has contributed to the design of the Dingue / Nconte road (70 km), Provia has benchmark players amongst its clientele, such as Estradas de Portugal (EP), the Brazilian company Odebrecht, the motorway companies of the Portuguese group Mota-Engil and even the World Bank.

pinhal interior sub-concession, central region of portugal [01] The Pinhal Interior sub-concession consists of a road network of around 530 km, comprising the construction of new motorways and roads (various cross sections) as well as the requalification and/or develop- ment of already existing roads. In total, the project covers 160 km of new roads (11 new sections) and 370 km of existing roads (20 sections). The objective of the sub-concession is to promote regional development, to reduce journey times, to strengthen road safety and to improve the performance of the roads in terms of capacity. In addition to the construction of additional structures, new interchanges and new lanes, the work also consists of deep excavations at road level, drainage, levelling junctions, resurfacing roads, signage, lighting and safety. It is as part of this project that Provia won two significant contracts in 2010, each one for three years, from Estradas de Portugal SA (EP). The purpose of the first one was carrying out a road safety audit covering all of the phases of the project, from the design phase up to the pre-commissioning phase. The second relates to the verification and revision of the working plans. It means not only ensuring that the legislation and regulations in force and the terms and conditions of the sub-concession contract are complied with, but also providing technical assistance during the construction phase.

This 24.1 km extension has been the subject of a large amount of excavation work (3,200,000 m³) and earthworks (2, 500,000 m³). Amongst the numerous operations carried out, we should mention: the doubling of the single lane interchanges, the geometry of the road limiting the speed to 90 kph, levelling the Carrazeda de Ansiães and Vila Flor interchanges, lighting, as well as resurfacing the roads, paths and links within a radius of 12.7 km. The project also includes the construction of civil engineering structures including two viaducts, ten overpasses, nine underpasses, and eight farm access roads. Once again, this year, our Romanian colleagues have taken great efforts in stabilising turnover and increasing the subsidiary’s profit margin. Although Romania is going through a deep recession leading to a fall in investments and a low absorption rate of European structural funds, the weight of its public debt remains low and its level of attractiveness remains stable. In this difficult situation, tpf romania has been able to take good measures for reducing its exposure to foreign exchange risks. In addition, over the last twelve months, our design office has been particularly active in the private sector. Several civil engineering projects have strong chances of becoming a reality in 2013.

In the water sector, the Girgiu construction site [03] is making fast progress: the work is in fact 90 % completed. For the fifth consecutive year, tpf romania, in association with our subsidiary TPF-Utilities, has contributed to the

Especially when it comes to a triangularly shaped area located at crossroads. This glass tower, built over 20 floors has now become a landmark in the skyline of the Moroccan capital. It is located at the exact crossing of the central axial road of the Hay Riad district and the Avenue Annakhil in Rabat. The building, rising from a simple parallelepiped shape, is literally open like the diagonal of a parallelogram to form two geometrically equal prisms that slide and pivot around the central axis. This arrangement therefore directs all of the spaces looking out over the city and so provides a different view every time depending on the position of the observer. The 360° opening and the transparency of the façades allowing everyone to see each other are a way for the architects to symbolise their client’s strategy for com- munication and dialogue. The first lower prism is inclined in such a way that it allows a wide opening to the building’s entrance. The showroom, museum and restaurant are at this level. The two sections of the tower house the office floors and the various departments of the occupants. The upper prism is overlapping and houses the presentation spaces. This is what makes the tower stand out in the city and shows the scale of the project. We should also mention that the tower has been awarded for its envi- ronmental aspect. Pernambuco State Government hired Projetec, in a consortium with other two companies, to develop the executive engineering project. The main numbers of the project provide a glimpse of what it will represent for the region: 1,250 km of treated water pipeline, 17 pumping stations and 4,85 m³/s of treated water output, reaching a 2 million people spread in 68 municipalities and 80 towns. The grandiosity of the project is based on its intention of assuring the region with adequate water supply for 25 years.

project management – northern region of brazil One thing is certain, judging from the size of the investments, the economic boom that the Metropolitan Area of Recife is currently undergoing will be a marker in the history of Brazil.

In the south, we should mention the investment of 20 billion dollars for developing the immense port area and industrial complex of Suape, inside which a refinery, a petrochemical plant and four shipyards are currently being built.

At the same time, the North Region of Recife is also receiving significant private investments with a special mention to the new Fiat car assembly plant [05] , a flat glass plant, a hemoderivatives plant and two beer production plants by AMBEV and Petrópolis Group. A total of 6 billion dollars.

In order to respond to all the planning and management needs to keep up with the agenda, the state government hired Projetec in a project management contract with a broad variety of services. Projetec’s scope includes, besides the global management of all the public inter- ventions in the area, analysis and elaboration of engineering studies, supervision of the construction works and an integrated environmental management program.

The end of the year was marked by a major event: 01. - 03. Move Program TPF finalised the acquisition of the social and environ- mental consultancy firmsynergia , an ideal partner for strengthening our presence in Brazil. Whilst it is true that the number of infrastructures and industrial projects (mining, gas or oil operations) started up in Brazil is impressive, it remains also true that building them is likely to generate social and envi-

extension to the carajás railway line [04 - 05] The Carajás Railroad (CRR) is operated by mining company Vale S.A. (Vale LLC) and stands among the most productive railroads in the world. It connects Parabuapebas to the Port Terminal in Ponta da , crossing 27 cities through the States of Maranhão and Pará, transporting cargo and passengers. Due to its strategic significance, the railroad will be expanded by Vale LLC. In some stretches the train tracks will be doubled, others quadrupled, which will expand its transport capacity and provide certain areas for maneuvers and the parking of trains for maintenance. Marabá, the largest urban center split by the railroad, has been particularly affected by the construction of a protective wall along the track requiring 370 families to be moved. In order to provide support in the removal and resettlement of these people, Vale hired Synergia. The company was called upon to make an integrated territorial study, involving a mapping of socio-economic, environmental and urban aspects, making it possible to get to know the people, their living conditions and the infrastructure of this territory. Synergia developed a methodology to assess vulnerability, which allows for the pinpointing of which families are in the most fragile situations in terms of their social and economic situation. The work done in Marabá includes the mapping of houses in which people live today. It is necessary to visit these residencies and check their conditions, establishing an inventory and criteria to calculate the value of the real estate, so that negotiations can be conducted. Synergia will also offer the company possible solutions for housing assistance, for which it is already identifying real estate in the region. The work follows the parameters of the World Bank and seeks to mitigate the possible detriments in resettling, through a comprehensive, overall view which serves to minimize social, psychological and economic impacts.

morar carioca urbanisation program / live rio, rio de janeiro [06] In October of 2010, the Government of Rio de Janeiro initiated the work of urban intervention in 10 communities in the city: Areal, Guarabu, Vila Rica, Vila Catiri, Parque Alegria, Azevedo Lima, São Carlos, Vila Esperança, Nova Divinéia and Vila João Lopes. These are all quite vulnerable in social and economic terms. The project, part of the federal government’s Pró-Moradia (Pro-Housing) Program, was baptized as MORAR CARIOCA (LIVE RIO) and involved 81,576 people, residents of 20,394 dwellings.

Synergia was responsible for all of the Socio-Technical Work developed in the 10 areas, which occurred through three pillars of action.

What stands out in the pillar of the generation of jobs and income is the realization of a series of specific courses. Some areas were benefited with courses preparing people to become waiters, bakers and learn basic English in order to cater to the neighboring tourism infrastructure, while others took courses for metal working, caring for the elderly, child care and more, to meet the demands characteristic to the surroundings. The mobilization actions involved capacity building in the community to accompany the land reform and land negotiations of the Program, as well as in an extensive communication project specific to each stage of construction in the locations.

79 B R az IL / RICA e AM

The education initiatives regarding sanitation, the environment and patrimony involved an articulation with hundreds of neighborhood entities, guaranteeing the cross-sectional articulation necessary to support local sustainable development. Also, a series of campaigns, workshops, lectures and educational initiatives targeted the main environmental issues of each community involved in the project.

This identification of the activities to develop in line with the local reality is a differential of Synergia’s social work, which maintains the values of respect for diversity as well as collaboration and the commitment to results. With this work accomplished by Synergia, the asphalt, the cement and the pipes all arrived at the underserved communities, accompanied by a more human outlook, by information about the guarantee of rights, by information for accessing the job market, and of course, by the better quality of life.

Morar Carioca Urbanisation Focusing on the development of the municipalities of Conceição de Mato Program/Live Rio (Location Dentro, Alvorada de Minas and Dom Joaquim, all affected by the mining of one of the ten communities) and the pipeline, the company committed itself to capacity building among the local workforce, so that they can work in the company as well to possibly become local suppliers of products. To this end, Synergia was contracted, and conceived the Programa Mover (The Move Program). This program is especially geared towards supporting the professional development of social groups prioritized by Anglo: women, people with disabilities, young people between the ages of 17 and 35 and local entrepreneurs. The big differential of Programa MOVER in relation to other capacity building programs is that the classroom is installed in a mobile unit, itinerant, called ÔNIBUS MOVER (THE MOVE BUS). The vehicle visits the remote parts of the region. It is equipped for 16 students, having a laptop for each one and a data show system. The classes, having a duration of 2 hours each, are monitored by educators and are supported by an educational website, the construction and content of which was developed entirely by Synergia. The Programa Mover site has a library, a video archive, newscasts and many course Activity report 2012 options. According to the latest survey, 7,500 families have been involved in this project.

The program also involves a large social mobilization action, aiming to motivate and organize student groups, as well as to guarantee that courses TP F G RO U P / specific to the mining industry offered by SENAI (Nation Service for Industrial Education), sponsored by Anglo American, also have committed students that stick with the program.
