Transfer Pricing the Curia of Hungary Decided on a Transfer Pricing Issue FlashNews | Transfer Pricing The Curia of Hungary decided on a transfer pricing issue March 26th, 2021 An important judgment has been made by the Curia of Hungary1 regarding the application of the transactional net margin method (‘TNMM’) transfer pricing method. In the exemplary case the Supreme Court ruled on - among others - the correct application of the portfolio approach (i.e. in which cases it is possible to analyse individual product or service portfolios in a consolidated manner in terms of transfer pricing) and the applicability of the minimum-maximum range as arm’s length one. Please find below our summary about this key decision. Background For the taxpayer in question, the Hungarian tax authority performed a comprehensive tax audit for the 2013 and 2014 tax years. The taxpayer was engaged in the production and sale of passenger cars and related spare parts during the examined periods and sold its products to both related companies and independent parties. In 2013, sales to affiliates accounted for 48% of its total sales, whilst 59% in 2014. According to the transfer pricing documentation compiled for the periods under investigation, the taxpayer: • determined the arm’s length range of the operating margins using the TNMM method; • performed a database search in the Bureau van Dijk Amadeus database for 2013; • defined the arm’s length range of operating margins as an interquartile range between 2.13% and 9.78% for 2013; • the database search was not updated for 2014, on the basis of available data for 2013 the taxpayer considered the minimum-maximum range to be an arm’s length margin range given that its operating margin for the given year was below the interquartile range but within the minimum-maximum range; • when calculated the operating margin of the underlying tax year it did not separate the related party and unrelated transactions, the operating margin was calculated at an entity level and was 2.22% in 2013 and 1.52% in 2014; • concluded that its calculated operating margin fell within the arm’s length margin range in both tax years examined so that the transfer prices of the products sold to related companies were determined in line with the arm's length principle. The findings of the tax authority • The tax authority did not make any findings in relation to the method used (TNMM) and the combined treatment of the two product groups (passenger cars and spare parts). • However, the tax authority has penalised the taxpayer because the taxpayer examined the arm’s length nature of the transfer prices applied using a company level operating margin. According to the tax authority, the taxpayer made a loss on its transactions with related parties in both tax years examined. 1 The Curia of Hungary (Hungarian: Kúria), also known as the Supreme Court of Hungary (Magyarország Legfelsőbb Bírósága) before 2011 is the Supreme Court and highest judicial authority of Hungary. | • The tax authority also found that for both tax years, the lower quartile (2.1%) should have been considered by the taxpayer as the lower value of the arm’s length price range. The findings of the Curia • The Curia upheld the tax authority's finding that the taxpayer should not have determined the operating margin at a company level using its total operating profit, but rather calculated separately on sales to related companies and sales to independent parties. • Moreover, the Curia confirmed that the taxpayer was eligible to use the minimum-maximum operating margin range as an arm’s length range upon determining its 2014 tax liability (the mandatory application of the interquartile range has already been rejected by the Court of First Instance), the relevant part of the judgment of the Court of First Instance was therefore not affected by the Curia. * * * * * The Transfer Pricing Team will keep you up to date on such matters. Besides providing an in-depth analysis of the relevant legal provisions, it also aims to shed light on their broader socio-political context. In conclusion, this paper argues that the selection of constitutional court justices qualitatively differs from that of ordinary judges. In the case of judges, mostly professional requirements prevail, while the appointment of constitutional court justices is deeply pervaded by political motives. Therefore, it can be argued that the political preferences of the government could certainly distort the selection of the members of the constitutional court, whilst professionalism is certainly a value of the ordinary judiciary.     ICL Journal © Verlag Österreich Hungarian Constitutional Court: Transparency and Business Activities of the State1 Judgments of 31 March 2016, Decisions of 7/2016 (IV 6) and 8/2016 (IV 6) Emese Szilágyi The Constitutional Court of Hungary recently delivered two important decisions concerning freedom of information. In both cases, the National Assembly attempted to curtail the transparency of the Central Bank and the Hungarian Mail, and the President of the Republic requested for an ex ante constitutional review. The decisions contain pivotal argu- ments concerning legal certainty and freedom of information, and can be read as proof that in the most crucial cases the Constitutional Court of Hungary still stands up against the majority of the parliament. However, it is worth mentioning that in the more straightforward case – the decision about the modification of the Act on the Central Bank of Hungary – there was a wide professional consensus on the unconstitutionality of the new rules. This consensus was supported by the opinion of the National Authority for Data Protection and Freedom of In- formation. The reasoning of the other decision which examines the new rules of the Postal Service Act could arguably be read two different ways, as will also be elaborated in this paper. I.     FlashNews | Transfer Pricing Decision of the Curia of Hungary: cash pool transactions in focus March 26th, 2021 Background The group provided liquidity to the group members using the cash pool method. Multicurrency financing transactions were conducted by the members of the group through the taxpayer. The balance of the group members' monthly short positions was transferred to the Parent Company’s main account at the end of each month as a long-term loan between the Parent Company and the respective member company. As a member of the scheme, the examined taxpayer also deposited funds into the main account of the Parent Company and received funds from the main account. The taxpayer's transactions were partly short-term (up to 1 month) and partly longer-term positions. Some transactions were classified as “deposit placements” by the taxpayer in its transfer pricing documentation, and when applying the transfer pricing rules, it considered the deposit interest rates of HUF 1-12 monthly current accounts available in the Reuters database. The findings of the Hungarian tax authority • The tax authority conducted an audit of the taxpayer for the years 2012-2014 covering all taxes. • The tax authority has argued that the Parent Company is not a credit institution, however, according to the Hungarian laws on Credit Institutions and Financial Undertakings, only a credit institution is entitled to collect deposits. • The Parent Company was not a credit institution, so in its case the level of risk will obviously be higher. According to the tax authority, the risk of return borne by the taxpayer is not comparable to the risk taken by deposits placed at a credit institution.

Main dates in the evolution of the review of administrative acts The „October Diploma”, a Habsburg imperial decree allowing Hungary independence in internal affairs, brought a structural reform to the judiciary. The Royal Hungarian Curia regained its lawful powers and reputation. First the Royal Financial Court as a separate public law court was set up in 1883. Then, by Act XXVI of 1896, the Royal Administrative Court was set up as a single-instance special court, of which the Financial Court was made part. The Royal Administrative Court adjudicated both general and financial cases in non-litigation process. Following the extension of the powers of public law courts, the Court of Competence was created for settling disputes of competence between ordinary and administrative courts or public administration authorities. After the Second World War, formalised law was applied in civil and administrative cases but no separate administrative courts existed. Hungary turned from a liberated country into a newly occupied one where state administration was controlled by the Communist (later Socialist) Party. The introduction of the reforms in the 1970s and 1980s launched changes that proved to be irrevocable. Ordinary courts were granted competence to review more than twenty kinds of administrative cases (taxes, land registry) in non-litigation process. Law and jurisprudence became more liberal. The 1989-90 regime change created a rule of law state in Hungary and gave rise to a gradually evolving reform in the judiciary.

    BALOGH-BEKESI Nóra Pázmány Péter Catholic University Budapest, Hungary The Realisation of the Principle of a Fair Procedure in Hungary1 Abstract The paper aims to present the realisation of one of the most important procedural principle – the principle of a fair procedure – regulated in the Fundamental Law of Hungary, which entered into force on 1st January 2012. The principle of fair procedure can be considered the basis of all procedural rights. In its nature it resembles more the principle of human dignity. In its kind it is an absolute right, but the rights derived from it – such as the right to legal remedy – are rights which can be restricted in case of the conditions specified by the Fundamental Law of Hungary. The principle of fair procedure is regulated as the right to good administration in paragraph 1 of Article XXIV. of the Fundamental Law of Hungary as follows: “Everyone shall have the right to have his or her affairs handled impartially, fairly and within a reasonable time by the authorities. Authorities shall be obliged to give reasons for their decisions, as provided for by an Act.” The other one is regarding court proceedings, where the principle of fair procedure is named as the right to a fair trial and regulated in paragraph 1 of XXVIII. of the Fundamental Law of Hungary as follows: “Everyone shall have the right to have any charge against him or her, or his or her rights and obligations in any litigation, adjudicated within a reasonable time in a fair and public trial by an independent and impartial court established by an Act.” We should note that the quoted paragraphs of the Fundamental Law of Hungary mention the requirement of a decision within a reasonable time and several other requirements as the part of the principle of fair procedure.
