Phone No.: +91-0172 -5008900 / 01 Email : [email protected] Website: www.pritikaautoindustries.com POSTAL BALLOT NOTICE (Pursuant to Section 110 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014 Dear Member(s), Notice is hereby given pursuant to Section 110 and other applicable provisions of the Companies Act, 2013, (hereinafter referred to as “the Act”), read together with the Companies (Management and Administration) Rules, 2014 (“Rules”) (including any statutory modification or re-enactment thereof for the time being in force) to the Members of Pritika Auto Industries Limited (hereinafter referred to as “the Company”) that the resolutions appended below are proposed to be passed by way of postal ballot including an option to vote through remote electronic voting (e-voting ). The explanatory statement pertaining to the said resolutions setting out the material facts concerning each items and the reasons thereof are annexed hereto along with the Postal Ballot Form for your consideration. The Postal Ballot Notice along with Postal Ballot Form is also available on the website of the company at www.pritikaautoindustries.com. The Board of Directors of the Company has appointed Mr. Sushil K Sikka (FCS- 4241), CP 3582, Practicing Company Secretary, # 5441, Sector 38 West, Chandigarh-160014 as the Scrutinizer for conducting the postal ballot and e-voting process in a fair and transparent manner. The businesses of the Postal Ballot shall, in addition to physical voting, also be transacted through electronic voting system. Accordingly, the Company in compliance with, Regulation 44 of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the provisions of Section 108 of the Act read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, is pleased to provide to the Members (whether holding shares in physical or in dematerialized form) the facility to exercise their right to vote on the matters included in the notice of the Postal Ballot by electronic means i.e. through e-voting services provided by National Securities Depository Limited (NSDL). The e-voting period commences on Wednesday, the 26th February, 2020 at 9.00 a.m. and ends on Thursday, 26th March, 2020, at 5.00 p.m. Please read carefully and follow the instructions as printed in this Notice for e-voting. Those Members, who do not have access to e-voting facility can send their assent or dissent in writing on the Postal Ballot Form attached herewith. Members are requested to carefully read the instructions printed on the Postal Ballot Form and return the Postal Ballot Form duly completed and signed in the attached self-addressed, postage pre-paid business reply envelope, so as to reach the Scrutinizer before the close of the working hours 5.00 p.m. on Thursday, the 26th March, 2020, at Mr. Sushil K Sikka, Company Secretary, Scrutinizer c/o Pritika Auto Industries Ltd., Regd. Please note that any Postal Ballot Form(s) received after 5.00 p.m. on 26th March, 2020 will be treated as not received. The Scrutinizer will submit his report to the Chairman or in his absence to any Director authorised by the Board, after the completion of the scrutiny of the Postal Ballots (physical and e-voting). The results of the voting by Postal Ballot will be announced by the Chairman of the Company or in his absence, any person authorized by him on or before 5.00 p.m., Saturday, the 28th March, 2020 at the Registered Office of the Company and will be displayed on the notice board at the registered office of the Company. The results of the Postal Ballot will also be posted on the Company's website www.pritikaautoindustries.com, besides communicating to the Stock Exchange i.e. BSE Limited and Calcutta Stock Exchange. SPECIAL BUSINESS ITEM NO. 1: APPROVAL OF THE MATERIAL RELATED PARTY TRANSACTIONS WITH PRITIKA INDUSTRIES LTD. To consider and, if thought fit, to pass the following resolution as an Ordinary Resolution: “RESOLVED THAT pursuant to the provisions of Section 188 of the Companies Act, 2013 (Act) and other applicable provisions, if any, read with Rule 15 of the Companies (Meetings of Board and its Powers) Rules, 2014, as amended from time to time, Regulation 23(4) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (Listing Regulations), Company's policy on Related Party Transactions and in continuation of approval of Audit Committee and Board of Directors dated 12th February, 2020, approval of Shareholders be and is hereby accorded for entering into/continue the agreements/contract(s)/ arrangement(s)/ transaction(s) with Pritika Industries Ltd. (CIN: U85100PB1997PLC038216), the related party of the company within the meaning of Section 2(76) of the Companies Act, 2013 and Regulation 2(1)(zb) of the Listing Regulations 2015, for the Financial years 2020-21 and 2021-22, with relation to i) purchase and sale of Auto components/ parts, castings, scrap; ii) availing/providing services; iii) doing and/or getting done job work; iv) reimbursement of expenses; v) payment of dividend on investment in securities; vi) taking/giving inter-corporate loans/advances; vii) selling/disposing/buying/leasing property of any kind (hereinafter collectively referred to as 'related party transactions') for the Cumulative value of transactions not exceeding Rs. 200.00 crore per year, on the terms and conditions mentioned in the explanatory statement, provided herein, however that the contracts, agreements, arrangements and transactions so carried out shall be at arm's length basis and in Company's ordinary course of business. RESOLVED FURTHER THAT the Board of Directors of the Company be and is hereby authorized to settle any question, difficulty or doubt that may arise and to undertake all such acts, deeds, matters and things to finalize and execute such documents, deeds, agreements, arrangements and writings as may be deemed necessary, proper and desirable in its absolute discretion to give effect to the aforesaid Resolution. 1 RESOLVED FURTHER THAT the Board be and is hereby authorised to delegate all or any of the powers conferred on it by or under this Resolution to any Committee of Directors of the Company or to any one or more Directors of the Company or any other officer(s) or employee(s) of the Company as it may consider appropriate in order to give effect to this Resolution.” ITEM NO. 2: APPROVAL OF THE MATERIAL RELATED PARTY TRANSACTIONS WITH PRITIKA ENGINEERING COMPONENTS PVT. Therefore, this exercise was done to analyse the media reportage on farmer suicides in India Punjab. Five widely distributed vernacular local dailies of Punjab namely Ajit, Jag Bani, Punjabi Tribune, Rozana Spokesman and Punjabi Jagran were selected for the present research work. News Ravijot Kaur clippings on farmer’s suicide, published by selected newspapers were collected from Jan 2017 to Dec Senior Research Fellow, 2018. It was found that during the two years period i.e. for 1st January 2017 to December 31, 2018, a total Department of Agricultural of 709 farmers’ committed suicide. The number of farmers who committed suicide were more in 2017 Journalism, Languages and (387) then in 2018 (322). During the second quadrimester of two years i.e. May to August, maximum Culture, Punjab Agricultural number of farmers committed suicides (327). Highest percentage (29%) of news on farmers’ suicide was University, Ludhiana, Punjab, published by Ajit newspaper. Highest percentage (39% in 2017 & 28% in 2018) of farmers who India committed suicide belonged to the age group of 31-45 years.
