PROFESSIONAL DEVELOPMENT WORKSHOP #1: A GUIDE TO PERFORMING A COMMERCIAL NUCLEAR DUE DILIGENCE

SUNDAY, JUNE 9, 2002 • 8:00 A.M. - 4:00 P.M. ROOM: CONFERENCE ROOM # 215

WORKSHOP ORGANIZERS: Mr. Fred W. Giffels, CEO of HGP Inc. a nationally recognized Management Technical Consulting firm Headquartered in Greenville South Carolina will be the Prime instructor and main organizer of the seminar. Mr. Giffels has conducted over 95 commercial nuclear due diligence reviews. Mr. Giffels will also be assisted by two senior commercial nuclear experts as seminar instructors; Mr. Martin G. Malsch a senior regulatory attorney with LeBoeuf Lamb Greene and MacRae (LLG&M). Mr. Malsch is a Senior Counsel in the Washington D.C. office specializing in regulatory matters, and Mr. Marvin S. Fertel Senior Vice President of Business Operations of Nuclear Energy Institute (NEI).

ABSTRACT: US Commercial Nuclear Plants, labeled a liability at the dawn of deregulation, are now commanding higher prices based on the ability of the best operators to produce power economically. Although highly sought after, the nuclear power plant must be able to withstand the scrutiny of an intrusive Due Diligence process. The workshop, "Guide to Performing a Commercial Nuclear Due Diligence" will examine and cite several examples of the legal, financial, managerial, and technical issues involved in the due diligence process to assist the attendee in identifying, assessing and valuing the benefits and risk exposure arising from mergers, acquisitions and divestitures in the US commercial nuclear power industry.

“THE REVIVAL OF THE NUCLEAR ENERGY OPTION” 45 DOE Nuclear Criticality Safety Program

THE DOE NUCLEAR CRITICALITY SAFETY PROGRAM

FRIDAY, JUNE 14, 2002 • 8:00 A.M. - 4:00 P.M. ROOM: ATLANTIC BALLROOM # 2

PURPOSE: The US Department of Energy Nuclear Criticality Safety Program (NCSP) was initiated in response to DNFSB Recommendation 97-2, "Continuation of Criticality Safety". The NCSP is a comprehensive, crosscutting program that integrates the need to maintain the US criticality safety infrastructure with effective support for criticality safety programs throughout the DOE complex. The morning session presents the status of the NCSP through presentations by DOE management, DNFSB staff and facility representatives, and technical program element staff. The afternoon session is a forum for interactions led by the DOE End-Users Group, but open to anyone interested in a discussion of criticality safety from the practitioners point of view. These sessions, while not part of the official ANS program, has been arranged through the courtesy of the ANS Headquarters staff. The presentations are based on the DOE NCS Program, but because of the global application of the work supported by the DOE NCSP, feedback is encouraged from anyone interested in the needs of a diverse, well-organized criticality safety program. International, NRC and licensee criticality safety personnel are encouraged to attend. Extensive audience participation is anticipated.
