1. BACKGROUND Varanasi Division is of the important Divisions of Eastern Uttar Pradesh, whose headquarter is located in the City of Varanasi. It comprises of Districts of Varanasi, Jaunpur, Gazipur and District- is its administrative control. Varanasi is very important from the point of view of religious tourism and Varanasi is an important center for eastern Uttar Pradesh and western Bihar for education and health facilities. All the Division level offices are located at different places in the city. Due to Divisional Offices located at different places, the public has to face the utmost difficulty in contacting offices, and at the same for high level meetings and other co- ordination work, Divisional officers have to travel a lot within the city. Several initiatives are being taken up by the Government to improve efficiency in delivering of Government service. So, to keep various Governments office as close as possible, proposal of Commercial Cum Office Complex is under consideration by the Government at Commissioner’s Compound near Kachahari. Varanasi Development Authority has been asked by Government to prepare Detailed Project Report of the project & implement it.

2. SITE/ PROJECT BRIEF Proposed Commercial cum Office Complex is been proposed at Commissioner’s Office Compound, near Kachahari, Varanasi. Commissioner Varanasi Office Complex is situated on approximately 7.0 acres of land, in which the Commissioner’s Office, Auditorium, Meeting Hall, NIC Office, Office of the Additional Commissioner’s and Courts is located. About 3.50 acres (approx. 14,568 Sq.m) of land in the western part of the premises is vacant. A Modern Office Complex is proposed to be constructed on the said vacant land in which all the Divisional Offices can be transferred in the new Building. Varanasi Development Authority shall facilitate the site visit if any interest Architects/ Consultants may like to visit.

The idea is to utilize remaining FAR on the site and construct an integrated complex, wherein, all the Divisional Offices should be relocated and the remaining Built-up Area can be utilized thorough sale/lease to recover the cost of the whole project. Total requirement of Built-up area for Divisional Office shall be approx. 10,000 Sqm. The Building Bye Laws of Varanasi Development Authority would be applicable.

3. SCOPE OF WORK The design shall be required to meet the best practices/ standards provisions as applicable to ecologically sustainable design under local conditions, which result in efficient use of energy, water and other natural resources. The broad scope of work for preparation of Detailed Project Report (DPR) would include: . Preparation of Best Use/ Techno-Economic Feasibility Study of the project. . Assisting VDA to make the project Financially sustainable. . Preparation of submission drawings. . Structural design and all services design duly vetted by Prof. of IIT’s / Equivalent Institution. . Preparation of Detailed Project Report comprising Comprehensive Architectural and associated services (Structural, MEP (Mechanical, Electrical and Plumbing), Landscaping etc. . Preparation of Detailed Estimates/ Bill of Quantities (BoQ) . Assisting VDA and preparing the necessary documents for the various Statutory department for getting the approvals at all levels . Preparation of Tender Documents . Preparation of Artistic Illustrations (3D Views, Walkthrough) and Model . Technical Support during Project Execution

. Any other Work related to Project execution . Assisting VDA to get Green Building Rating . Assisting VDA with the design presentation at Varanasi and State Capital - as and when required. The Architect/ Consultant would have to enter into an agreement with Varanasi Development Authority and the Draft Agreement would be shared to the interested Architects/ Consultants.

4. REQUIREMENTS OF THE PROJECT The consultant shall have to work in close coordination with the Transaction Advisor appointed by VDA for this project. The project requirement/ viability shall be assessed with the Consultant/ Transaction Advisor of the project. The tentative project requirement would have two major components: 1. Integrated Divisional Office Complex  Offices (Non-Saleable)  Meeting Hall/ Conference Rooms  Auditorium  Cafeterias/ Food Court  Supporting Infrastructure 2. Commercial Development  Commercial Area  Offices (Saleable)  Hotel  Cafeterias/ Food Court  Meeting Hall/ Conference Rooms  Green Area & Park  Parking (Basement and Surface)  Utilities  Supporting Infrastructure  Any other use/product mix as suggested by Transaction Advisor/ Consultant.

5. ELIGIBILITY CRITERIA The Architect/ Consultant/ registered private firm/ company empaneled with VDA shall have following eligibility criteria: 1. The Architect/ Consultant should have done one mixed-use project of Project Cost not less than Rs. 50.0 Crore in the past. 2. Financial Capacity: Minimum average annual turnover of the firm for last Three years shall be 50 Lacs (Fifty lakhs). 3. The Architect/ Consultant should have experience of preparation of Detailed Project Report and conducting Best use/ Techno-Economic Feasibility study of mixed use/ real estate/ Building Projects.

4. The Consultant should have experience of working in the Region. 5. The Architect/ Consultant should have a team of qualified experts.

6. COMPOSITION OF THE CORE TEAM AND EXPERTISE REQUIRED The core team of experts and specialists likely to be required are as follows: S. 7. INSTRUCTION TO THE CONSULTANT  The original proposals (Technical (02 copies) and Financial (Single Copy)) shall contain no interlineations or overwriting, except as necessary to correct errors made by the Consultants themselves. The person who signed the proposal must initial such corrections. Submission letters for both Technical and Financial Proposals should respectively be in the format and as per the annexures.  An authorized representative of the Consultants shall initial all pages of the original Technical and Financial Proposals. The authorization shall be in the form of a written power of attorney accompanying the Proposal or in any other form demonstrating that the representative has been fully authorized to sign. The signed Technical and Financial Proposals shall be marked "ORIGINAL".

8. SELECTION PROCESS The Consultant may be a Government, Semi-Government, Public Sector Undertaking or registered private firm/ company having experience of executing similar work/s to its credit. The Evaluation Committee appointed will carry out the technical evaluation of Proposals on the basis of the following evaluation criteria and points system. Each evaluated Proposal will be given a technical score (St) as detailed below. The minimum technical score required to qualify technical evaluation is 60 (Sixty) Points out of 100 (hundred). A proposal will be considered

unsuitable and will be rejected at this stage if it does not respond to important aspects of RFP Document and the Terms of Reference or if it fails to achieve the minimum technical score. The Authority will notify Applicants who fail to score the minimum technical score about the same and their Financial Proposals shall not be opened. The selection would be based on Conceptual Presentation of Design, Approach and Methodology for the project. The Architects/ Consultants fulfilling eligibility criteria as mentioned in section-5 of this document would be called for detailed presentation of conceptual design. A committee headed by Vice Chairman of the Authority shall evaluate the proposals and the final decision of the selection would be done by the committee. The committee would have following members

1. The technical score to be scaled to 10 Marks (St) for Technical Evaluation including Presentation, methodology, and conceptual design. 2. Financial quotation to be submitted by bidder on same day in a sealed envelope on format attached at Appendix-2. The financial quotation would be the percentage fee (including all applicable taxes) charged by consultant for the assignment. This should not be more than 1.5% of the Total project cost. Consultancy fee will be paid after approval of the work by a Committee headed by Divisional Commissioner, Varanasi Division. 3. The Lowest Financial Offer (Fm) would be given a financial score of 10 points. The Financial Score (Sf) of the other proposal will be determined using the formula:

Sf = 10 X Fm/F

in which Sf is the financial score, Fm is the lowest Financial Proposal, and F is the Financial Proposal (in %) under consideration. Proposals will be finally be ranked in accordance with their technical (St) and financial (Sf) scores:

S = St x Tw + Sf x Fw

where S is the combined score, and Tw and Fw are weights assigned to Technical Proposal and Financial Proposal that will be 0.70:0.30.

The Applicant achieving the highest combined technical and financial score will be considered to be the successful Applicant and will be issued the work order (the Successful Applicant).

Important Note: a) Last Date of Submission of offers and Conceptual Presentation: 08.02.2021 15:00 Hrs onwards in office of Executive Engineer, Varanasi Development Authority, Pannalal Park, Raja Uday Pratap Marg, Varanasi. The Technical proposals shall be opened on 09.02.2021.

b) Note: The date and time for presentation will be informed to the eligible consultants/ firms/ companies on 09.02.2021 while opening of technical proposals. The presentation may be held virtually due to travel restriction during CoVID-19 at a date notified on 09.02.2021.

10. JURISDICTION In case of any dispute, Varanasi (Uttar Pradesh) shall be the jurisdiction for any legal matter. 11. ARBITRATION 1. All disputes or differences, in respect of which the decision is not final and conclusive, shall on the initiative of either party be referred to the adjudication of three arbitrators and it shall be settled through arbitration. One arbitrator is to be nominated by Consultant, one by Varanasi Development Authority and the third by the mutual consent of the Development Authority and the Consultant. The decision of the majority of the Arbitrators shall be final and binding upon both the parties. 2. The expenses of the Arbitrators shall be borne by both the parties equally. 3. Performance under the assignment shall, if reasonably possible, continue during the arbitration proceeding and payments due to the Consultant, by Varanasi Development Authority shall not be withheld, unless they are the subjects of the arbitration proceedings. 4. Neither party is entitled to bring a claim to arbitration if its Arbitrator has not been appointed within 30 days of expiry of the time span of 180 days. 5. The arbitration shall be carried out as per the Arbitration and Reconciliation Act, 1996 with any statutory modifications. The arbitration shall be held at Varanasi, Uttar Pradesh.

The Vice-Chairman Varanasi Development Authority reserves the right to reject all or any of the offers without assigning any reason whatsoever.

Key Components of the Technical proposal

Consultants are suggested to present their Technical Proposal into the following three chapters:

1. TECHNICAL APPROACH AND METHODOLOGY In this section consultant should explain complete understanding of the Objectives of the Assignment/job, Approach to the Assignment/job, Methodology for carrying out the activities and obtaining the expected output, and the degree of detail of such output. Consultant should highlight the problems being addressed and their importance and explain the technical approach consultant would adopt to address them. Consultant should also explain the methodologies they will adopt and highlight the compatibility of those methodologies with the proposed approach. 2. WORK PLAN The consultant should propose and justify the main activities of the Assignment/job, their content and duration, phasing and interrelations, milestones. The proposed work plan should be consistent with the technical approach and methodology, showing understanding of the TOR and ability to translate them into a feasible working plan. A list of the final documents, including reports, drawings, and tables to be delivered as final output, should be included here. 3. ORGANIZATION AND STAFFING The consultant should propose and justify the structure and composition of your team.
