THE DISNEY COMPANY | Disney, Lucasfilm, Marvel, Pixar, Touchstone Smoking in Movies The Walt Disney Company actively limits the depiction of smoking in movies marketed to youth. Our practices currently include the following: • Disney has determined not to depict cigarette smoking in movies produced by it after 2015 (2007 in the case of Disney branded movies) and distributed under the Disney, Pixar, Marvel or Lucasfilm labels, that are rated G, PG or PG-13, except for scenes that: . depict a historical figure who may have smoked at the time of his or her life; or . portray cigarette smoking in an unfavorable light or emphasize the negative consequences of smoking. • Disney policy prohibits product placement or promotion deals with respect to tobacco products for any movie it produces and Disney includes a statement to this effect on any movie in which tobacco products are depicted for which Disney is the sole or lead producer. • Disney will place anti-smoking public service announcements on DVDs of its new and newly re-mastered titles rated G, PG or PG-13 that depict cigarette smoking. • Disney will work with theater owners to encourage the exhibition of an anti-smoking public service announcement before the theatrical exhibition of any of its movies rated G, PG or PG-13 that depicts cigarette smoking. • Disney will include provisions in third-party distribution agreements for movies it distributes that are produced by others in the United States and for which principal photography has not begun at the time the third-party distribution agreement is signed advising filmmakers that it discourages depictions of cigarette smoking in movies that are rated G, PG or PG-13. -

Walt Disney Archives Kicks Off Its 50Th Anniversary with Exhibit at Bowers Museum
WALT DISNEY ARCHIVES KICKS OFF ITS 50TH ANNIVERSARY WITH EXHIBIT AT BOWERS MUSEUM Inside the Walt Disney Archives opens in March and is part of a year-long celebration that includes special events and experiences BURBANK, Calif. (September 9, 2019) – The Walt Disney Archives celebrates its 50th anniversary next year, and to kick off the festivities, the Bowers Museum in Santa Ana, Calif., will host Inside the Walt Disney Archives: 50 Years of Preserving the Magic, offering a rare look at some of the treasures from the Archives. The 10,000-square-foot traveling exhibit opens to the public on March 7, 2020. Guests are invited to step into the Walt Disney Archives as they walk through a dazzling display of more than 400 objects, including original artwork, costumes, and props that tell the story of the Archives, The Walt Disney Company, and Walt Disney himself. Artifacts include never-before-displayed production art from Fantasia, Walt Disney’s office set from Saving Mr. Banks, the original pitch portfolio used to secure investors for Disneyland, maquettes from animated films such as Peter Pan and Frozen, and much more. Gold Members of D23: The Official Disney Fan Club will be invited to enjoy an exclusive look at the exhibit before it opens to the general public during a special preview night where they can chat with Disney archivists while exploring the exhibit, which runs through August 30, 2020, before heading to other locations around the country (to be revealed in 2020). Washington, D.C. 20549 Re: Shareholder Proposal to Disney Inc. Regarding Advertising Policies and Social Media on Behalf of Myra Young To Whom It Concern: Myra K. Young (the “Proponent”) is beneficial owner of common stock of Disney Inc. (the “Company”) and has submitted a shareholder proposal (the “Proposal”) to the Company. I have been asked by the Proponent to respond to the letter dated October 31, 2020 ("Company Letter") sent to the Securities and Exchange Commission by Lillian Brown of Wilmer Hale. In that letter, the Company contends that the Proposal may be excluded from the Company’s 2021 proxy statement. I have reviewed the Proposal, as well as the letter sent by the Company, and based upon the foregoing, as well as the relevant rules, it is my opinion that the Proposal must be included in the Company’s 2021 proxy materials and that it is not excludable under Rule 14a-8. A copy of this letter is being emailed concurrently to Lillian Brown of Wilmer Hale. Summary The Proposal requests that the Board of Directors commission an independent third-party report assessing how and whether Disney ensures the Company’s advertising policies are not contributing to violations of civil or human rights. Among other things, such report should consider whether advertising policies contribute to the spread of hate speech, disinformation, white supremacist recruitment efforts, or voter suppression efforts, and whether the policies undermine efforts to defend civil and human rights such as through the demonetization of content that seeks to advance and promote such rights. -

Diane Jagels Title: The Animated Phenomenon: Impact Beyond Childhood Abstract This paper responds to the stigma that animated shows are “just for kids,” and that animated cartoons and films have as much importance as shows which star live actors. I analyze several American cartoons from the 2000s and 2010s, such as Phineas and Ferb, Steven Universe, Gravity Falls, and Over the Garden Wall, which contain themes that are accessible by multiple age groups, including adults. Some of the themes include: the intelligence of cartoons; representation and the fight against stereotyping; family structures and dynamics; and foreboding themes of insecurities, growing up, and death. Many cartoons have become impactful for older audiences and I draw on firsthand responses from fans, interviews with the shows’ creators, and the episodes themselves to convey the significance of cartoons. .
