BACKGROUND

The Metropolitan Park and Recreation District, doing business as The Great Rivers Greenway District (the “District”), is a multi-jurisdictional political subdivision including the City of St. Louis, St. Louis County and St. Charles County. The primary purpose of the District is to improve the quality of life throughout the St. Louis region by developing a public system of interconnected greenways, trails and parks.

The CityArchRiver project is a public-private partnership that includes the , the District, the City of St. Louis, Bi-State Development Agency, the Jefferson National Parks Association, the Park Foundation and many other agencies and groups on both sides of the . This project is making St. Louis’ beloved Gateway Arch easier and safer for everyone to experience by connecting, invigorating and expanding the park’s grounds, museums, and Leonor K. Sullivan Boulevard and Kiener Plaza.

The District is soliciting bids from firms competent in providing services in landscape and park maintenance for high use areas in the City of St. Louis, St. Louis County and St. Charles Counties. Services to include performing regular mowing, litter removal, sustainable landscaping and park maintenance practices, splash pad/water fountain maintenance, irrigation repair, natural resource management, minor construction and other duties as needed for successful park operations.

In addition, the District is seeking qualified firms to assist the District and its partners with the establishment and care of landscaped and native habitats. These projects may be associated with a construction project in which services are sought to assist in the short-term care and establishment of landscapes or habitats installed by others. These services could also be sought to install new landscapes or assist in maintaining new habitats or landscapes. No guarantee of work is made by the District for accepting a firm’s submittal for this portion of the bid. The District reserves the right to accept multiple firms to perform these duties beginning in 2021 through 2023.

EXPECTATIONS

It is the expectation of all parties that the facilities be cared for in a manner to maintain a high- quality park environment for residents as well as visitors to the region. Maintenance approaches and techniques should reflect the desire and expectation that the considerable investments will remain in a high-quality condition through diligent efforts and an attention to detail. Firms should conduct themselves in a professional manner at all times while performing the necessary tasks in this highly public area. Firms shall wear uniforms clearly identifying them with the company name and vehicles clearly marked with name of firm. Firms should be able to respond to changes in park and facility use during various times of the year and modify their schedules as needed to perform the following scope of services effectively.

SCOPE OF SERVICES

Several areas in the City of St. Louis, St. Louis and St. Louis County are included in the scope of services of this Request for Bids. Several of these areas are maintained jointly with the City of St. Louis and other municipalities and coordination among the District, the contracted firm(s) and those Departments is imperative.

It will also be the responsibility of the firm to contact the District when service or maintenance is needed which falls outside of their contracted scope of services to maintain a high-quality landscape and user experience for the general public. Firms should be able to respond to issues outside of their scope of services, at an hourly rate, when coordinated and approved by District staff. Tasks could include replacement of damaged or dead plant material, addressing vandalism or incidents which damage park facilities and assisting with special event preparation, cleanup or remediation of grounds due to high use or flooding. Figures and maps enclosed in this Request for Bids are subject to field verification by firms submitting a proposal.

Firms will be responsible for submitting weekly reports of tasks being completed including recommendations for additional service or issues discovered during normal maintenance visits. Reports will be specific to greenways or project areas. Firms should also provide a schedule of tasks planned for the upcoming two weeks and be open to coordination or modification with the District and its partners as needed.

The areas included in this Request for Bids are divided into sections and an itemized bid sheet is included herein. The included areas are: CityArchRiver, Other, Mowing, Conservation and As- Needed. As-Needed services are those that will be determined by the District during the design

and construction of greenway projects as well as other projects that the District determines a need for contracted assistance. Multiple firms may be awarded or reserved for the As-Needed portion of this Request for Bids.

HOURLY RATE FOR MAINTENANCE Each project may require additional services for regular maintenance outside of the Scope of Services for unforeseen services such as vandalism, accidents, replacement of amenities or various other services needed that are associated with park operations and maintenance. An hourly rate is requested in the bid page at the end of this Request for Bids. Any additional services will be billed at this rate. Material costs will be passed onto the District and shall be included in invoices. Based on past contracts, the District anticipates, but does not guarantee, the need for an additional 2700 hours of service across all contract areas.

Pre-Bid Meeting – Subcontractor Introduction An optional pre-bid meeting is will be scheduled at Kiener Plaza Park. This is an opportunity to ask questions, see one of the project sites and for general contractors to meet with potential subcontractors. This pre-bid meeting will be held outside and we will be practicing all social distancing guidelines as outlined by the City of St. Louis and the Center for Disease Control (CDC). Facemasks must be worn at all times during the pre-bid meeting. Parking is available along the surrounding streets.

CITYARCHRIVER

Mississippi Greenway: Leonor K. Sullivan Boulevard Chouteau Ave. to Biddle St. (Figure 1) City of St. Louis is responsible for the primary care of this roadway however, the District has agreed to support the increased level of care necessary following the improvements to the riverfront completed in 2016. The selected firm will be responsible for the steps and levee sidewalk east of Lenore K. Sullivan Blvd. Snow, ice and flood debris removal will not be required. Gateway Arch Park Foundation and the City of St. Louis will be responsible for all programming and special events that take place on Leonor K. Sullivan Blvd. Maintenance activities around these events shall be closely coordinated with all parties involved. The selected firm will be responsible for: 1. Daily, or as needed, patrol of the area between Chouteau Avenue and Biddle Street, including the Port Cochere, to keep the area free of litter, broken glass and trash from the street, sidewalks, bike path, and viewing areas. Patrols to take place before 9:00 a.m. CST. Special events will be permitted by the City of St. Louis and thus, cleanup is the responsibility of the permit holder and not of the firm under contract for the services listed here. 2. Removal of graffiti, tagging, stickers, posters, etc. from signs, bollards, chains, railings and site furnishings. Excessive graffiti found on the floodwall may be addressed on a per instance basis and coordinated with District staff and the City of St. Louis pursuant to one or more separate contracts or amendments. 3. Emptying of receptacles are the primary responsibility of the City of St. Louis, however due to a variety of peak user times, there may be a need to supplement the negotiated scope of services with additional services when receptacles are found full or overflowing, which may be addressed pursuant to one or more separate contracts or amendments. Dumpsters are located nearby for firms contracted for maintenance. 4. The selected firm will be responsible for maintaining at least twenty (20) concrete containers with perennial plants located along Leonor K. Sullivan. Maintenance to include watering, weeding, pruning, mulching, fertilizing as necessary to maintain plants in good condition. Planters are approximately three (3) feet wide and two and a half (2 ½) feet tall. Planters are located at strategic locations along the Greenway to limit illegal access by vehicles. 5. The selected firm will be responsible for mulching and weeding bald cypress trees planted along the Mississippi Greenway on the east side of Leonor K. Sullivan Blvd. This will include weeding, as necessary, cobblestones north and south of each tree pit and two mulch beds with trees at the Port Cochere. The selected firm will be responsible for inspections of aeration pipes, with pipe and grate cleanout performed following each flooding event. If a flood does not occur clean out of pipes and grates will occur once a year. There are two (2) pipes with two (2) grates each per tree pit. 6. The selected firm will be responsible for mulching, weeding, watering, etc. involved with regular care of shrub beds located at the intersection of Leonor K. Sullivan and Chouteau Avenue. Regular turf maintenance in this area to be completed by others. 7. The selected firm will be expected to report damage, vandalism, potential maintenance, and/or any issues they encounter during their regular maintenance activities along and immediately adjacent to Leonor K. Sullivan Boulevard to District staff. 8. Following major flooding events in which Leonor K. Sullivan Blvd. is underwater and cleanup is necessary, the selected firm may be called upon to assist and compensation will be outside of the normal duties listed in the negotiated scope of services, which may be achieved pursuant to one or more separate contracts or amendments

East Slopes on the Gateway Arch Grounds (Figure 2 and 3) 1. The National Park Service is responsible for the primary care of the east slopes on the Gateway Arch National Park Grounds, and the District has agreed to provide the following maintenance services. The selected firm will be responsible for litter pick up throughout the entire east slopes as outlined on the images. 2. The selected firm will be responsible for weeding at least one time per week, this will include invasive species, a pre- and post-emergent may be applied, the specific National Parks Service (NPS) approved Herbicides list will provided. 3. The selected firm will be responsible for cutting the Blue Lyme Grass back in early Spring before new growth, small gas-powered equipment may be used on this site. 4. The selected firm will not be responsible for irrigation, this to be performed by NPS, but in an effort to maintain a high-quality landscape if issues are noticed, the selected firm shall notify the District immediately. 5. The selected firm shall be responsible for cultivating and mulching one time a year, in the spring after the Blue Lyme grasses have been cut back. 6. The selected firm must comply with the following security protocols for the Arch grounds

A. Security Review: Prior to entry into the site, the selected contractor shall submit the Name, Social Security Number, Date of Birth, Place of Birth, Address, and Valid Driver’s License of each employee performing work to a contact to be designated by the District, and shall have the employees fill out questionnaires and other forms required for security.

B. Identification Badge: All work personnel will be required to wear a Government- issued identification badge at all times when on site regardless of duration of work. Personnel who will be at the site one or two times for the duration of the project do not require an identification badge or background check, however, they shall be logged into the security guard’s logbook and be escorted by personnel while on site. More than two visits by any persons shall require a background check and identification badge. 1. Identification badges may take up to 24 hours to issue. Delays in work due to the selected firm’s personnel not having the required Government-issued identification badge shall be at no cost to the District or the National Park Service

Kiener Plaza

City of St. Louis has primary responsibility of Kiener Plaza (Figure 4), and Kiener Plaza will continue to be operated as a City of St. Louis Park. Gateway Arch Park Foundation and the City of St. Louis will be responsible for coordinating all programming and special events that take place in Kiener Plaza and coordination of maintenance activities around these events shall be closely coordinated with all parties involved. Snow and ice removal are performed by others and will not be required. The selected firm will be responsible for: 1. Daily patrols to keep the park free of litter and debris, maintain a clean and inviting environment. The City of St. Louis Parks Department is responsible for daily, Monday through Friday, emptying of trash receptacles and litter removal, however supplemental service may be necessary if receptacles are found to be at or near capacity. Regular issues of receptacles at capacity will be addressed by the District and City of St. Louis staff. Dumpsters are located nearby for firms contracted for maintenance. Special events will be permitted by the City of St. Louis and thus, cleanup is the responsibility of the permit holder and not of the firm under contract for the services listed here. 2. Emptying recycling receptacles as needed during regular maintenance visits. Recycling may be deposited in dumpsters located at 1 O’Fallon Street unless other arrangements are made. 3. Maintaining planting beds in good health, free of weeds and debris, pruning and dead heading as needed to maintain plant health and safety of the park. No synthetic pesticides, herbicides or fertilizers are to be used in the care of these sites. Any request for exceptions shall be made in writing to the District, product labels included and approved prior to use. Corn Gluten to be applied one time in Spring (according to product label), and the product will be provided by the District staff. Trees to be maintained by City of St. Louis Forestry Staff, but minor pruning to remove limbs obstructing pathways or seating areas will be necessary by the selected firm on an occasional basis or to correct damaged limbs from park use. Mulch to be applied once a year in the spring. Mulch to be composted leaf mulch, and submittal to the District shall be made prior to mulch being applied. 4. Observation of irrigation system to ensure a functioning system, adequate water is being applied to maintain plants in good health but not overwatering and when alterations to irrigation system or programming is needed it will be completed by District staff. Coordination of winterization will be done with District and City staff. 5. Performing all necessary tasks including regular mowing to maintain a well-kept appearance (approximately once a week, to be adjusted per seasonal needs), weeding,

fertilizing, aerating, overseeding, etc. to maintain a high-quality turf environment. Large mowing equipment, aggressive tread tires and wide mower decks with the potential to cause undue compaction or damage to the turf, trees or park amenities will not be acceptable. Walk behind mowers are preferred over riding mowers. Turf maintenance should not include any synthetic pesticides, herbicides or fertilizers; exceptions will be considered by all parties involved in the care of Kiener Plaza. Remediation of damaged turf, increased service due to special events or programming may be achieved pursuant to one or more contracts or amendments. A. Mowing height to be 3.5 inches unless otherwise directed by District staff B. Aeration/seeding/fertilizing to be completed once a month March-November if extra services are needed, it will be on an as needed basis and will be addressed on a per instance basis outside of the base contract and coordinated with District staff. Grass seed and fertilizer will be provided by District staff. 6. Removal of graffiti, tagging, stickers, posters, etc. from signs, railings and site furnishings, playgrounds, pavers, etc. Excessive graffiti will be addressed on a per instance basis and coordinated with District staff and the City of St. Louis. 7. Routine care and maintenance of all hard surfaces, including pavers and decomposed granite, to maintain a safe walking surface and free of incidental foreign material including leaves, mulch, gum, cigarette butts, discarded food, etc. Care should be taken to not jeopardize the polymeric sand between pavers. Damage done during cleaning shall be repaired by the firm. 8. Cleaning as necessary all signage, site furnishings, drinking fountains, playground equipment, benches, trash receptacles, railings etc. in Kiener Plaza to be kept free of excessive dirt, discarded food, debris, bird droppings, etc. 9. Inspect entirety of Kiener Plaza for damage, vandalism, accidents, water leaks or any other maintenance need, to be conducted by the selected firm or other agency/firm involved in the care and maintenance of Kiener Plaza and reported to District upon discovery. This should include sidewalks, curbs, handicap accessible ramps, truncated domes, etc. which are located on all four side of the park. Regular inspections shall also include playgrounds for signs of damage or unsafe conditions. The selected firm is not required to have a Certified Playground Safety Inspector (CPSI) Certification but if the selected firm has staff that possess such certification, the selected firm will provide such employees’ names and certification numbers. 10. The selected firm will be responsible for monthly inspections of aeration and underdrain pipes, with pipe and grate cleanout performed as required for all trees within the decomposed granite area. 11. The selected firm shall perform all daily tasks for the splash pad/wall fountain, including clean-out of 13 filters, maintain pump functions by backwashing and rinsing pump on a daily basis, testing pH and chlorine levels and keeping a daily log of these levels. Water feature under operation for four months from approximately mid-May to mid-September. 12. The District will provide copies of the approved operations and maintenance manuals to the selected firm. Activities performed by the selected firm shall be in conformance with recommendations found in the operations and maintenance manuals.

Memorial Avenue and Washington Avenue Planters

Two (2) planter beds are located on the 400 Block of Memorial Avenue (Figures 5-10) and one (1) located on the 300 Block of Washington Avenue (Figures 7-8). Raised planters on Memorial contain Bald Cypress and American Beautyberry as a ground cover. The bed on Washington Ave. is only ground cover of American Beautyberry. The selected firm shall be responsible for: 1. Maintaining planting beds and trees in good health, free of weeds and debris, pruning and dead heading as needed to maintain plant health. No synthetic pesticides, herbicides or fertilizers are to be used in the care of these sites. Any request for exceptions shall be made in writing to District with product labels included and approved by District prior to use. a. Corn Gluten to be added in spring time for the pre-emergent, and product will be supplied by District staff. 2. Turning mulch and top dressing to maintain a depth of no more than 3” of composted leaf mulch. Mulch shall not be mounded (i.e. volcano mulch) on stems of any plant material in the beds. Mulch to be partially decomposed, milled leaves or shredded pine bark. Mulch shall be free of prohibited weed seed as stated in the Seed Law and shall be relatively free of all other noxious and undesirable seed. The mulch shall be clean and bright, relatively free of foreign material and shall be dry enough to spread evenly. 3. Remove weeds as necessary in the cobble stone pavers surrounding the beds and reporting any damage or maintenance needed to District upon discovery. a. Corn Gluten shall be applied once a year in early spring, and product to be supplied by District staff. 4. Watering as necessary to maintain plants in good health, but during drought conditions watering will need to be weekly, this will be the responsibility of the contractor. Soaker hoses are installed and available for use. Water to be provided by the contractor at their expense.

5. Replacement planting as needed in spring 2021 will be determined with District staff and may be addressed pursuant to one or more contracts or amendments. 6. Plants to be pruned during the dormant season, prior to the spring season.

Walnut Street and Pine Street Pedestrian Canopies The selected firm will be responsible for patrolling this structure on Walnut Street (Figure 11-13) and a matching canopy north of Walnut on Pine Street (Figure 11) for litter, debris, graffiti, stickers, postings, etc. and cleaning as necessary to maintain a safe and clean walking surface. Snow and ice removal will be performed by others and is not required.

OTHER

Mississippi Greenway: Riverfront Trail (Biddle Street to Old Chain of Rocks Bridge)

City of St. Louis has primary responsibility for the care and maintenance of this segment of Greenway, excluding the Old Chain of Rocks Bridge and surrounding property. The selected firm will be responsible for: 1. Trash and debris removal from trail including receptacles at the Mary Meachum Freedom Crossing Building. This includes litter, broken glass, rocks, dirt, tree and vegetation debris from storms, illegal dumping and other activities that occur on the trail or within 25 feet of the trail. Glass to be swept from the McKinley Bridge Bikeway over the Mississippi River to the Illinois side, on a regular basis. Large piles of illegal dumping to be reported to the District for the City of St. Louis to address. 2. Maintaining trail nodes, rest stops and parking lots, free of debris, litter, weeds, overgrown vegetation and graffiti. Areas are identified in Figures 14 – 21 and are as follows. River des Peres Greenway: Carondelet Connector

The City of St. Louis has primary responsibility of Carondelet Park. The Carondelet Connector runs from Carondelet Park at the Loughborough Avenue overpass and travels south along I-55 and ends at the intersection with Germania Ave. (Figure 22) The selected firm will be responsible for keeping this segment free of debris, litter, weeds, overgrown vegetation and graffiti. Such maintenance shall include: 1. Trash and debris removal from the trail and 25 feet from the centerline. 2. Removal of broken glass from the trail, trail crossings and other areas that present a safety hazard. 3. Restocking and maintaining one (1) pet waste bag dispenser. 4. Inspection of the trail for illegal activity, graffiti, vandalism, accidents or other activities that damage the trail, assets, landscaping and signage. Graffiti removal as needed on greenway assets. 5. Landscape maintenance of planting beds and landscape trees along this greenway segment including weeding, watering, pest control and pruning as needed. Weeds to be removed mechanically or with chemical herbicides. Pre-emergent herbicides may be used at a cost to the selected firm. Mulching to be coordinated by the District and scheduled in accordance with the selected firm. 6. Annual cutting back of perennial vegetation and shrub pruning prior to the spring of each season. 7. Bi-Monthly mowing on turf from fence along railroad to the property line. 8. Notification of issues or concerns to District staff on a weekly basis.

St. Vincent Greenway: Forest Park Parkway north to Etzel Ave (in Ruth Porter Mall Park)

City of St. Louis Parks Department is responsible for the care and maintenance of Ruth Porter Mall Park and mowing of the turf median along DeBaliviere Avenue (Figures 23 – 24). The District has some primary responsibility for specific amenities and is supplementing the care of some aspects of this Greenway. The selected firm will be responsible for keeping this segment free of debris, litter, weeds, overgrown vegetation and graffiti. Such maintenance shall include: 1. Litter, broken glass and debris removal from the greenway and park. Emptying trash receptacles is the responsibility of the City of St. Louis, however full or overflowing receptacles should be emptied by the contractor during normal site visits. 2. Restocking and maintaining three pet waste bag dispensers. Bags will be provided by the District. 3. Cleaning of wayfinding and interpretive signs and all site furnishings to keep free of dirt, debris and graffiti. 4. Weed removal from landscape beds and raised planters throughout the project site including Ruth Porter Mall Park. Weeds can be either hand pulled, chemically treated with an approved herbicide and/or assisted with the use of pre-emergent herbicide at the cost of the selected firm. 5. Annual cutting back of perennial vegetation prior to the spring of each season. 6. Park to be mulched by the District and its volunteers. Coordination of pre-emergent can be coordinated if so desired.

Cherrick Parking Lot – 119 North Leonor K. Sullivan Blvd, 63102

The Cherrick parking (Figure 25) lot is an empty asphalt parking lot with a rock retaining all on the west side. This lot is located along Leonor K. Sullivan Blvd. at the intersection with Dr. Martin Luther King Drive. The selected firm will be responsible for: 1. Trash and debris removal from the lot including litter, broken glass and illegal dumping. 2. Weed control throughout the parking lot and base of the retaining wall during the growing season. 3. Monitoring and maintaining the access restriction (gate) to ensure unauthorized access is prohibited.

Trojan Park and Etzel Parking Lot In Partnership with the City of Wellston and St. Louis County parks, the District has primary responsibility for the care and maintenance of the landscaped beds and storm water facilities. (See Figure 26.) The selected firm will be responsible for: 1. Restocking and maintaining two (2) pet waste bag dispensers. Bags to be provided by the District 2. Inspection of the trail for illegal activity, graffiti, vandalism, accidents, or other activities that damage the trail, assets, landscaping and signage. Graffiti removal to be performed as needed on greenway assets. 3. Landscape maintenance of planting beds and landscape trees in this park including weeding, watering, pest control and pruning as needed. Weeds to be removed mechanically or with chemical herbicides. Pre-emergent herbicides may be used at a cost to the contractor. Mulching to be coordinated by the District and scheduled in accordance with the selected firm. 4. Bi- Annual cutting back of perennial vegetation and shrub pruning prior to the spring of each season. Early spring for standard plant health and early June to maintain visual clearance into the park from the Etzel and Skinker.

5. Blow debris off of the playground surface, walk ways, picnic area and the basketball court while on site for stewardship. 6. Inspection, stewardship and reporting of the storm water facilities. 7. Notification of issues or concerns to District staff on a bi-monthly basis. 8. Maintenance of landscaped beds in the parking lot (to be constructed in 2021). 9. Annual application of mulch to all beds in Trojan and Parking lot. District to supply mulch, and the selected firm will apply.

Gravois Greenway: Mysun to River des Peres The Gravois Greenway from Mysun Charitable Trust Foundation Trailhead running along I-55 and eventually ending at Germania Ave. This segment is nearly complete at time of this posting. The selected firm will be responsible for the following items. (See Figures 27 and 28)

1. Trash and debris removal from the trail and 25 feet from the centerline. 2. Removal of broken glass from the trail, trail crossings and other areas that present a safety hazard. 3. Inspection of the trail for illegal activity, graffiti, vandalism, accidents or other activities that damage the trail, assets, landscaping and signage. Graffiti removal as needed on greenway assets. 4. The selected firm shall water trees and shrubs during drought conditions from April through October. 5. Landscape maintenance of planting beds and landscape trees along this greenway segment including weeding, watering, pest control and pruning as needed. Weeds to be removed mechanically or with chemical herbicides. Pre-emergent herbicides may be used at a cost to the selected firm. 6. Control of invasive and undesirable vegetation with chemical and mechanical methods. 7. Annual cutting back of perennial vegetation and shrub pruning prior to the spring of each season. 8. Inspection, stewardship and reporting of one Storm water basin (H in figure 27). 9. Notification of issues or concerns to District staff on a weekly basis. Immediate communication for illicit graffiti or any criminal activity.

Maline Greenway Monthly Maline Greenway, in Bella Fontaine County Park is maintained in partnership with St. Louis County Parks Department. ( See Figure 29) The selected firm shall perform the following: 1. Maintaining planting beds and tree rings for control of undesirable vegetation. 2. Maintain the native areas by spot mowing to control annual weeds and spot spraying to control perennial invasive species. 3. Landscape maintenance of planting beds and landscape trees along this greenway segment including weeding, watering, pest control and pruning as needed. Weeds to be removed mechanically or with chemical herbicides. Pre-emergent herbicides may be used at a cost to the selected firm. 4. Stewardship on Stormwater Best Management Practice’s (BMP) to be done by selected firm, inspections and reporting shall maintain the responsibility of the County. 5. Watering in drought conditions only.

Fee Fee Greenway and Living Walls In partnership with Maryland Heights and St. Louis County Parks, the Fee Fee Greenway and Trail will require stewardship, bi-annual inspections and reporting of green walls. (See Figures 30 and 31). The selected firm shall be responsible for the following: 1. Remove undesirable and invasive plants by hand weeding using a combination of a bucket truck, ladders and safety harnesses from both planted beds and green walls. 2. Maintain the native areas by spot mowing to control annual weeds and spot spraying to control perennial invasive species. 3. Including biannual inspections of the 4 green walls.

Katherine Ward Burg Garden

The Katherine Ward Burg Garden is located on the South side of the between (See Figure 32), this garden will open approximately April of 2021, services would not start until the District takes over care of the garden. The selected firm shall be responsible for the following tasks:

1. Daily patrols to keep the park free of litter and debris, maintain a clean and inviting environment. 2. Emptying of trash and recycling receptacles as needed during regular maintenance visits. Trash and recycling may be deposited in dumpsters located at 1 O’Fallon Street unless other arrangements are made. 3. Maintaining planting beds in good health, free of weeds and debris, pruning and dead heading as needed to maintain plant health and safety of the park. No synthetic pesticides, herbicides or fertilizers are to be used in the care of these sites. Any request for exceptions shall be made in writing to the District, product labels included and approved prior to use. Corn Gluten to be applied one time in Spring (according to product label), the product will be provided by the District staff. 4. The selected firm will cultivate and mulch gardens and trees one time a year, mulch to be composted leaf mulch and submittal to the District shall be made prior to mulch being applied. 5. Observation of irrigation system to ensure a functioning system, adequate water is being applied to maintain plants in good health but not overwatering and when alterations to irrigation system or programming is needed it will be completed by District staff. Coordination of winterization will be done with District.

6. Performing all necessary tasks including regular mowing to maintain a well-kept appearance (approximately once a week, to be adjusted per seasonal needs), weeding, fertilizing, aerating, overseeding, etc. to maintain a high-quality turf environment. Large mowing equipment, aggressive tread tires and wide mower decks with the potential to cause undue compaction or damage to the turf, trees or park amenities will not be acceptable. Walk behind mowers are preferred over riding mowers. Turf maintenance should not include any synthetic pesticides, herbicides or fertilizers; exceptions will be considered by all parties involved in the care of Kiener Plaza. Remediation of damaged turf, increased service due to special events or programming may be addressed pursuant to one or more contracts or amendments. a. Mowing height to be 3.5 inches unless otherwise directed by District staff b. Aeration/seeding/fertilizing to be completed once a month March-November if extra services are needed it will be on an as needed basis and will be addressed on a per instance basis outside of the base contract and coordinated with District staff. Grass seed and fertilizer will be provided by District staff. 7. Removal of graffiti, tagging, stickers, posters, etc. from signs, railings and site furnishings, chairs, pavers, etc. Excessive graffiti will be addressed on a per instance basis and coordinated with District staff. 8. Routine care and maintenance of all hard surfaces, including pavers, all wood surfaces, to maintain a safe walking surface and free of incidental foreign material including leaves, mulch, gum, cigarette butts, discarded food, etc. Care should be taken to not jeopardize the polymeric sand between pavers. Damage done during cleaning shall be repaired by the firm. 9. Cleaning as necessary all signage, site furnishings, drinking fountains, swings, benches, trash receptacles, railings etc. to be kept free of excessive dirt, discarded food, debris, bird droppings, etc. 10. Inspect entirety of Katherine Ward Burg Garden for damage, vandalism, accidents, water leaks or any other maintenance need, to be conducted by the selected firm or other agency/firm involved in the care and maintenance and report to District upon discovery. This should include sidewalks, curbs, handicap accessible ramps, truncated domes, etc... 11. The District will provide copies of the approved operations and maintenance manuals to the selected firm. Activities performed by the selected firm shall be in conformance with recommendations found in the operations and maintenance manuals. 12. Restocking and maintaining one pet waste bag dispensers. Bags to be provided by the District.

MOWING

The District owns several empty lots not currently associated with a built greenway. These lots shall be mowed by the selected firm on a regular basis during the growing season (April 1 – November 1) as indicated below. 1. All sites indicated for mowing, the grass areas between the street pavement and property lines, excluding heavily wooded areas shall be completely cut in a neat, uniform and accurate fashion. 2. The grass shall be mowed to a cut height of 3.5”, trimmings blown in a fashion as to avoid depositing them on any street, trail or sidewalk. 3. Blowing to remove clippings from sidewalks, trails and streets is required. Blowing to spread out any clumps of grass on the lawn areas is also required. 4. Hand trimming is required at all catch basins, manholes, structures, sidewalks and in locations that mowers cannot reach.

5. Trash shall be removed prior to mowing to avoid spreading litter and debris. Trash shall include litter as well as illegal dumping; illegal dumping shall be reported to the District upon discovery. 6. Firm to provide per acre or per 1000 square foot rate for additional mowing services, outside those listed here, should the District need such services; the District may enter into one or more separate contracts or amendments for such services.

CONSERVATION STEWARDSHIP

Dardenne Greenway: Bluebird Meadow

Bluebird Meadow Located at 1668 Henning Road, Dardenne Prairie, MO 63368 (See Figure 39) Approximately 34.5 total acres of native prairie reconstruction. The selected firm shall be responsible for the following: 1. Spot spraying with appropriate herbicide and spot mowing as needed to control annual weeds and perennial invasive plant species. Anticipated six (6) stewardship visits during the growing season. 2. Winter annual cut down of native prairie reconstruction during the dormant season (February/March). 3. Optional prescribed burn alternate to winter cut down in 2022 or 2023.

Gravois Greenway: Hoffmeister Properties and Gravois Greenway Phase 1 and 3 The selected firm will perform the following maintenance services:

Hoffmeister Properties: Located at 4290, 4350 and 4360 Hoffmeister Ave., St Louis MO 63112 (See Figure 40) Approximately 13.5 total acres of floodplain forest (7.5 acres) and native prairie reconstruction (6 acres). Anticipated six (6) stewardship visits per growing season. Gravois Phase 1 (Figure 41): Located at the Southern entrance to Orlando’s/Mysun Parking and runs on the north and south of the Greenway until Hoffmeister. Stewardship on this site encompasses seeded landscaped areas as well as planted beds at the trailhead around the rest room. Anticipated twelve (12) or bi-monthly stewardship visits per growing season.

Gravois Phase 3 (Figure 42): Wetland area between Hoffmeister and Avenue I. This area is a native plug and seeded landscape. It includes some trees and 6 large planters containing native perennials. Anticipated twelve (12) or bi-monthly stewardship visits per growing season. 1. Spot spraying with appropriate herbicide as needed to control invasive plant species in forested area. 2. Regular mowing and spot spraying with appropriate herbicide of prairie area to control annual weeds and perennial invasive species. Anticipated mowing every three (3) weeks during the growing season in 2021. Spot mowing and spot spraying after 2021. 3. Optional seeding of native prairie area in December 2021 with a no-till seed drill if needed. Seed to be provided. 4. Winter annual cut down of native prairie reconstruction during the dormant season (February/March) in 2022 and 2023. 5. Optional prescribed burn alternate to winter cut down in 2022 or 2023. 6. Blow debris off of the trail surface at Hoffmeister Ave. 2x/week. 7. Landscape maintenance of planting beds and landscape trees in this trailhead including weeding, watering, pest control and pruning as needed. Weeds to be removed mechanically or with chemical herbicides. Pre-emergent may be used at a cost to the contractor outside of seeded landscapes. 8. Notification of issues or concerns to District staff on a weekly basis. Immediate communication for illicit graffiti or any criminal activity.

St. Vincent Greenway: St. Vincent County Park St. Louis County has primary responsibility of St. Vincent County Park, which is located at 7335 St. Charles Rock Road, St. Louis MO 63133 (See Figure 43) Approximately 10 acres of woodland restoration. The selected firm shall be responsible for the following: 1. Spot spraying with appropriate herbicide in woodland areas to control invasive plant species. Anticipated six (6) stewardship visits during the growing season.

Meramec Greenway: Rock Alva Property Located at Rock Alva Road, Sunset Hills, MO 63127 Approximately 19 total acres of floodplain forest (18 acres) and native prairie reconstruction (1 acre).(See Figure 44) The selected firm shall be responsible for the following: 1. Spot spraying with appropriate herbicide as needed to control invasive plant species in forested area. Anticipated six (6) stewardship visits during the growing season. 2. Spot spraying with appropriate herbicide and spot mowing of prairie area as needed to control annual weeds and perennial invasive species. Anticipated six (6) stewardship visits during the growing season in 2021. 3. Winter annual cut down of native prairie area during the dormant season (February/March).

AS-NEEDED SERVICES

The District is seeking firms that are capable of performing conservation or ecological management services throughout the District. These services could include, but are not limited to, installation, establishment, maintenance and restoration of prairies, wetlands, streambanks, woodlands, rain gardens, native planting beds and storm water best management practices (BMP). Specific activities could include, but are not limited to, seeding, planting, mowing, spraying, watering, weeding, tilling, burning, site preparation, earth moving, erosion control, mulching, and performing storm water BMP inspections and subsequent MSD reporting required for permitting purposes.

Firms shall have proven ability to perform the above referenced services and tasks and be able to provide references if called upon. Firms may also subcontract all or portions of this work, but those firms shall be listed in the bid packet and their references will be called upon to confirm competencies. Firms shall possess, or have access to, the equipment necessary to perform the services included.

Projects may range from performing a single maintenance activity to taking on all responsibilities related to the establishment and care of a landscape or habitat for one to three years.

Interested firms should submit qualifications, experience and fees associated with these types of services. The District will reserve the right to accept bids from multiple bidders under this section. Once the District’s Board of Directors accepts bids from vendors under this section, the District is under no obligation to enter into a subsequent contract. The District further retains its right to enter into a contract with alternative firms in accordance with its procurement policies. Areas of expertise the District is seeking along with associated costs are as follows:

1. Mowing-turf: walk behind or riding mower, landscaped or turf maintenance 2. Brush hogging: tractor or skid steer mounted rotary mower 3. Chemical treatment: identification of desirable and undesirable vegetation; treatment of undesirable or invasive plants with various equipment to achieve the desired outcomes. Applicators shall be compliant with Missouri Department of Agriculture Pesticide Applicators License Requirements and be able to provide proof of such. 4. Site preparation: tilling, disc/harrow, rough and finish grading, hauling and filling, disposal of fill material as needed per project. 5. Brush clearing-hand: cutting with hand tools or power tools, stump treatment with appropriate herbicide, dragging, chipping or disposal included 6. Brush clearing-mechanized: forestry or grinding cutter, tractor or skid steer mounted (i.e. Fecon or forestry cutter) 7. Arborist Services: individual tree removal; landscape or street tree removal; hazard tree removal; stump grinding; brush chipping; aerial lift operation and/or tree climbers; pest and disease diagnosis and remediation; root pruning; foliage and root fertilization; other arborist activities as needed. 8. Native Seeding: planting native seed with appropriate drill or seeder, seed provided by the District. 9. Planting/plugging: labor to install perennial plants, plugs or container trees; material to be provided by the District. 10. Prescribed burning: Develop burn plans and conduct prescribed burns in a variety of settings including prairie and woodland habitats with varying levels of urban interface. Contractor must have a demonstrated ability to work with local agencies to coordinate burn activities, complying with all required safety protocols. Burn units rage between 5 and 50+ acres. Contractor will be responsible for unit prep, coordination, execution, and mop- up activities.

11. Stormwater BMP maintenance and reporting per Metropolitan St. Louis Sewer District (MSD) permit requirements or similar agency requirements within the jurisdiction of Great Rivers Greenway District

INSTRUCTIONS FOR PREPARING PROPOSALS

General Provisions

Proposals should include all costs associated with the above specifications for one year of maintenance, beginning January 1, 2021 ending December 31, 2021 with an option to renew for two (2) additional one-year terms ending no later than December 31, 2023. The District reserves the rights to (i) award multiple contracts for the scopes of work described in this Request for Bids, (ii) enter into subsequent amendments or contracts for the scopes of work described in this Request for Bids including but not limited to contracts or amendments for additional periods of service connected to the performance of such scopes of work, and (iii) award one contract to a single firm for all services described in this Request for Bids.

Sub-contractors are acceptable and shall be listed in the bid packet along with services or areas those sub-contractors will be assigned. . Percentage of contract intended to be awarded to subcontractor(s) shall also be included. The District reserves the right to reject any and all subcontractors listed by the firm submitting the bid

Any contracts awarded as a result of this Request for Bids will be awarded without discrimination on race, color, religion, age, sex, sexual orientation, or national origin.

Prospective firms shall assure the District that they will comply with The Americans with Disabilities Act of 1990 and Revised ADA Regulations Implementing Title II and Title III, which prohibits discrimination on the basis of disability, as well as all applicable regulations and guidelines issued pursuant to the ADA (42 U.S.C. 12101 et seq.) and 2010 ADA standards for Accessible Design.

Minority and Women Business Enterprise Policies

It is the policy of the District that minority and women-owned businesses shall have the maximum opportunity to participate in the performance of contracts utilizing District funds. Minority and Women Business Enterprise goals of 25/5% have been established by the District; i.e. 25% of the total contract amount to be awarded to Disadvantaged Business Enterprises (DBE) and 5% of the total contract amount to be awarded to Women Business Enterprises (WBE). It is the prospective firm’s responsibility to make a sufficient portion of the work available to sub- contractors to meet the goal, consistent with the availability and capacities of DBE and WBE firms. District reserves the right to negotiate contract participation with qualified respondents. The District may give priority to firms that meet a 25/5% goal of DBE/WBE firms as either prime or sub-contractors.

Proposed DBE/WBE firms either as prime contractor or sub-contractors must be certified by one or more of the following agencies on or before the date of the submission of qualifications:

• Missouri Division of Purchasing and Materials Management

• City of St. Louis: Disadvantage Business Enterprise Program

• St. Louis Minority Business Council

Work Authorization Any contracts awarded pursuant to this Request for Bids will require firms to execute and deliver to the District an affidavit confirming the firm’s enrollment in the E-verify federal work authorization program with respect to its employees, in compliance with Section 285.530 R.S.Mo. as well as a copy of the firm’s E-verify MOU. Firms shall not be required to execute the affidavit and supply an E-verify MOU copy if either (i) the compensation to be paid under the contract is $5,000 or less, or (ii) the firm does not have any employees (though an affidavit attesting that the firm has no employees will still be required).

Insurance Requirements Contractor shall maintain comprehensive general liability insurance, automobile liability insurance, and property liability insurance and worker’s compensation as outlined in the draft contract attached in Exhibit A. The District shall be named as an additional insured on contractor’s comprehensive general liability insurance, automobile liability insurance, and property liability insurance policies. Bidders should address any material variances from the insurance requirements contained in Exhibit A in their bid to the District.

Submission of Proposals: Submit one (1) unbound copy suitable for photocopying and one in pdf format on either a compact disc or flash drive. The following items should be included in a submittal.

• One page letter of interest that includes a synopsis of qualifications of the firm, the primary contact and anticipated project manager stating his/her professional credentials. Please clearly state the individual representing the contractual authority of the firm.

• Provide a brief description of the firm participating in this proposal and its ownership structure. Indicate percentage ownership by women and minorities.

• Profile of firm including number of employees, location, and relevant experience working on similar projects within the last three (3) years. Describe the firm’s experience with local governments, districts or other public/non-profit agencies in the conduction of similar services.

• Completed three page bid sheet (Enclosed) including itemized annual prices to perform the services outlined in this document for 2021- 2023 and any deviations from the listed scope of services.

• Include an hourly rate of pay or per acre rate plus equipment costs as indicated in the bid sheet for work to be performed under the specified areas.

• Provide three (3) references for clients and contracts similar to scope of work in this document.

• Disclose any material agreements, relationships, or employment your firm or team members have that may create a conflict of interest or the appearance thereof.

• Disclose if the firm has ever failed to complete any work awarded to it, attach details.

• Disclose if there are any judgments, claims, arbitration proceedings or suits pending or outstanding against the firm or its officers, attach details.

SELECTION PROCESS District staff will assemble a review committee to evaluate all responses to this Request for Bids. Interviews may be scheduled. The committee may contact any or all respondents to clarify submitted information. Contracts will be awarded to the lowest responsible and responsive bidder whose bid meets the requirements of this Request for Bids. Firms will be notified in writing via electronic mail or letter once the committee has reviewed all materials and selected a candidate.

Important Considerations The District reserves the right, at its sole discretion, to 1) reject any or all submittals when, in its opinion, it is determined to be in the public interest to do so, 2) waive minor informalities of a submittal, 3) cancel, revise, or extend this solicitation, and 4) request additional information which the District deems necessary.

This Request for Bids does not obligate the District to pay any costs incurred by any respondent in the submission of proposal or in making necessary studies or design for the preparation thereof, or for procuring or contracting for the services to be furnished under this request for proposals. The District will give preference to firms located in the District (St. Louis City, St. Louis County and/or St. Charles County) and secondly, in the State of Missouri, when other considerations are equal.

The District intends to utilize the contract in substantially the form attached hereto and incorporated as Exhibit A. Firms should address any material variances from the contract form’s terms in their bids, including but not limited to any proposed variances to the insurance and indemnification provisions therein.

Any contracts awarded pursuant to this Request for Bids will require the contracting company to execute and deliver to the District an affidavit certifying that the company and any company affiliated with it, does not boycott Israel and will not boycott Israel during the term of the contract. This paragraph shall not apply of the compensation to be awarded under the contract is less than $100,000 or if the company has less than 10 employees (though an affidavit attesting that the company has less than 10 employees will still be required). In this paragraph, the terms “company” and “boycott Israel” shall have the meanings described in Section 34.600 of the Missouri Revised Statutes.

TASKS. The payment of this sum shall be made (i) in accordance with written

invoices submitted by the CONSULTANT detailing the work performed, the

person or persons performing the work, the detailed fees and costs therefor

grouped by subproject code as indicated by DISTRICT staff ,and the percentage

of the SCOPE OF WORK that has been completed at the time of invoicing, and

(ii) otherwise in accordance with the payment terms set forth in the attached

SCOPE OF WORK, if any. Notwithstanding anything to the contrary contained

herein, CONSULTANT shall submit an invoice to DISTRICT once per month in

order to ensure timely and accurate bookkeeping and accounting by DISTRICT.

In no event shall CONSULTANT’S total compensation under this AGREEMENT

exceed $XXX,XXX.

3. Consultant’s Period of Service. The CONSULTANT’S services shall be

performed expeditiously and consistent with the CONSULTANT’S professional

skill and judgment, and in conformance with the time for performance set forth in

the SCOPE OF WORK. The CONSULTANT’S period of service shall commence

on the date set forth above and shall continue through December 31, 2021.

Pending approval by DISTRICT’S Board of Directors, DISTRICT shall have the

right to renew this AGREEMENT on the same terms and conditions (including

the SCOPE OF WORK, compensation therefor, and the hourly fees for

ADDITIONAL WORK) set forth herein for two additional one-year periods, from

January 1, 2022 – December 31, 2022, and January 1, 2023 – December 31,

2023, respectively. Notwithstanding anything to the contrary contained herein,

DISTRICT shall have the right to delay the start of or suspend the

CONSULTANT’s performance under this AGREEMENT on a temporary basis

and for any period of time upon providing notice to the CONSULTANT of such

delay or suspension and the reason therefor.

4. Ownership of Deliverables. All plans, drawings, schedules, reports,

summaries and other documents, including those prepared in electronic form,

prepared in accordance with the SCOPE OF WORK and related to the

PROJECT (the “DELIVERABLES”) shall be and become the property of

DISTRICT, and may thereafter be utilized by CONSULTANT only upon written

permission of DISTRICT. Such written permission shall not be unreasonably

withheld. Any reuse, changes, or modifications of the DELIVERABLES beyond

that intended for this PROJECT without the express written consent of

CONSULTANT will be at DISTRICT'S risk and without liability of CONSULTANT.

None of the DELIVERABLES, handouts, or other documents or materials

produced in whole or in part under this AGREEMENT shall be the subject of an

application for copyright on behalf of CONSULTANT or any representatives,

consultants, subcontractors, employees, or agents of CONSULTANT.Meetings.

CONSULTANT shall meet with DISTRICT as and when requested by DISTRICT.

CONSULTANT shall also meet and coordinate with the Street Department of the

City of St. Louis and the Parks Department of the City of St. Louis to the extent

necessary to complete the work under this AGREEMENT.

6. District's Representative. DISTRICT hereby designates Ben Grossman as

DISTRICT’S Representative to act on DISTRICT’S behalf with respect to the

PROJECT (“DISTRICT’S REPRESENTATIVE”). DISTRICT or DISTRICT’S

REPRESENTATIVE shall render decisions promptly to avoid unreasonable delay

in the progress of CONSULTANT'S performance of the SCOPE OF WORK.

7. Consultant's Representative. CONSULTANT hereby designates

______as CONSULTANT'S representative to act on

CONSULTANT'S behalf with respect to the PROJECT (“CONSULTANT’S

REPRESENTATIVE”). CONSULTANT’S REPRESENTATIVE shall not be

changed without DISTRICT'S prior written consent, except in the event that ’S

REPRESENTATIVE is no longer employed by CONSULTANT, in which event

CONSULTANT shall immediately notify DISTRICT in writing of the new

CONSULTANT’S REPRESENTANTIVE.

8. Standard of Care/Relationship of Parties. No agency or employment

agreement is created by this AGREEMENT. CONSULTANT shall be deemed an

independent contractor for purposes of this AGREEMENT. Except as

specifically authorized in writing, CONSULTANT is not authorized to bind

DISTRICT to any contractual obligations. In addition to its obligations to perform

the duties specified in this AGREEMENT, CONSULTANT shall perform its

services hereunder with such professional skill and care ordinarily provided by

such consultants practicing the same profession or trade in the St. Louis

Metropolitan Area.

9. Confidentiality. During the course of performing under this AGREEMENT,

CONSULTANT may become privy to information identified by DISTRICT as

confidential, or which is otherwise considered by its nature to be confidential.

CONSULTANT represents and warrants that it will take all steps necessary to

protect such confidential information consistent with its duties hereunder.

10. Publicity. Unless directed otherwise by the DISTRICT, CONSULTANT shall

include in all publicity generated by it concerning the PROJECT, and which is the

subject of this AGREEMENT, that the PROJECT is "funded, in part, by the Great

Rivers Greenway District."

11. Compliance with ADA and Other Applicable Law. CONSULTANT shall

perform all tasks in compliance with all applicable laws, rules, regulations,

ordinances, and standards, including, but not limited to, the Americans with

Disabilities Act, as Amended, 42 U.S.C. § 12101 et seq., 47 U.S.C.§§225.611

and including all standards set forth in the regulations promulgated by the United

States Department of Justice (2010 ADA Standards and the 2009 Draft Final

Accessibility Guidelines for Outdoor Developed Areas) and Missouri's accessibility

standards set out in the Missouri Revised Statutes at §8.610 et seq., as well as

any modifications, amendments or update to any of these standards in effect

during the term of this AGREEMENT. With regard to any work under this

AGREEMENT involving a trail, trailhead, or any other property owned, leased,

operated, or governed by the Missouri Department of Transportation (“MoDOT”),

CONSULTANT will comply with all requirements of that agency pertaining to this

AGREEMENT. CONSULTANT’S design shall further comply with all other

applicable provisions of Architectural Barriers Act (42 U.S.C. §§ 4151 et seq) and

other applicable laws, regulations and ordinances. Any deviation from the

requirements of this Section 11 must be approved in writing by DISTRICT.

12. Permits, Fees, and Licenses. CONSULTANT shall be responsible for

securing and paying for all permits, fees, and licenses necessary for the proper

execution and completion of the SCOPE OF WORK and the ADDITIONAL

TASKS. CONSULTANT shall give all notices and comply with all laws,

ordinances, rules, regulations and orders of any public authority relating to the

performance of the SCOPE OF WORK and the ADDITIONAL TASKS.

13. Indemnity/Hold Harmless. CONSULTANT agrees to indemnify and hold

harmless DISTRICT, its elected and appointed officials, officers, representatives,

agents and all employees from and against any and all claims, demands, actions,

damages, liability and expense, including reasonable attorneys' and other

professional fees, and the expenses of such parties (“Claims”), in connection with

loss of life and bodily injury and/or damage of property arising from the SCOPE

OF WORK or CONSULTANT’S work and operation under this AGREEMENT,

but only to the extent caused by the negligent acts or omissions, in whole or part,

of CONSULTANT, its officers, agents, employees, representatives, members,

consultants, and/or subconsultants. In addition to the foregoing, CONSULTANT

shall require that any representative, agent, consultant, or subconsultant with

which it enters into any agreements or contracts to perform any work related to

this AGREEMENT agree to hold harmless CONSULTANT and DISTRICT for

any loss or damage caused in whole or in part by the negligent acts or omissions

of said representative, agent, consultant, or subconsultant.

CONSULTANT shall defend DISTRICT, its elected and appointed

officials, officers, representatives, agents and all employees, from and against

any and all Claims, arising in whole or in part out of, in connection with, resulting

from, or incidental to CONSULTANT’S operation under this AGREEMENT.

14. Insurance. CONSULTANT shall maintain comprehensive general liability

insurance, automobile liability insurance, and property liability insurance with

liability limits of not less than $2,000,000.00 for injury to or death of one or more

persons in any one occurrence and $2,000,000.00 for damage or destruction to

property in any one occurrence prior to executing this AGREEMENT. DISTRICT

shall be named as an additional insured on CONSULTANT’S comprehensive

general liability insurance, automobile liability insurance, and property liability

insurance policies. Such insurance shall not be cancelled without prior

notification to the DISTRICT.

If required by applicable law, CONSULTANT shall also maintain Worker’s

Compensation Insurance protecting CONSULTANT against all claims under

applicable state Workers' Compensation laws in the following limit: Statutory

Limit. CONSULTANT’S Worker’s Compensation insurance policy shall also

protect CONSULTANT against claims for injury, disease or death of employees

for which, for any reason, may not fall within the provisions of a Workers'

Compensation law under an Employers Liability policy with the following limits:

Bodily Injury by Accident $ Statutory Limit each accident

Bodily Injury by Disease $ Statutory Limit policy limit

Bodily Injury by Disease $ Statutory Limit each employee

An umbrella or excess liability policy may be used to attain the shown Workers'

Compensation and Employers' Liability limits.

CONSULTANT shall ensure that any of its agents, representatives, consultants,

or subcontractors procured or used in connection with the PROJECT and this

AGREEMENT also maintains insurance policies consistent with the requirements

set forth in this Section 14.

15. Termination. This AGREEMENT may be terminated as follows:

a. For failure to perform or for other breach of the terms of this

AGREEMENT, DISTRICT may terminate by giving

written notice to CONSULTANT, seven (7) days prior the

date of termination or,

b. Without cause, either party may terminate by giving written

notice to the other thirty (30) days prior to the date of

termination.

DISTRICT will pay CONSULTANT for all services and reasonable costs

incurred prior to the date of termination; subject, however, to CONSULTANT

delivering an invoice and supporting documentation in accordance with the terms

set forth in Section 2 of this AGREEMENT. In the event this Agreement is

terminated due to a breach by CONSULTANT, DISTRICT shall have all

remedies available to it at law or in equity.

16. Notice. All notices required or permitted under this AGREEMENT shall be

deemed served when received by personal delivery, by nationally recognized

overnight carrier or certified mail, return receipt requested, postage prepaid at the

following addresses:

17. Waiver. The failure of one party to require performance of any provision of this

AGREEMENT shall not affect that party’s right to require performance at any

time thereafter, nor shall a waiver of any breach or default of this AGREEMENT

constitute a waiver of any subsequent breach or default or a waiver of the

provision itself.

18. Controlling Law/Venue. This AGREEMENT shall be interpreted in

accordance with the laws of the State of Missouri. Any legal proceedings

brought hereunder shall be brought in the Circuit Court of St. Louis County,

Missouri or in the event of Federal jurisdiction, in the United States District Court,

Eastern District of Missouri.

19. Attorney Fees and Costs. In the event that DISTRICT shall institute litigation

or be named as a party to any litigation to enforce or interpret the provisions of

this AGREEMENT, and DISTRICT shall be successful in whole or part in the

prosecution or defense of such litigation, CONSULTANT shall pay all costs,

expenses and reasonable fees incurred or paid by the DISTRICT in connection

with such litigation.

20. E-Verify Affidavit. Concurrently with execution of this AGREEMENT,

CONSULTANT shall execute and deliver to DISTRICT the affidavit attached

hereto as Exhibit B confirming CONSULTANT’S enrollment in a federal work

authorization program with respect to its employees, in compliance with Section

285.530 R.S.Mo. CONSULTANT shall not be required to execute such affidavit if

either (i) the compensation to be paid to CONSULTANT under this

AGREEMENT is $5,000 or less, or (ii) CONSULTANT does not have any

employees. In the event CONSULTANT is not required to execute the affidavit

attached hereto as Exhibit B because CONSULTANT has no employees,

CONSULTANT shall instead execute and deliver to DISTRICT concurrently with

execution of this AGREEMENT an affidavit attesting that CONSULTANT has no

employees.

21. Anti-Discrimination Against Israel Act. Concurrently with execution of this

AGREEMENT, CONSULTANT shall execute and deliver to DISTRICT the

affidavit attached hereto as Exhibit C confirming that CONSULTANT is not

currently engaged in and shall not, during the duration of this AGREEMENT,

engage in a boycott of goods or services from the State of Israel, in compliance

with Section 34.600 R.S.Mo. CONSULTANT shall not be required to execute

such affidavit if either (i) the compensation to be paid to CONSULTANT under

this AGREEMENT is less than $100,000, or (ii) CONSULTANT has less than ten

(10) employees. In the event CONSULTANT is not required to execute the

affidavit attached hereto as Exhibit C because CONSULTANT has less than ten

(10) employees, CONSULTANT shall instead execute and deliver to DISTRICT

concurrently with execution of this AGREEMENT an affidavit attesting that

CONSULTANT has less than ten (10) employees.

22. Warranties and Representations of Consultant. CONSULTANT hereby

represents, warrants, and covenants to DISTRICT that: (1) it has the lawful

power and authority to enter into this AGREEMENT; (2) acting through its duly

authorized officers or representative it has duly authorized the execution of this

AGREEMENT; and (3) neither the execution nor the fulfillment of or compliance

with the terms hereof, conflicts with or results in a breach of the terms, conditions

or provisions of any restriction, agreement, or instrument to which

CONSULTANT is now a party or by which it is bound.

23. Conflict. In the event of any conflict or inconsistency between the provisions of

the body of this AGREEMENT and the exhibits attached hereto, the provisions of

the body of this AGREEMENT shall control and govern.

24. Integration. This AGREEMENT represents the entire integrated agreement

between the DISTRICT and the CONSULTANT, and supersedes all prior

negotiations, representations or agreements, either written or oral.

25. Amendment. This AGREEMENT may be amended only by written instrument

signed by both the DISTRICT and the CONSULTANT.

EXHIBIT A

Scope of Work

EXPECTATIONS

It is the expectation of all parties that these facilities be cared for in a manner to maintain a high-quality park environment for residents as well as visitors to the region. Maintenance approaches and techniques should reflect the desire and expectation that the considerable investments will remain in a high-quality condition through diligent efforts and an attention to detail. CONSULTANT and staff shall conduct themselves in a professional manner at all times while performing the necessary tasks in this highly public area. CONSULTANT shall wear uniforms clearly identifying them with the company name and vehicles clearly marked with name of CONSULTANT. CONSULTANT shall be able to respond to changes in park and facility use during various times of the year and modify their schedules as needed to perform the following scope of services effectively.

SCOPE OF SERVICES

Several areas in the City of St. Louis and St. Louis County are included in the scope of services. Several of these areas are maintained jointly with the City of St. Louis and other municipalities and coordination among DISTRICT, CONSULTANT and those Departments will be imperative.

It will also be the responsibility of the CONSULTANT to contact the District when service or maintenance is needed which falls outside of their scope of service to maintain a high- quality landscape and user experience for the general public.

CONSULTANT will be responsible for submitting reports of tasks being completed including recommendations for additional service or issues discovered during normal maintenance visits. Report will be specific to greenways or project areas. CONSULTANT should also provide a schedule of tasks planned for the upcoming two weeks and be open to coordination or modification with the District and its partners as needed.

Additional Tasks

As specified in the Scope of Work, it is the responsibility of CONSULTANT to contact DISTRICT when service or maintenance is needed which falls outside of their scope of service to maintain a high-quality landscape and user experience for the general public. CONSULTANT may be authorized, pursuant to the procedure set forth below, to respond to issues outside of their scope of services, at the hourly rates set forth below, when coordinated and approved by DISTRICT staff (the “Additional Tasks”). Additional Tasks may include, but are not limited to, replacement of damaged or dead plant material, addressing vandalism or incidents which damage park facilities and assisting with special event preparation, cleanup or remediation of grounds due to high use or flooding.

Requests For and Performance of Additional Tasks
