DISCLOSURE REGARDING SCHEDULES

Prior to the Petition Date, the Debtors’ operations were managed on a consolidated basis. Accordingly, the CRO has been unable to completely ascertain the accurate division of assets and liabilities amongst the debtor entities. The attached schedules reflect the CRO’s current understanding of such division after diligent investigation and communication with the Debtors, the Debtors’ principal, and the Debtors’ staff. Such investigation remains ongoing and the CRO will amend these schedules as necessary to reflect any change in his understanding of the debtors’ pre-petition assets and liabilities.

To that end, the Debtors’ books indicate certain intercompany balances owed to or owing from various non-debtor affiliates. These amounts are indicated in attached Exhibit B-1. The CRO has made no determination regarding the collectability or validity of such amounts.

Additionally, regarding payments to creditors within the ninety-day (90-day) period preceding the Petition Date, Exhibit 3(b) to the Statement of Financial Affairs is provided where applicable. This schedule indicates the best information available to the CRO at this time regarding such payments. The payments were made using non-debtor checking accounts. No payments were made during the ninety-day period using funds from Debtor accounts.
