By subscribing to the Star home delivery service offered by Toronto Star Limited (in this Agreement, “we”, “us”, “our”), you agree that: 1. DELIVERY. We will deliver the to you in accordance with the term, frequency, and delivery start date specified in your subscription order. You are responsible for providing and maintaining current, complete and accurate delivery information. When you go on vacation, we can suspend your home delivery and restart it when you return. If you wish to suspend home delivery for 28 consecutive days or less, we will continue to charge you and will not extend your service. As a home delivery subscriber, access to thestar.com and the Star ePaper will continue to be available to you while you are away. If you wish to suspend home delivery for 29 consecutive days or longer (up to a total of 180 consecutive days), we will continue to charge you and will not extend your service for the first 28 days of the suspension. Starting with the 29 th consecutive day of home delivery suspension, we will provide you with a credit for the remainder of the consecutive suspension days, up to a maximum of 180 days, by extending your home delivery subscription for a term equal to the remainder of the suspension. Thestar.com and the Star ePaper will continue to be available to you throughout the suspension of your home delivery service. We are not able to provide home delivery suspensions for more than a total of 180 days within a one-year period, or home delivery suspensions that last more than 180 consecutive days; if you require a home delivery suspension of more than 180 days, your subscription will be cancelled and the cancellation terms outlined in Section 7 below will apply. FEES. Fees are in Canadian dollars and do not include applicable taxes. You are responsible for paying all fees and applicable taxes in accordance with your subscription order. Subscription prices may vary from time to time. We will provide notice of fee changes or other material changes prior to implementation. If you have a fixed subscription term, any fee changes will apply at the end of the fixed term. If you have a month-to-month subscription, any fee changes will apply in the billing cycle following notification. We may notify you of fee changes or other material changes by email, by mail, online at thestar.com, by notice delivered with your newspaper or printed in the newspaper, or otherwise. If you do not accept the changes, you may cancel your subscription in accordance with this Agreement. If a price is stated in error, as determined in our discretion, we are not required to offer the subscription at that price; but we will notify you of the error and give you the opportunity to cancel your order with a refund if payment has been made. We reserve the right to charge fees for access to, and to change any limits applicable to obtain free access to, all or any portion of the services we offer at any time. In such event, although your access to the applicable service may be restricted or denied, you will not be charged for access unless we obtain your prior agreement to pay such charges. If we temporarily reduce or eliminate the charge for services, content or access that you are currently paying for under different terms, you will not receive a refund. 3. PAYMENT. You may pay for your subscription by pre-authorized monthly payments or by making a pre-payment in full. If you sign up for pre-authorized monthly credit card payments: (a) you represent and warrant that you are the legal cardholder for the credit card provided (or any other credit card that you may provide to us from time to time) (the “ Credit Card ”); (b) you acknowledge that (i) payment for your monthly subscription fee plus applicable taxes will be charged against your Credit Card on a monthly basis, (ii) if a monthly payment date falls on a weekend or statutory holiday, your Credit Card will be charged on the next business day, (iii) our authority to charge your Credit Card will continue until you notify us by telephone or mail to change your payment method (note: it may take up to 10 days to process your request) or until you cancel your subscription, and (iv) you waive your right to be notified of any price increase, except as otherwise set out in this Agreement; and (c) you understand that cancelling this payment authorization applies only to the method of payment and does not affect or have any bearing on your payment obligations to us under the Agreement. If you have a charge on your Credit Card that you believe is incorrect, you must notify us within 90 days of the charge; otherwise, you will be deemed to have accepted the charge as billed. If you sign up for monthly pre-authorized debit card payments, the terms of a Pre-Authorized Debit (“PAD”) Agreement provided to you at the time of sign up will be applicable and are incorporated into these terms by reference. 4. PAYMENT INFORMATION. It is your responsibility to ensure your payment information is up-to-date and accurate so that payment may be made, and to notify us of any changes to your information. If we are unable to charge you for your subscription for any reason (e.g. if your Credit Card expires), you will remain responsible for all charges and we reserve the right to cease delivery of your newspaper. You will be solely responsible for costs incurred in connection with the collection of unpaid amounts, including any collection agency fees. 5. TERM. Subscriptions may be offered on a fixed term or month-to-month basis; however, all subscriptions are continuous and will continue until cancelled. New home delivery subscribers may be required or choose to commit to an initial subscription term of 12 months. At the end of any fixed subscription term, unless you elect to renew your subscription for an additional fixed term, your subscription will automatically continue on a month-to-month basis at the then-current subscription rate for that service, until you cancel your subscription. We may suspend or terminate your subscription at any time and for any reason, with or without notice and without further obligation. 6. OFFERS. Subscription offers may be subject to eligibility criteria, which will be disclosed at the time of offer. Unless otherwise stated, subscription offers and other promotions are limited to one per person, are void where prohibited by law and cannot be combined. We may revoke, terminate, cancel, or modify any subscription offer at any time. 7. CANCELLATION. You may request a cancellation of your subscription at any time by telephoning our Customer Service Centre. Except as otherwise prohibited by law (or as we may otherwise advise you in writing): (a) if you have a fixed subscription term and you cancel prior to the end of the term, you will be charged an early cancellation fee equal to the amount otherwise payable for the remainder of the term, plus applicable taxes; and (b) we require a minimum of 5 business days’ notice prior to the end of your current billing period to cancel your subscription, so if we receive your notice less than 5 business days prior to the end of your current billing period, your cancellation will be effective at the end of your next billing period. You will continue to have the same access and benefits of your service until your cancellation becomes effective. The cancellation fee will be charged using the billing method we have on file at the time of cancellation. 8. REFUNDS/CREDITS. Refunds or credits may be issued in our sole discretion, on a case by case basis. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future. Due to administrative costs, we will not refund amounts of $5 or less. 9. CONTACT. You may manage many aspects of your home delivery subscription online at thestar.com/mysubscription . 10. GENERAL. We may update this Agreement from time to time. If updates are significant, we will provide you with notice as outlined in Section 2, above. Except as otherwise prohibited by law, your continued use of the subscription service following any updates will mean your acceptance of this Agreement as amended. You may not change or assign this Agreement, but we may assign or transfer this Agreement or any of our obligations under this Agreement without your consent. This Agreement is governed by the laws of the Province of Ontario, Canada. Your personal information will be treated in accordance with our Privacy Policy, available at thestar.com/privacy. This Agreement, together with our Privacy Policy, any applicable PAD Agreement and the terms of your subscription order, is your entire agreement with us regarding your use of our subscription service.
