the “Bankruptcy Code”), Rule 2014 of the Federal Rules of Bankruptcy Procedure (the

“Bankruptcy Rules”), and Rule 2014-1 of the Local Bankruptcy Rules for the Southern District

of New York (the “Local Rules”), authorizing the employment and retention of KPMG LLP

(US) (“KPMG (US)”) to provide audit and audit-related services to the Debtors, effective to

March 27, 2020.

In support of this Application, the Debtors rely upon the declaration of Risa T. Morrison,

Managing Director of KPMG (US), annexed hereto as Exhibit B (the “Morrison Declaration”).

In further support of this Application, the Debtors respectfully state as follows:

Jurisdiction and Venue

1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and

1334 and the Amended Standing Order of Reference from the United States District Court for the

Southern District of New York, dated January 31, 2012. The Debtors confirm their consent,

pursuant to Bankruptcy Rule 7008, to the entry of a final order by the Court in connection with

this Motion to the extent that it is later determined that the Court, absent consent of the parties,

cannot enter final orders or judgments in connection herewith consistent with Article III of the

United States Constitution. This matter is a core proceeding within the meaning of 28 U.S.C. §

157(b)(2).

2. Venue in this Court is proper pursuant to 28 U.S.C. §§ 1408 and 1409.

3. The statutory bases for the relief requested herein are sections 105(a) and 327(a)

of the Bankruptcy Code, Bankruptcy Rule 2014(a), and Local Rule 2014-1.

Background

4. On March 27, 2020 (the “Petition Date”), each of the Debtors filed a voluntary

petition for relief under chapter 11 of the Bankruptcy Code.

5. The Debtors continue to operate their businesses and manage their properties as

debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. The

Debtors’ cases are being jointly administered pursuant to Bankruptcy Rule 1015(b) and the

Order Directing Joint Administration of Chapter 11 Cases [Docket No. 29] entered by the Court.

On April 16, 2020, the United States Trustee for the Southern District of New York appointed an

official committee of unsecured creditors in these cases. No trustee or examiner has been

appointed in these cases.

6. Additional information regarding the Debtors’ business, capital structure, and the

circumstances leading to the filing of these cases is set forth in the Declaration of Thomas

Whayne in Support of Chapter 11 Petitions and First Day Pleadings [Docket No. 3] (the “First

Day Declaration”).2

Relief Requested

7. The Debtors request entry of the order, substantially in the form annexed hereto as

Exhibit A, pursuant to sections 105(a) and 327(a) of the Bankruptcy Code, Bankruptcy Rule

2014(a), and Local Rule 2014-1, authorizing them to retain and employ KPMG (US) to provide

audit and audit-related services, effective to the Petition Date, in accordance with the terms and

conditions set forth in the engagement agreement annexed hereto as Exhibit C (the

“Engagement Agreement”).

KPMG (US)’s Qualifications

8. KPMG (US) is the United States member firm of KPMG International, a Swiss

of member firms, each a separate legal entity, located worldwide (“KPMG”).

Morrison Decl. at ¶ 1. The primary auditor for the Debtors is KPMG (UK), the United Kingdom

member firm of KPMG (“KPMG (UK)”). Id. at ¶ 6. The Debtors intend to retain KPMG (UK)

separately. Id. at ¶ 9.

9. KPMG (US) is a firm of independent public accountants as defined in the Code of

Professional Conduct of the American Institute of Certified Public Accountants. Id. at ¶ 2. The

Debtors have selected KPMG (US) to provide audit and audit-related services because of the

firm’s diverse experience and extensive knowledge in the fields of , taxation, and

operational controls for large sophisticated companies both in chapter 11 and outside of

chapter 11. Id. at ¶ 3.

10. For example, KPMG (US) was retained to provide in In re

Alta Mesa Resources, Inc., Case No. 19-35133-MI (Bankr. S.D. Tex. 2019); In re Bristow Group

Inc., Case No. 19-32713-DRJ (Bankr. S.D. Tex. 2019); In re David’s Bridal, Inc., et al., Case

No. 18-12635-LSS (Bankr. D. Del. 2018); In re EXCO Resources, Inc., Case No. 18-30155-MI

(Bankr. S.D. Tex. 2018); In re Gibson Brands, Inc., Case No. 18-11025-CSS (Bankr. D. Del.

2018); In re Pacific Drilling S.A., Case No. 17-131933-MEW (Bankr. S.D.N.Y. 2017).

11. In addition, the Debtors have employed KPMG (US) to provide audit and audit-

related services since 2015. Morrison Decl. at ¶ 4. By virtue of its prior engagements, KPMG

(US) is familiar with the books, records, financial information and other data maintained by the

Debtors and is qualified to continue to provide audit and audit-related services to the Debtors.

Id. As such, retaining KPMG (US) is an efficient and cost-effective manner in which the

Debtors may obtain the requisite services. Id.

Services to Be Provided3

12. Subject to the approval of the Application, KPMG (US) has agreed to continue

providing the Debtors with audit and audit-related services pursuant to the terms and conditions

of the Engagement Agreement. Id. at ¶ 5; Ex. C. Such services include, but are not limited to,

the performance of audit procedures related to the operations of OneWeb Global Limited and its

affiliated entities as of and for the year ended December 31, 2019 (the “Audit Services”) as

instructed by KPMG (UK), the primary auditor for the Debtors. Id. at ¶ 6.

13. KPMG (US) will also provide the following audit-related services (the “Audit-

Related Services”): (a) the adoption of International Financial Reporting Standard 16 (“IFRS

16”); (b) IFRS 16 lease accounting; and (c) special audit-related projects (such as research)

and/or consultations on special business or financial issues. Id. at ¶ 7. In addition, KPMG (US)

will provide such other consulting, advice, research, planning, and analysis regarding the Audit

and Audit-Related Services as may be necessary, desirable or requested by the Debtors from

time to time. Id. at ¶ 8.

No Duplication of Services

14. As mentioned above, KPMG (UK) is being separately retained by the Debtors to

perform the Debtors’ audit as of and for the year ended December 31, 2019. Id. at 9. In

connection with such engagement, KPMG (UK) has instructed KPMG (US) to perform the Audit

Services. Id. Pursuant to the Engagement Agreement, the results of the Debtors’ audit as

performed by KPMG (US) will be reported directly and only to KPMG (UK). Id.

15. KPMG (US) will coordinate with KPMG (UK) to minimize any duplication of

services. Id. at ¶ 10. In addition, KPMG (US) understands that the Debtors will coordinate with

KPMG (UK) and the Debtors’ other retained professionals to minimize any duplication of

services among such professionals. Id.

Professional Compensation

16. In consideration of the services to be provided by KPMG (US), subject to this

Court’s approval, the Debtors will compensate KPMG (US) for the Audit and Audit-Related

Services in accordance with the terms and conditions of the Engagement Agreement.

Compensation will be based upon the hours actually expended by each assigned professional at

each professional’s hourly billing rate. Id. at ¶ 21. The majority of fees to be charged reflect a

reduction of approximately 50% from KPMG (US)’s normal and customary rates, depending on

the types of services to be rendered. Id. at 22. If the hourly rates are increased, KPMG (US)

requests that, with respect to the work performed after such increase, the rates listed below be

amended to reflect the increase. Id.

17. The Debtors will compensate KPMG (US) for the Audit-Related Services as

follows:

18. In addition, pursuant to the Engagement Agreement, KPMG (US) received a fixed

fee for the Audit Services in the amount of $240,000 prior to the Petition Date. Id. at ¶ 23.

Although, out of an abundance of caution, the Debtors are seeking to retain KPMG (US) to

continue to provide such services postpetition, the Debtors owe no additional fees to KPMG

(US) for the Audit Services, and, unless otherwise required by the Court, KPMG (US) does not

intend to file fee statements or applications in these cases related to the Audit Services. Id.

19. Finally, KPMG (US) will seek reimbursement for all reasonable and necessary

expenses incurred by KPMG (US), which shall include, but not be limited to, meals, lodging,

travel, photocopying, delivery service, postage, vendor charges and other out-of-pocket

expenses, incurred in providing professional services. Id. at ¶ 24. The compensation and

reimbursement structure described in paragraphs 15-19, collectively, will be referred to herein as

the “Fees and Expense Structure.”

20. The Debtors understand that KPMG (US) will apply to the Court for allowance of

compensation and reimbursement of expenses in accordance with the General Order M-412

(Order Establishing Procedures for Monthly Compensation and Reimbursement of Expenses of

Professionals, dated December 21, 2010 (Gonzalez, C.J.)), Administrative Order M-447

(Amended Guidelines for Fees and Disbursements for Professionals in Southern District of New

York Bankruptcy Cases, dated January 29, 2013 (Morris, C.J.)), and the U.S. Trustee Guidelines

for Reviewing Applications for Compensation and Reimbursement of Expenses Filed Under 11

U.S.C. § 330 (Appendix A to 28 C.F.R. § 58) (collectively, the “Fee Guidelines”), the applicable

provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, and any applicable

orders of the Court. Morrison Decl. at ¶ 25. KPMG (US) has agreed to accept as compensation

such sums as may be allowed by the Court and understands that all interim and final fee awards

are subject to the Court’s approval. Id. at ¶ 26.

21. According to KPMG (US)’s books and records, during the ninety-day period prior

to the Petition Date, KPMG (US) received $240,000 from the Debtors for professional services

performed and expenses incurred. Id. at ¶ 27.

22. To the extent the Application is granted, KPMG (US) has agreed to waive any

amounts owed for professional services rendered prior to the Petition Date. Id. at ¶ 28.

23. Except as set forth in paragraphs 18 and 21, (a) no commitments have been made

or received by KPMG (US) with respect to compensation or payment in connection with these

cases other than in accordance with the provisions of the Bankruptcy Code; and (b) there is no

agreement or understanding between KPMG (US) and any other entity, other than a member,

partner or regular associate of KPMG (US), for the sharing of compensation received or to be

received for services rendered in connection with these proceedings. Id. at ¶ 29.

KPMG (US)’s Disinterestedness

24. As set forth in the Morrison Declaration, KPMG (US) has represented to the

Debtors that it neither holds nor represents an interest adverse to the Debtors’ estates and is a

“disinterested person” as that term is defined in section 101(14) of the Bankruptcy Code. Id. at

¶¶ 12-13.

25. Except as set forth in Schedule 2 to the Morrison Declaration, (a) KPMG (US)

has no connections with the creditors, any other party-in-interest, or their respective attorneys

and accountants and (b) the KPMG (US) partners and professionals working on these matters are

not relatives of and have no known connection with the U.S. Trustee or of any known employee

in the office thereof, or any United States Bankruptcy Judge in the Southern District of New

York. Id. at ¶ 14. On an ongoing basis, KPMG (US) will conduct further reviews of its

professional contacts as it becomes aware of new parties of interest, as is stated below. Id. at ¶

12.

26. KPMG (US) has in the past been retained by, and presently provides and likely in

the future will provide services to, certain creditors of the Debtors, other parties-in-interest and

their respective attorneys and accountants in matters unrelated to these chapter 11 cases. Id. at ¶

15. KPMG (US) currently performs, has previously performed, or may have performed such

services for the entities listed in Schedule 2 attached to the Morrison Declaration; however,

except as disclosed, such services are unrelated to the Debtors or their chapter 11 cases. Id.

27. During the time of its engagement, KPMG (US) will not provide, any

professional services to any of the creditors, other parties-in-interest, or their respective attorneys

and accountants with regard to any matter related to these chapter 11 cases. Id. at ¶ 16.

28. KPMG (US) cannot assure that an engagement will not be accepted by a foreign

member firm of KPMG for another party that may bear upon KPMG (US)’s engagement by the

Debtors. Id. However, to the extent KPMG (US) is aware of such engagement and believes

such engagement may bear upon KPMG (US)’s engagement by the Debtors, KPMG (US) will

file a supplemental declaration with the Court. Id. at 18.

29. As stated above, KPMG (UK) is being separately retained by the Debtors and will

file separate fee applications in these cases. Id. at 9. KPMG (US) has agreed to assist KPMG

(UK) with respect to all fee matters in these cases. Subject to the Court’s approval, KPMG (US)

intends to bill KPMG (UK) for such services, and KPMG (UK) will include such costs in its fee

applications. Id. at ¶ 17.

30. From time to time, when necessary to the performance of its professional duties

and services to the Debtors, KPMG (US) may use the services of professionals from the other

member firms of the KPMG network of independent firms (other than KPMG (UK)) and/or

firms and entities controlled by, or under common control with, one or more such member firms

(collectively, the “KPMG Parties”). Id. at ¶ 18. The use of such professionals will allow KPMG

(US) to maximize resources and minimize costs to the Debtors’ estates. Id. KPMG (US) will

pay the KPMG Parties directly for the use of such professionals and will include such amounts in

its fee application at KPMG (US)’s cost without any mark-up or increase. Id.

31. In addition, from time to time, KPMG (US) may use independent contractors,

such as software providers and will include such costs in its fee application at KPMG (US)’s cost

without any mark-up or increase; KPMG will not profit from the use of such persons. Id. at ¶ 19.

32. As part of its practice, KPMG (US) appears in many cases, proceedings, and

transactions involving many different law firms, financial , and investment bankers in

matters unrelated to these bankruptcy cases. Id. at ¶ 20. KPMG (US) has not identified any

material relationships or connections with any law firm, financial or investment

banker involved in these chapter 11 cases that would cause it to be adverse to the Debtors or the

Debtors’ estates. Id. If and when additional information becomes available with respect to any

other relationships which may exist between KPMG (US), foreign member firms of KPMG, or

any KPMG Parties and the Debtors, the Debtors’ creditors, or any other parties-in-interest which

may affect these cases, KPMG (US) will file supplemental declarations describing such

information. Id.

Basis for Requested Relief

33. The Debtors seek authority to retain and employ KPMG (US) as their auditors

under section 327 of the Bankruptcy Code, which provides that a debtor in possession is

authorized to employ professional persons “that do not hold or represent an interest adverse to

the estate, and that are disinterested persons, to represent or assist the [debtor] in carrying out the

[debtor’s] duties under this title.” 11 U.S.C. § 327(a). Section 1107(b) of the Bankruptcy Code

provides that “a person is not disqualified for employment under section 327 of the Bankruptcy

Code by a debtor in possession solely because of such person’s employment by or representation

of the debtor before the commencement of the case.” 11 U.S.C. § 1107(b). As discussed above

and as further detailed in the Morrison Declaration, to the best of the Debtors’ knowledge,

KPMG (US) is a “disinterested person” within the meaning of section 101(14) of the Bankruptcy

Code and does not hold or represent an interest adverse to the Debtors’ estates.

34. The Debtors believe that the Fees and Expense Structure is reasonable and

market-based and should be approved under section 327 of the Bankruptcy Code. The Fees and

Expense Structure adequately reflects: (a) the nature of the services to be provided by KPMG

(US) and (b) the fees and expenses provision typically utilized by KPMG (US) and other leading

financial advisory and consulting firms. KPMG (US) intends to apply for compensation for

professional services rendered and reimbursement of expenses incurred in connection with these

cases pursuant to the procedures set forth in sections 330 and 331 of the Bankruptcy Code, the

applicable Bankruptcy Rules, Local Rules, the Fee Guidelines, and any other applicable

procedures and orders of the Court, with certain limited modifications as set forth in the

proposed Order.

35. In light of the foregoing, the Debtors submit that the relief requested in the

Application is in the best interests of their estates and creditors and requests that the Court

approve the retention and employment of KPMG (US) pursuant to the terms set forth herein and

in the Engagement Agreement.

Relief Retroactive to the Petition Date Is Warranted

36. The Debtors believe that employment of KPMG (US) effective to the Petition

Date is warranted under the circumstances so that KPMG (US) may be compensated for the

services it performed prior to entry of an order approving its retention. Further, the Debtors

believe that no party in interest will be prejudiced by the granting of the retroactive effectiveness

of KPMG (US)’s employment because KPMG (US) has provided and will continue to provide

valuable services to the Debtors’ estates in the applicable period.

37. Moreover, courts in this jurisdiction routinely approve retroactive employment

similar to that requested herein. See, e.g., In re Perdue Pharma L.P., No. 19-23649 (Bankr.

S.D.N.Y. December 23, 2019) (RDD); In re Tops Holding II Corp., No. 18-22279 (Bankr.

pursuant to 28 U.S.C. §§ 1408 and 1409; and notice of the Application having been provided in

accordance with the Order Implementing Certain Notice and Case Management Procedures

[Docket No. 44], and such notice having been adequate and appropriate under the circumstances;

and it appearing that no other or further notice need be provided; and it appearing that the relief

sought in the Application is in the best interests of the Debtors’ estates and their creditors; and

the legal and factual bases set forth in the Application establishing just cause for the relief

granted herein; and upon all of the proceedings had before the Court and after due deliberation

and sufficient cause appearing therefor,

IT IS HEREBY ORDERED THAT:

1. The Application is approved to the extent set forth herein.

2. The Debtors are authorized, pursuant to sections 105(a) and 327(a) of the

Bankruptcy Code, Bankruptcy Rule 2014(a), and Local Bankruptcy Rule 2014-1, to retain and

employ KPMG (US) to provide audit and audit-related services to the Debtors in accordance

with the terms and conditions of the Engagement Agreement, as modified herein, effective to the

Petition Date, and to pay fees and reimburse expenses to KPMG on the terms set forth in the

Engagement Agreement.

3. Except for the services to be provided pursuant to a fixed fee, KPMG (US) shall

be compensated in accordance with sections 330 and 331 of the Bankruptcy Code, the

Bankruptcy Rules, the Local Rules, this Order, and any other applicable orders of this Court.

4. Notwithstanding anything herein to the contrary, because no postpetition fees are

owed to KPMG (US) with respect to the Audit Services, KPMG shall not be required to file fee

statements or applications with this Court with respect to the Audit Services.

5. For all other services provided on an hourly basis that are not included in the

Audit Services, including all expenses to be incurred by KPMG (US), KPMG (US)’s retention

shall be approved pursuant to section 327(a) of the Bankruptcy Code and subject to review under

sections 330 and 331 of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, this Order,

and any applicable orders of this Court, including the Order Establishing Procedures For

Interim Compensation And Reimbursement Of Expenses Of Professionals [Docket No. 106] (the

“Interim Compensation Procedures”). With respect to services provided on an hourly basis,

KPMG (US) shall file time records in one-tenth hour increments.

6. Notwithstanding anything to the contrary in the Engagement Agreement or the

Application, to the extent the Debtors request KPMG (US) to perform any services other than

those detailed in the Engagement Agreement, the Debtors shall seek further approval by the

Court by an application that shall set forth the additional services to be performed and the

additional fees sought to be paid. If any party objects, within fourteen days of the filing of such

new application, the Debtors shall promptly schedule a hearing before this Court. All additional

services shall be subject to the provisions of this Order.

7. Notwithstanding anything to the contrary contained in the Application or the

Engagement Agreement, KPMG (US) shall file interim and final fee applications for allowance

of compensation and reimbursement of expenses pursuant to sections 330 and 331 of the

Bankruptcy Code, the Bankruptcy Rules, the Local Bankruptcy Rules, the Fee Guidelines, and

any other Orders of the Court.

8. Prior to any increase in KPMG (US)’s rates, KPMG (US) shall file a

supplemental declaration with the Court and provide ten (10) business days’ notice to the

Debtors, the United States Trustee and the Official Committee of Unsecured Creditors appointed

in these chapter 11 cases, which supplemental declaration shall explain the basis for the

requested rate increase in accordance with section 330(a)(3)(F) of the Bankruptcy Code and state

whether the Debtors have consented to such rate increase. The United States Trustee retains all

rights to object to any rate increase on all grounds including, but not limited to, the

reasonableness standard set forth in section 330 of the Bankruptcy Code, and all rate increases

are subject to review by the Court.

9. Notwithstanding anything to the contrary in the Application or the Engagement

Agreement, to the extent that KPMG (US) uses the services of independent contractors or

employees of its foreign affiliates (collectively, the “Contractors”) in these cases, KPMG (US)

(i) shall pass-through the cost of such Contractors to the Debtors at the same rate that KPMG

(US) pays the Contractors (i.e., shall seek reimbursement of its actual out-of-pocket expenses

only); and (ii) shall ensure that the Contractors are subject to the conflict checks and disclosures

as required of professionals by Bankruptcy Rule 2014.

10. To the extent there may be any inconsistency between the terms of the

Application, the Engagement Agreement, and this Order, this Order shall govern.

11. The Debtors shall use their reasonable efforts to coordinate with KPMG (US) to

avoid duplication of services provided by any of the Debtors’ other retained professionals in

these chapter 11 cases.

12. Notice of the Application is adequate under Bankruptcy Rule 6004(a).

13. The Debtors are authorized to take all action necessary to effectuate the relief

granted in this Order in accordance with the Application.

14. The terms and conditions of this Order shall be immediately effective and

enforceable upon its entry.

Debtors, effective as of the Petition Date. I have personal knowledge of the matters set forth

herein.9

Qualifications of Professionals

2. KPMG (US) is a firm of independent public accountants as defined under the

Code of Professional Conduct of the American Institute of Certified Public Accountants.

3. The Debtors have selected KPMG (US) to provide audit and audit-related services

because of the firm’s diverse experience and extensive knowledge in the fields of accounting,

taxation, and operational controls for large sophisticated companies both in chapter 11 as well as

outside of chapter 11.

4. The Debtors have employed KPMG (US) since 2015. By virtue of its prior

engagements, KPMG (US) is familiar with the books, records, financial information and other

data maintained by the Debtors and is qualified to continue to provide audit, audit-related

services to the Debtors. As such, retaining KPMG (US) is an efficient and cost effective manner

in which the Debtors may obtain the requisite services.

Services to Be Rendered

5. Subject to approval of the Application, pursuant to the engagement letter, dated

December 11, 2019, attached to the Application as Exhibit C (the “Engagement Letter”), KPMG

(US) will provide audit (the “Audit Services”) and audit-related services (the “Audit-Related

Services”) to the Debtors, as KPMG (US) and the Debtors shall deem appropriate and feasible,

to advise the Debtors in the course of these chapter 11 cases, including, but not limited to, the

services set forth below.10

Audit Services

6. The Audit Services that KPMG (US) will provide to the Debtors pursuant to the

Engagement Letter include, but are not limited to, the performance of audit procedures related to

the operations of OneWeb Global Limited and its affiliated entities as of and for the year ended

December 31, 2019 as instructed by KPMG (UK), the United Kingdom member firm of KPMG

International (“KPMG (UK)”), which is the primary auditor for the Debtors.

Audit-Related Services

7. The Audit-Related Services that KPMG (US) will provide to the Debtors pursuant

to the Engagement Letter include, but are not limited to: (a) the adoption of International

Financial Reporting Standard 16 (“IFRS 16”); (b) IFRS 16 lease accounting; and (c) special

audit-related projects (such as research) and/or consultations on special business or financial

issues.

8. In addition to the foregoing, subject to this Court’s approval of the Application,

KPMG (US) will provide such other consulting, advice, research, planning, and analysis

regarding audit and audit-related services as may be necessary, desirable or requested by the

Debtors from time to time.11

9. KPMG (US) is the United States member firm of KPMG International, a Swiss

cooperative of member firms, each a separate legal entity, located worldwide. KPMG (UK) is

the Debtors’ primary auditor and is being separately retained by the Debtors to provide audit

procedures as of and for the year ended December 31, 2019. In connection with such

engagement, KPMG (UK) has instructed KPMG (US) to perform the Audit Services. Pursuant

to the Engagement Letter, the results of KPMG (US)’s procedures will be reported directly and

10. Subject to KPMG (US)’s compliance with applicable professional standards in its

performance of its services to the Debtors, KPMG (US) will coordinate with KPMG (UK) to

minimize any duplication of services with KPMG (UK). In addition, KPMG (US) understands

that the Debtors will coordinate with the Debtors’ other retained professionals to minimize any

duplication of services between such professionals and KPMG (US).

Disinterestedness of Professionals

11. Based upon information supplied by the Debtors, KPMG (US) searched its client

database to identify any connection or relationship with the parties listed on Schedule 1 attached

hereto and incorporated herein, which lists the following categories:

a. Debtors;

b. Non-Debtors;

c. Debtors’ Trade Names;

d. Current/Former Directors and Officers;

e. S.D.N.Y. Bankruptcy Judges (including visiting Judges);

12. KPMG (US)’s review consisted of queries of an internal computer database

containing names of individuals and entities that are present or recent and former clients of

KPMG (US) in order to identify potential relationships.12 This database includes engagement

activity or potential engagement activity for at least the last three years. A summary of those

current potential relationships that KPMG (US) was able to identify using its reasonable efforts

is reflected in Schedule 2 attached hereto.13 On an ongoing basis, KPMG (US) will conduct

further reviews of its professional contacts as it becomes aware of new parties of interest, as is

stated below. To the best of my knowledge and based upon the results of the relationship search

described above and disclosed herein, KPMG (US) neither holds nor represents an interest

adverse to the Debtors’ estates in accordance with section 327 of the Bankruptcy Code.

13. To the best of my knowledge, KPMG (US) is a “disinterested person” as that term

is defined in section 101(14) of the Bankruptcy Code, as modified by section 1107(b) of the

Bankruptcy Code, in that, KPMG (US):

a. is not a creditor, an equity security holder, or an insider of the Debtors;

b. is not and was not, within two years before the date of filing of these chapter 11

cases, a director, officer, or employee of the Debtors; and

c. does not have an interest materially adverse to the interest of the Debtors’ estates

or of any class of creditors or equity security holders, by reason of any direct or

indirect relationship to, connection with, or interest in, the Debtors or for any

other reason.

14. To the best of my knowledge, except as set forth herein and in Schedule 2

attached hereto and incorporated herein by reference, (a) KPMG (US) has no connections with

the creditors, any other party-in-interest, or their respective attorneys and accountants; and

(b) the KPMG (US) partners and professionals working on these matters are not relatives of and

have no known connection with the U.S. Trustee or of any known employee in the office thereof,

or any United States Bankruptcy Judge of the Southern District of New York.

15. KPMG (US) has in the past been retained by, and presently provides and likely in

the future will provide services for, certain creditors of the Debtors, other parties-in-interest and

their respective attorneys and accountants in matters unrelated such parties’ claims against the

Debtors or interests in these chapter 11 cases. KPMG (US) currently performs, has previously

performed or may have performed such services for the entities listed in Schedule 2, however,

except as disclosed herein, such services, to the extent performed by KPMG (US), are unrelated

to the Debtors or their chapter 11 cases.

16. KPMG (US) has not provided, and will not provide, any professional services to

any of the creditors, other parties-in-interest, or their respective attorneys and accountants with

regard to any matter related to these chapter 11 cases.

17. As stated above, KPMG (US) is the United States member firm of KPMG

International, a Swiss cooperative of member firms, each a separate legal entity, located

worldwide. As also stated above, KPMG (UK), the United Kingdom member firm of KPMG

International, is being separately retained by the Debtors and will file separate fee applications in

these cases; provided that, KPMG (US) has agreed to assist KPMG (UK) with respect to all fee

matters in these cases. Subject to the Court’s approval of the Application, KPMG (US) intends

to bill KPMG (UK) for such services, and it is my understanding that KPMG (UK) will include

such costs in its fee applications. Further, KPMG (US) cannot assure that an engagement will

not be accepted by a foreign member firm of KPMG International for another party that may

bear upon KPMG (US)’s engagement by the Debtors. However, to the extent KPMG (US) is

aware of such engagement and believes such engagement may bear upon KPMG (US)’s

engagement by the Debtors, KPMG (US) will file a supplemental declaration with the Court.

18. From time to time, KPMG (US) may use the services of certain professionals

from the other member firms of the KPMG network of independent firms (other than KPMG

(UK)) and firms and entities controlled by, or under common control with, one or more such

member firms (collectively, the “KPMG Parties”) when necessary to the performance of its

professional duties and services to the Debtors. The use of such professionals allows KPMG

(US) to maximize resources and minimize costs to the Debtors’ estates. KPMG (US) will pay

such KPMG Parties directly for the use of such professionals and will include such amounts in

its fee application at KPMG (US)’s cost without any mark-up or increase.

19. In addition, from time to time, KPMG (US) may use independent contractors,

such as software providers. However, KPMG (US) will not profit from the use of such persons.

20. As part of its practice, KPMG (US) appears in many cases, proceedings, and

transactions involving many different law firms, financial consultants, and investment bankers in

matters unrelated to these bankruptcy cases. KPMG (US) has not identified any material

relationships or connections with any law firm, financial consultant or investment banker

involved in these chapter 11 cases that would cause it to be adverse to the Debtors, the Debtors’

estates, any creditor or any other party-in-interest. If and when additional information becomes

available with respect to any other relationships which may exist between KPMG (US), foreign

member firms of KPMG International, or their partners and professionals and the Debtors, the

Debtors’ creditors, or any other parties-in-interest which may affect these cases, KPMG (US)

will file supplemental declarations describing such information with this Court.

Professional Compensation

21. Subject to the Court’s approval, and in compliance with the applicable provisions

of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, the Fee Guidelines, and such

other procedures as may be established by order of the Court, the Debtors14 will compensate

KPMG (US) in accordance with the terms and conditions of the Engagement Letter, which, in

22. Pursuant to the Engagement Letter, KPMG (US) will seek compensation for the

Audit-Related Services based upon the hours actually expended by each assigned professional at

each professional’s hourly billing rate. The majority of fees to be charged for the Audit-Related

Services reflect a reduction of approximately 50% from KPMG (US)’s normal and customary

rates, depending on the types of services to be rendered. The hourly rates for the Audit-Related

23. Prior to the Petition Date, pursuant to the Engagement Letter, KPMG (US)

received a fixed fee for the Audit Services in the amount of $240,000. Although no fees are

owing to KPMG (US) for Audit Services, out of an abundance of caution, the Debtors are

seeking to retain KPMG (US) to continue to provide such services, and, unless otherwise

required by the Court, because no fees are owed for the Audit Services postpetition, KPMG (US)

does not intend to file fee statements or applications in these cases related to the Audit Services.

24. KPMG (US) also will seek reimbursement for all reasonable and necessary

expenses incurred by KPMG (US), which will include, but not be limited to, meals, lodging,

travel, photocopying, delivery service, postage, vendor charges and other out-of-pocket

expenses, incurred in providing professional services.

25. KPMG (US) intends to file interim and final fee applications for the allowance of

compensation for the Audit-Related Services rendered and reimbursement of all expenses

incurred in accordance with the applicable provisions of the Bankruptcy Code, the Bankruptcy

Rules, the Local Rules, the Fee Guidelines, and further orders of this Court. While it is not the

general practice of audit professionals to keep detailed records similar to those customarily kept

by attorneys, KPMG (US) will maintain contemporaneous time records in one-tenth of an hour

increments for all services rendered to the Debtors on an hourly basis.

26. KPMG (US) intends to apply to the Court for the allowance of compensation for

professional services rendered and reimbursement of expenses incurred in accordance with the

applicable provisions of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, the Fee

Guidelines, and orders of this Court. KPMG (US) has agreed to accept as compensation such

sums as may be allowed by the Court and understands that interim and final fee awards are

subject to approval by the Court.

27. As set forth in paragraph 23, according to KPMG (US)’s books and records,

during the ninety-day period prior to the Petition Date, KPMG (US) received $240,000 from the

Debtors for professional services performed and expenses incurred.

28. To the extent the Application is granted, KPMG (US) has agreed to waive any

amounts owed for professional services rendered prior to the Petition Date.

29. Except as set forth in paragraphs 23 and 27, (a) no commitments have been made

or received by KPMG (US) with respect to compensation or payment in connection with these

cases other than in accordance with the provisions of the Bankruptcy Code; and (b) there is no

agreement or understanding between KPMG (US) and any other entity, other than a member,

partner or regular associate of KPMG (US), for the sharing of compensation received or to be

received for services rendered in connection with these cases.

30. This Declaration is provided in accordance with section 327 of the Bankruptcy

Code, Bankruptcy Rule 2014 and Local Bankruptcy Rule 2014-1.

Ladies and Gentlemen:

KPMG UK, a member firm of KPMG International, has been engaged by OneWeb Global Limited to perform audit procedures as of and for the year ended December 31, 2019. In connection with this engagement, we have been instructed by KPMG UK to perform procedures related to the operations of OneWeb Global Limited and its affiliated entities, hereinafter referred to as “Company”. The results of our procedures will be reported directly and only to KPMG UK. For these services we have been allocated a fee of $240,000. In addition, we will bill you separately, at a rate of 50% of standard rates, for the adoption of IFRS 16, Leases, and for special audit-related projects (such as research) and/or consultations on special business or financial issues. In addition, expenses are billed for reimbursement as incurred. According to instructions from KPMG UK, we have been advised that this amount is to be paid directly by WorldVu Development LLC.

The audit documentation for this engagement is the property of KPMG LLP (“KPMG”). If KPMG receives a subpoena; other validly issued administrative, judicial, government or investigative regulatory demand or request; or other legal process requiring it to disclose the Company’s confidential information (“Legal Demand”), KPMG shall, unless prohibited by law or such Legal Demand, provide prompt written notice to the Company of such Legal Demand in order to permit it to seek a protective order. So long as KPMG gives notice as provided herein, KPMG shall be entitled to comply with such Legal Demand to the extent required by law, subject to any protective order or the like that may have been entered in the matter. In the event KPMG is requested or authorized by the Company, or is required by law, rule, regulation or Legal Demand in a proceeding or investigation to which KPMG is not a named party or respondent, to produce KPMG’s documents or personnel as witnesses or for interviews, or otherwise to make information relating to the audit service under the engagement letter between KPMG UK and OneWeb Global Limited available to a third party, or the Company, the Company shall reimburse KPMG for its professional time, at its then-current standard hourly rates, and expenses, including reasonable attorneys’ fees and expenses, incurred in producing documents or personnel or providing information pursuant to such requests, authorizations or requirements.

The Company and KPMG acknowledge and agree that each shall comply with all applicable United States export control laws and regulations in the performance of each party’s respective responsibilities under this Letter. Unless requested by KPMG to allow it to complete its audit, the Company will not provide KPMG, or grant KPMG access to, (a) information (including technical data or technology), verbally, electronically, or in hardcopy, (b) software or (c) hardware, that is controlled for export by the United States government under the Arms Export Control Act of 1976, Export Administration Act of 1979, the International Traffic in Arms Regulations (“ITAR”), Export Administration Regulations (“EAR”), Department of Energy Part 810 Regulations or Nuclear Regulatory Commission Part 110 Regulations, except information, software or hardware that is

classified as EAR99 under the EAR (“Export Controlled Information”). If KPMG requests Export Controlled Information from the Company, the Company shall provide KPMG with notice of provision of Export Controlled Information at least 48 hours prior to providing such Export Controlled Information to KPMG.

KPMG may work with and use the services of other members of the international KPMG network of independent firms and entities controlled by, or under common control with, one or more KPMG member firms (together with KPMG, the “KPMG Firms”) to complete this engagement. In connection with this engagement, the KPMG Firms may, in their discretion, utilize the services of third party service providers within or outside of the United States to complete this engagement. KPMG Firms and such third parties may have access to your confidential information from offshore locations. In addition, KPMG uses third party service providers within and outside of the United States to provide, at its direction, back-office administrative and clerical, or analytical services to KPMG and these third party service providers may in the performance of such services have access to your confidential information. In particular, KPMG’s audit technologies, software productivity tools and certain technology infrastructure and, necessarily, your confidential information, may be hosted in cloud environments operated by KPMG Firms or such third party service providers. In addition, KPMG Firms may have access to certain of your information in respect to engagement acceptance and other KPMG professional responsibilities such as maintaining independence and performing conflict checks. KPMG represents that it has technical, legal and/or other safeguards, measures and controls in place to protect your confidential information from unauthorized disclosure or use.

All fees, charges and other amounts payable to KPMG do not include any sales, use, excise, value added, income or other applicable , tariffs or duties, payment of which shall be the Company’s sole responsibility, excluding any applicable taxes based on KPMG’s net income or taxes arising from the employment or independent contractor relationship between KPMG and its personnel.

Please note that the audit engagement relationship, agreement or obligation exists between KPMG UK and OneWeb Global Limited only and not between KPMG LLP and OneWeb Global Limited.
