TABLE 2 VIOLATIONS & ACCIDENTS (Table 2 to Sec. 383.51 of the Federal Motor Carrier Safety Regulations) • Three or more accidents within three years, regardless of fault. • Three or more moving violations or accidents (not listed in Table 1) within three years for which points are deducted • Any combination of accidents and moving violations, which equal four or more within three years.

III. Driver Safety Rules • MP Systems has adopted Federal Department of Transportation Motor Carrier Safety Regulations and as such those rules apply to all company drivers. • The use of a company vehicle while under the influence of intoxicants and other drugs is forbidden and is sufficient cause for discipline, including dismissal. • Possession or transportation of intoxicants or illegal substances within company vehicles is forbidden and is sufficient cause for discipline, including dismissal. • No driver shall operate a company vehicle when his/her ability to do so safely has been impaired by illness, fatigue, injury, or prescription medication. • All drivers and passengers operating or riding in company vehicles must wear seat belts, even if air bags are available. • No unauthorized personnel (e.g. Hitch-hikers, family or friends) are allowed to ride in company vehicles. • Drivers are responsible for the security of company vehicles assigned to them. The vehicle engine must be shut off, ignition keys removed, and vehicle doors locked whenever the vehicle is left unattended. If the vehicle is left with a attendant, only the ignition key is to be left. • Headlights shall be used beginning ½ hour before sunset and up until ½ hour after sunrise, or during inclement weather or at any time when a distance of 500 feet ahead of the vehicle cannot be seen clearly. • All other state laws, local laws, or DOT Motor Carrier Safety Regulations must be obeyed. • MP Systems has adopted a GPS fleet technology system as a tool to help with the safety and fleet management. The system will provide the some of the following benefits: o Help employees driving company vehicles understand their driving habits and use, making us aware if adjustments are needed. o Manage regularly scheduled maintenance to reduce down time and extend vehicle life. o Efficiently dispatch the closest available service driver to the next customer call. o Create reports on vehicle and fleet history. o Manage false complaints we receive about driver behavior on the road. o Provide factual data to customers that question hours spent on their projects.

IV. Personal Use of Company Vehicles Company vehicles and equipment are NOT to be used for personal use.

V. Personally Owned Vehicles Used for Company Business • Supervisors and employees who drive personally owned vehicles for company business are also subject to the Fleet Safety Policy and procedures. • The company will reimburse the employee-driver for authorized mileage on company business at the prevailing rate or a fixed monthly allowance. The company will also pay bridge, ferry, road tolls, and parking charges when these expenses are incurred while the vehicle is being used on company business. Union employees will be reimbursed for vehicle expenses as outlined in their respective contracts. • Repairs from damages due to vehicle incidents or act of god (i.e. hail, wild fire, floods, etc.) are the responsibility of the driver and are to be reconciled through the driver’s automotive insurance policy. • Each employee-driver shall comply with all motor vehicle laws and regulations covering vehicle registration, drivers’ license, and state vehicle inspections. The employee will be responsible for maintaining the vehicle in a safe operating condition. • A user of a personally owned vehicle for company business must maintain adequate auto insurance (liability at minimum). The employee must provide a copy of his or her auto insurance identification card to the Company. This identification card must be updated with Branch office any time the employee’s auto insurance carrier changes. • If an employee’s record is such that he would be disqualified from driving a company vehicle, as described in Section III of the policy, he or she must agree to attend a Defensive Driving course before being allowed to drive a personal vehicle on company business. • Drivers are personally responsible for the cost of all citations and parking tickets.

I further acknowledge that my employment with the company may be contingent on the review of my driving record by the company, its customers and its insurer.

FLEET DRIVER’S COMMITMENT

My signature on this form indicates an understanding of my responsibilities as a fleet driver for MP Systems. I have received and will read a copy of the Fleet Safety Policy and agree to fulfill all my responsibilities as listed therein.

These include, but are not limited to:

 Adhering to all policies and procedures governing the operation of my vehicle.  Ensuring all preventive maintenance is performed on my vehicle in accordance with the Manufacturer’s guidelines.  Maintaining a professional appearance and safe operating condition of the vehicle at all times.  Submitting any accident reports and a copy of current drivers’ license as requested.  Inform the company of the suspension or revocation of my license.  Prohibiting use of assigned vehicle by anyone not authorized to drive company vehicles.  Prohibition on using company vehicles for personal use.  Failure to comply with the conditions listed above can result in disciplinary action including termination.
