This document is intended for ASIFMA members and is for informational purposes only. | Not for circulation. | Last updated: 17 March 2021 Executive Order 13959 Overview: The US President issued Executive Order (“EO”) 13959 on 12 November 2020 and amended it on 13 January 2021 under EO 13974. The amended EO prohibits “US persons” from engaging in certain transactions related to publicly traded securities of companies identified as “Communist Chinese military companies” (“CCMCs”) by the US Department of Defense or the US Treasury Department. The EO also mandates that US persons divest such securities by deadlines described in the EO. The prohibition extends to securities that “are derivative of, or designed to provide investment exposure to” publicly traded securities of CCMCs. On 12 March 2021, the US District Court for the District of Columbia granted Xiaomi Corporation’s request for a preliminary injunction concerning its designation as a CCMC on 14 January 2021. As a result, restrictions under EO 13959 will not apply to publicly traded securities of Xiaomi, pending the outcome of the litigation. (Click here for a copy of the Court’s opinion.) Key Points (in Plain Language): • Per Section 4 of EO 13959, a CCMC may be identified by either the Department of Defense or the US Treasury Department (i.e., OFAC). • Per Section 1(a) of EO 13959, the prohibitions under the EO take effect 60 days after the identification of a CCMC. • Per Sections 1(b) and 1(c) of EO 13959, US persons have 365 days from the identification of a CCMC to divest securities covered by the EO. • The definition of “US person” is provided in Section 4(f) of EO 13959 and includes any: o United States citizen, o United States permanent resident alien, o entity organized under the laws of the United States or any jurisdiction within the United States o foreign branches of an entity organized under the laws of the United States or any jurisdiction within the United States; or o person in the United States. • The definition of “US person” does not include entities incorporated outside of the territory of the United States (i.e., foreign subsidiaries of US companies).     July 19, 2021 Hong Kong Business Advisory U.S. Executive Agencies Publish Advisory Discussing Risks and Considerations for Businesses and Individuals Operating in Hong Kong SUMMARY On July 16, the U.S. Departments of State, the Treasury, Commerce, and Homeland Security (collectively, the “Departments”) issued an advisory (the “Advisory”) highlighting what the Departments consider to be the increasing risks businesses, individuals, and other persons face in operating in the Hong Kong Special Administrative Region (“Hong Kong”) of the People’s Republic of China (“PRC”). In light of recent changes to Hong Kong’s laws and regulations, the Advisory seeks to make such persons aware of “potential reputational, regulatory, financial, and, in certain instances, legal risks associated with their Hong Kong operations.”1 CATEGORIES OF RISKS The Advisory identifies four broad categories of risks: (i) risks for businesses following the imposition of the Law of the People’s Republic of China on Safeguarding National Security in the Hong Kong Special Administrative Region (the “National Security Law”); (ii) data privacy risks; (iii) risks regarding transparency and access to critical business information; and (iv) risks for businesses that engage with, or may engage with, sanctioned Hong Kong or PRC entities or individuals. Lawrence On June 30, 2020, China’s National People’s Congress Standing Committee (NPCSC) passed a Specialist in Asian Affairs national security law (NSL) for the Hong Kong Special Administrative Region (HKSAR). Hong Kong’s Chief Executive promulgated it in Hong Kong later the same day. The law is widely seen Michael F. Martin as undermining the HKSAR’s once-high degree of autonomy and eroding the rights promised to Specialist in Asian Affairs Hong Kong in the 1984 Joint Declaration on the Question of Hong Kong, an international treaty between the People’s Republic of China (China, or PRC) and the United Kingdom covering the 50 years from 1997 to 2047. The NSL criminalizes four broadly defined categories of offenses: secession, subversion, organization and perpetration of terrorist activities, and “collusion with a foreign country or with external elements to endanger national security” in relation to the HKSAR. Persons convicted of violating the NSL can be sentenced to up to life in prison. China’s central government can, at its or the HKSAR’s discretion, exercise jurisdiction over alleged violations of the law and prosecute and adjudicate the cases in mainland China. The law apparently applies to alleged violations committed by anyone, anywhere in the world, including in the United States. The HKSAR and PRC governments have already begun implementing the NSL, including setting up the new entities the law requires.

Cronin Ahmad El-Gamal On July 14, 2020, the President issued Executive Order 13936 (“EO”) authorizing the imposition of new sanctions in response to China’s erosion of the autonomy of Hong Kong. The EO was issued to implement the Hong Kong Autonomy Act of 2020, which passed unanimously through both the House and Senate and authorizes sanctions on foreign persons that have been deemed to materially contribute to the Government of China’s failure to meet its obligations to maintain Hong Kong’s autonomy and foreign financial institutions knowingly conducting significant transactions with those persons. The EO expanded the sanctions authorized in the Hong Kong Autonomy Act of 2020 and provides the functional standard for how those sanctions will be implemented. It also directed U.S. government agencies to take the steps necessary to eliminate or terminate any preferential treatment for Hong Kong. The statute and EO expand the authority of the U.S. Departments of State and the Treasury to impose sanctions on Chinese individuals and entities involved in the oppression of Hong Kong and could result in a significant expansion of the number of Chinese persons on the List of Specially Designated Nationals and Blocked Persons (“SDN List”).     ALERT MEMORANDUM Executive Order Eliminates Differential Treatment for Hong Kong July 21, 2020 On July 14, 2020, President Trump issued Executive Order 13936 (the “Executive Order” or “E.O. 13936”)1 implementing a range of changes to United States policy toward Hong Kong in response to China’s new national security law with respect to Hong Kong adopted by the National People’s Congress. The Executive Order follows the Secretary of State’s May 27, 2020, certification to Congress under the Hong Kong Policy Act that Hong Kong no longer maintains a high degree of autonomy from China. This action comes in parallel with the adoption of the Hong Kong Autonomy Act (“HKAA”), the latest in a series of human rights-focused sanctions measures aimed at China (though to date, only at individual Chinese officials and agencies). A fuller description of the sanctions actions can be found in our recent blog posts.2 I. Overview • The 1992 Hong Kong Policy Act, as amended (“HKPA”), Pub. L. 102-383, 22 U.S.C. §§ 5701 et seq., established U.S. policy to maintain relations with Hong Kong separately from mainland China to the extent consistent with the 1984 Sino-British Joint Declaration. The HKPA was amended last November by the Hong Kong Human Rights and Democracy Act of 2019, Pub. L. 116-76. • Under the HKPA, existing U.S. laws and international agreements continue to apply to Hong Kong, notwithstanding the transfer of sovereignty to China.3 • The HKPA, however, allows the President to declare, by Executive Order, that “Hong Kong is not sufficiently autonomous to justify treatment under a particular law of the United States, or any provision thereof, different from that accorded to the People’s Republic of China” and thereby suspend application of the law.4 In E.O.

    February 5, 2021 2020 YEAR-END SANCTIONS AND EXPORT CONTROLS UPDATE To Our Clients and Friends: 2020 was a uniquely uncertain and perilous year. Within the world of international trade, the steady increase in the use of sanctions and export controls—principally by the United States but also by jurisdictions around the world—proved to be a rare constant. In each of the last four years, our annual year-end Updates have chronicled a sharp rise in the use of sanctions promulgated by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), as well as growing economic tensions between the United States and other major world powers. In the final tally, OFAC during President Donald Trump’s single term sanctioned more entities than it had under two-term President George W. Bush and almost as many as two-term President Barack Obama. The raw numbers understate the story, as the Trump administration focused sanctions authorities on larger and more systemically important players in the global economy than ever before, and also brought to bear other coercive economic measures—including export controls, import restrictions, foreign investment reviews, tariffs, and novel measures like proposed bans on Chinese mobile apps and restrictions on U.S. persons’ ability to invest in securities of certain companies with alleged ties to the Chinese military. The pace and frequency of these actions intensified in the Trump administration’s final days—an ostensible attempt to force the hand of the incoming Biden-Harris administration on a number of key national security policy decisions.
