ADT INC. 1501 Yamato Road Boca Raton, FL 33431 NOTICE OF ANNUAL MEETING OF STOCKHOLDERS June 13, 2019 You are cordially invited to attend the 2019 Annual Meeting of Stockholders of ADT Inc. (the “Company”). The Annual Meeting of Stockholders will be held on Thursday, June 13, 2019 at 9:30 a.m., local time, at the Farmer’s Table Event Center, 1901 N. Military Trail, Boca Raton, FL 33431 for the following purposes: 1. To elect Andrew D. Africk, Matthew H. Nord, Eric L. Press and Matthew E. Winter to the Board of Directors of the Company (the “Board of Directors”) as Class II directors, in each case, for a term of three years expiring at the Annual Meeting of Stockholders to be held in 2022; 2. To conduct an advisory vote to approve the compensation of the Company’s named executive officers; 3. To approve an amendment to the Company’s 2018 Omnibus Incentive Plan (the “Omnibus Incentive Plan”) to increase the number of shares authorized for issuance thereunder; 4. To ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2019; and 5. To transact such other business as may properly come before the Annual Meeting of Stockholders, or any postponement or adjournment thereof. Holders of the Company’s common stock, par value $0.01 per share, of record at the close of business on April 22, 2019 are entitled to notice of, and to vote at, the Annual Meeting of Stockholders or any postponements or adjournments thereof. We will furnish proxy materials to our stockholders via the Internet in order to expedite stockholders’ receipt of proxy materials while lowering the cost of delivery and reducing the environmental impact of our Annual Meeting of Stockholders. The Board of Directors (the “Board of Directors”) of ADT Inc. (the “Company”) is soliciting proxies for our 2019 Annual Meeting of Stockholders (the “Annual Meeting”). The Annual Meeting will be held on Thursday, June 13, 2019 at 9:30 a.m., local time, at the Farmer’s Table Event Center, 1901 N. Military Trail, Boca Raton, FL 33431. The information included in this proxy statement relates to the proposals to be voted on at the Annual Meeting, the voting process, the compensation of Directors and our most highly-paid executive officers, and other required information. Our annual report to stockholders for the fiscal year ended December 31, 2018 is available to review with this proxy statement. We are mailing a notice of the Annual Meeting (and, for those who request it, a paper copy of this proxy statement and the enclosed form of proxy) to our stockholders on or about April 29, 2019. What proposals will be voted on at the Annual Meeting? The four matters scheduled to be voted on at the Annual Meeting are: 1. The election of Andrew D. Africk, Matthew H. Nord, Eric L. Anyone owning shares of Common Stock of record at the close of business on April 22, 2019, the record date for this year’s Annual Meeting, is entitled to attend and to vote on all items properly presented at the Annual Meeting. 1 Who is asking me for my vote? The Company is soliciting your proxy on behalf of the Board of Directors. We will pay the entire cost of this proxy solicitation, including the cost of preparing and mailing the Notice of Internet Availability of Proxy Materials and the Proxy Statement. What are my voting rights? Each share of Common Stock is entitled to one vote on each matter properly presented at the Annual Meeting.
