P RESS RELEASE Ad hoc announcement HOLDING AG INTERROLL SELLS BULK HANDLING BUSINESS Sant'Antonino, 4th July 2003. Interroll has successfully concluded negotiations with its long- standing Italian-based partner Rulmeca. As a result, both parties have agreed to the sale of Interroll’s bulk handling business unit to Rulmeca. “In line with our strategy, this deal will allow us to focus on the more lucrative markets of non-bulk conveyor technology and materials handling,” said Interroll’s CEO Paul Zumbühl. “Having aligned our product offering to components and subsystems for internal materials handling, we are now targeting high-growth segments such as food processing and distribution, airport facilities, mail and parcel services, as well as the automotive and electronics industry. The bulk handling markets for cement, gravel, coal, etc. no longer offer dynamic growth.” Established in 1962, Bergamo-based Rulli Rulmeca S.p.A. (Italy) will acquire Interroll’s bulk handling operations in Germany, Spain, the United Kingdom, and Thailand, with 180 employees and combined revenues of approx. CHF 30 million. The bulk handling business will be disposed of without loss, in excess of Interroll’s balance sheet carrying amount. Interroll is one of the world's leading suppliers of components as well as subsystems and modules for materials handling, conveyor technology, and automation. Three global business units manage the Group's international activities, based on an incisive strategy in terms of market and product positioning: Within the Components segment, "Drives & Rollers" mainly focuses on assisting regional engineering companies and original equipment manufacturers. "Automation" and "Dynamic Storage", which operate in the Subsystems segment, are responsible for system integrators, multinational corporations and end-users. Listed on Switzerland's SWX stock exchange, Interroll currently employs approx. 1200 people in 27 companies worldwide. www.interroll.com/ir (Investor Relations) [email protected] www.rulmeca.it If you have any questions, please feel free to contact Interroll on 4th July, 2003, between 10:00 and 11:00 hrs: Paul Zumbühl, CEO Tel. +41 91 850 25 24 Lorenz Köhler, Head of Corporate Communications Tel. +41 91 850 25 21 Interroll Holding AG Tel.: +41/(0) 91/850 25 25 Investor Relations: 1 P.O.
