01 Executive’s Remarks

General Motors had a prosperous year in China in 2012, with an 11 percent sales increase from 2011. That’s primarily because GM and our joint ventures offer the widest range of attractive high-quality vehicles with advanced technologies, such as the new Encore and Cadillac XTS. We are pleased that our vehicles are helping improve the quality of life of people across the nation.

We are not just focused on building and selling vehicles, but are also committed to creating a safer, greener and healthier community. As an automaker, it’s natural to focus on making China’s roads safer. The GM Safe Road Project shows drivers and their passengers the importance of using safety belts and child safety seats. Helping protect natural wetlands is the focus of the GM Restoring Nature’s Habitat Project. Finally, providing those in rural areas with much-needed access to quality health care is the focus of our Back to 100 Rural Hospitals and SAIC-GM- Wuling Motorcade initiatives.

GM is also helping protect the environment by applying our philosophy for sustainability to manufacturing and supply chain management. Today our facilities produce less waste than those of any other automaker. In our 105 landfill- free sites around the globe, including 10 in China, waste generated from our operations is reused, recycled or converted to energy instead of going into a landfill. We are also helping our parts suppliers to reduce their energy use and waste production.

Above all, we are taking care of our most valuable resource, our more than 55,000 employees across China. Our market-competitive compensation and benefits, career development opportunities and professional working environment all help us to attract and retain the best talent in China.

02 General Motors China -the Introduction

General Motors traces its roots back to 1908. Its presence in China dates back more than eight decades. GM has 12 joint ventures, two wholly owned foreign enterprises and more than 55,000 employees in China. GM and its joint ventures offer the broadest lineup of vehicles and brands among automakers in China. Passenger cars and commercial vehicles are sold under the Baojun, Buick, Cadillac, Chevrolet, Jiefang, and Wuling brands.

In 2012, GM sold more than 2.8 million vehicles in China. It has been the sales leader among global automakers in the market for eight consecutive years.

Energy Efficiency

GM China Consumer Fuel-Saving Challenge To demonstrate the outstanding fuel efficiency of its products and strengthen communication with customers, GM organized the 2012 GM China Consumer Fuel- Saving Challenge. Six rounds were held in Chengdu, Hangzhou, Qingdao and other cities. Owners of six models from three GM brands participated to see who could achieve the best fuel economy. The campaign has not only helped GM convey its environmentally friendly philosophy, but also confirmed its commitment to further promoting the fuel economy of GM vehicles built and sold in China. GM aims to balance the development of advanced technologies with the protection of the environment.

Chevrolet Volt Delivered to China Electric Vehicle International Demonstration Zone in Shanghai

In 2012, GM showcased several types of environmentally friendly products at major auto shows and exhibitions across China.

In June 2012, GM signed a memorandum of understanding (MOU) in Tianjin with the Sino-Singapore Tianjin Eco-City Investment and Development Co. Ltd. (SSTEC) and the Tianjin Eco-City Administrative Committee (ECAC).

The partners will collaborate on assessing the real-world application of the next generation of GM’s Electric Networked-Vehicle (EN-V 2.0) in the Tianjin Eco-City from a power, communications and physical infrastructure perspective.

They will move from exploring technical feasibility to commercial feasibility and will consider things such as funding, operating models, program details and autonomous test protocols. They will also explore the specific role of each partner.

Advanced Technical Center

Pan Asia Technical Automotive Center

The Pan Asia Technical Automotive Center (PATAC) is a 50-50 joint venture between GM and SAIC. It provides automotive engineering services, including design, development, testing and validation of components and vehicles. The first climate wind tunnel operated by PATAC opened in March 2012. The facility is supporting the development of conventional and new energy vehicles by PATAC and Shanghai GM.

The climate wind tunnel can simulate a range of weather and road conditions for the development of products for different countries and regions. The facility can also simulate extreme weather conditions for on-site road tests. Breaking seasonal and regional restrictions, it can replace around 80 percent of climate road tests, improve the efficiency of vehicle development and speed up the development process.

The climate wind tunnel is equipped to test new energy vehicles – including full electric and hybrid models – to optimize electric range performance, which is highly dependent on the efficient integration of passenger heating, ventilation and air conditioning and propulsion cooling systems. The climate wind tunnel is also a key tool for helping improve the fuel efficiency of conventional vehicles.

The new facility is environmentally friendly. It has:

Guangde Proving Ground

GM joined SAIC and their Shanghai GM and PATAC joint ventures for the opening of China’s largest proving ground – the Guangde Proving Ground – on September 22, 2012.

The 5.67-square-kilometer Guangde Proving Ground in Guangde County, Anhui, represents an investment of RMB 1.6 billion. It includes more than 60 kilometers of test roads along with a comprehensive range of support facilities that enable it to carry out testing involving 67 different driving conditions. Shanghai GM and PATAC are overseeing the proving ground’s operation.

The proving ground can carry out development, validation, certification, quality control evaluation, load data collection and analysis for vehicles under 7.5 tons. It can accommodate up to 140 vehicles for testing simultaneously. About 20 million kilometers worth of testing are expected to be conducted annually.

To simulate different driving conditions in China, the proving ground contains eight specific test areas: an oval track, vehicle dynamics test area, long straightaway, ride and handling loop, noise test road, durability test area, corrosion test area and hill test area. In addition, it has 23,000 square meters of auxiliary space for labs, repair facilities and private workshops.

The Guangde Proving Ground will support the design and development of vehicles by Shanghai GM and PATAC, significantly improving testing efficiency, shortening product development time and reducing testing costs. It will complement PATAC’s facilities in Shanghai, which include a noise, vibration and harshness (NVH) lab, vehicle safety lab, envision visualization center and climate wind tunnel.

Green Supply Chain Program

In 2005, GM China kicked off the Green Supply Chain Pilot Program in China in partnership with the World Environment Center (WEC) and the Society of Automotive Engineers of China (SAE-China). The project is helping automotive parts suppliers protect the environment, improve energy efficiency and reduce material consumption to enhance the sustainability of the Chinese automotive industry.

The Green Supply Chain Program was initiated by the WEC to promote the sustainable development of different industries worldwide and promote the efficient use of resources by improving supply chains. The WEC has established extensive partnerships with companies and countries in the Americas, Asia, Africa and Europe. The joint program conducted by the WEC and GM China as well as their joint ventures has recorded significant results, making contributions to emissions reduction and the sustainable development of the Chinese automotive industry. It has also had a profound impact on the green development of the entire industry.

In March 2011, the WEC, GM China and SAIC-GM-Wuling jointly launched the SAIC- GM-Wuling Green Supply Chain Pilot Program to provide environmental protection and energy-saving training and guidance to five parts suppliers. By December 2011, the program had been completed with impressive results. The five suppliers developed and implemented 22 Green Performance Assessment and Improvement (GPAI) plans, generating RMB 6.35 million in annual revenue with an average investment payoff period of 1.5 years. In 2012, 50 Shanghai GM suppliers participated in and completed the Green Supply Chain Program. They were granted the Green Supplier title. Eleven were also honored as Outstanding Green Suppliers.

The 50 suppliers have developed and implemented 171 GPAI plans and invested RMB 53.15 million in green activities, which will generate revenue of RMB 27.44 million per year.

GM’s Landfill-Free Program

GM’s Landfill-Free Program has expanded worldwide. GM has 105 landfill-free facilities around the world, which is the most in the industry. Road Safety Program

In September 2012, GM China and Hudong – China’s largest wiki site – announced the second stage of the GM Safe Road Project. With the theme of “Safety Belt, Safe Journey,” the project invited Internet users to share photos of safe driving on online platforms and called on vehicle users to fasten their seat belts and follow traffic regulations.

Road Safety Program

GM China launched the Safe Kids in the Car Project in cooperation with Safe Kids Worldwide (China). The program highlights the importance of using child safety seats in vehicles and shows parents how to use child restraint systems to ensure their children’s safety while riding in a car.

Traffic accidents are the leading cause of death of children worldwide. According to the World Report on Child Injury Prevention issued by the World Health Organization and UNICEF, about 720 children die daily from traffic accidents globally.

To support the Safe Kids in the Car Project, GM China produced a video to demonstrate how to better protect children in vehicles. It has been launched on social media, including Sina Weibo. In the video, Monica Cui, China chief representative and executive director of Safe Kids Worldwide, calls on drivers to use proven technology and restraint systems such as child safety locks for children’s safety. Road Safety Program

Environmental Protection

GM China launched the three-year GM Restoring Nature’s Habitat Project with the China Environmental Protection Foundation (CEPF) to protect biodiversity and raise public awareness of environmental protection.

The project is funding programs at the Changdao National Nature Reserve in Shandong, the Shanghai Chongming Dongtan National Nature Reserve and the Panjin Shuangtai Hekou National Nature Reserve in Liaoning.

GM Restoring Nature’s Habitat Project: Attention to Biodiversity

The three-stage project is targeted at improving the water quality of wetlands, controlling invasive species, preserving breeding areas for rare species, providing habitats for migratory birds and promoting public awareness of environmental protection.

GM is publicizing its eco-friendly ideas through an interactive and educational facility at the Shanghai Chongming Dongtan National Nature Reserve.
