SUBJECT: Approval of Master Agreements with Elevator Industries, Inc. and ThyssenKrupp Elevator for Countywide Elevator Maintenance and Repair Services

STAFF RECOMMENDATION: 1. Approval of a Master Agreement for Independent Contractor Services with Elevator Industries, Inc. for countywide elevator maintenance and as-needed repair services in the amount of $750,000, for the term beginning January 1, 2019 and ending December 31, 2023. 2. Approval of a secondary Master Agreement for Independent Contractor Services with ThyssenKrupp Elevator for countywide elevator maintenance and as-needed repair services in the amount of $750,000, for the term beginning January 1, 2019 and ending December 31, 2023. 3. Authorize the Purchasing Agent to sign the Master Agreements identified above, and any subsequent amendment to the Agreements on behalf of the County.

DISCUSSION: The County operates 32 elevators of various capacities, located across many departmental sites throughout the County, which must be serviced regularly to keep them in proper working order. During planned maintenance, technicians test and certify critical components work as required, and make minor repairs if needed. Such work is an integral part of the overall elevator maintenance program for the County, ensuring reliability of the equipment and compliance with state-mandated testing, inspections, and licensing requirements. Historically, the County has obtained such elevator maintenance services by using competitively-bid agreements acquired by the City of Modesto. The most recent of these was approved by the Board of Supervisors on August 24, 2010. This agreement provided services at rates established by the Request for Proposals (RFP) process under RFP No. 0910-08 issued by the City of Modesto, and the resultant agreement approved by the City Council on August 4, 2010. Use of such agreements are commonly referred to as “piggybacking” and is permissible under Government Code § 6502 and § 6508.2, which allow public agencies to jointly exercise any power common to the contracting parties (Tucker Land Co. v. State of California (2001) 94 Cal. App. 4th 1191).

In 2015 the City of Modesto conducted RFP 1415-38 for a replacement agreement, resulting in award to the incumbent provider, ThyssenKrupp Elevator on September 22, 2015. The General Services Agency, Purchasing Division (GSA) declined to join the City’s newly-awarded agreement, instead negotiating with the contractor to continue service under the pricing terms of the 2010 agreement on a month-to-month basis while the County sought a more permanent solution. During this time GSA explored several other agreements that were bid out by other governmental agencies and offered favorable rates, but the County and the contracted elevator firms were unable to come to consensus over the agreement terms. This turn of events ultimately led GSA to take the County’s elevator maintenance business back out to bid on its own, using the County’s terms and conditions for the resultant agreements. GSA competitively procures and maintains countywide Master Agreements for a variety of goods and services, and by combining the needs of multiple County departments, GSA can procure these items at lower rates than would otherwise be possible. In reviewing the County’s elevator maintenance needs, GSA determined that by having multiple consultant teams available to provide elevator maintenance services, it would provide more competitive pricing and a larger pool of technical resources to respond to the County’s various elevator needs. Historically, County departments have relied on one-sole vendor to respond to elevator service calls. In this model, customer service and response times have not been consistent with the County’s expectations. GSA anticipates that by awarding two separate Master Agreements for elevator services, County departments will be able to select the most qualified and experienced firm that best meets the needs for their elevator maintenance. GSA worked with internal County departments to determine their needs and consulted with outside agencies for recommendations on best practices to include in the scope of services. GSA also contacted the Tenth Street Place Joint-Powers Agency (JPA), who asked to be included in the County’s solicitation as alternate bid item, with agreement participation subject to the review and approval of the JPA Board. GSA posted Invitation for Bids (Bid) No. 18-02-BD for Elevator Maintenance and Repair on August 3, 2018, which set forth the scope of work. The Bid notice was sent to 184 companies, and 23 downloaded the Bid documents. Five contractors attended the non- mandatory pre-bid meeting held August 14, 2018. When bidding closed on August 28, 2018, GSA had received responses from three contractors: Company Name Total Bid EnPro Elevator, Inc. (Rancho Cordova, CA) $247,892 Elevator Industries, Inc. (Sacramento, CA) $325,264 ThyssenKrupp Elevator (West Sacramento, CA) $449,900

Upon review of the submittals, GSA disqualified EnPro’s bid as non-responsive for failing to meet the minimum qualification standards set forth in the bid documents, including mandatory licensing and registration requirements, confirmation that the Bidder employ at least one journeyman mechanic with 5 years of experience residing within a 20-mile radius of Modesto, and confirmation of the Bidder’s ability to respond to multiple locations simultaneously. EnPro was given until 5:00 p.m. September 14, 2018

Page 2 of 3 to address the above deficiencies, but did not provide a response until 12:30 p.m. September 20, 2018, and in that late response did not fully address all items noted. GSA determined the remaining two bidders to be both responsive and responsible in all respects. On September 26, 2018, GSA issued a Notice of Intent to Award to both Elevator Industries, Inc., and ThyssenKrupp, and posted such notice online at PublicPurchase.com. No letters of protest were received during the five-day protest period of the bid process. POLICY ISSUE: The County’s purchasing policy requires Board of Supervisors approval for contracts exceeding $100,000, based upon California Government Codes § 25212, et seq, and §25502.5, et seq, which establish the powers of the Board of Supervisors and the Purchasing Agent. FISCAL IMPACT: Based on current usage trends and department budgets, GSA-Purchasing anticipates a combined total of approximately $1,000,000 will be spent during the entire five-year term from January 1, 2019 through December 31, 2023. This estimate is based on historic spending analysis, and includes contingency amounts for as-needed repairs, and for optional participation by the Tenth Street Place JPA. Because it is unknown how many departments will choose to do business with each of the two contractors, GSA has limited both agreements at $750,000 to account for disparities in the rate of selection of one contractor over another. GSA does not expect both agreements to use their full $750,000 amount, but there exists the possibility that one contractor may prove more popular with the departments than the other. Appropriations for department use of the Agreements are requested at the department level and will be addressed during a budget cycle, if needed. BOARD OF SUPERVISORS’ PRIORITY: The recommended actions are consistent with the Boards’ priority of Delivering Efficient Public Services by providing cost-efficient contracted elevator maintenance and repair services to County departments. Exhibit A1:

SCOPE OF WORK AND TECHNICAL SPECIFICATIONS

1.0 INTRODUCTION

Contractor shall provide professional services needed to maintain and repair the County’s elevators and related systems (“Equipment”). Contractor shall provide both routine maintenance services and non-routine repairs at the rates identified in the Contractor’s Bid Pricing set forth in Exhibit A3. Such non-routine/as-needed services shall not exceed $45,000 per occurrence, or $50,000 over the life of this agreement, excepting bona-fide emergency work. Special projects, such as elevator retrofitting and modernization, shall be bid out separately.

Contractor shall furnish all material, parts, labor, tools, and equipment required to provide scheduled elevator preventive maintenance services to maintain proper, safe, and reliable operation of County’s elevator equipment, in accordance with these specifications, manufacturer’s recommended procedures, current California Elevator Safety Construction Code, and any other local, State, and national code requirements. Contractor shall maintain optimal operational characteristics of elevator equipment including door operation, car speed, floor leveling, and ride quality as determined by the original equipment design, age of equipment and building use type.

2.0 GENERAL REQUIREMENTS

2.1 IDENTIFICATION - The County requires all Contractor and/or Subcontractor personnel working on County’s premises to wear uniforms with company identification supplied by the respective employer. Contractor, Subcontractors and its employees immediately upon entering County property shall sign in the Contractor Log Book located at the Main Security Desk and shall sign out at the end of each work day.

2.2 SYSTEM OF COMMUNICATION AND EMERGENCY NUMBERS - Contractor shall provide and maintain for the duration of the project, a current list of emergency contact numbers for 24-hour emergency response. In case of emergency Contractor shall respond immediately upon notification. Contractor shall notify the County’s Building Maintenance Manager or his designee of the emergency.

2.3 PROTECTION OF PROPERTY - Contractor shall take extraordinary care in protecting all wall, ceiling and floor surfaces, finishes and fixtures from damage.

Contractor(s) must not allow debris or waste materials to accumulate during work activities. Materials and equipment will be removed from site as soon as they are no longer necessary. All work will be performed in accordance with the highest standards prevailing in the trades. Regular periodic removals must be made to keep the premises in orderly appearance during the performance of work. Contractor(s) must thoroughly clean all work areas from dirt, stains, soiling, or defacement of any kind after completion of the work.

2.4 SUPERVISORY PERSONNEL - Contractor shall supply adequate onsite supervision for the project. The supervisor shall communicate in English orally and in writing with the County’s Building Maintenance Manager or his designee and shall be comprehensively familiar with these specifications.

2.5 PROJECT INSPECTIONS - Upon request of the County’s Building Maintenance Manager or his designee Contractor or his representative shall walk the project to determine compliance with all codes and specifications listed. The County’s Building Maintenance Manager or his designee shall provide a list of corrections to the Contractor. Contractor shall make all noted corrections prior to the Page 1 of 17

next scheduled or requested inspection by County.

2.6 LICENSING - Contractor shall be licensed by the State of California in all categories necessary to perform work under this contract and in compliance with all state and local governmental agencies.

2.7 PROJECT COMPLETION - Contractor shall provide the County’s Building Maintenance Manager or his designee, upon completion of a project, a final written report. This report must include, all project notes and corrections, the equipment user’s manual, manufacturer’s warranty documents, specification sheets, parts diagrams, start up procedures, operational guidelines, and maintenance schedules and procedures, as may be applicable.

2.8 EXISTING EQUIPMENT. Contractor(s) shall accept the existing condition of all Equipment, including any and all accessory elevator equipment installed prior to commencement of the contract. Condition of existing Equipment shall not be grounds for additional payment to Contractor(s) for performing Agreement work as specified.

2.9 MATERIALS. Contractor(s) shall provide genuine parts used by the manufacturers of the equipment, or pre-approved equivalent parts, for replacement or repair, and use only those lubricants obtained from and/or recommended by the manufacturer of the equipment. All repairs, modifications and installations must conform to all manufacturer’s recommended installation procedures. All work and materials must comply with local environmental requirements.

Contractor(s) shall maintain a supply of frequently used replacement parts and lubricants required for routine maintenance. Replacement parts furnished will be of original equipment manufacture or parts specifically selected by Contractor for use on County’s Equipment. All replacement parts shall be new, or refurbished if the part is no longer available new.

The County will provide reasonable access to parking and materials storage during the performance of work. In the event the Agreement is terminated, the County shall allow Contractor(s) access to the premises where the equipment is located to permit the Contractor to remove any spare parts or tools stored on County premises.

The County will designate specific areas and time for delivery and unloading of materials and equipment. Contractor(s) must not park vehicles or equipment, or unload materials, at any area other than designated areas without County’s prior approval.

2.10 PERSONNEL. Contractor(s) shall ensure that all work is performed by and under the supervision of skilled, experienced elevator service and repair personnel directly employed by the Contractor(s). Contractor(s) shall use only qualified technicians and engineers under its direct employment and supervision in performing all services pursuant to this Agreement.

2.11 SAFETY. All work shall be accomplished in a professional workman-like manner. Contractor shall take all necessary precautions for the safety of employees on the work site and shall comply with all applicable provisions of federal, state and municipal safety laws and building codes to prevent accidents or injury to persons on, about, or adjacent to, the premises where the work is being performed.

Contractor(s) must provide, erect and maintain at all times, as required by the conditions and progress of the work, all necessary safeguards for the protection of the public and those employed on or about the work site, including danger signs warning against hazards created by such features as protruding hole, open electrical circuits, etc.

When servicing elevators, Contractor(s) shall rope off or place safety cones and provide clearly marked ‘Out of Order” signage at each floor levels to ensure that pedestrians do not enter into the work area. Work areas must remain closed until work is complete. Extended interruptions in service or access due to maintenance and repairs shall minimize the impact to disabled persons' access to Page 2 of 17

County services.

Contractor(s) is/are responsible for its employee safety and training requirements in accordance with Cal-OHSA, including but not limited to, the following: Lock out-Tag out, Right to Know (MSDS), Hazard Communication Plan, Personal Protective (P.P.E.), and Confined Spaces.

The County may conduct periodic safety inspections and advise Contractor(s) of any discrepancies to be corrected. The County must receive a written incident report for any accidents or unsafe conditions that exist. Contractor(s) is/are solely responsible for the condition of the job site, including safety of persons or property.

2.12 INSPECTIONS. Contractor(s) shall schedule, coordinate, and conduct, and pay for all required tests, inspections, preventive maintenance, and repairs of Equipment throughout the term of this Agreement, including those required by California statute or other regulations to maintain all required Equipment certifications and permits.

Contractor shall conduct all tests inspections, preventive maintenance and repairs in accordance with all applicable statutes and regulations, industry standards, and manufacturer’s recommendations as well as the Schedules of Maintenance specified in this Exhibit. When conducting inspections of Equipment, Contractor shall take all reasonable and appropriate measures to ensure that such inspections do not interfere with the scheduled maintenance of Equipment.

In the event deficiencies are identified during these inspections, Contractor(s) shall take timely action as required to correct said deficiencies. Contractor(s) shall timely notify appropriate governmental agencies that said deficiencies have been corrected.

2.13 PERMITS. Contractor shall ensure all Equipment is properly certified and permitted. Contractor, at Contractor’s sole cost, shall pay all fees, including inspection and operating fees, required to maintain Equipment certification and permits.

2.14 REPORTS and LOGS. Contractor shall provide all reports to appropriate governmental agencies as required by statute or regulation. Contractor shall timely provide the County with copies of all such reports. Contractor shall also provide the County with the reports identified in this Exhibit. In any event, Contractor shall ensure that the County is provided with a copy of the results of all tests conducted on Equipment not later than fourteen (14) days after test completion.

Contractor(s) must maintain a written service report and a copy kept with each piece of equipment for record keeping purposes. Record keeping must be consistent with the regular preventive maintenance identified within this Scope and in accordance with Cal OSHA requirements for elevator operation and maintenance.

Contractor(s) shall post a maintenance schedule and work log in a conspicuous location in each machine room, and shall update such logs with each visit. Contractor shall sign the work log with a description of the work performed on the elevator when each scheduled activity is performed. The log shall include all entries for routine maintenance and repairs, including supervisor's surveys. Entries shall include the date work is performed, mechanic's and supervisor's name, a brief description of work completed and the approximate time required for the work. Contractor shall maintain the log and maintenance schedule in each machine room, as appropriate, for inspection by the County at any time. The County may copy the log and maintenance schedule at any time.

Contractor(s) shall also furnish and maintain a complete set of wiring diagrams of the control system. These drawings shall be kept in the machine room, and all changes shall be properly recorded on the drawings, including date of change and name of person making the change, to reflect the current condition of the system. At the termination of this agreement, the Contractor(s) shall furnish the County updated drawings of these control wiring diagrams showing the existing conditions.

2.15 SCHEDULES. Contractor(s) must provide County with a calendared schedule for preventive maintenance services. The schedule must be approved by County prior to the start of work and issuance of a Notice to Proceed.

Contractor shall take all reasonable and appropriate actions needed to ensure that no Equipment is out of operation for longer than four (4) hours as the result of testing, inspection, maintenance, or repair. In the event Contractor comes to believe that Equipment may be inoperable for more than four (4) hours in order to accomplish required testing, inspection, maintenance, or repair, Contractor shall immediately notify the County of the potential for the such event, the reasons why extended service is required, and Contractor’s best estimate as to when the subject Equipment will be returned to operation.

Notwithstanding the above, for scheduled repairs of Equipment, Contractor shall submit a detailed maintenance schedule and repair plan for County’s approval not later than fourteen (14) calendar days prior to planned commencement of intended repairs.

3.0 LOCATION OF FACILITIES

3.1 Refer to Exhibit A2.

4.0 WORK HOURS

4.1 Contractor must schedule work in such a manner as to minimize disruption of ongoing activities at each facility/location. Contractor(s) is/are responsible for safety and security precautions during the maintenance and repair activities to minimize risk of injury or theft.

4.2 Unless specifically authorized by the County, work shall be completed during regular working hours, Monday through Friday, between 8:00 a.m. and 5:00 p.m. The County’s GSA-Facilities Maintenance Manager, or designee, must authorize work after-hours or on weekends.

4.3 Contractor shall perform all tests, inspections, preventive maintenance and repairs of Equipment between 6:30 AM and 3:00 PM, Monday through Friday inclusive. All Equipment shall be returned to service no later than 6:30 AM each morning. These provisions do not apply to emergency repairs of Equipment.

4.4 When Contractor identifies the need to remove any Equipment from operation for any reason outside the time periods set forth in this Exhibit, Contractor shall notify the County at least forty-eight (48) hours prior to the anticipated removal from operation. Contractor, in consultation with the County, shall take all necessary actions to plan and coordinate such removal of Equipment from operation so that no more than a total of two Equipment items are out of operation at any one time at the same site.

4.5 Contractor shall provide the necessary staffing levels to accomplish the services specified under this Agreement during the work hours specified below. The County reserves the right to request the adjustment of staffing levels if, in its sole determination, performance requirements set forth in this Agreement are not being met.

4.6 Contractor shall carry out and perform its obligations, duties, and responsibilities under this Agreement in the least intrusive manner possible so as to minimize any effect upon, disruption to, interference with, or interruption of daily County operations and vertical transportation requirements of the public using the County’s facilities.

4.7 RECOMMENDATIONS FOR IMPROVEMENTS. Whenever Contractor becomes aware of improvements that should be made to the Equipment, Contractor shall so inform the County in writing and provide recommendations for implementing such improvements.

4.8 CONTRACTOR ACKNOWLEDGEMENT. Contractor acknowledges that fully operational Equipment is required for the safe operation of the County’s facilities and the safety of the public using them. Contractor, to the maximum extent possible, shall take all appropriate actions to ensure the County’s Equipment is, at all times, fully operational. Recognizing the criticality of operational Equipment to the safe operation of County’s facilities, Contractor agrees that in the event, a replacement contractor is not available at the end of the term of this Agreement, Contractor shall continue to provide Services under this Agreement until the County has had sufficient time to identify and contract with the follow- on contractor.

4.9 In providing Services, Contractor shall, unless expressly authorized otherwise by the County, use only new materials, parts and equipment that are standard in the industry, recommended by the appropriate manufacturer, approved by Underwriters Laboratory, compatible with the existing equipment, and readily available. Contractor shall install such material, parts, and equipment in accordance with manufacturer specifications and standard industry practice. Contractor shall avoid installing materials or systems which are proprietary in nature and would result in a situation dictating a sole-source of future materials or repairs.

4.10 PROFESSIONAL STANDARDS.

4.10.1 Contractor acknowledges that the County’s facilities include public-use areas and recognizes the attendant obligation to ensure that all Contractor personnel and agents maintain the highest level of professional standards in attire, decorum, and interaction with both the public and with County personnel.

4.10.2 All Contractor personnel, including the On-Call and On-site Technicians, shall check in with County Facilities Maintenance Division personnel immediately upon their arrival at their departure from the County’s property.

4.10.3 Contractor shall only assign Engineers, Technicians, and other personnel to perform services pursuant to this Agreement that possess the requisite skill and experience level need to effectively and efficiently perform services pursuant to this Agreement. Assigned personnel shall be currently certified by the National Elevator Industry Association. The County reserves the right to request the removal of any Contractor personnel that the County deems inappropriate for assignment to duty at the County’s facilities. In the event the County is dissatisfied with Contractor’s personnel, upon receiving written or verbal notification from the County of said event, Contractor shall replace said personnel within Page 5 of 17

one day of said notification date.

4.11 POINT OF CONTACT. Contractor shall continuously maintain a single phone number through which the County may notify Contractor of Equipment deficiencies and malfunctions. The phone number shall be staffed so that the County will be able to immediately establish communication with Contractor personnel that can provide the required level of service or response.

4.12 PREVENTIVE MAINTENANCE PLAN AND SCHEDULE. Within fourteen (14) calendar days after the contract start date, Contractor shall provide a Preventive Maintenance Plan (“PMP”) for each Equipment for approval by the County. At a minimum, the PMP for each Equipment item shall incorporate the respective manufacturer’s maintenance recommendations and the maintenance items specified in this Exhibit. The PMP shall be prepared to industry standards, specify the schedule for providing required inspections, lubrication, cleaning and other preventive maintenance services. The PMP shall also include a listing of all parts and materials required to effect the PMP. The PMP shall be developed to maintain the equipment in a continuously safe, reliable and satisfactory operating condition and provide for the regular, systematic examination, cleaning, lubrication, adjustment, and repair of the Equipment, including replacement of parts. The County reserves the right to require reasonable changes in the PMP to meet the County’s operational needs. Contractor shall maintain the PMP in the County’s Facilities Management Office or at any other location designated by the County. Contractor shall ensure the PMP is current at all times.

5.0 INSPECTIONS, MAINTENANCE, AND MINOR REPAIRS - GENERAL

5.1 Except as expressly provided otherwise in this Agreement, Contractor shall bear all costs associated with the tests, inspections, preventive maintenance, and minor repairs to Equipment effected pursuant to this Scope. This obligation does not apply in the case of any breakage, loss, or damage to the Equipment when such loss or damage is caused intentionally or as the result of a malicious act and /or misuse by a person or persons other than Contractor, its subcontractors, agents, or employees. Action taken by Contractor to correct any such breakage, loss, or damage to Equipment shall be performed as Additional Services in accordance with this Exhibit.

5.2 Contractor(s) must regularly and systematically inspect for proper operation, adjust, clean, and lubricate elevator equipment as required, and if necessary, perform minor repairs or replacements, due to normal wear, the following component groups and related equipment:

- Control and landing positioning systems, including relays, contacts, coils, timers, printed circuit boards, microprocessor boards, controller wiring, travel cable wiring, and hoistway wiring. - Selectors, including electrical or mechanical drive components, cams, contacts, relays, resistors, leads, transformers, and solid state components. - Signal fixtures and interlocks, including car and hall button stations, master indicator control panels, all signal fixtures including contacts, buttons, key switches, locks, lamps and sockets. - Machines, drives, motors, governors, sheaves, and ropes, including gears, bearings, brakes and related parts, brushes, windings, commutators, rotating equipment, contacts, coils, and resistors for motor circuits, V-belts, and wiring. - Power units, pumps, plungers, brushes, valves, and jacks, including sheaves, screens, filters hoses, or any parts thereof. - Valves, complete, including relief valve, leveling valves, cheek valve, strainers, springs, gaskets, or any parts thereof. - Jack units, including plunger, guide bearing, packing and packing gland. - Governors, including sheave, bearings, shafts, contacts and governor jaws. - Car and hoistway door operating devices, including power door operator, door protective devices, car door operator, hangers, car door contact, load weighing equipment, car safety devices, car guide shoes, and subflooring. - Hoistways, including deflector sheave, secondary sheaves, buffers, governor tension assemblies, limit switches, compensating sheave assemblies, compensating chain or cables, traveling cables, hoistway and machine room wiring, hoistway door interlocks, hoistway door hangers and gibs and Page 6 of 17

auxiliary closer. Included shall be the periodic brush down and vacuum of the hoistway, divider beams, door hangers, car top and bottom, doorsills (beyond opening) and pit. - Load weighers, car frames and platforms, and counterweights - Safety mechanisms - Replaceable type contacts, contact insulators, contact springs, copper braids - Breakers

5.3 Contractor’s scheduled elevator preventive maintenance and/or minor repairs must include:

- Supply lubricants compounded to specifications and selected to give the best performance. Lubricate pumps, pump motors, couplings, valve control equipment, bearings, guides or guide rollers, interlocks, automatic door operator and its linkage parts. - Supply and add hydraulic fluid as necessary to maintain proper operating level; disposal included. - Adjustment of all equipment. - Renewal of guide shoe gibs, as needed. - Maintenance of guide rails, and lubrication as needed (except where roller guides are used), and when necessary to renew guide shoe inserts, or roller guides when used, to promote smooth and quiet operation. - Repair or replacement of traveling cables, when necessary. Wire ropes shall be renewed as often as necessary to maintain an adequate factor of safety and equalize the tension on all hoisting ropes. - Cleaning of door track debris. - Cleaning of the machine, motor, and controller. - Load testing as required by the State of California as part of permitting/ certification. - Provide all other general maintenance features, or practices not cited above that are considered routine elevator maintenance. - Supply and maintain parts and supplies necessary to the preventative maintenance and corrective repair of items described above.

5.4 As conditions warrant, Contractor shall repair or replace all portions of the elevator equipment under the preventative maintenance plan, with exclusions noted below under the section titled MAJOR REPAIRS.

5.5 The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict. All preventive maintenance, repairs, and adjustments shall meet the following minimum elevator performance criteria:

- Up Speed – 125 feet per minute ± 5% regardless of load. - Down Speed – 125 feet per minute ± 5% regardless of load. - Door Open Time – Within the equipment manufacturer’s specifications. - Door Close Time – Minimum permitted by code, without exceeding allowable kinetic energy and closing force - Door Stand Open Time – 5.0 seconds maximum. - Leveling – Minimum ¼ inch under any loading condition. Level into floor at all times, do not overrun floor and level back. - Contractor shall maintain a comfortable elevator ride with smooth acceleration, both starting and stopping, and the final leveling zone shall be within the equipment manufacturer’s specifications. Slow-down, stopping, and leveling shall be without jars, bumps, or overshoot. - There shall be no noticeable side sway in the car when the doors open and close. - The hoist-way ride shall be smooth without bumps, jars, or swaying, and shall be quiet. - Door operation shall be quiet and positive with smooth checking at the extreme levels.

6.0 SCHEDULED MAINTENANCE, HYDRAULIC ELEVATORS

The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory, or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict.

6.1 Monthly Requirements. The PMP for each elevator Equipment item shall include the following as monthly maintenance requirements:

- Pump Unit - Cylinder - Controllers and Starters - Safety Edge and Car Door Clutch - Car Top Sensor and Door Photo Light Rays/Curtains - Door Closure - Motor - Car Operating and Signal Devices - Interlocks and Gate Switches - Shaft Doors and Car Doors - Leveling - Railing - Observe and verify operation of signal and dispatching system. - Test manual and emergency control. - Clean and lubricate automatic slow-down and stopping switch. - Clean car tops, pit, machine room floor and equipment as conditions warrant. Pit shall be dry and free of any fluid, including water. - Contactor shall dispose of all hazardous materials in accordance with this Agreement and applicable law. Materials not required for the operation of the elevators shall not be stored at these locations.

6.2 Quarterly Requirements. The PMP for each elevator Equipment item shall include the following as quarterly maintenance requirements:

- Guide Shoes - Rail Lubricator - Car Doors - Car Door Operator - Hoist way Doors - Clean and lubricate car fan and blower. - Clean, lubricate and adjust overload mechanism. - Clean all motors and pump. - Adjust hydraulic valve as required.

6.3 Semi-Annual Requirements. The PMP for each elevator Equipment item shall include the following as semi-annual maintenance requirements:

- Controller - Car Limit Switches - Car Operating Station - Mechanical Leveling Switches - Door Interlocks - Check operation of load weighing devices

7.0 SCHEDULED MAINTENANCE, TRACTION ELEVATORS

The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict.

7.1 Monthly Requirements. Contractor(s) shall regularly and systematically examine, clean, lubricate, and adjust vertical transportation equipment including machine rooms, secondary, pits, and hoistways.

The PMP for each elevator Equipment item shall include the following as monthly maintenance requirements the examination, lubrication, repair, or replacement of the following:

- Alarms / alarm bells - Brakes - Buffers - Call Buttons / car and corridor operating stations - Car door contacts - Car and hoistway door hangers and tracks - Car Guide Shoes - Car Cables and Governor Cables - Car Door and Gate Operation - Car Top Sensor and Door Photo Light Ray or Continuous Beam - Car Operating and Signal Devices - Controllers and Starters (including relays, contacts, timers, coils, magnet frames, and control wiring) - Door Closer / operator / protective devices - Elevator pumps - Exhaust Fans - Generator - Gibs - Governor - Guide Rails - Hoistway and Car Gates - Interlocks and Gate Switches - Motors - Plungers and plunger packing - Regulators - Rollers - Safety Edge and Car Door Clutch - Selector - Signal lamps (regular service hours only) - Shaft Doors and Car Doors Page 9 of 17

- Buffers - Selector Drives - Controllers - Car Limit Switch - Car Operating Station - Mechanical Leveling Switches - Door Interlocks - Safety - Check operation of load weighing device.

7.4 Annual Requirements. The PMP for each elevator Equipment item shall include the following as annual maintenance requirements:

- Rails - Counterweight - Car Frames - Car and Counterweight Run By - Sheaves - Controller - Hoist ways - Motor and Generator - Miscellaneous: o Clean armatures and motors with blower or vacuum. o Inspect armature and rotor clearances. o Inspect motor and M-G set connections. o Change oil in bearings, and lubricate in accordance with manufacturer’s instructions. o Test and adjust system dispatching, scheduling, emergency service features, and derail sensors in accordance with manufacturer’s instructions. o Maintain the clean exterior of the machinery. o Assist County with annual fire alarm panel testing as required, at no additional charge.

8.0 MAJOR REPAIRS

8.1 General. Major Repairs may be required because of negligence, accident, or misuse of the equipment by anyone other than the Contractor's employees, subcontractors, servants, or agents, or other causes beyond the Contractor's control, except ordinary wear and tear.

Contractor(s) shall not be responsible for obsolescence of equipment and shall not be liable for consequential damages. It is understood that consequential damages shall mean only loss of revenue to the County as a result of equipment failure or malfunction.

Any work not specifically identified herein as Major Repairs shall be deemed to be included as part of the preventative maintenance service within the intent of this specification and shall be performed without additional cost to the County. The County will issue Work Orders for major repair or replacement of the following items:

- Electrical feeds to elevator disconnect - Car enclosure (including removable panels, door panels, flooring, car gates, car door replacement, plenum chambers, hung ceilings, light diffusers, light tubes and bulbs, handrails, mirrors and

flooring); car and hoistway enclosures; enclosure refinishing, hoistway gates, doors, frames and sills. - Hoistway door, frame, sill, and jamb replacement - Hydraulic cylinder, power feeders, switches (including related wiring and fusing) - Hydraulic elevator jack outer casing - Underground hydraulic cylinders, casings, piping, or conduits - Main line power switches or fuses - Power wire to the controller - Replacement of light bulbs, fluorescent tubes, ballasts, and associated fixtures used for cab or machine room illumination - Obsolete Equipment no longer available through normal or alternate supply sources. - All other items excluded from the preventive maintenance and minor repair portion of this Scope.

8.2 Procedure for Issuance of Work Orders. All major elevator repair services will be performed as set forth in these Technical Specifications. The procedure for issuance of a Work Order is as follows:

8.2.1 The County will issue a request for elevator repair work to be performed. (Proposed compensation may or may not be applicable.)

8.2.2 Contractor(s) must prepare and submit a written estimate of repairs to be done, including proposed compensation (using the elevator repair service rate/hour from Exhibit A3 for the applicable contract year), and all parts and equipment required to make the repairs.

8.2.3 The County will review the estimate and, after incorporating any corrections or changes, may issue a Work Order. No services for major elevator repairs may be performed or costs incurred until a Work Order is approved by both parties.

8.3 Determining Amount of Compensation per Work Order.

The amount of compensation for the major repair work to be performed, as set forth in each Work Order, will be a not-to-exceed amount. The amount must include all labor, parts and equipment required to perform the requested repairs. The amount of compensation for each Work Order will be negotiated based on the applicable rate/hour, as set out in Exhibit A3 for elevator repair services, and the estimate of hours to perform the repair work.

8.4 Inspection and Acceptance of Repair Work.

Contractor(s) must provide notice to the County when the requested repair work is completed. Contractor(s) must return the elevator to fully operational condition after repairs are complete. The County will accept the repair work if it complies with all of the requirements set out in the Work Order and in these Technical Specifications.

8.5 Compensation

After completion of all major repair services called for under a Work Order, Contractor(s) must remit an invoice for review and approval by the County’s GSA-Facilities Maintenance Division Manager, setting forth the Services provided in accordance with Contractor’s Bid Pricing in Exhibit A3, and these Technical Specifications.

9.0 ADDITIONAL SERVICES

If the County requests Contractor to provide services in addition to those specified above, Contractor shall develop a work plan detailing the specific tasks to be completed and provide a detailed not-to-exceed budget for performing such tasks. Contractor shall not perform any Additional Services until Authority has issued a written notice-to-proceed with the execution of the work plan. Contractor will not be authorized to perform or Page 12 of 17

invoice Authority for any work not specifically authorized in the Authority’s notice-to-proceed.

The following will be considered additional services:

9.1 Elevators: Maintenance, repair, or replacement of hoist way and equipment room walls and floors, car enclosures, finishes, car floors and ceiling lamps and ballasts; equipment room lamps and HVAC equipment; fire sprinklers and fire shutters, main line and auxiliary electrical disconnect switches or power feeders, underground piping, underground hydraulic cylinders or conduits, car door replacement, car enclosure refinishing, car and hoist-way enclosures and door panels, hoist-way door and jam replacement, hydraulic elevator jack outer casing, door frames and sills, car flooring, main line power switches or fuses, and power wire to the controller

9.2 Vandalism Repair: Breakage, loss, or damage repair to the Equipment when such loss or damage is caused intentionally or as the result of a malicious act and /or misuse by a person or persons other than Contractor, its subcontractors, agents, or employees.

9.3 Additional Equipment: Additional elevators may come on-line during the term of this Agreement. Contractor agrees to provide all test, inspections, preventive maintenance and repairs of such additional Equipment as Additional Services in accordance with the provisions of this section.

10.0 SERVICE CALLS

The County may call Contractor(s) to respond to the elevator needs between regularly-scheduled preventive maintenance inspections. Such non-scheduled Service Calls may be made by the County for reasons such as minor adjustments, minor repairs, or emergency entrapments. Such service must be available from and provided by Contractor(s) 24 hours a day, 7 days a week.

10.1 Warranty Call-Backs:

10.1.1 Both emergency and non-emergency service call-backs made within 24 hours of Contractor(s) previous service visit to rectify the same or a related problem, or within the warranty period for a particular product or service as specified by the product manufacturer or the installing Contractor(s), and made during the County’s normal business hours of 8:00 a.m. to 5:00 p.m., shall be considered warranty service and shall be provided by such Contractor(s) at no additional charge to the County.

10.1.2 The minimum response time for non-emergency Warranty Call Backs shall be two hours from the initial notification by the County.

10.2 Non-Warranty, Non-Emergency Service Calls:

10.2.1 Any non-warranty service call for adjustment or repair which requires more than one man or two hours to perform will be considered a billable repair that is not included as regular scheduled preventive maintenance service and may be billed to the County separately at Contractor’s standard hourly rate for repair work, according to the hourly rates identified on the attached Exhibit A3, Form of Bid Pricing. Invoices for materials installed on minor repairs must be billed to the County at cost plus a markup not to exceed 10% of the actual material cost.

10.2.2 Non-warranty Service Calls for work during the County’s normal business hours of 8:00 a.m. to 5:00 p.m. shall be provided by Contractor(s) at the hourly rates identified on the attached Exhibit A3, Form of Bid Pricing.

10.2.3 Non-warranty Service Calls for work outside of the County’s normal business hours, and any overtime work, shall be billed to the County separately at Contractor’s standard hourly rate for such repair work, according to the hourly rates identified on the attached Page 13 of 17

Exhibit A3, Form of Bid Pricing.

10.2.4 The minimum response time for non-emergency service calls shall be confirmation to the site by phone call within one (1) hour of notification, and be on site within two (2) hours from the initial notification by the County.

10.2.5 If required, at any time, examinations, minor adjustments, trouble calls, emergency call back services, or repairs to be made on overtime, Contractor(s) shall absorb the straight time portion of each overtime hour worked. The County will pay only for the difference between the regular hourly billing rate and the regular overtime billing rate applicable, for each overtime hour worked. Maximum total overtime travel charge is 2.0 hours per employee per trouble/emergency call.

10.3 Emergencies.

10.3.1 Emergency repair services are defined as those services needed to correct an emergency condition which consists of entrapment of personnel, as well as any other inoperable or unsafe condition that provides potential for harm to personnel or property, or that disrupts or impairs County operations as deemed by the County in its sole discretion. Such condition includes any condition which causes the County to be in non- compliance with the American with Disabilities Act or any Federal, State, or Local requirements.

10.3.2 Contractor shall at all times have a designated, qualified, On-Call Technician available to provide emergency repair services to Equipment. The On-Call technician shall be immediately and continuously available at a single phone number which shall be provided by Contractor.

10.3.3 Upon notification that emergency repair services are required, Contractor shall promptly, efficiently, and effectively respond as appropriate to correct the underlying emergency condition. The On-Call Technician shall commence repair action within one (1) hour of the County’s notification to Contractor of the need for emergency repairs, except in cases of entrapment of persons, in which case the Contractor shall be on-site within thirty (30) minutes.

10.3.4 Whenever Contractor provides emergency repair services, Contractor will provide the County a full report of the Equipment deficiencies that gave rise to the underlying emergency condition, Contractor actions taken to effect the emergency repair, parts used in the repair, and responding Contractor personnel by name, arrival/departure time and hours worked.

10.3.5 Contractor(s) shall respond to all calls made by the County within the times noted above or the County may exercise the right to call another elevator repair company to respond. The expense of this call shall then be charged to and paid by the Contractor(s). Continued failure to respond to calls or failure to provide competent responsive service may cause termination of the Contract.

10.4 Authorized Personnel.

Service Calls may only be requested by the following authorized and designated County personnel. The County will provide Contractor with a list the names of those individuals whose job title corresponds with those positions noted below and who are authorized to request trouble callbacks. Such lists may change from time to time and it shall be the County’s responsibility to notify Contractor of any changes:

- GSA Facilities Maintenance Division Manager, or designee Page 14 of 17

- GSA Facilities Maintenance Engineer III - GSA Purchasing Agent, Manager, or other GSA-Purchasing Staff

11.0 PERFORMANCE REQUIREMENTS

Contractor agrees to maintain the following minimum performance requirements of the elevators. In accomplishing these performance requirements, the Contractor shall maintain a comfortable elevator ride with smooth acceleration, retardation, and a soft stop. Door operation shall be quiet and positive with smooth checking at the extremes of travel.

11.1 Maintain the original OEM performance specifications and to perform the necessary adjustments as required to maintain said door opening and closing time within limits of applicable codes.

11.2 Check the group dispatching systems and make necessary tests to insure that all circuits and time settings are properly adjusted, and that the systems perform as designed and installed by the OEM Contractor.

11.3 Maintain standard cabinets for the orderly storage of replacement parts in the machine room and original OEM engineering wiring diagrams along with any revised diagrams for the term of the contract.

11.4 Maintain a supply of contacts, coils, leads and generator brushes, lubricants, wiping cloths, and other minor parts in each elevator machine room for the performance of routine preventative maintenance.

11.5 Maintain a supply of genuine OEM, or approved equivalent, spare lending and replacements parts in Contractor's warehouse inventory. This inventory shall include, but is not limited to, generator rotating elements, door operator motors, brake magnets, generator and motor brushes, controller switch contacts, selector switch contacts, solid state components, selector tapes, door hangers, rollers, hoistway limit switches.

12.0 PENALTY ASSESSMENT

The importance of the elevators demands they be maintained in a satisfactory and acceptable operating condition, in accordance with the requirements of these specifications, and that they be kept capable of providing their initial maximum capacity, speed and performance. Contractor acknowledges that the County will incur certain expenses and harm in the event Contractor fails to perform obligations within repair and/or response time limits as specified in this Exhibit. Contractor agrees to pay as liquidated damages the penalties as set forth in the below table and that the County shall be authorized to deduct accumulated penalties from the amounts owing to Contractor in the month after the penalty arises.

Description Amount Elevator inoperable for longer than four $500 per hour for each hour or a fraction thereof (4) hours beyond the 4-hour limit until equipment is returned to a safe and continuously operable condition. Assessment will be calculated on the time documented by the County on when equipment is returned to service. Failure to respond within no more than one $500 for each hour or a fraction thereof until the (1) hour following the call for emergency Contractor arrives on-site. 13.0 RIGHT OF CANCELLATION

The County reserves the right to cancel any contract/purchase order issued, for cause, if Contractor’s quality of service does not continue to meet the minimum acceptable standards. The County will have the right of cancellation and will be relieved of any and all obligation of continuing with the contract. Minimum acceptable standards are determined solely by the County. The County reserves the right to make tests as and when deemed advisable to ascertain whether these requirements are being fulfilled. Should it be found that such standards are not being satisfactorily maintained in the opinion of the GSA Facilities Maintenance Manager, or designee, whose decision shall be final, the County may immediately demand that the Contractor place the elevators in condition to meet these requirements. If the Contractor fails to comply with such demands within a reasonable time as determined by the County, the County Purchasing Agent, or designee, may, by written notice to the Contractor, terminate this agreement. In such event, the County may assume responsibility for service by contract or otherwise, and the Contractor shall be liable to the County for any additional cost occasioned by the County thereby.

14.0 REPORTS

In addition to any other reports required by this Agreement, Contractor shall provide to the County reports detailing each inspection, test or maintenance activity. Additionally, upon request, the Contractor shall provide time spent and include detailed descriptions of services performed and parts and supplies used, if any. The number of copies to be submitted will be determined at the time of the request by the County

15.0 ANNUAL CERTIFICATION/PERMITS

Contractor shall notify the GSA Facilities Maintenance Manager 30 days prior to the expiration date of the annual Cal-OSHA operating permit. Upon completion of Cal-OSHA inspection, any conditions needing corrected to meet OSHA standards shall be completed within fourteen (14) days of notification.

Permits to operate the elevators will be maintained by the County. Contractor(s) is/are responsible for follow- up repairs and discrepancies found by the State Inspection Agencies. The County will issue a Work Order to Contractor(s) for any follow-up repairs and discrepancies. The County will obtain permits and make arrangements for inspections by the authority having jurisdiction over the work described in the Work Order. Approvals and certificates of inspection for this work will be completed by the County’s GSA-Facilities Maintenance Division upon completion of the work.

If repairs are necessary before or after tests to meet code requirements such work shall be payable at the hourly service rate set forth in this contract. Contractor will be reimbursed for parts (with parts invoice or price list attached) at the rate of cost plus 10% mark-up (prior to sales tax.)

16.0 MATERIAL SAFETY DATA SHEETS

Contractor(s) must furnish all material safety data sheets and any related information concerning any chemicals or products Contractor brings to the elevator locations listed in Exhibit A2. No products will be used on County equipment without prior consent of the County’s GSA-Facilities Maintenance Division.

17.0 ENVIRONMENTAL SAFETY AND DAMAGE

Contractor(s) is/are prohibited from using any chemical in the performance of this Contract that would contaminate soil or ground water, or present a health risk.

Contractor(s) is/are responsible for any damage to County property or adjacent property that results from Contractor’s activities under this Scope.

18.0 COMPENSATION

Contractor(s) must remit an invoice monthly for review and approval by the County’s GSA-Facilities Maintenance Division for all regular scheduled preventive maintenance services, warranty callbacks, non- warranty minor and major repair services, and any non-warranty Service Calls performed pursuant to a Work Order, at all sites assigned to Contractor(s), setting forth the Services provided in accordance with Contractor’s hourly rates identified on the attached Exhibit A3, Form of Bid Pricing, and these Technical Specifications.

As a basis for payments of claim for services rendered, monthly billing must be accompanied by service reports indicating hours worked and work accomplished on each elevator during the month. Reports shall be verified by the signature of a designated representative of the County. Failure to comply will result in withholding monthly payments. All repair invoices must have a detailed explanation of the specific work performed.

Exhibit A1:

SCOPE OF WORK AND TECHNICAL SPECIFICATIONS

1.0 INTRODUCTION

Contractor shall provide professional services needed to maintain and repair the County’s elevators and related systems (“Equipment”). Contractor shall provide both routine maintenance services and non-routine repairs at the rates identified in the Contractor’s Bid Pricing set forth in Exhibit A3. Such non-routine/as-needed services shall not exceed $45,000 per occurrence, or $50,000 over the life of this agreement, excepting bona-fide emergency work. Special projects, such as elevator retrofitting and modernization, shall be bid out separately.

Contractor shall furnish all material, parts, labor, tools, and equipment required to provide scheduled elevator preventive maintenance services to maintain proper, safe, and reliable operation of County’s elevator equipment, in accordance with these specifications, manufacturer’s recommended procedures, current California Elevator Safety Construction Code, and any other local, State, and national code requirements. Contractor shall maintain optimal operational characteristics of elevator equipment including door operation, car speed, floor leveling, and ride quality as determined by the original equipment design, age of equipment and building use type.

2.0 GENERAL REQUIREMENTS

2.1 IDENTIFICATION - The County requires all Contractor and/or Subcontractor personnel working on County’s premises to wear uniforms with company identification supplied by the respective employer. Contractor, Subcontractors and its employees immediately upon entering County property shall sign in the Contractor Log Book located at the Main Security Desk and shall sign out at the end of each work day.

2.2 SYSTEM OF COMMUNICATION AND EMERGENCY NUMBERS - Contractor shall provide and maintain for the duration of the project, a current list of emergency contact numbers for 24-hour emergency response. In case of emergency Contractor shall respond immediately upon notification. Contractor shall notify the County’s Building Maintenance Manager or his designee of the emergency.

2.3 PROTECTION OF PROPERTY - Contractor shall take extraordinary care in protecting all wall, ceiling and floor surfaces, finishes and fixtures from damage.

Contractor(s) must not allow debris or waste materials to accumulate during work activities. Materials and equipment will be removed from site as soon as they are no longer necessary. All work will be performed in accordance with the highest standards prevailing in the trades. Regular periodic removals must be made to keep the premises in orderly appearance during the performance of work. Contractor(s) must thoroughly clean all work areas from dirt, stains, soiling, or defacement of any kind after completion of the work.

2.4 SUPERVISORY PERSONNEL - Contractor shall supply adequate onsite supervision for the project. The supervisor shall communicate in English orally and in writing with the County’s Building Maintenance Manager or his designee and shall be comprehensively familiar with these specifications.

2.5 PROJECT INSPECTIONS - Upon request of the County’s Building Maintenance Manager or his designee Contractor or his representative shall walk the project to determine compliance with all codes and specifications listed. The County’s Building Maintenance Manager or his designee shall provide a list of corrections to the Contractor. Contractor shall make all noted corrections prior to the Page 1 of 17

next scheduled or requested inspection by County.

2.6 LICENSING - Contractor shall be licensed by the State of California in all categories necessary to perform work under this contract and in compliance with all state and local governmental agencies.

2.7 PROJECT COMPLETION - Contractor shall provide the County’s Building Maintenance Manager or his designee, upon completion of a project, a final written report. This report must include, all project notes and corrections, the equipment user’s manual, manufacturer’s warranty documents, specification sheets, parts diagrams, start up procedures, operational guidelines, and maintenance schedules and procedures, as may be applicable.

2.8 EXISTING EQUIPMENT. Contractor(s) shall accept the existing condition of all Equipment, including any and all accessory elevator equipment installed prior to commencement of the contract. Condition of existing Equipment shall not be grounds for additional payment to Contractor(s) for performing Agreement work as specified.

2.9 MATERIALS. Contractor(s) shall provide genuine parts used by the manufacturers of the equipment, or pre-approved equivalent parts, for replacement or repair, and use only those lubricants obtained from and/or recommended by the manufacturer of the equipment. All repairs, modifications and installations must conform to all manufacturer’s recommended installation procedures. All work and materials must comply with local environmental requirements.

Contractor(s) shall maintain a supply of frequently used replacement parts and lubricants required for routine maintenance. Replacement parts furnished will be of original equipment manufacture or parts specifically selected by Contractor for use on County’s Equipment. All replacement parts shall be new, or refurbished if the part is no longer available new.

The County will provide reasonable access to parking and materials storage during the performance of work. In the event the Agreement is terminated, the County shall allow Contractor(s) access to the premises where the equipment is located to permit the Contractor to remove any spare parts or tools stored on County premises.

The County will designate specific areas and time for delivery and unloading of materials and equipment. Contractor(s) must not park vehicles or equipment, or unload materials, at any area other than designated areas without County’s prior approval.

2.10 PERSONNEL. Contractor(s) shall ensure that all work is performed by and under the supervision of skilled, experienced elevator service and repair personnel directly employed by the Contractor(s). Contractor(s) shall use only qualified technicians and engineers under its direct employment and supervision in performing all services pursuant to this Agreement.

2.11 SAFETY. All work shall be accomplished in a professional workman-like manner. Contractor shall take all necessary precautions for the safety of employees on the work site and shall comply with all applicable provisions of federal, state and municipal safety laws and building codes to prevent accidents or injury to persons on, about, or adjacent to, the premises where the work is being performed.

Contractor(s) must provide, erect and maintain at all times, as required by the conditions and progress of the work, all necessary safeguards for the protection of the public and those employed on or about the work site, including danger signs warning against hazards created by such features as protruding hole, open electrical circuits, etc.

When servicing elevators, Contractor(s) shall rope off or place safety cones and provide clearly marked ‘Out of Order” signage at each floor levels to ensure that pedestrians do not enter into the work area. Work areas must remain closed until work is complete. Extended interruptions in service or access due to maintenance and repairs shall minimize the impact to disabled persons' access to Page 2 of 17

County services.

Contractor(s) is/are responsible for its employee safety and training requirements in accordance with Cal-OHSA, including but not limited to, the following: Lock out-Tag out, Right to Know (MSDS), Hazard Communication Plan, Personal Protective (P.P.E.), and Confined Spaces.

The County may conduct periodic safety inspections and advise Contractor(s) of any discrepancies to be corrected. The County must receive a written incident report for any accidents or unsafe conditions that exist. Contractor(s) is/are solely responsible for the condition of the job site, including safety of persons or property.

2.12 INSPECTIONS. Contractor(s) shall schedule, coordinate, and conduct, and pay for all required tests, inspections, preventive maintenance, and repairs of Equipment throughout the term of this Agreement, including those required by California statute or other regulations to maintain all required Equipment certifications and permits.

Contractor shall conduct all tests inspections, preventive maintenance and repairs in accordance with all applicable statutes and regulations, industry standards, and manufacturer’s recommendations as well as the Schedules of Maintenance specified in this Exhibit. When conducting inspections of Equipment, Contractor shall take all reasonable and appropriate measures to ensure that such inspections do not interfere with the scheduled maintenance of Equipment.

In the event deficiencies are identified during these inspections, Contractor(s) shall take timely action as required to correct said deficiencies. Contractor(s) shall timely notify appropriate governmental agencies that said deficiencies have been corrected.

2.13 PERMITS. Contractor shall ensure all Equipment is properly certified and permitted. Contractor, at Contractor’s sole cost, shall pay all fees, including inspection and operating fees, required to maintain Equipment certification and permits.

2.14 REPORTS and LOGS. Contractor shall provide all reports to appropriate governmental agencies as required by statute or regulation. Contractor shall timely provide the County with copies of all such reports. Contractor shall also provide the County with the reports identified in this Exhibit. In any event, Contractor shall ensure that the County is provided with a copy of the results of all tests conducted on Equipment not later than fourteen (14) days after test completion.

Contractor(s) must maintain a written service report and a copy kept with each piece of equipment for record keeping purposes. Record keeping must be consistent with the regular preventive maintenance identified within this Scope and in accordance with Cal OSHA requirements for elevator operation and maintenance.

Contractor(s) shall post a maintenance schedule and work log in a conspicuous location in each machine room, and shall update such logs with each visit. Contractor shall sign the work log with a description of the work performed on the elevator when each scheduled activity is performed. The log shall include all entries for routine maintenance and repairs, including supervisor's surveys. Entries shall include the date work is performed, mechanic's and supervisor's name, a brief description of work completed and the approximate time required for the work. Contractor shall maintain the log and maintenance schedule in each machine room, as appropriate, for inspection by the County at any time. The County may copy the log and maintenance schedule at any time.

Contractor(s) shall also furnish and maintain a complete set of wiring diagrams of the control system. These drawings shall be kept in the machine room, and all changes shall be properly recorded on the drawings, including date of change and name of person making the change, to reflect the current condition of the system. At the termination of this agreement, the Contractor(s) shall furnish the County updated drawings of these control wiring diagrams showing the existing conditions.

2.15 SCHEDULES. Contractor(s) must provide County with a calendared schedule for preventive maintenance services. The schedule must be approved by County prior to the start of work and issuance of a Notice to Proceed.

Contractor shall take all reasonable and appropriate actions needed to ensure that no Equipment is out of operation for longer than four (4) hours as the result of testing, inspection, maintenance, or repair. In the event Contractor comes to believe that Equipment may be inoperable for more than four (4) hours in order to accomplish required testing, inspection, maintenance, or repair, Contractor shall immediately notify the County of the potential for the such event, the reasons why extended service is required, and Contractor’s best estimate as to when the subject Equipment will be returned to operation.

Notwithstanding the above, for scheduled repairs of Equipment, Contractor shall submit a detailed maintenance schedule and repair plan for County’s approval not later than fourteen (14) calendar days prior to planned commencement of intended repairs.

3.0 LOCATION OF FACILITIES

3.1 Refer to Exhibit A2.

4.0 WORK HOURS

4.1 Contractor must schedule work in such a manner as to minimize disruption of ongoing activities at each facility/location. Contractor(s) is/are responsible for safety and security precautions during the maintenance and repair activities to minimize risk of injury or theft.

4.2 Unless specifically authorized by the County, work shall be completed during regular working hours, Monday through Friday, between 8:00 a.m. and 5:00 p.m. The County’s GSA-Facilities Maintenance Manager, or designee, must authorize work after-hours or on weekends.

4.3 Contractor shall perform all tests, inspections, preventive maintenance and repairs of Equipment between 6:30 AM and 3:00 PM, Monday through Friday inclusive. All Equipment shall be returned to service no later than 6:30 AM each morning. These provisions do not apply to emergency repairs of Equipment.

4.4 When Contractor identifies the need to remove any Equipment from operation for any reason outside the time periods set forth in this Exhibit, Contractor shall notify the County at least forty-eight (48) hours prior to the anticipated removal from operation. Contractor, in consultation with the County, shall take all necessary actions to plan and coordinate such removal of Equipment from operation so that no more than a total of two Equipment items are out of operation at any one time at the same site.

4.5 Contractor shall provide the necessary staffing levels to accomplish the services specified under this Agreement during the work hours specified below. The County reserves the right to request the adjustment of staffing levels if, in its sole determination, performance requirements set forth in this Agreement are not being met.

4.6 Contractor shall carry out and perform its obligations, duties, and responsibilities under this Agreement in the least intrusive manner possible so as to minimize any effect upon, disruption to, interference with, or interruption of daily County operations and vertical transportation requirements of the public using the County’s facilities.

4.7 RECOMMENDATIONS FOR IMPROVEMENTS. Whenever Contractor becomes aware of improvements that should be made to the Equipment, Contractor shall so inform the County in writing and provide recommendations for implementing such improvements.

4.8 CONTRACTOR ACKNOWLEDGEMENT. Contractor acknowledges that fully operational Equipment is required for the safe operation of the County’s facilities and the safety of the public using them. Contractor, to the maximum extent possible, shall take all appropriate actions to ensure the County’s Equipment is, at all times, fully operational. Recognizing the criticality of operational Equipment to the safe operation of County’s facilities, Contractor agrees that in the event, a replacement contractor is not available at the end of the term of this Agreement, Contractor shall continue to provide Services under this Agreement until the County has had sufficient time to identify and contract with the follow- on contractor.

4.9 In providing Services, Contractor shall, unless expressly authorized otherwise by the County, use only new materials, parts and equipment that are standard in the industry, recommended by the appropriate manufacturer, approved by Underwriters Laboratory, compatible with the existing equipment, and readily available. Contractor shall install such material, parts, and equipment in accordance with manufacturer specifications and standard industry practice. Contractor shall avoid installing materials or systems which are proprietary in nature and would result in a situation dictating a sole-source of future materials or repairs.

4.10 PROFESSIONAL STANDARDS.

4.10.1 Contractor acknowledges that the County’s facilities include public-use areas and recognizes the attendant obligation to ensure that all Contractor personnel and agents maintain the highest level of professional standards in attire, decorum, and interaction with both the public and with County personnel.

4.10.2 All Contractor personnel, including the On-Call and On-site Technicians, shall check in with County Facilities Maintenance Division personnel immediately upon their arrival at their departure from the County’s property.

4.10.3 Contractor shall only assign Engineers, Technicians, and other personnel to perform services pursuant to this Agreement that possess the requisite skill and experience level need to effectively and efficiently perform services pursuant to this Agreement. Assigned personnel shall be currently certified by the National Elevator Industry Association. The County reserves the right to request the removal of any Contractor personnel that the County deems inappropriate for assignment to duty at the County’s facilities. In the event the County is dissatisfied with Contractor’s personnel, upon receiving written or verbal notification from the County of said event, Contractor shall replace said personnel within Page 5 of 17

one day of said notification date.

4.11 POINT OF CONTACT. Contractor shall continuously maintain a single phone number through which the County may notify Contractor of Equipment deficiencies and malfunctions. The phone number shall be staffed so that the County will be able to immediately establish communication with Contractor personnel that can provide the required level of service or response.

4.12 PREVENTIVE MAINTENANCE PLAN AND SCHEDULE. Within fourteen (14) calendar days after the contract start date, Contractor shall provide a Preventive Maintenance Plan (“PMP”) for each Equipment for approval by the County. At a minimum, the PMP for each Equipment item shall incorporate the respective manufacturer’s maintenance recommendations and the maintenance items specified in this Exhibit. The PMP shall be prepared to industry standards, specify the schedule for providing required inspections, lubrication, cleaning and other preventive maintenance services. The PMP shall also include a listing of all parts and materials required to effect the PMP. The PMP shall be developed to maintain the equipment in a continuously safe, reliable and satisfactory operating condition and provide for the regular, systematic examination, cleaning, lubrication, adjustment, and repair of the Equipment, including replacement of parts. The County reserves the right to require reasonable changes in the PMP to meet the County’s operational needs. Contractor shall maintain the PMP in the County’s Facilities Management Office or at any other location designated by the County. Contractor shall ensure the PMP is current at all times.

5.0 INSPECTIONS, MAINTENANCE, AND MINOR REPAIRS - GENERAL

5.1 Except as expressly provided otherwise in this Agreement, Contractor shall bear all costs associated with the tests, inspections, preventive maintenance, and minor repairs to Equipment effected pursuant to this Scope. This obligation does not apply in the case of any breakage, loss, or damage to the Equipment when such loss or damage is caused intentionally or as the result of a malicious act and /or misuse by a person or persons other than Contractor, its subcontractors, agents, or employees. Action taken by Contractor to correct any such breakage, loss, or damage to Equipment shall be performed as Additional Services in accordance with this Exhibit.

5.2 Contractor(s) must regularly and systematically inspect for proper operation, adjust, clean, and lubricate elevator equipment as required, and if necessary, perform minor repairs or replacements, due to normal wear, the following component groups and related equipment:

- Control and landing positioning systems, including relays, contacts, coils, timers, printed circuit boards, microprocessor boards, controller wiring, travel cable wiring, and hoistway wiring. - Selectors, including electrical or mechanical drive components, cams, contacts, relays, resistors, leads, transformers, and solid state components. - Signal fixtures and interlocks, including car and hall button stations, master indicator control panels, all signal fixtures including contacts, buttons, key switches, locks, lamps and sockets. - Machines, drives, motors, governors, sheaves, and ropes, including gears, bearings, brakes and related parts, brushes, windings, commutators, rotating equipment, contacts, coils, and resistors for motor circuits, V-belts, and wiring. - Power units, pumps, plungers, brushes, valves, and jacks, including sheaves, screens, filters hoses, or any parts thereof. - Valves, complete, including relief valve, leveling valves, cheek valve, strainers, springs, gaskets, or any parts thereof. - Jack units, including plunger, guide bearing, packing and packing gland. - Governors, including sheave, bearings, shafts, contacts and governor jaws. - Car and hoistway door operating devices, including power door operator, door protective devices, car door operator, hangers, car door contact, load weighing equipment, car safety devices, car guide shoes, and subflooring. - Hoistways, including deflector sheave, secondary sheaves, buffers, governor tension assemblies, limit switches, compensating sheave assemblies, compensating chain or cables, traveling cables, hoistway and machine room wiring, hoistway door interlocks, hoistway door hangers and gibs and Page 6 of 17

auxiliary closer. Included shall be the periodic brush down and vacuum of the hoistway, divider beams, door hangers, car top and bottom, doorsills (beyond opening) and pit. - Load weighers, car frames and platforms, and counterweights - Safety mechanisms - Replaceable type contacts, contact insulators, contact springs, copper braids - Breakers

5.3 Contractor’s scheduled elevator preventive maintenance and/or minor repairs must include:

- Supply lubricants compounded to specifications and selected to give the best performance. Lubricate pumps, pump motors, couplings, valve control equipment, bearings, guides or guide rollers, interlocks, automatic door operator and its linkage parts. - Supply and add hydraulic fluid as necessary to maintain proper operating level; disposal included. - Adjustment of all equipment. - Renewal of guide shoe gibs, as needed. - Maintenance of guide rails, and lubrication as needed (except where roller guides are used), and when necessary to renew guide shoe inserts, or roller guides when used, to promote smooth and quiet operation. - Repair or replacement of traveling cables, when necessary. Wire ropes shall be renewed as often as necessary to maintain an adequate factor of safety and equalize the tension on all hoisting ropes. - Cleaning of door track debris. - Cleaning of the machine, motor, and controller. - Load testing as required by the State of California as part of permitting/ certification. - Provide all other general maintenance features, or practices not cited above that are considered routine elevator maintenance. - Supply and maintain parts and supplies necessary to the preventative maintenance and corrective repair of items described above.

5.4 As conditions warrant, Contractor shall repair or replace all portions of the elevator equipment under the preventative maintenance plan, with exclusions noted below under the section titled MAJOR REPAIRS.

5.5 The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict. All preventive maintenance, repairs, and adjustments shall meet the following minimum elevator performance criteria:

- Up Speed – 125 feet per minute ± 5% regardless of load. - Down Speed – 125 feet per minute ± 5% regardless of load. - Door Open Time – Within the equipment manufacturer’s specifications. - Door Close Time – Minimum permitted by code, without exceeding allowable kinetic energy and closing force - Door Stand Open Time – 5.0 seconds maximum. - Leveling – Minimum ¼ inch under any loading condition. Level into floor at all times, do not overrun floor and level back. - Contractor shall maintain a comfortable elevator ride with smooth acceleration, both starting and stopping, and the final leveling zone shall be within the equipment manufacturer’s specifications. Slow-down, stopping, and leveling shall be without jars, bumps, or overshoot. - There shall be no noticeable side sway in the car when the doors open and close. - The hoist-way ride shall be smooth without bumps, jars, or swaying, and shall be quiet. - Door operation shall be quiet and positive with smooth checking at the extreme levels.

6.0 SCHEDULED MAINTENANCE, HYDRAULIC ELEVATORS

The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory, or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict.

6.1 Monthly Requirements. The PMP for each elevator Equipment item shall include the following as monthly maintenance requirements:

- Pump Unit - Cylinder - Controllers and Starters - Safety Edge and Car Door Clutch - Car Top Sensor and Door Photo Light Rays/Curtains - Door Closure - Motor - Car Operating and Signal Devices - Interlocks and Gate Switches - Shaft Doors and Car Doors - Leveling - Railing - Observe and verify operation of signal and dispatching system. - Test manual and emergency control. - Clean and lubricate automatic slow-down and stopping switch. - Clean car tops, pit, machine room floor and equipment as conditions warrant. Pit shall be dry and free of any fluid, including water. - Contactor shall dispose of all hazardous materials in accordance with this Agreement and applicable law. Materials not required for the operation of the elevators shall not be stored at these locations.

6.2 Quarterly Requirements. The PMP for each elevator Equipment item shall include the following as quarterly maintenance requirements:

- Guide Shoes - Rail Lubricator - Car Doors - Car Door Operator - Hoist way Doors - Clean and lubricate car fan and blower. - Clean, lubricate and adjust overload mechanism. - Clean all motors and pump. - Adjust hydraulic valve as required.

6.3 Semi-Annual Requirements. The PMP for each elevator Equipment item shall include the following as semi-annual maintenance requirements:

- Controller - Car Limit Switches - Car Operating Station - Mechanical Leveling Switches - Door Interlocks - Check operation of load weighing devices

7.0 SCHEDULED MAINTENANCE, TRACTION ELEVATORS

The maintenance requirements listed below are not intended and shall not be construed to be a complete listing of all elevator Equipment maintenance requirements. Where one or more of the below-listed requirements conflicts with a manufacturer’s recommendations, industry standards, statutory or regulatory guidance, or other applicable standards, Contractor shall immediately notify the County of said conflict.

7.1 Monthly Requirements. Contractor(s) shall regularly and systematically examine, clean, lubricate, and adjust vertical transportation equipment including machine rooms, secondary, pits, and hoistways.

The PMP for each elevator Equipment item shall include the following as monthly maintenance requirements the examination, lubrication, repair, or replacement of the following:

- Alarms / alarm bells - Brakes - Buffers - Call Buttons / car and corridor operating stations - Car door contacts - Car and hoistway door hangers and tracks - Car Guide Shoes - Car Cables and Governor Cables - Car Door and Gate Operation - Car Top Sensor and Door Photo Light Ray or Continuous Beam - Car Operating and Signal Devices - Controllers and Starters (including relays, contacts, timers, coils, magnet frames, and control wiring) - Door Closer / operator / protective devices - Elevator pumps - Exhaust Fans - Generator - Gibs - Governor - Guide Rails - Hoistway and Car Gates - Interlocks and Gate Switches - Motors - Plungers and plunger packing - Regulators - Rollers - Safety Edge and Car Door Clutch - Selector - Signal lamps (regular service hours only) - Shaft Doors and Car Doors Page 9 of 17

Hoistway and Pit:

- Buffers - Selector Drives - Controllers - Car Limit Switch - Car Operating Station - Mechanical Leveling Switches - Door Interlocks - Safety - Check operation of load weighing device.

7.4 Annual Requirements. The PMP for each elevator Equipment item shall include the following as annual maintenance requirements:

- Rails - Counterweight - Car Frames - Car and Counterweight Run By - Sheaves - Controller - Hoist ways - Motor and Generator - Miscellaneous: o Clean armatures and motors with blower or vacuum. o Inspect armature and rotor clearances. o Inspect motor and M-G set connections. o Change oil in bearings, and lubricate in accordance with manufacturer’s instructions. o Test and adjust system dispatching, scheduling, emergency service features, and derail sensors in accordance with manufacturer’s instructions. o Maintain the clean exterior of the machinery. o Assist County with annual fire alarm panel testing as required, at no additional charge.

8.0 MAJOR REPAIRS

8.1 General. Major Repairs may be required because of negligence, accident, or misuse of the equipment by anyone other than the Contractor's employees, subcontractors, servants, or agents, or other causes beyond the Contractor's control, except ordinary wear and tear.

Contractor(s) shall not be responsible for obsolescence of equipment and shall not be liable for consequential damages. It is understood that consequential damages shall mean only loss of revenue to the County as a result of equipment failure or malfunction.

Any work not specifically identified herein as Major Repairs shall be deemed to be included as part of the preventative maintenance service within the intent of this specification and shall be performed without additional cost to the County. The County will issue Work Orders for major repair or replacement of the following items:

- Electrical feeds to elevator disconnect - Car enclosure (including removable panels, door panels, flooring, car gates, car door replacement, plenum chambers, hung ceilings, light diffusers, light tubes and bulbs, handrails, mirrors and

flooring); car and hoistway enclosures; enclosure refinishing, hoistway gates, doors, frames and sills. - Hoistway door, frame, sill, and jamb replacement - Hydraulic cylinder, power feeders, switches (including related wiring and fusing) - Hydraulic elevator jack outer casing - Underground hydraulic cylinders, casings, piping, or conduits - Main line power switches or fuses - Power wire to the controller - Replacement of light bulbs, fluorescent tubes, ballasts, and associated fixtures used for cab or machine room illumination - Obsolete Equipment no longer available through normal or alternate supply sources. - All other items excluded from the preventive maintenance and minor repair portion of this Scope.

8.2 Procedure for Issuance of Work Orders. All major elevator repair services will be performed as set forth in these Technical Specifications. The procedure for issuance of a Work Order is as follows:

8.2.1 The County will issue a request for elevator repair work to be performed. (Proposed compensation may or may not be applicable.)

8.2.2 Contractor(s) must prepare and submit a written estimate of repairs to be done, including proposed compensation (using the elevator repair service rate/hour from Exhibit A3 for the applicable contract year), and all parts and equipment required to make the repairs.

8.2.3 The County will review the estimate and, after incorporating any corrections or changes, may issue a Work Order. No services for major elevator repairs may be performed or costs incurred until a Work Order is approved by both parties.

8.3 Determining Amount of Compensation per Work Order.

The amount of compensation for the major repair work to be performed, as set forth in each Work Order, will be a not-to-exceed amount. The amount must include all labor, parts and equipment required to perform the requested repairs. The amount of compensation for each Work Order will be negotiated based on the applicable rate/hour, as set out in Exhibit A3 for elevator repair services, and the estimate of hours to perform the repair work.

8.4 Inspection and Acceptance of Repair Work.

Contractor(s) must provide notice to the County when the requested repair work is completed. Contractor(s) must return the elevator to fully operational condition after repairs are complete. The County will accept the repair work if it complies with all of the requirements set out in the Work Order and in these Technical Specifications.

8.5 Compensation

After completion of all major repair services called for under a Work Order, Contractor(s) must remit an invoice for review and approval by the County’s GSA-Facilities Maintenance Division Manager, setting forth the Services provided in accordance with Contractor’s Bid Pricing in Exhibit A3, and these Technical Specifications.

9.0 ADDITIONAL SERVICES

If the County requests Contractor to provide services in addition to those specified above, Contractor shall develop a work plan detailing the specific tasks to be completed and provide a detailed not-to-exceed budget for performing such tasks. Contractor shall not perform any Additional Services until Authority has issued a written notice-to-proceed with the execution of the work plan. Contractor will not be authorized to perform or Page 12 of 17

invoice Authority for any work not specifically authorized in the Authority’s notice-to-proceed.

The following will be considered additional services:

9.1 Elevators: Maintenance, repair, or replacement of hoist way and equipment room walls and floors, car enclosures, finishes, car floors and ceiling lamps and ballasts; equipment room lamps and HVAC equipment; fire sprinklers and fire shutters, main line and auxiliary electrical disconnect switches or power feeders, underground piping, underground hydraulic cylinders or conduits, car door replacement, car enclosure refinishing, car and hoist-way enclosures and door panels, hoist-way door and jam replacement, hydraulic elevator jack outer casing, door frames and sills, car flooring, main line power switches or fuses, and power wire to the controller

9.2 Vandalism Repair: Breakage, loss, or damage repair to the Equipment when such loss or damage is caused intentionally or as the result of a malicious act and /or misuse by a person or persons other than Contractor, its subcontractors, agents, or employees.

9.3 Additional Equipment: Additional elevators may come on-line during the term of this Agreement. Contractor agrees to provide all test, inspections, preventive maintenance and repairs of such additional Equipment as Additional Services in accordance with the provisions of this section.

10.0 SERVICE CALLS

The County may call Contractor(s) to respond to the elevator needs between regularly-scheduled preventive maintenance inspections. Such non-scheduled Service Calls may be made by the County for reasons such as minor adjustments, minor repairs, or emergency entrapments. Such service must be available from and provided by Contractor(s) 24 hours a day, 7 days a week.

10.1 Warranty Call-Backs:

10.1.1 Both emergency and non-emergency service call-backs made within 24 hours of Contractor(s) previous service visit to rectify the same or a related problem, or within the warranty period for a particular product or service as specified by the product manufacturer or the installing Contractor(s), and made during the County’s normal business hours of 8:00 a.m. to 5:00 p.m., shall be considered warranty service and shall be provided by such Contractor(s) at no additional charge to the County.

10.1.2 The minimum response time for non-emergency Warranty Call Backs shall be two hours from the initial notification by the County.

10.2 Non-Warranty, Non-Emergency Service Calls:

10.2.1 Any non-warranty service call for adjustment or repair which requires more than one man or two hours to perform will be considered a billable repair that is not included as regular scheduled preventive maintenance service and may be billed to the County separately at Contractor’s standard hourly rate for repair work, according to the hourly rates identified on the attached Exhibit A3, Form of Bid Pricing. Invoices for materials installed on minor repairs must be billed to the County at cost plus a markup not to exceed 10% of the actual material cost.

10.2.2 Non-warranty Service Calls for work during the County’s normal business hours of 8:00 a.m. to 5:00 p.m. shall be provided by Contractor(s) at the hourly rates identified on the attached Exhibit A3, Form of Bid Pricing.

10.2.3 Non-warranty Service Calls for work outside of the County’s normal business hours, and any overtime work, shall be billed to the County separately at Contractor’s standard hourly rate for such repair work, according to the hourly rates identified on the attached Page 13 of 17

Exhibit A3, Form of Bid Pricing.

10.2.4 The minimum response time for non-emergency service calls shall be confirmation to the site by phone call within one (1) hour of notification, and be on site within two (2) hours from the initial notification by the County.

10.2.5 If required, at any time, examinations, minor adjustments, trouble calls, emergency call back services, or repairs to be made on overtime, Contractor(s) shall absorb the straight time portion of each overtime hour worked. The County will pay only for the difference between the regular hourly billing rate and the regular overtime billing rate applicable, for each overtime hour worked. Maximum total overtime travel charge is 2.0 hours per employee per trouble/emergency call.

10.3 Emergencies.

10.3.1 Emergency repair services are defined as those services needed to correct an emergency condition which consists of entrapment of personnel, as well as any other inoperable or unsafe condition that provides potential for harm to personnel or property, or that disrupts or impairs County operations as deemed by the County in its sole discretion. Such condition includes any condition which causes the County to be in non- compliance with the American with Disabilities Act or any Federal, State, or Local requirements.

10.3.2 Contractor shall at all times have a designated, qualified, On-Call Technician available to provide emergency repair services to Equipment. The On-Call technician shall be immediately and continuously available at a single phone number which shall be provided by Contractor.

10.3.3 Upon notification that emergency repair services are required, Contractor shall promptly, efficiently, and effectively respond as appropriate to correct the underlying emergency condition. The On-Call Technician shall commence repair action within one (1) hour of the County’s notification to Contractor of the need for emergency repairs, except in cases of entrapment of persons, in which case the Contractor shall be on-site within thirty (30) minutes.

10.3.4 Whenever Contractor provides emergency repair services, Contractor will provide the County a full report of the Equipment deficiencies that gave rise to the underlying emergency condition, Contractor actions taken to effect the emergency repair, parts used in the repair, and responding Contractor personnel by name, arrival/departure time and hours worked.

10.3.5 Contractor(s) shall respond to all calls made by the County within the times noted above or the County may exercise the right to call another elevator repair company to respond. The expense of this call shall then be charged to and paid by the Contractor(s). Continued failure to respond to calls or failure to provide competent responsive service may cause termination of the Contract.

10.4 Authorized Personnel.

Service Calls may only be requested by the following authorized and designated County personnel. The County will provide Contractor with a list the names of those individuals whose job title corresponds with those positions noted below and who are authorized to request trouble callbacks. Such lists may change from time to time and it shall be the County’s responsibility to notify Contractor of any changes:

- GSA Facilities Maintenance Engineer III - GSA Purchasing Agent, Manager, or other GSA-Purchasing Staff

11.0 PERFORMANCE REQUIREMENTS

Contractor agrees to maintain the following minimum performance requirements of the elevators. In accomplishing these performance requirements, the Contractor shall maintain a comfortable elevator ride with smooth acceleration, retardation, and a soft stop. Door operation shall be quiet and positive with smooth checking at the extremes of travel.

11.1 Maintain the original OEM performance specifications and to perform the necessary adjustments as required to maintain said door opening and closing time within limits of applicable codes.

11.2 Check the group dispatching systems and make necessary tests to insure that all circuits and time settings are properly adjusted, and that the systems perform as designed and installed by the OEM Contractor.

11.3 Maintain standard cabinets for the orderly storage of replacement parts in the machine room and original OEM engineering wiring diagrams along with any revised diagrams for the term of the contract.

11.4 Maintain a supply of contacts, coils, leads and generator brushes, lubricants, wiping cloths, and other minor parts in each elevator machine room for the performance of routine preventative maintenance.

11.5 Maintain a supply of genuine OEM, or approved equivalent, spare lending and replacements parts in Contractor's warehouse inventory. This inventory shall include, but is not limited to, generator rotating elements, door operator motors, brake magnets, generator and motor brushes, controller switch contacts, selector switch contacts, solid state components, selector tapes, door hangers, rollers, hoistway limit switches.

12.0 PENALTY ASSESSMENT

The importance of the elevators demands they be maintained in a satisfactory and acceptable operating condition, in accordance with the requirements of these specifications, and that they be kept capable of providing their initial maximum capacity, speed and performance. Contractor acknowledges that the County will incur certain expenses and harm in the event Contractor fails to perform obligations within repair and/or response time limits as specified in this Exhibit. Contractor agrees to pay as liquidated damages the penalties as set forth in the below table and that the County shall be authorized to deduct accumulated penalties from the amounts owing to Contractor in the month after the penalty arises.

13.0 RIGHT OF CANCELLATION

The County reserves the right to cancel any contract/purchase order issued, for cause, if Contractor’s quality of service does not continue to meet the minimum acceptable standards. The County will have the right of cancellation and will be relieved of any and all obligation of continuing with the contract. Minimum acceptable standards are determined solely by the County. The County reserves the right to make tests as and when deemed advisable to ascertain whether these requirements are being fulfilled. Should it be found that such standards are not being satisfactorily maintained in the opinion of the GSA Facilities Maintenance Manager, or designee, whose decision shall be final, the County may immediately demand that the Contractor place the elevators in condition to meet these requirements. If the Contractor fails to comply with such demands within a reasonable time as determined by the County, the County Purchasing Agent, or designee, may, by written notice to the Contractor, terminate this agreement. In such event, the County may assume responsibility for service by contract or otherwise, and the Contractor shall be liable to the County for any additional cost occasioned by the County thereby.

14.0 REPORTS

In addition to any other reports required by this Agreement, Contractor shall provide to the County reports detailing each inspection, test or maintenance activity. Additionally, upon request, the Contractor shall provide time spent and include detailed descriptions of services performed and parts and supplies used, if any. The number of copies to be submitted will be determined at the time of the request by the County

15.0 ANNUAL CERTIFICATION/PERMITS

Contractor shall notify the GSA Facilities Maintenance Manager 30 days prior to the expiration date of the annual Cal-OSHA operating permit. Upon completion of Cal-OSHA inspection, any conditions needing corrected to meet OSHA standards shall be completed within fourteen (14) days of notification.

Permits to operate the elevators will be maintained by the County. Contractor(s) is/are responsible for follow- up repairs and discrepancies found by the State Inspection Agencies. The County will issue a Work Order to Contractor(s) for any follow-up repairs and discrepancies. The County will obtain permits and make arrangements for inspections by the authority having jurisdiction over the work described in the Work Order. Approvals and certificates of inspection for this work will be completed by the County’s GSA-Facilities Maintenance Division upon completion of the work.

If repairs are necessary before or after tests to meet code requirements such work shall be payable at the hourly service rate set forth in this contract. Contractor will be reimbursed for parts (with parts invoice or price list attached) at the rate of cost plus 10% mark-up (prior to sales tax.)

16.0 MATERIAL SAFETY DATA SHEETS

Contractor(s) must furnish all material safety data sheets and any related information concerning any chemicals or products Contractor brings to the elevator locations listed in Exhibit A2. No products will be used on County equipment without prior consent of the County’s GSA-Facilities Maintenance Division.

17.0 ENVIRONMENTAL SAFETY AND DAMAGE

Contractor(s) is/are prohibited from using any chemical in the performance of this Contract that would contaminate soil or ground water, or present a health risk.

Contractor(s) is/are responsible for any damage to County property or adjacent property that results from Contractor’s activities under this Scope.

18.0 COMPENSATION

Contractor(s) must remit an invoice monthly for review and approval by the County’s GSA-Facilities Maintenance Division for all regular scheduled preventive maintenance services, warranty callbacks, non- warranty minor and major repair services, and any non-warranty Service Calls performed pursuant to a Work Order, at all sites assigned to Contractor(s), setting forth the Services provided in accordance with Contractor’s hourly rates identified on the attached Exhibit A3, Form of Bid Pricing, and these Technical Specifications.

As a basis for payments of claim for services rendered, monthly billing must be accompanied by service reports indicating hours worked and work accomplished on each elevator during the month. Reports shall be verified by the signature of a designated representative of the County. Failure to comply will result in withholding monthly payments. All repair invoices must have a detailed explanation of the specific work performed.
