BAKER* The thoughtful and convincing articles by Kathryn Fenton' and John Kwoka 2 each bring alive an interesting moment in antitrust history at the Federal Trade Commission. At both times, the scope and durability of antitrust's Chicago School revolution was in question. My comment highlights the way two Commissions, more than a decade apart, ad- dressed that revolution. The FTC's decision concerning the General Motors/Toyota produc- tion joint venture was issued early in 1984,1 a time of significant uncer- tainty for horizontal restraints law. The joint venture was under review early during antitrust law's transition from the structural to the Chicago School era.4 By 1984, the Supreme Court had decided three cases now considered important Chicago School landmarks: GTE Sylvania,5 Bruns- wick,6 and BM!7 At the time, however, it would have been easy to question how far the changes in antitrust doctrine would go and how permanent they would be. BMJ had introduced an efficiency screen into the tradi- tional per se prohibition against price fixing, but that decision had been followed by Maricopa,8 which could have been read as restricting that * Professor of Law, Washington College of Law, American University. Soc'y, 457 U.S. 332 (1982). 1029 1030 ANTITRUST LAW JOURNAL [Vol. 72 limitation on the application of the per se rule to settings like that in BMI, in which the horizontal agreement was necessary to create a valu- able new product.9 The breadth of BM/arguably was not truly evident until BM/was reaffirmed by the Supreme Court in NCAA,' 0 which did not occur until shortly after the FIC issued its decision on the GM/ Toyota joint venture. The GM/Toyota joint venture was not evaluated under Sherman Act Section 1, the statute at issue in BM, but under the tougher incipiency standard of Clayton Act Section 7.11 In the review of horizontal mergers Section 7, the structural presumption of Philadelphia under Clayton 1 3 National Bank1 2 still controlled, although it too had begun to erode. Horizontal joint venture analysis under that statute was then governed by the Supreme Court's Penn-OlinH4 decision of 1964 and the FTC's Yamaha/Brunswick decision, upheld on appeal in 1981.15 These joint venture precedents emphasized a structural era concern with the loss of potential competition between the venturers. But they were coming under pressure from what were potentially fundamental shifts in horizon- tal restraints and horizontal merger doctrines. The antitrust doctrine dimension of the fight in GM/Toyota was over how much antitrust policy should change in response to criticisms from Chicago-oriented commentators that the existing rules unduly discour- aged procompetitive conduct. When GM/Toyota was decided, that ques- tion was being passionately contested, and its resolution was not yet clear.16 9 Maricopa was difficult to distinguish from BM!and could even have been viewed as limiting BM/to its facts. 10NCAA v. It may not have been apparent that General Dynamics would permit a wide-ranging analysis of whether market shares accurately reflect the merging firms' ability to compete, before the DOJ, under the leadership of Assistant Attorney General William F. Bailey and Democrat Michael Pertschuk dissented. 20051 COMMENT ON FENTON AND KwoKA Those who viewed GM/Toyota from the well-established structural per- spective saw an easy case for enforcement. 17 The automobile industry was considered a tight oligopoly, with GM as its price leader. Entry was difficult, and import competition from Japan was limited by trade agreement. The proposed venture joined the first and fourth leading firms selling passenger cars in the U.S. market. GM had picked Toyota, the largest Japanese automaker, as its partner, even though GM was already a part owner of Isuzu, a smaller Japanese firm with which it could have partnered. GM and Toyota agreed to make small cars together when they could have competed to make them. And theirjoint manufac- turing venture would put them in a position to exchange competitively sensitive information about costs, product design, and sales, thus, poten- tially, facilitating continued oligopolistic pricing, even if the firms mar- keted separately the cars the venture would produce. Alternatively, those who took the rising Chicago School perspective were unwilling to presume that large firms in concentrated markets necessarily would achieve higher-than-competitive prices. They were also attentive to the many possibilities for achieving cost-savings and other efficiencies from collaboration, even if the collaboration was between rivals. From this perspective, GM/Toyota was also an easy case.' 8 GM had been unsuccessful at making inexpensive, high-quality, small cars and wanted to learn how to do so from a successful firm. Toyota had achieved great success as an importer, but could not bring in more small cars because of trade restraints and was reluctant to build assembly plants in the United States without first obtaining domestic manufacturing experience. The joint venture thus promised to help GM become a better producer of small cars and to make Toyota a better domestic competitor, able to expand sales more easily by producing in the United States. Moreover, competitive dangers were limited because the joint venture involved only one plant. As a practical matter, the FTC's decision was a victory for the Chicago School. The FTC technically found a violation of Clayton Section 7, but it allowed the joint venture to proceed, subject to restrictions on the size of the venture and the information the firms could share. By framing the venture as a violation that needed fixing, the FTC found a way to harmonize a wide-ranging analysis of competitive effects and attention to efficiencies within the pre-existing emphasis of the case law on pre- sumptions of harm from concentrated market structure. 's See generally id. at 386 (Statement of Chairman Miller). 1032 ANTITRUST LAW JOURNAL [Vol. 72 Fenton notes, this decision seemed to come from a different era than the FTC's Yamaha/Brunswickjoint venture decision three years earlier. 9 With Terry Calvani's appointment as Commissioner the year before and this decision, the FTC firmly embraced the economic approach to anti- trust advocated by Chicago School commentators. Fenton also emphasizes that the harm to automobile market competi- tion feared by the structuralists in 1984 has not come to pass. Evaluating the case with the benefit of hindsight, I agree with John Kwoka's view in a book chapter he wrote on the GM/Toyota case: the risks to automobile industry competition in retrospect appear to have been overstated but the efficiency gains.20 I suspect that GM picked the wrong joint so were 21 venture partner to learn most efficiently how to make small cars cheaply. GM would likely have learned more from partnering with Nissan, a large Japanese automaker nearly as productive as Toyota. Learning from Nissan would have been easier because Nissan achieved productivity gains while organizing its production process the same way as GM, plan- ning long production runs to achieve scale economies.

  • Amazon's Antitrust Paradox
    LINA M. KHAN Amazon’s Antitrust Paradox abstract. Amazon is the titan of twenty-first century commerce. In addition to being a re- tailer, it is now a marketing platform, a delivery and logistics network, a payment service, a credit lender, an auction house, a major book publisher, a producer of television and films, a fashion designer, a hardware manufacturer, and a leading host of cloud server space. Although Amazon has clocked staggering growth, it generates meager profits, choosing to price below-cost and ex- pand widely instead. Through this strategy, the company has positioned itself at the center of e- commerce and now serves as essential infrastructure for a host of other businesses that depend upon it. Elements of the firm’s structure and conduct pose anticompetitive concerns—yet it has escaped antitrust scrutiny. This Note argues that the current framework in antitrust—specifically its pegging competi- tion to “consumer welfare,” defined as short-term price effects—is unequipped to capture the ar- chitecture of market power in the modern economy. We cannot cognize the potential harms to competition posed by Amazon’s dominance if we measure competition primarily through price and output. Specifically, current doctrine underappreciates the risk of predatory pricing and how integration across distinct business lines may prove anticompetitive. These concerns are height- ened in the context of online platforms for two reasons. First, the economics of platform markets create incentives for a company to pursue growth over profits, a strategy that investors have re- warded. Under these conditions, predatory pricing becomes highly rational—even as existing doctrine treats it as irrational and therefore implausible.

I believe that Steve Breyer from all points of view is an outstand- ing nominee to the Supreme Court. I will concentrate today, how- ever, on that part of his record dealing with economic regulation and particularly his record in antitrust. That record has been sub- ject to very thoughtful questions by Senator Metzenbaum and oth- ers on the committee, and subject to some criticism by witnesses who testified a little earlier today. I recognize two themes in the criticism. One is sort of a numbers game approach that Judge Breyer is supposed to have decided an unusual number of cases in favor of defendants in antitrust cases, and then there has been some criticism of specific decisions. As far as the numbers game is concerned, first of all, if people are going to use the numbers game approach, they ought to get their numbers right. The claim is—I nave heard it repeatedly today—that he decided 16 consecutive cases against the defendant. Actually, the score was 14 to 2, and I cited two cases for the plain- tiff in my prepared testimony.

    HOWARD SHELANSKI Antitrust and Deregulation abstract. Because regulation works alongside antitrust law to govern market structure and economic conduct in the United States, deregulatory cycles can create gaps in competition enforce- ment. Antitrust is sometimes portrayed as just another form of government intervention that a deregulatory administration should also diminish. This Feature argues that policy makers should resist that political logic. Instead, antitrust should become stronger as regulation becomes weaker. Antitrust as a countercyclical force to deregulation will most directly help to protect consumers from enforcement gaps that result as competition-related rules recede. But antitrust enforcement in deregulating markets can also help to demonstrate where antitrust can govern markets more effectively and efficiently than regulation; it canovide pr the federal courts with an opportunity to clarify recent Supreme Court decisions on the boundary between antitrust and regulation; and it can better inform ongoing policy debates about the effectiveness of antitrust by providing a more accurate view of what antitrust enforcement can accomplish with its existing legal and analytic framework. Not only is each of these benefits of countercyclical antitrust enforcement important in its own right, but together they can lead to better policy choices between antitrust and regula- tory solutions as political cycles change over time. author. The traditional definition of unlawful bait and switch applies to insincere offers to sell one item in order to induce the buyer to purchase another. Certain sellers have historically employed bait-and-switch tactics, including urban retailers, aluminum siding companies, and supermarkets. Colloquially, this definition can also cover lawful or other borderline sales tactics, including the use of teaser rates or low introductory pricing, or even “free offers.” Even common lawful tactics, like the deliberate routing of customers past other retail displays on their way to purchase high-volume or featured items, may involve “bait” to induce other purchases. Why are some of these behaviors lawful and others unlawful? In this Article, I examine several different flavors of bait-and-switch tactics, ex- ploring the underlying behaviors behind the tactics and the welfare impli- cations of regulating them.

LANDE* The current paradigms of antitrust law-price and efficiency-do not work well enough. True, they were an immense improvement over their predecessors, and they have served the field competently for a genera­ tion, producing reasonably accurate results in most circumstances. Accu­ mulated experience has also revealed their shortcomings, however. The price and efficiency paradigms are hard to fully understand and are not particularly transparent in their application. Moreover, in a disturbingly large number of circumstances they are unable to handle the important issue of nonprice competition. In this article we suggest replacing the older paradigms with the somewhat broader approach of "consumer choice." 1 The choice framework has several advantages.

    IS THERE TOO MUCH TRAFFIC ON THE COMPETITION LAW ENFORCEMENT AUTOSTRADA: A ROLE FOR NEGATIVE COMITY? Terry Calvani* & Justin Stewart-Teitelbaum** In 1990, when one of the authors departed from the United States Federal Trade Commission (“USFTC”), American competition enforcement agencies investigated matters that were almost entirely domestic. The same was true of foreign competition enforcement agencies: the Americans investigated American matters; the Germans investigated German matters. There were few, if any, multijurisdictional pre-merger notification filings; there were no international cartel investigations. Moreover, there was little professional contact among enforcement officials except for the annual Fordham Conference, periodic United Nations Conference on Trade and Development (“UNCTAD”) competition meetings, and the Paris meetings of the Organization for Economic Cooperation and Development (“OECD”) (for those few countries that were members). While a good number of countries had competition laws and agencies to enforce them, antitrust was largely an American enterprise.
