This Article First Documents the Shift to Annual Elections of All Directors at Most U.S DELAWARE'S CHOICE BY GUHAN SUBRAMANIAN' ABSTRACT This Article first documents the shift to annual elections of all directors at most U.S. corporations, and argues that the alternative of "ineffective" staggered boards would have been more desirable, as a policy matter, but is now a missed opportunity. Using this experience on staggeredboards as a motivating case study, the Article then examines a policy choice regarding Section 203 of the Delaware General CorporationLaw. Fourfacts are uncontested: (1) in the 1980s, federal courts established the principle that Section 203 must give bidders a "meaningful opportunity for success" in order to withstand scrutiny under the Supremacy Clause of the U.S. Constitution; (2) federal courts upheld Section 203 at the time, based on empirical evidence from 1985- 1988 purporting to show that Section 203 did in fact give bidders a meaningful opportunityfor success; (3) between 1990 and 2010, not a single bidder was able to achieve the 85% thresholdrequired by Section 203, thereby calling into question whether Section 203 has in fact given bidders a meaningful opportunity for success; and (4) perhaps most damning, the original evidence that the courts relied upon to conclude that Section 203 gave bidders a meaningful opportunityfor success was seriously flawed-so flawed, in fact, that even this original evidence supports the opposite conclusion: that Section 203 did not give bidders a meaningful opportunityfor success. The constitutionality of Section 203 is therefore "in play," and, with the decline of the poison pill, a new constitutional challenge against Section 203 will eventually come. Delaware could avoid this showdown by lowering Section 203's 85% threshold to 70%. CONCLUSION .............................................. 52 I. INTRODUCTION Over the past ten years, corporate America has largely given up staggered elections for the board of directors.' Among the S&P 500, staggered board incidence has gone from 60% in 2002 to 18% by 2012.2 This movement has been led by shareholder activists and bolstered by academic research showing that staggered elections, on average, increase board entrenchment and reduce overall shareholder value.? The result is that we live in a world today in which most corporate directors are elected each year.4 I believe that this movement toward annual elections of all directors has been a mistake. I say this with some unease, since my own academic work has been used over the past decade as evidence in favor of de-staggering corporate America. However, in our 2002 and 2003 Stanford Law Review articles on staggered boards, my co-authors and I 'See infra Figure 2. DELAWARE'S CHOICE 2014 3 never proposed de-staggering; rather, our doctrinal approach would have made all staggered boards into ineffective staggered boards, thereby preserving the long-term focus for directors in the ordinary course of business, but preserving the right of shareholders to consider an unsolicited offer for the company in a single, up-or-down referendum.' In 2007, as the movement against staggered boards was gathering steam, I published an op-ed in the New York Times, again advocating an ineffective staggered board as a win-win compromise between an effective staggered board and a unitary board.' But this middle-ground approach was never endorsed by the Delaware courts, nor was it unilaterally adopted by boards. And so the unwillingness of corporate America to adopt a middle- ground solution led to an extreme outcome once shareholder activists gained more power.' The irony is that most commentators today believe that boards are more vigilant in monitoring management and more focused on long-term shareholder value than boards were in the 1990s. But activists, motivated by a corporate America that had overplayed its hand, ignored this shift in boardroom culture that had largely corrected the problem they were seeking to solve, and pushed instead for the structural solution of the unitary board.! Both sides are to blame for the current state of play. It is virtually tautological that shorter terms for directors, particularly when combined with other reforms that have made the election process itself more meaningful, reduce directors' time horizons. The result is short-termism in corporate boardrooms.o As a director of a Delaware public company, an advisor to corporate boards, and a teacher to public-company directors in Harvard Business School executive education programs, I have witnessed this pressure for short-term results firsthand. Corporate America will not be moving back to staggered boards, even ineffective staggered boards, anytime soon. But (to mix metaphors), there is another shoe waiting to drop: Delaware's antitakeover statute, codified at Section 203 of the Delaware General Corporation Law ("DGCL").2 In 2010, in a pair of articles published in the Business Lawyer, my co-authors and I presented four facts: (1) in the 1980s, federal courts established the principle that Section 203 must give bidders a "meaningful opportunity for success" in order to withstand scrutiny under the Supremacy Clause of the U.S. Constitution; (2) federal courts upheld Section 203 at that time, based on empirical evidence from 1985-1988 purporting to show that Section 203 did, in fact, give bidders a meaningful opportunity for success; (3) between 1990 and 2010, not a single bidder was able to achieve the 85% threshold required by Section 203, thereby calling into question whether, in fact, Section 203 has given bidders a "meaningful opportunity for success;" and (4) perhaps most damning, the original empirical evidence that the courts relied upon to conclude that Section 203 gave bidders a "meaningful opportunity for success" was seriously flawed-so flawed, in fact, that even this original evidence supports the opposite conclusion: that Section 203 did not give bidders a meaningful opportunity for success." We concluded from our analysis that the constitutionality of Section 203 was unclear, at best. 4 While critics of our article argued vehemently that we were wrong, none of them challenged these four basic facts." Our article was subsequently selected by academics as one of the "top ten" articles in corporate/securities law for 2010, out of 447 articles published in that year.'" In its 2010 hostile bid for Casey's General Stores, Couche-Tard cited our "landmark study" as the basis for its challenge to Iowa's antitakeover statute, which is structured similarly to Section 203." Then- Delaware Chancellor Bill Chandler, in his seminal Airgas opinion, agreed with our assessment that an 85% threshold was virtually impossible to achieve." "See infra Part III.A. 2014 DEIAWARE's CHOICE 5 believe that Section 203 is dominated by the poison pill (and therefore the challenge will never come), consider that 88% of S&P 1500 companies do not currently have pills, and in recent years 59% of companies without pills have not put them in when a bid is brought. So Delaware has a choice. As with staggered boards, Delaware could ignore the problem. And as with staggered boards, the challenge will inevitably come with the right facts.

Investor Perceptions of Board Performance: Evidence From Uncontested Director Elections Abstract This paper provides evidence that uncontested director elections provide informative polls of investor perceptions regarding board performance. We find that higher (lower) otev approval is associated with lower (higher) stock price reactions to subsequent announcements of management turnovers. In addition, firms with low vote approval are more likely to experience CEO turnover, greater board turnover, lower CEO compensation, fewer and better-received acquisitions, and more and better-received divestitures in the future. These findings hold after controlling for other variables reflecting or determining investor perceptions, suggesting that elections not only inform as a summary statistic, but incrementally inform as well. Seven investors who met on the Yahoo! message board for Luby's and collectively own 1.9 percent of the company's common stock plan to run a slate of up to five candidates from their own ranks for the 12-member board of directors. The group filed a preliminary proxy with the U.S. Securities and Exchange Commission less than a week after Luby's officials delivered bad financial news on Oct. 11 about the fiscal year that ended Aug. 31. But the main organizer of the dissident group, which calls itself the Committee of Concerned Luby's Shareholders, insists the stockholders aren't looking solely at the bottom line. They want to see the beleaguered company restored to its status as a widely admired company, he says. "For many of us, it's more than a numbers thing -- it's an emotional thing. We want (Luby's) to be what it was," says Herbert Leslie Greenberg, a semi-retired business attorney in Culver City, Calif., and owner of 5,300 shares of Luby's stock. First, I show that classified boards are associated with a significant reduction in firm value and that this holds even among complex firms, although such firms are often regarded as most likely to benefit from staggered board elections. I then examine how classified boards entrench management by focusing on CEO turnover, executive compensation, proxy contests, and shareholder proposals. My results indicate that classified boards significantly insulate management from market discipline, thus suggesting that the observed reduction in value is due to managerial entrenchment and diminished board accountability. r 2006 Elsevier B.V. A number of individuals and institutions have objected to such amendments on the grounds that they are not in the best interests of the shareholders of the firms that adopt them. This paper employs event-time methodology to investigate the impact of antitakeover amendments on the common stock prices of firms that adopt them. The results indicate that the announcement of such amendments is associated with a positive revaluation of stock price. Contrary to the concerns of their critics, we conclude that antitakeover amendments are proposed by managers who seek to increase the value of the firm and are approved by stockholders who share that objective. 1. Introduction This study is an empirical investigation of the impact of ‘antitakeover’ amendments on the common stock prices of firms that adopt them. Antitakeover amendments are amendments to a corporation’s charter that make a takeover by an ‘outsider’ more difficult. The question of whether the announcement of information related to the proposal and adoption of antitakeover amendments results in an increase or decrease in the wealth of common stockholders is the major focus of this paper.

A close corporation is usually a small enterprise, although it need not be since the scope of operations and the number of employees are not determinative of whether a corporation is closely held. This article will discuss the spe- cial problems of this type of corporation and its shareholders and the impact of the Michigan General Corporation Act on these problems. In addition some of the powers and rights of minority shareholders in close corporations are discussed. Finally, methods of tailoring the corporate form of business to make it more serviceable in a closely held business enterprise are suggested. I DISTINCTIVE CHARACTERISTICS AND NEEDS OF CLOSE CORPORATIONS In a close corporation the shareholders usually live in the same geographical area, know each other well and are acquainted with each other's business skills. All or nearly all of them typically are active in the business as directors, officers or key personnel. They commonly think of themselves as "partners" and want the power that partners have to choose their future business associates. THE CONFLICT BETWEEN MAJORITARIAN DEMOCRACY AND JUDICIAL REVIEW The reconciliation of judicial review with American rep- resentative democracy has been the subject of powerful debate since the early days of the Republic. Much of the controversy has been due to the large number of varied and often vague theories of "democracy" and to the absence of any clear consensus on its definition and that of other such highly abstract concepts as a "democratic society" and a "democratic political system." But certain critical elements are beyond reasonable dispute. Whether one looks to such classical theorists as Aristotle, Locke and Rousseau, or to such mainstays of American political thinking as Madison, Jefferson and Lincoln, majority rule has been con- sidered the keystone of a democratic political system in both theory and practice.' Effective majoritarianism in turn depends on the preservation of two fundamental rights of the individual, the right to vote and the right freely to express and exchange ideas. Although the nature of operating government permits neither right to be absolute and although complex questions exist as to their precise scope-such as the particular qualifications of those to whom the franchise is to be granted and the permissible restrictions on the freedoms of speech, press and association-the right of persons generally to vote rests at the heart of popular democracy and the intelligent exercise of the ballot demands robust free expression. Key findings Corporate governance is a topic of Boards smaller, younger and less diverse: Board size has increasing interest to policymakers, remained steady, with Russell 2000 boards averaging 8 directors, compared with 11 for S&P 500 boards. The average investors and other stakeholders seeking age and tenure of directors remained similar for the S&P 500, greater transparency of board practices but Russell 2000 figures showed a slight decline, suggesting and oversight functions, enhanced perhaps more refreshment.

    Twitter’s Corporate Governance a Mixed Bag Wall Street Journal By Maxwell Murphy October 4, 2013 Corporate governance mavens have something to cheer and something to jeer following Twitter Inc.’s initial public offering filing late Thursday. Unlike rival Facebook Inc., Twitter didn’t split its equity into two classes of stock. Dual-class structures can let founders or other shareholders retain control of the company even when their ownership falls below 50% of the outstanding shares, typically by giving one class more votes per share. As CFO Journal wrote in February 2012, ahead of Facebook’s IPO, many hot Silicon Valley firms planning to go public have adopted dual stock classes, a trend inspired by Google Inc.’s 2004 IPO. As a result of opting against dual classes of stock, Twitter won’t be eligible for the so-called controlled-company exceptions that Facebook enjoys. Controlled companies aren’t required to maintain a majority of independent directors on the board, though some do, and their boards can eschew the compensation committees required at other companies. Because of its status, Facebook was able to appoint a board that raised eyebrows among governance watchers, as CFOJ noted after its IPO filing. But Twitter will have a so-called classified board, in which elections of its seven directors will be spread out over a three-year period. Critics of the practice, including many activist investors, say that such staggered elections entrench management and the board by preventing a complete board shakeup in any given year. Shareholders have put increasing pressure on companies to declassify their boards, with aid from Harvard Law School’s Shareholder Rights Project.
