REFERENCE INTERCONNECT OFFER (“RIO”) OF SUN TV NETWORK LIMITED – FOR HEDEND IN THE SKYOPERATOR* This Reference Interconnect Offer (“RIO”) by SUN(as defined below),specifying the technical and commercial terms and conditions, in conformance with the Interconnection Regulations (as defined below), the Tariff Order (as defined below) and the QoS Regulations (as defined below) (collectively referred to as “TRAI Regulations”), is the basis which a HITS Operator (as defined below) may seek interconnection with SUN for distribution of the Channels (as defined below). This RIO contains the technical and commercial terms and conditions relating to, including but not limited to, maximum retail price per month of pay channel, maximum retail price per month of bouquet of pay channels, discounts, if any, offered on the maximum retail price, distribution fee, manner of calculation of 'KMSPL’s share of maximum retail price', genres of pay channels and other necessary conditions. Any HITS Operatordesirous of obtaining signals of the Channel(s) is required to make written request in such application form to the Contact Person in their jurisdiction. However, before requesting signals of the Channel(s), the HITS Operatormust ensure that the Addressable System to be used by such HITS Operatorfor distribution of the Channel(s) meet the requirements as specified in the Schedule III of the Interconnection Regulations and Schedule A of this Agreement. Upon receipt of the application form from the HITS Operatorand/or before providing the signals of the Channel(s) to the HITS Operator, if SUN is of the opinion that the Addressable System to be used by the HITS Operator does not meet the requirements specified in Schedule III of the Interconnection Regulations and Schedule A of this Agreement, it may cause an audit of HITS Operator’s Addressable System by M/s Broadcast Engineering Consultants India Ltd. or any other auditor empaneled by the TRAI (as defined below) for conducting such audit and provide copy of the report prepared by the auditor to the HITS Operator, unless the HITS Operator’s Addressable System has already been audited in the last one (1) year by M/s Broadcast Engineering Consultants India Ltd. or any other auditor empaneled by the TRAI and the HITS Operatorprovides a copy of such report as a proof of conformance to the requirements of Schedule III of the Interconnection Regulations and also establishes that the configuration and version of the HITS Operator’s Addressable System has not been changed after issuance of the last audit report. *The Reference Interconnect Offer has been filed in compliance with Clause 7 of the Tariff Order and is without prejudice to KMSPL’s/SUN’s rights pursuant to the final outcome of any ongoing/proposed litigation or any regulatory changes. ____________________________ _____________________________ For KMSPL For Licensee for and on behalf of SUN Page 1 of 36 LICENSE AGREEMENT [HEDEND IN THE SKYOPERATOR] Affix passport-size Agreement No: SA ____________________________ photograph of the authorized signatory & sign on the same Customer Reference No: __________________ such that half the signature is on the page and other half is on the photograph. SUN is the Broadcaster/owner of the Channels.KMSPLhas been appointedby SUN as its authorized agent and KMSPLhas been authorized to act for and on behalf of SUN in relation to (a) licensing of the Channels, inter alia, to the Headend In the Sky Operatorsin the Territory, (b) raising invoices and collection of the Monthly License Fees from such Headend In the Sky Operators, and (c) creating rights and obligation that are contractually binding in nature and enforceable at law. B. The Licenseeis aHeadend In the SkyOperator(as defined below) authorized to operate in the Registered Area (as defined below). C. The Licensee is desirous to license the Subscribed Channels for further retransmission through its Addressable System to the Subscribers in the Area and in this regard has approached SUN’s authorized agent, KMSPL. KMSPL, on behalf of SUN,is willing to license the signals of the Subscribed Channels to the Licenseefor further retransmission through its Addressable System to the Subscribers in the Area, subject to the terms and conditions of this Agreement. NOW THEREFORE, in consideration of the foregoing and the mutual covenants contained herein, constituting good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows: - 1. DEFINITION: In this Agreement, unless the context otherwise requires, the defined terms below shall have such respective meaning as have been assigned to them hereunder. Additionally, there are other defined terms in the body of the Agreement which shall have such respective meaning as have been assigned to them in the body of the Agreement. (i) “Addressable System” means an electronic device (which includes hardware and its associated software) or more than one electronic device put in an integrated system through which transmission of the programmes including retransmission of the signals of television channels can be done in an encrypted form, which can be decoded by the device or devices, having an activated Conditional Access System, at the premises of the Subscriber within limits of the authorization made, through the Conditional Access System, and the Subscriber Management System, on the choice and request of such Subscriber, by the Headend In the Sky Operator. (ii) “Affiliated Cable Operators” means the Cable Operators
