    Hong Kong Code on Takeovers and Mergers (the Takeovers Code) and Mandatory Takeovers If a company (the “Offeror”) acquires a controlling interest of at least 30% of the issued shares of a company (the “Offeree”), the unwary Offeror may be mandatorily required to make an offer to all the shareholders of the Offeree under the Takeovers Code, unless a waiver is granted by the Executive Director of the Corporate Finance Division of the Securities and Future Commission (“SFC”) or any delegate of the Executive Director (the “Executive”) who administers the Takeovers Code.
