Preferred Stock: A class of capital stock that may pay dividends at a specified rate and that has priority over common stock in the payment of dividends and the liquidation of assets. Many venture capital funds use preferred stock as their investment vehicle. This preferred stock is convertible into common stock. Dividends: The payments designated by the Board of Directors to be distributed among the shares outstanding. The type of share determines the amount. On preferred shares, it is generally a fixed amount. With common shares, the dividend can be omitted if the Directors decide to invest the money in a capital expenditure or if the business is slumping. If the dividend is paid, the amount varies depending on the amount of cash on hand. There are several types of dividends: Cumulative—Missed dividend payments that continue to accrue. Non-cumulative—Missed dividend payments that do not accrue. Liquidation Preference/Multiple: The amount per share that a holder of a given series of Preferred Stock will receive prior to distribution of amounts to holders of other series of Preferred Stock or Common Stock. This is usually designated as a multiple of the Issue Price, for example 2X or 3X, and there may be multiple layers of Liquidation Preferences as different groups of investors buy shares in different series. For example, holders of Series B Preferred Stock may be entitled to receive 3X their Issue Price, and then if any money is left, holders of Series A Preferred Stock may be entitled to receive 2X their Issue Price and then holders of Common Stock receive whatever is left. The trigger for the payment of the Liquidation Preference is typically a sale or liquidation of the company, such as a merger or sale of assets. Conventional Convertible Preferred Stock: A type of preferred stock that can also be referred to as Non-Participating Preferred Stock. This preferred stock typically receives a liquidation preference prior to the common stock, and does not participate on an as if converted basis with common stock in any remaining proceeds of a defined liquidation event. Upon such a liquidation event, holders of Conventional Convertible Preferred Stock must choose whether to receive their liquidation preference or convert their shares to Common Stock in order to participate in the pro rata distribution of assets. Participating Preferred Stock: A preferred stock entitles the owner to receive a predetermined sum of cash (usually the original investment plus accrued dividends), and also allows its holders to participate on an as-if-converted-basis with the common stock holders in any remaining proceeds of a defined liquidation event.

Late $30 stage VC has increased by 8.8% CAGR 2008 – 2017 while early stage VC has grown by 7.4% CAGR 2008 – 2017. (see figure) ▪ Southern Cross, a PE fund that invests in energy, pharmaceuticals and technology in Latin America, has $25 decided against restructuring its third fund after receiving some interest from its LPs. It is largely because its third fund has been a weak performer, the discount on fund stakes would have been steep and that the $20 fund wanted more time to exit. ▪ Univision has filed to withdraw its pending IPO due to “prevailing market conditions”. Univision initially filed $15 plans to IPO in 2015. ▪ New State Capital Partners has closed its second institutional fund on its $255 million hard cap. The fund $10 can invest more than $50 million equity per deal in sectors such as business services, healthcare services and industrials.

    MASTERS IN MANAGEMENT IN ENTREPRENEURSHIP AND NEW VENTURE MANAGEMENT Research Title: The nexus between entrepreneurship theory and venture capital financing decisions in South Africa Violet S’phiwe Buluma Student Number: 693690 BUSA 7044 Supervisor: Dr Jose Barreira Date of submission: 20 June 2017 ABSTRACT This explorative study examines the decision making criteria at the screening stage by venture capital firms in South Africa. The study also probes into the decision making criteria on the personality side and whether that has any association with the “big five” characteristics. A three- section questionnaire including both Likert style type (decision making and short version of big five) and nominal questions was sent to venture capital firms. Logistic regression as well as correlation analysis was run on the data. The findings were that individual attributes (entrepreneurs’ characteristics and experience) environment, industry and macro economic environment (characteristics of product and services, characteristics of the market and financial considerations) are all positively related to venture capital firms’ decision to grant finance to an entrepreneur. Findings on the big five characteristics are that only openness to experience, consientiousness and extrarversion were seen as critical considerations by venture capital firms, but not agreeableness and emotional stability characteristics. The study findings are beneficial for entrepreneurs and venture capital firms. The objective of the course is to provide a comprehensive overview and in-depth understanding of the private equity markets. Private equity finance will be explored from a number of perspectives, beginning with the structure and objectives of private equity funds; followed by the analysis and financing of investment opportunities; and finally crafting strategies for harvesting investments. There has been an increase in both the supply of and demand for private equity.     2020 JOURNAL giving every child a place to belong... 2019 Annual Report Enclosed To my JAFCO family, Driving into the JAFCO Children’s Village these past few months, I observed myself having what I thought to be a strange reaction to being in a leadership role during a global pandemic. On a personal level of course, I was devasted by the enormous, unprecedented loss of life and suffering happening in our world, and I found myself thinking about that a lot, especially while I drove to work on roads that were visibly empty. But then each and every day, something very odd happened the moment I swiped my access control card on the call box at the JAFCO Children’s Village entry gate. One would think that being responsible for three sites in Florida and one in Philadelphia, thousands of children and families, including 28 children living on campus, plus worrying about the health and safety of all of our staff and their families, over $1m in cancelled or re-scheduled fundraising events, our inevitable year-end funding deficit, finding enough masks and hand sanitizer and so much more, you would think that I would feel extremely worried, anxious and stressed. But on the contrary, the moment that I took my seat at my desk in my office and looked out of the window with a beautiful view of the Village, I felt an immediate sense of peace and calm and hopefulness. The pandemic was “gone”. I noticed this and privately I will share with you that I was concerned that maybe I wasn’t taking things seriously enough.
