Re: Certificate EC-III-25 originally between Power Corporation, assigned to New Brunswick Power Transmission Corporation (“Transco”) and National Energy Board (“NEW’)dated August 7, 2003 (the “Certificate”)

We are writing to advise that pursuant to the Act (the “Act”),which was adopted on June 21, 2013 but is not yet in force, the members of the New Brunswick Power Group of Companies, including Transco, will be amalgamated into an integrated entity to be known as New Brunswick Power Corporation (“NBPower”).

Pursuant to section 4 of the Act, the obligations of Transco under the Certificate will become the obligations of NB Power, and we considered it appropriate to provide you with this notice of the upcoming amalgamation.

The Government of New Brunswick has indicated that it is targeting a proclamation date of October 1, 2013 for the Act. The proclamation date will be the effective date for the amalgamation.

The Certificate will continue in force between NEB and NB Power following the amalgamation, and NB Power will perform Transco’s responsibilities under the terms and conditions set out therein. The same personnel who are currently administering the Certificate on behalf of Transco will continue to perform these responsibilities post amalgamation.
