TO DEBTORS’ NOTICE OF POSSIBLE ASSUMPTION AND ASSIGNMENT OF CERTAIN EXECUTORY CONTRACTS AND UNEXPIRED LEASES IN CONNECTION WITH SALE Simon Property Group, L.P. as Landlord and/or Managing Agent (“Simon”), by its undersigned attorney, hereby files its Limited Objection to the Debtors’ Notice of Possible Assumption and Assignment of Certain Executory Contracts and Unexpired Leases in Connection with Sale [Docket No. 345] (the “Notice”). In support of the same, Simon states as follows: BACKGROUND 1. Brookstone Holdings Corp., and its affiliated debtors and debtors-in-possession (collectively, the “Debtors”), filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code on August 2, 2018 (the “Petition Date”). 2. The Debtors continue to operate their business and manage their properties as debtors-in-possession pursuant to 11 U.S.C. §§ 1107(a) and 1108. 3. On September 10, 2018 Debtors filed their Notice of Possible Assumption and Assignment of Certain Executory Contracts and Unexpired Leases in Connection with Sale. This notice includes the proposed cure amounts believed to be due per the Debtors [Docket No. 345] (the “Cure Notice”). Case 18-11780-BLS Doc 408 Filed 09/20/18 Page 2 of 3 4. Simon is the managing agent and/or owner of thirty-one (31) properties listed in the Debtors’ Cure Notice for which Simon has an interest pursuant to lease agreements and/or contracts with the Debtors (collectively, the “Simon Agreements”). OBJECTION 5. Simon objects to the Debtors’ proposed cure amounts for the Leases in the Notice as they are inaccurate. Simon hereby asserts the correct amounts required to cure the Leases are set forth on Exhibit “A” attached hereto. 6. Section 365(b) provides in pertinent part as follows: (b)(1) If there has been a default in an executory contract or unexpired lease of the debtor, the trustee may not assume such contract or lease unless, at the time of assumption of such contract or lease, the trustee— (A) cures, or provides adequate assurance that the trustee will promptly cure, such default…; 7. The Notice asserts the amounts required to cure each Lease. Simon is not in agreement with the proposed amounts asserted as the notice fails to compensate Landlord for any actual pecuniary loss resulting from the bankruptcy filing. 8. Section 365(b)(1) includes compensation to landlords for sums incurred for attorneys’ fees and expenses. The Leases between Simon and Debtors provide for recovery of attorneys’ fees and expenses to Simon. 9. Further, Section 365(b)(1)(B) includes compensation to Simon for sums incurred for attorneys’ fees in connection with the bankruptcy case. Simon requests $1,000 per lease as reasonable attorneys’ fees associated with the bankruptcy and possible assumption of each Lease. The cure amounts are listed in Exhibit “A”. 2 Case 18-11780-BLS Doc 408 Filed 09/20/18 Page 3 of 3 10. Simon also objects, in part, to the assumption of any of the Leases as Debtors must take these Leases subject to any charges accrued, but not yet billed, including, but not limited to, common area maintenance, real estate taxes, utilities, overage rent or percent rent. Simon further reserves the right to supplement this Limited Objection prior to any final determination by the Court regarding assumption of the Leases, including the amount and payment required for purposes of cure under Section 365, as rent, attorneys’ fees and other charges continue to accrue. CONCLUSION For the reasons set forth above, Simon respectfully requests that this Court require that any order authorizing the assumption of the Simon Agreements affirmatively require the Debtors to pay all amounts owing thereunder through the effective date of any assumption, including attorneys’ fees and expenses; and grant Simon such further relief as it deems proper. Executive Summary For one analyst, the opening of a new enclosed mall is akin to watching a dinosaur traversing the landscape: It’s something not seen anymore. Dozens of malls have closed since 2011, and one study predicts at least 15 percent of the country’s largest 1,052 malls could cease operations over the next decade. Retail analysts say threats to the mall range from the rise of e-commerce to the demise of the “anchor” department store. What’s more, traditional malls do not hold the same allure for today’s teens as they did for Baby Boomers in the 1960s and ’70s. For malls to remain relevant, developers are repositioning them into must-visit destinations that feature not only shopping but also attractions such as amusement parks or trendy restaurants. Many are experimenting with open-air town centers that create the feel of an urban experience by positioning upscale retailers alongside apartments, offices, parks and restaurants. Among the questions under debate: Can the traditional shopping mall survive? Is e-commerce killing the shopping mall? Do mall closures hurt the economy? Overview Minnesota’s Mall of America, largest in the U.S., includes a theme park, wedding chapel and other nonretail attractions in an attempt to draw patrons.
