Sinclair Announces Long Term Agreement for National Sales Representation With Katz Media BALTIMORE, June 9 /PRNewswire/ -- Sinclair Communications, Inc. ("SCI") announced today that it would build exclusive selling teams at Seltel, a division of Katz Media. This far-reaching agreement will encompass the representation of all stations that SCI will either acquire or begin programming upon the closing of the Sullivan and Max Media properties later this month. In addition, stations that are currently part of SCI in Minneapolis, San Antonio and soon to be acquired Syracuse as well as stations acquired from Heritage Media will be part of the new Sinclair sales team. Barry Baker, CEO-Designate of SCI commented, "as Sinclair has grown in the number of stations it owns and/or programs, we recognize that we live in a time where all of the talent necessary to achieve our national sales goals are no longer concentrated at one parent rep firm. Katz/Seltel demonstrated to us that they have the people and systems in place to provide first rate national sales representation for the multitude of stations our growing company needs to grow our market share." Jim Beloyianis, President of Katz Television Group Companies said, "We are thrilled to be a part of the Sinclair family. The keys to the Sinclair selling organization are mirrored in our own rep firms. Our universal dedication to achieving the highest possible shares is achieved thru investments in high quality sellers. Sinclair's continued investment in great programs for its stations and great sales management to maximize the value of those shows will be enhanced in the selling teams we are setting up to represent their stations." Michael Draman, Vice President, Sales and Marketing, and Steve Eisenberg, National Sales Director, both added, "We looked at these stations and viewed the enthusiasm and energy that both Jim Beloyianis and Jack Higgins, President of Seltel, demonstrated for this joint venture and knew it was time to expand our rep horizons.

  • Station Transactions: 1991 Through September 1998
---Station Transactions: 1991 through September 1998 Page 35 BEAR STEARNS Station Transactions -1991 through September 1998 - In this section, we provide quarterly summaries of significant television transactions that have occurred from 1991 through September 1998. The data summarized include: • the date a transaction was announced (rather than closed) • the property or properties acquired/swapped • the affiliation of the acquired/swapped property • the Designated Market Area (DMA) in which the acquired/swapped television station operates • the purchaser • the seller; and • the purchase price, on the date of announcement. Since the majority of these transactions were private, cash flow and transaction multiple estimates were not available for most of the properties and therefore were not included. These data can be used to determine 1) which broadcasters have been active buyers and sellers; 2) the relative prices paid for different properties in the same market; and 3) relative acquisition activity by quarter. Sources for data in this section: Bear, Stearns & Co. Inc.; Broadcasting & Cable Magazine; Broadcast & Cable Fax; The Wall Street]oumal; The New York Times. BEAR STEARNS Page 36 Q." In 1987, Rollins Telecasting merged with Heritage Broadcasting to form Heritage Media. In December 1987, the station relocated from its longtime studios on Virginia Street East to their current location on Piedmont Road in Charleston. The company sold off WCHS-AM in 1991. Heritage sold all of its remaining broadcasting properties (four television stations, LMAs for two other television stations, and 24 radio stations) to Sinclair Broadcast Group in 1997 just as Heritage itself was being swallowed up by News Corporation (that sale being for Heritage's supermarket marketing operations, rather than for its television stations). None of Heritage's stations thus switched network affiliations. This simulcast continued while technical issues were worked out as WBME transitioned to Weigel's West Allis studios, and Weigel eventually received carriage on both DirecTV and Dish Network on the basic tier of all of those services, as it is allowed to assert must-carry status with those providers.
