Independent Auditors' Report

To Oshawa City Clerk:

We have audited the accompanying Financial Statement - Auditor's Report, Form 4 (the "Financial Statement") of candidate for mayor, John Henry, which comprises Sox D. calculation of surplus or deficit as at December 31, 2014 and Box C, statement of campaign income and expenses; Schedule 1, contributions; and Schedule 2. fundraising events and activities for the campaign period from June 10, 2014 to December 31 , 2014, relating to the election held on October 27, 2014. This Financial Statement has been prepared by candidate for mayor, John Henry, based on the financial reporting provisions of the Municipal Elections Act. 1996 (the "Act").

Candidate Responsibility for ths Financial Statement Candidate for mayor, John Henry, is responsible for the preparation and fair presentation of the Financial Statement in accordance with the financial reporting provisions of the Act. and for such internal control as the candidate detennines necessary to enable the preparation of the Financial Statement that is free from material misstatement, whether due to fraud or error.

Auditors' Responsibility Our responsibility is to express an opinion on the Financial Statement based on our audit. We conducted our audit in accordance with Canadian generally accepted auditing standards. Those standards require that we comply with ethfcal requirements and plan and perform an audit to obtain reasonable assurance whether the Financial Statement Is free of material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the Financial Statement. The procedures selected depend on the auditors' judgment including the assessment of the risks of material misstatement of the Financial Statement, whether due to fraud or error. In making those risk assessments, the auditor considers Internal control relevant to the preparation of the Financial Statement in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Internal control. An audit also includes assessing the accounting principles used and significant estimates made by the candidate for mayor, as well as evaluating the overall presentation of the Financial Statement.

We believe that the audit evidence we have obtained Is sufficient and appropriate to provide a basis for our qualified audit opinion.

Basis for Qualified Opinion Due to the nature of the types of transactions inherent in an election campaign, the completeness of contributions and other revenue and expenses is not susceptible to satisfactory audit verification. Accordingly, our verification of these amounts was limited to the amounts recorded in the campaign's accounting records and we were not able to determine whether any adjustments might be necessary to contributions. other revenue, expenses. and surplus or deficit.

Qualified Opinion In our opinion, except for the effects of the matter described in the Basis for Qualified Opinion paragraph, this Financial Statement is prepared, in all material respects. in accordance with the financial reporting provisions prescribed by the Act.

MN~ Basis of Accounting and Restrictions on Use Without modifying our opinion, we draw attention to the fact that the Financial Statement has been prepared in accordance with the Act. The Financial Statement is prepared to assist the candidate for mayor, John Henry, to meet the requirements of the Act. As a result, the Financial Statement may not be suitable for another purpose. Our report Is intended solely for the candidate for mayor and the Oshawa City Clerk and should not be used by any other parties.
