FEDERAL COMMUNICATIONS COMMISSION Instructions Pursuant to Rule 26.1, Federal Rules of Appellate Procedure any nongovernmental corporate party to a proceeding before this Court must file a statement identifying all of its parent corporations and listing any publicly held company that owns 10% or more of the party's stock. Third Circuit LAR 26.1 (b) requires that every party to an appeal must identify on the Corporate Disclosure Statement required by Rule 26.1, Federal Rules of Appellate Procedure, every publicly owned corporation not a party to the appeal, if any, that has a financial interest in the outcome of the litigation and the nature of that interest. This information need be provided only if a party has something to report under that section of the LAR. In all bankruptcy appeals counsel for the debtor or trustee of the bankruptcy estate shall provide a list identifying: 1) the debtor if not named in the caption; 2) the members of the creditors' committee or the top 20 unsecured creditors; and, 3) any entity not named in the caption which is an active participant in the bankruptcy proceedings. If the debtor or the bankruptcy estate is not a party to the proceedings before this Court, the appellant must file this list. LAR 26.1 (c). The purpose of collecting the information in the Corporate Disclosure and Financial Interest Statements is to provide the judges with information about any conflicts of interest which would prevent them from hearing the case. The completed Corporate Disclosure Statement and Statement of Financial Interest Form must, if required, must be filed upon the filing of a motion, response, petition or answer in this Court, or upon the filing of the party's principal brief, whichever occurs first. A copy of the statement must also be included in the party's principal brief before the table of contents regardless of whether the statement has previously been filed.     NEWS RELEASE Gray Closes Hoak Acquisition and Completes Refinancing of its Senior Credit Facility Atlanta, Georgia – June 13, 2014. Gray Television, Inc. (“Gray,” “we,” “us” or “our”) (NYSE: GTN and GTN.A) today announced that it completed a series of transactions (the “Hoak Acquisition”) that resulted in Gray acquiring 12 television stations and programming of three additional television stations from Hoak Media, LLC (“Hoak”) and Parker Broadcasting, Inc. (“Parker”). In addition, Gray completed the refinancing of its senior credit facility, which now consists of a seven-year $525 million term loan facility and a five-year $50 million revolving credit facility. The proceeds from the term loan were used primarily to complete the Hoak Acquisition for approximately $306 million including working capital adjustments and to refinance $159 million outstanding under our previously existing term loan, pay transaction fees and expenses, and for other general corporate purposes. We did not draw any amounts under the refinanced revolving credit facility. It appears that E skip is back for the season and that most areas in North America have received at least one opening, although one can never have enough. As of this date I would consider it to be an “OK” season so far. Hopefully July will offer us some gangbuster openings with MUFs up into the weather band. MEMBERS AND MORE. Gray Television, Inc. (“Gray” or “we” or “our”) (NYSE: GTN and GTN.A) announced today a series of transactions through which Gray and Excalibur Broadcasting, LLC (“Excalibur”) have agreed to acquire from Hoak Media, LLC (“Hoak”) and Parker Broadcasting, Inc. (“Parker”) a total of 15 network-affiliated television stations in seven markets (excluding required divestitures) for $335.0 million in cash, plus a working capital adjustment. Separately, Excalibur has agreed to acquire two Fox- affiliated television stations in one of the markets served by Hoak from Prime Cities Broadcasting, Inc. (“Prime Cities”), a company that is unrelated to Hoak and Parker, for $7.5 million in cash. These transactions will significantly expand Gray’s portfolio of market-leading owned and/or operated television stations in growing markets throughout the Central United States. My name is Mike Palkovic, and I am the Executive Vice President of Services and Operations of DIRECTV. The summer of 2013 is here. Americans are heading out on vacation, weekend getaways, and family gatherings. They will bring with them grills, refreshments, sunblock, and summer reading. They will also bring their favorite television shows and movies. Today, consumers demand the programming they want, when they want it, where they want it, on the device of their choosing, and at prices they can afford. For the most part, they get it. The very idea that someone could take television to the beach would have been unimaginable twenty years ago. Actually, just about all of today’s video marketplace would have been unrecognizable back then. From its first satellite in 1993 to TV Everywhere today, DIRECTV has played a big role in this transformation. Unfortunately, one subset of television, over-the-air broadcast television remains governed by laws that have not kept up with these changes. These outdated laws work for the broadcasters, but not for the American viewing public. Broadcast television has gotten far too expensive. It is often unavailable where consumers want it, when they want it. Customers are forced to buy unwanted programming to get it, and the broadcast industry increasingly takes it away from viewers in “blackouts.” 1 The growing tension between innovation and stale broadcast regulation has landed repeatedly in federal court.
