As you know, the Economic Development for a Growing Economy (EDGE) Tax Credit Program is a local economic development tool that aims to promote job creation in Illinois through the award of tax credits to eligible businesses. 1. Introduction
The Economic Development for a Growing Economy (“EDGE”) Tax Credit Program (the “EDGE Program” or “Program”)) is one of the most impactful business incentives offered by the Illinois Department of Commerce and Economic Opportunity (“DCEO” or the “Department”). EDGE is a targeted tax incentive program that provides credits for businesses that create new full-time jobs, retain existing full-time jobs and make capital investments in Illinois. EDGE is designed to help areas of Illinois that are in direct competition with other states for jobs and development. The following report identifies the guidelines and accomplishments of the EDGE Program through Calendar Year 2020.
In 2020, pursuant to House Resolution No. 381, the Office of the Auditor General (the OAG) concluded its audit of the Program. Amongst its recommendations, the OAG suggested several changes to the EDGE Act. Those changes were included In SB 1690, which recently passed both houses of the General Assembly. Included amongst these changes was allowing the annual report to incorporate by reference, rather than include copies of, the EDGE agreements. Section 5 follows this approach by providing links to the agreements posted on the Department’s website.
2. Eligibility Requirements
The EDGE Program is intended to help Illinois compete with other states for the location of job creation or retention projects. The Department operates and administers the EDGE Program. Based on a review of a written application submitted by a company interested in the EDGE Program and other due diligence performed by DCEO, the Department is authorized to designate qualified businesses as “eligible” and enter into EDGE Tax Credit Agreements with such companies. Eligible businesses may claim a nonrefundable and non-transferable tax credit against state income taxes. (The amount of the tax credit is calculated based on the income taxes paid by new employees and the retained employees, as well as certain eligible training costs for new employees.)
The Department administers EDGE pursuant to 35 ILCS 10/5-1, et seq. (the “EDGE Act”). The EDGE Act originally established the EDGE Program in 1999, which ultimately sunset on April 30, 2017. EDGE was reinstated in modified form later in 2017, effective September 18, 2017. DCEO administers agreements under both versions of the EDGE Act.
1999 EDGE Legislation (as amended from time-to-time, sunset April 30, 2017)
Requirements (applies to all agreements executed by the Department on or before April 30, 2017)
Designation is contingent upon the business undertaking a development project that, among other requirements:
• For companies with employment of 100 or more: o Involves at least 25 new Full-Time Employees within the State as a direct result of the project and at least $5 million in capital investment placed in service in Illinois; or o Involves at least 50 new Full-Time Employees as a direct result of the project and at least $2.5 million in capital investment placed in service in Illinois.

• For companies with employment of less than 100: o Involves at least five (5) new Full-Time Employees as a direct result of the project and at least $1 million in capital investment placed in service in Illinois.
• The Director also had discretion under the prior EDGE statute to award EDGE where companies which would not create the requisite amount of jobs or make the requisite level of capital investments, but would fulfill at least one (1) of the following conditions: the applicant is located in a distressed community with an unemployment rate that is higher than the State’s average; the applicant is located in an area with limited economic development prospects as evidenced by prior and current development activities; approval would support a business with potential to generate additional growth in the area and create jobs as a result of spin-off business; or approval would avert loss of one of the area’s major sources of employment.
• All companies eligible for the EDGE Program were required to make the following showings: o Substantiates that a viable project site exists outside of Illinois (“out-of-state option”); and o Identifies that a cost differential between the out of state option and Illinois site exists and but for EDGE tax credit assistance, the applicant will not locate the project in Illinois (the “But For” determination).
Benefits
Benefits include income tax credits for job creation and retention in amounts up to 100% of applicable Illinois employee payroll withholding.
2017 EDGE Legislation
Requirements (applies to all agreements executed by the Department on or after September 18, 2017)
Designation is contingent upon the business undertaking a development project that, among other requirements: • For companies with world-wide employment of more than 100 full-time employees: o Involves (a) hiring new full-time employees equal to the lesser of ten percent (10%) of world-wide employment or 50 new full-time employees within the State as a direct result of the project; and (b) at least $2.5 million in capital investment placed in service in Illinois.
• For companies with world-wide employment of 100 or less full-time employees: o Involves (a) hiring new full-time employees equal to the lesser of five percent (5%) of world-wide employment or 50 new Full-Time Employees within the State as a direct result of the project and (b) while no minimum capital investment is required, future cumulative tax credits cannot exceed capital investment in the project.
• All companies eligible for the EDGE Program are required to make, among others, the following showings: o Substantiates that a viable project site exists outside of Illinois (“out-of-state option”); and

o Identifies that a cost differential between the out-of-state option and Illinois site exists and without EDGE tax credit assistance, the applicant will not locate the project in Illinois.
Benefits
Benefits include income tax credits for job creation and retention in the following amounts: • New Job Creation & Project Investment-Base Credits: o The lesser of (a) 50% of Illinois payroll withholding of new full-time jobs at the project and 10% of eligible training costs of new full-time employees at the project; or (b) 100% of the Illinois payroll withholding for new full-time employees at the project.
• New Job Creation Credits & Project Investment-Companies in “Underserved Areas”: o The lesser of (a) 75% of Illinois payroll withholding of new full-time jobs at the project and 10% of eligible training costs of new full-time employees at the project; or (b) 100% of the Illinois payroll withholding for new full-time employees at the project.
• The 2017 legislation also specifically grants the Department discretion to award credits for retained employees as part of an EDGE agreement under certain circumstances. Such an award entitles the benefitted company to receive 25% of Illinois payroll withholding for retained employees. Beginning in August 2019, DCEO began exercising this discretion to award credits for retained employees for new projects located in underserved areas.
3. Competitor State Tax Incentive Programs
Illinois’ primary competitors for business locations and expansions are the bordering states of Kentucky, Indiana, Iowa, Missouri and Wisconsin. These states have adopted similar tax credit programs as incentives for businesses locating or expanding operations. However, other non-border states have become increasingly aggressive in seeking to relocate business from Illinois as well. The table below shows the similarities of the programs from the most frequently cited out- of-state options and highlights the advantages of the Illinois EDGE Tax Credit Program. The table illustrates that the EDGE Tax Credit Program is somewhat competitive with those of bordering states, as well as certain others states with whom Illinois regularly finds itself in competition. Other states regularly competing with Illinois that have roughly analogous incentive programs include the following: Arizona, Arkansas, Colorado, Connecticut, Florida, Kansas, Maryland, Massachusetts, Michigan, Minnesota, Mississippi, Nebraska, Nevada, New Jersey, New York, North Carolina, North Dakota, Oklahoma, Pennsylvania, South Carolina, Tennessee, Texas, Virginia, and West Virginia.

Bergstrom, Inc., et al.
Bergstrom will relocate their Texas productions of a wide variety of molded plastic parts, blower components and engineering parts to Rockford, Illinois. The project will include capital improvements of $2,940,571. The project will create 57 new full-time jobs above the project baseline of 380 and statewide baseline of 468 existing full-time jobs. The company had considered relocation in South Carolina or Wisconsin.
Brandt Industries USA Ltd. et al.
Brandt manufactures short line agricultural and construction equipment attachments and will expand its manufacturing capabilities in Hudson, Illinois. The project will include capital improvements of $13,010,000. The company will create 100 new full-time jobs above the baseline of one (1) existing full-time job. The company had considered locating this project in Regina, Saskatchewan, Canada.
Forager Group, Inc.
Forager Group is a transportation logistics/freight brokerage company for the automotive and aero freight industries. The company focuses on cross-border shipping into and out of Mexico and Canada. The company seeks to expand operations in Chicago, Illinois. The project will include capital improvements of $1,263,932, which will consist of land and building costs. The project will create 40 new full-time jobs above the baseline of eight (8) existing full-time jobs. The company had considered relocation to Munster, Indiana.
Hamilton Sundstrand Corporation and United Technologies Corporation
Hamilton Sundstrand, a subsidiary of UTC, designs, manufactures and supports advanced aerospace and defense products for business, military and commercial aircraft. The company proposes to construct an advanced engineering research lab 12 | Page
in Rockford. The project will include capital improvements of $18,750,000. The project will create 50 new full-time jobs above the statewide baseline of 1,964 full-time employees. The company had considered locating the lab in East Hartford, Connecticut.
Hennig, Inc.
Hennig manufactures encasements to protect valuable, but vulnerable machines and workers from outside injury. Due to growth, additional space is needed, and the company will expand its current facility in Machesney Park, Illinois. The project will include capital improvements of $20,000,000. The project will create 72 new full-time jobs above a project baseline of 259 and the statewide baseline of 394 existing full-time employees. The company had considered expansion in Beloit, Wisconsin.
Information Resources, Inc.
Information Resources offers market performance and strategy, forecasting, consumer and shopper intelligence, in market execution and analytics, media and data management software. The company will expand its facility in Chicago, Illinois. The project will include capital improvements of $27,499,327. The project will create 50 new full-time jobs above the project baseline of 733 and statewide baseline of 934 existing full-time jobs. The company had considered relocation to Indianapolis, Indiana.
Molding Automation Concepts, Inc. a/k/a MAC Automation Concepts, Inc.
MAC Automation manufacturers conveyor systems and other parts handling solutions for the plastics industry. The company is seeking to expand its current operations in Woodstock, Illinois. The project will include capital improvements of $3,071,000. The project will create ten (10) new full-time jobs above the project and statewide baseline of 54 existing full-time jobs. The company had considered relocation to Waukesha, Wisconsin.
Natural Fiber Welding, Inc.
Natural Fiber Welding is a textile manufacturer of plant-based textile products such as threads, fabric and leather-like materials. The company proposes to reconfigure its existing facility in Peoria, Illinois to create improved product flow and to execute a new lease for that location. The project will include capital improvements of $3,562,184. The project will create sixteen (16) new full-time jobs above the project and statewide baseline of 37 existing full-time jobs. The company had considered relocation to Jackson, Mississippi.
Pop-A-Shot Enterprise LLC and Foldan Ventures
Pop-A-Shot specializes in manufacturing coin-operated amusement machines. The company seeks to move its headquarter operations to 918 SW Adams Street, Peoria, Illinois and purchase land to construct a new facility. The project will include capital improvements of $1,350,000. The project will create nine (9) new full-time jobs. The company had considered relocation to Salina, Kansas.
Returns R’ US Inc dba Pharma Logistics, LTD, et al.
Pharma Logistics is a global reverse logistics company that provides highly customized, reverse logistics services for healthcare providers, suppliers and the U.S. government. The company will lease a multi-tenant facility in Libertyville, 13 | Page
Illinois. The project will include capital improvements of $5,304,854. The project will create 44 new full-time jobs above the baseline of 126 existing full-time jobs. The company had considered relocation to Kenosha, Wisconsin.
ROAW, LLC, et al.
ROAW is a full-service healthcare real estate company that provides development, acquisition, leasing, management and strategic consulting. The company plans to move from its existing leased space and purchase an office building at 800 West Madison, Chicago, Illinois. The project will include capital improvements of $20,000,000. The project will create fifteen (15) new full-time jobs above the project and statewide baseline of 73 existing full-time jobs. The company had considered relocation to Milwaukee, Wisconsin.
Rukel Management, LLC, et al.
Rukel-AJR is a manufacturer of engineered dust and liquid filtration products, primarily cartridges and bags used in the filtration process. These products are used in several industries including the automotive, manufacturing and custom applications. The company sees to expand operations in West Chicago, Illinois. The project will include capital improvements of $6,000,000. The project will create 50 new full-time jobs above the statewide baseline of 452 existing full-time jobs. The company had considered relocation to Ashland, Virginia.
Savoye North America, Inc.
Savoye manufacturers an array of packing machines and provides related services. The company plans to expand its production and research and development operations in the United States through leasing a facility in Aurora, Illinois. The project will include capital improvements of $4,522,983. The project will create 50 new full-time jobs above the statewide baseline of eight (8) existing full-time jobs. The company had considered relocation to Hobart, Indiana.
United States Cold Storage, Inc.
USCS is seeking to expand its upper-Midwest regional refrigerated warehouse and distribution capacity. The company will expand its existing warehouse and distribution operations in Minooka, Illinois. The project will include capital improvements of $51,000,000. The project will create 50 new full-time jobs above the project baseline of 174 and statewide baseline of 427 existing full-time employees. The company had considered relocation to Lebanon, Indiana.
Verzenay, LLC
Verzenay creates and bakes French delicacies by using locally sourced products. The company supplies its products to hotels, coffee shops, Whole Foods and various other retailers. The company will lease a facility in Chicago, Illinois. The project will include capital improvements of $953,165. The project will create six (6) new full-time jobs above the baseline of two (2) existing full-time jobs. The Company had considered relocation to Milwaukee, Wisconsin..
7. EDGE Amendments Approved During Calendar Year 2020
The Department approved the following amendments to existing EDGE Agreements in 2020, including several amendments under the Department’s COVID guidance allowing limited amendments to take into account the adverse economic impact felt by these companies:

8. Vendor Diversity and Sexual Harassment Reporting for 2020
In 2017, the reinstated EDGE Act provided a new requirement based on the Public Utility Act requiring that new EDGE recipients report annually on the diversity of vendors (Section 57). In 2018, the EDGE Act was further amended, effective January 1, 2019, to require new EDGE recipients to file annual reports with DCEO regarding sexual harassment policies (Section 58). Beginning July 1, 2018, the Department also required any company amending an EDGE agreement entered into prior to April 30, 2017 to contractually agree to provide the annual reporting under Sections 57 and 58 as well.
