Hasbro Closes Acquisition of Saban Properties’ Power Rangers and other Entertainment Assets June 12, 2018 PAWTUCKET, R.I.--(BUSINESS WIRE)--Jun. 12, 2018-- Hasbro, Inc. (NASDAQ: HAS) today announced it has closed the previously announced acquisition of Saban Properties’ Power Rangers and other Entertainment Assets. The transaction was funded through a combination of cash and stock valued at $522 million. “Power Rangers will benefit from execution across Hasbro’s Brand Blueprint and distribution through our omni-channel retail relationships globally,” said Brian Goldner, Hasbro’s chairman and chief executive officer. “Informed by engaging, multi-screen entertainment, a robust and innovative product line and consumer products opportunities all built on the brand’s strong heritage of teamwork and inclusivity, we see a tremendous future for Power Rangers as part of Hasbro’s brand portfolio.” Hasbro previously paid Saban Brands$22.25 million pursuant to the Power Rangers master toy license agreement, announced by the parties in February of 2018, that was scheduled to begin in 2019. Those amounts were credited against the purchase price. Upon closing, Hasbro paid $131.23 million in cash (including a $1.48 million working capital purchase price adjustment) and $25 million was placed into an escrow account. An additional $75 million will be paid on January 3, 2019. These payments are being funded by cash on the Company’s balance sheet. In addition, the Company issued 3,074,190 shares of Hasbro common stock to Saban Properties, valued at $270 million. The transaction, including intangible amortization expense, is not expected to have a material impact on Hasbro’s 2018 results of operations. -

PENGUIN � CLASSICS SIMONE WElL : AN AN THOL OGY SIMONE WElL (1909-1 943) is one of the most important thinkers of the modern period. The distinctive feature of her work is the indissoluble link she makes between the theory and practice of both politics and religion and her translation of thought into action . A brilliant philosopher and mathematician, her life rep resents a quest for justice and balance in both the academic and the practical spheres. A scholar of deep and wide erudition, she became during the thirties an inspired teacher and activist. So as to experience physical labour at first hand, she spent almost two years as a car factory worker soon after the Front Populaire and later became a fighterin the Spanish Civil War. When her home city of Paris was occupied, she joined the Resistance in the South of France and became for a time an agricultural labourer before acceding to her parents' wish to escape Nazi persecution of the Jews by fleeing to New York. Leaving America, she joined the Free French in London where, frustrated by the exclusively intellectual nature of the work delegated to her, and weakened by a number of physical and emotional factors, she contracted tuberculosis and died in a Kentish sanatorium at the age of thirty-four. The bulk of her voluminous oeuvre was published posthumously. SIAN MILES was born and brought up in the bi-cultural atmos phere of Wales and educated there and in France where she has lived for many years. She has taught at a number of universities worldwide, including Tufts University, Massachusetts, Dakar University, Senegal and York University, Toronto. -

This teacher guide accompanies the third video in the series. The story line of each program involves six ethnically diverse, inquisitive schoolchildren who meet in a treehouse. They seek the solution to a particular problem, and the NASA "Why?" Files series follows them through the steps of their investigation and final conclusion. In this program, many neighborhoods lose electrical power during a severe storm. After the storm, the treehouse detectives notice that the houses across the street from them remain without power, even though power was quickly restored to all other residences. In this part of the series, students learn about static electricity, sources of power for electricity, and components of a circuit. -

Siting itself at this largely unexplored academic juncture, the thesis analyses the complex interaction of feminist politics and fiction publishing in twentieth-century Britain. Chapter 1 -" 'Books With Bite': Virago Press and the Politics of Feminist Conversion" - focuses on Britain's oldest extant women's publishing venture, Virago Press, and analyses the organisational structures and innovative marketing strategies which engineered the success of its reprint and original fiction lists. -
