Regarding congruency of political contributions on Behalf of Tara Health Foundation Ladies and Gentlemen: Tara Health Foundation (the “Proponent”) is beneficial owner of common stock of Pfizer Inc. (the “Company”) and has submitted a shareholder proposal (the “Proposal”) to the Company. I have been asked by the Proponent to respond to the supplemental letter dated January 25, 2021 ("Supplemental Letter") sent to the Securities and Exchange Commission by Margaret M. Madden. A copy of this response letter is being emailed concurrently to Margaret M. Madden. The Company continues to assert that the proposal is substantially implemented. In essence, the Company’s original and supplemental letters imply that under the substantial implementation doctrine as the company understands it, shareholders are not entitled to make the request of this proposal for an annual examination of congruency, but that a simple written acknowledgment that Pfizer contributions will sometimes conflict with company values is all on this topic that investors are entitled to request through a shareholder proposal. The Supplemental letter makes much of the claim that the proposal does not seek reporting on “instances of incongruency” but rather on how Pfizer’s political and electioneering expenditures aligned during the preceding year against publicly stated company values and policies.” While the company has provided a blanket disclaimer of why its contributions may sometimes be incongruent, the proposal calls for an annual assessment of congruency.

Next Century Cities is a nonpartisan 501(c)(3) focused on supporting local officials and community leaders in their efforts to bring high- quality and affordable service within reach for every resident, including 11 of our member municipalities in Ohio. Statewide, local governments have established their own broadband solutions to fill critical service gaps and revitalize their community’s economy. Thousands of Ohio residents and businesses enjoy fast, reliable service through municipally owned and operated networks. For example, community-owned broadband providers in Fairlawn and Hudson were created to fill a bandwidth void, not served by local incumbent providers. These networks now offer transparent prices and have kept their businesses and residents connected to vital resources throughout the pandemic. Medina County operates an open-access network that promotes competition among providers, while the service that the City of Dublin provides to businesses is an essential tool for economic development. Public providers offer services that invite business investment into their communities and improve their residents’ quality of life. The Amendments to House Bill 110 (“HB 110”) passed by the Senate last week would undermine those efforts. Inhibiting current municipal providers from offering service would weaken consumer choice and reduce incentives for quality improvement.

    SENATOR KENNY YUKO 25th Senate District Senate Energy and Public Utilities Committee Senator Kenny Yuko and Senator Theresa Gavarone May 11, 2021 Senate Resolution 41 – Sponsor Testimony Chair Peterson, Vice Chair Schuring, Ranking Member Williams, and members of the committee, thank you for allowing us to provide sponsor testimony on behalf of Senate Resolution 41. Working alongside my colleague Senator Theresa Gavarone, Senate Resolution 41 was drafted to urge Michigan Governor Gretchen Whitmer and Michigan Director of Natural Resources Daniel Eichinger to keep the Enbridge Line 5 operating. Line 5 is a major oil pipeline that carries petroleum from Western Canada to Eastern Canada via the Great Lakes States. Construction on the pipeline was completed in 1953. At that time, Michigan granted Enbridge an easement which allowed the construction, operation, and maintenance of Line 5 through the Straits of Mackinac. On November 13, 2020, following a review of Enbridge’s compliance with the easement, the State of Michigan ordered Line 5’s closure within 180 days, citing persistent violations of the 1953 easement. The closure of this pipeline would have an adverse effect on Northwestern Ohio, which is why I am here today. Line 5 provides the crude oil that is refined at PBF Energy’s Toledo Refining Company and the BP-Husky Toledo Refinery. Combined, these companies employ more than 1,000 hardworking people, in addition to the contractors who employ hundreds more workers. The closure of the Line 5 pipeline would effectively shutter these refineries and leave hundreds unemployed. These are good paying Ohio jobs that will disappear, when our economy can least afford it.

In addition to new members representing portions of our region, there are also new committee assignments in both legislative chambers. Of particular note is that Sen. Stephanie Kunze of Franklin County has been named the new Chair of the Senate Transportation Committee, the committee in that chamber that will review, amend and enact the state’s transportation budget. Also, Rep. Erica Crawley of Columbus will be the Ranking Democrat on the House Finance Committee. MORPC will be meeting with all members of our region’s General Assembly Delegation to present our 2021-2022 Public Policy Agenda. DeWine Introduces $171.5 Billion Budget for FY 22-23 Governor Mike DeWine introduced a $171.5 billion all funds main operating budget for the FY 22-23 biennium on February 1. The budget which sees a 2% increase in General Revenue Fund (GRF) spending in FY22 over FY21 and another 3.4% increase in FY23, looks very different from what was anticipated a year ago when the COVID-19 pandemic closed down the state and the economy. Although DeWine suggested at the onset of the pandemic that he may need to tap into the state’s Budget Stabilization Fund (rainy day fund), the proposal does not contemplate using the rainy day fund to balance in either fiscal year. From a revenue standpoint, the Office of Budget and Management (OBM) projects lower revenue collections compared to the Legislative Service Commission (LSC) by $487.8 million in FY22 and by $390.3 in FY23.
