PROSPECTUS US$1,500,000,000 Anglo American Capital Plc US PROSPECTUS US$1,500,000,000 Anglo American Capital plc US$1,000,000,000 2.625% Senior Notes due 2030 US$500,000,000 3.950% Senior Notes due 2050 Guaranteed by Anglo American plc This prospectus is being published by Anglo American Capital plc (the “Issuer” or “Anglo American Ca pital”) in connection with Admission (as defined below) of its US$1,000 million of its 2.625% Senior Notes due 2030 (the “2030 Notes”) a nd US$500 million of its 3.950% Senior Notes due 2050 (the “2050 Notes” and, together with the 2030 Notes, the “Notes”) with such Notes to be guaranteed (the “Guarantees”) by Anglo American plc (the “Company”, “Guarantor” or “Anglo American” and, together with the Company’s subsidiaries, joint ventures and associates, “Anglo American Group”, the “Group”, or “we”). Interest will be paid on the Notes semi-annually and in arrears on March 10 a nd September 10 of each year, commencing on March 10, 2021. The 2030 Notes and the 2050 Notes will ma ture on September 10, 2030 a nd on September 10, 2050, respectively. The Issuer has the option to redeem all or a portion of the Notes at any time at the redemption prices set forth in this document. The Notes will be unsecured senior obligations of the Issuer and will rank equally with all of its other existing a nd future unsubordinated indebtedness. The Notes will be issued in fully registered form and only in denominations of US$200,000 and integral multiples of US$1,000 in excess thereof.     22 April 2021 Anglo American plc Production Report for the first quarter ended 31 March 2021 Mark Cutifani, Chief Executive of Anglo American, said: “Anglo American's portfolio is increasingly tilted towards future-enabling metals and minerals, with our recently proposed demerger of our thermal coal operations in South Africa moving us further in that direction. We are also making good progress in ensuring every operation plays its part towards a lower carbon world, with 100% renewable electricity supply now secured for all of our operations across Brazil, Chile and Peru. "Q1 production was at 95%(1) of normal capacity, meeting strong customer demand despite some limited constraints at certain operations due to Covid-19. Production increased by 3%(1) driven by strong performances at the copper operations in Chile, and PGMs and iron ore in South Africa, more than offsetting plant maintenance downtime at Minas-Rio iron ore in Brazil and the temporary suspension at the Moranbah metallurgical coal operation in Australia." Q1 highlights • Demerger of South Africa thermal coal operations, subject to shareholder approval on 5 May. • Renewable electricity supply agreement signed for mains power at the Quellaveco copper project in Peru. The subpoena is tied to Glencore’s dealings in the Democratic Republic of Congo, Nigeria and Venezuela since 2007, and it seeks material related to “compliance with the Foreign Corrupt Practices Act” and with United States money‑laundering rules, the company said in a statement. News that American investigators were looking into Glencore’s businesses spooked investors, sending the company’s share price down as much as 13 percent at one point on Tuesday. By late afternoon in London, its stock price had recovered somewhat, but was still 5 percent lower. Charles Watenphul, a Glencore spokesman, said, “We got this letter last night; we are going through it.” While Glencore has not been charged with any crime, the development is a blow to one of the most powerful commodities mining and trading empires around, one that employs 146,000 workers around the world. With headquarters in Baar, near Zurich, the company is among the biggest producers of copper and of cobalt, a crucial component of batteries for electric vehicles and electronic devices like smartphones. (Cobalt is so important that the Trump administration has deemed it critical for American national security.) The OECD Guidelines for Multinational Enterprises 2. The Guidelines are recommendations that governments endorse and promote in relation to the behaviour of multinational enterprises. The Guidelines are voluntary principles and standards for responsible business conduct. They are the only comprehensive, multilaterally-endorsed code of conduct for multinational enterprises. 3. The Guidelines establish non-legally binding principles covering a broad range of issues in business ethics in the following areas of operation: general company policies, disclosure of information , employment and industrial relations, environment, combating bribery, consumer interests, responsible use of science and technology, competition and taxation. 4. The Guidelines are not legally binding but OECD governments and a number of non OECD members are committed to promoting their observance. The Guidelines are also supported by the business community and labour federations. In addition, a number of Non-Governmental Organisations are also heavily involved the work of the OECD Investment Committee responsible for monitoring and reviewing the Guidelines and are increasingly involved in overseeing the operation and promotion of the Guidelines.
