The Official Committee of Unsecured Creditors (the “Committee”) of Intelsat S.A. and

each of its affiliated debtors and debtors-in-possession (collectively, the “Debtors”) in the above-

captioned jointly administered chapter 11 cases (the “Chapter 11 Cases”), hereby submits this

application (the “Application”) for entry of an order, in the form attached hereto as Exhibit A,

authorizing the Committee to retain and employ Bonn Steichen & Partners (“BSP”), effective as

of June 24, 2020, as special counsel for the Committee for Luxembourg law, pursuant to sections

328(a) and 1103(a) of title 11 of the United States Code, 11 U.S.C. §§ 101-1532 (as amended, the

“Bankruptcy Code”), Rules 2014 and 5002 of the Federal Rules of Bankruptcy Procedure (the

“Bankruptcy Rules”), and Rule 2014-1 of the Local Rules of the United States Bankruptcy Court

for the Eastern District of Virginia (the “Local Rules”). In support of this Application, the

Committee submits the declaration, attached hereto as Exhibit B, of Alain Steichen, managing

partner at BSP (the “Steichen Declaration”), and the declaration, attached hereto as Exhibit C, of

Michelle A. Dreyer, a representative of a co-chair of the Committee (the “Dreyer Declaration”).

In further support of this Application, the Committee respectfully states as follows:

Jurisdiction and Venue

1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334

and the Standing Order of Reference from the United States District Court for the Eastern District

of Virginia, dated July 10, 1984. Venue is proper pursuant to 28 U.S.C. §§ 1408 and 1409.

2. The bases for the relief requested herein are sections 328(a) and 1103(a) of the

Bankruptcy Code, Bankruptcy Rules 2014 and 2016, and Local Bankruptcy Rules 2014-1 and

2016-1.

Background

3. On May 13, 2020 (the “Petition Date”), the Debtors filed voluntary petitions for

relief under chapter 11 of the Bankruptcy Code. On May 15, 2020, the Court ordered the joint

administration of the Chapter 11 Cases for procedural purposes only pursuant to Bankruptcy Rule

1015(b) [Docket No. 89]. The Debtors continue to operate their businesses and manage their

properties as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code.

No trustee or examiner has been appointed in these Chapter 11 Cases.

4. On May 27, 2020, pursuant to section 1102(a)(1) of the Bankruptcy Code, the

Office of the United States Trustee for the Eastern District of Virginia (the “U.S. Trustee”)

appointed the Committee. The Committee consists of: (i) The Boeing Company; (ii) Delaware

Trust Company; (iii) Tysons Corner Office I, LLC; (iv) Pension Benefit Guaranty Corporation;

(v) US Bank, National Association; (vi) BOKF, N.A.; and (vii) JSAT International, Inc.

5. Certain of the Debtors are incorporated under the laws of Luxembourg and certain

of its debt instruments are governed by Luxembourg law. To assist the Committee in addressing

issues of Luxembourg law, on June 24, 2020, the Committee duly selected BSP as special counsel

to represent it during the pendency of these Chapter 11 Cases with respect to all matters relating

to Luxembourg law.

Retention of BSP

A. Services To Be Provided by BSP

6. The Committee respectfully submits that it will be necessary to employ and retain

BSP pursuant to sections 328(a) and 1103(a) of the Bankruptcy Code to render the following

services, among others, as directed by the Committee:

(a) advising the Committee regarding Luxembourg law issues that impact the Debtors’ estates or otherwise affect the rights of the Debtors’ unsecured creditors;

(b) assisting and representing the Committee with regard to any filings in Luxembourg;

(c) advising the Committee on the relationships between the Debtors and other parties in interest based in Luxembourg; and

(d) providing such other services to the Committee in relation to Luxembourg law as may be necessary and requested by the Committee.

7. The Committee believes that BSP possesses extensive knowledge and expertise

with respect to Luxembourg insolvency proceedings and Luxembourg elements of complex cross-

border insolvency matters and restructuring transactions. BSP has been involved, as counsel to

debtors, creditors, shareholders or new investors (as the case may be), in various high profile

Luxembourg restructuring cases, including, among others, representations in the restructurings of:

(i) Arcelor-Mittal, a listed steel producer with headquarters in Luxembourg, following the

merger/acquisition of Arcelor by Mittal, which contained substantial post-merger debt

restructuring; (ii) the debt restructuring of Bear Stearns’s Luxembourg group financing entities in

the wake of the 2008 financial crisis; (iii) the debt restructuring of Lehman Brothers’ Luxembourg

entities, that essentially held and financed their European group entities; (iv) the debt restructuring

of the second-largest Luxembourg real estate developer, as a result of delays incurred in the context

of the largest real estate project ever developed in Luxembourg; (v) on behalf of the private equity

arm of Goldman Sachs, the debt restructuring of an investment made in the context of the

acquisition of the Eurotunnel project; and (vi) the insolvency aspects of Hellas

Telecommunications, a Luxembourg company that transferred its COMI (“center of main

interests”) to the United Kingdom, in order to avail itself of certain UK insolvency rules deemed

favorable.

8. In addition, BSP has expertise and experience in the area of international

transactions. BSP is acknowledged in all major international directories as one of the leading

Luxembourg transactional practices, both in the corporate and the restructuring sectors. BSP is

also well placed to advise the Committee on any Luxembourg tax aspects arising in the

restructuring of the Debtors. BSP is widely regarded in the market as either the leader, or the co-

leader in Luxembourg tax matters among law firms. BSP’s strong tax reputation has led the

Luxembourg government to turn to BSP for all its State aid cases in tax matters (unless there was

a conflict of interest as a result of previous dealings by BSP for the client) with the EU

Commission, which has led BSP to represent the Luxembourg government at the European Court

of Justice in pending cases.

9. In consideration of the foregoing, the Committee believes that BSP is well qualified

to represent the Committee in matters pertaining to Luxembourg law.

B. Disclosure Concerning Conflicts of Interest

10. Except as otherwise set forth in, the annexed Steichen Declaration, BSP does not

have any connection with or represent any other entity having an adverse interest to the Debtors,

their creditors or any other party in interest, or their respective attorneys or accountants. The

Steichen Declaration also sets forth, pursuant to Bankruptcy Rule 2014(a), to the best of Mr.

Steichen’s knowledge, BSP’s connections with the Debtors, known creditors, other known parties

in interest, their respective attorneys and accountants, the U.S. Trustee or any attorney employed

in such office of the U.S. Trustee. Subject to the Steichen Declaration, BSP represents no other

entity in connection with these Chapter 11 Cases, is a “disinterested person” as that term is defined

in section 101(14) of the Bankruptcy Code, and does not hold or represent any interest adverse to

the Committee with respect to the matters upon which it is to be employed.

11. The employment of BSP as special counsel for the Committee on the terms of this

Application and the Steichen Declaration is appropriate, necessary, and in the best interests of the

unsecured creditor body that the Committee represents. Thus entry of an order authorizing and

approving BSP’s engagement by the Committee on the terms set forth in the Steichen Declaration

and in this Application.

C. Effective Date of Retention

12. The Committee requests that BSP’s retention be approved effective as of June 24,

2020, the date on which BSP was selected as Committee special counsel and began work on the

Committee’s behalf. The Committee believes retention effective as of this date is appropriate in

light of the nature of these Chapter 11 Cases and the Committee’s immediate and urgent need for

the provision of legal services upon its formation and selection of counsel.

D. Compensation of BSP

13. BSP intends to apply to the Court for payment of compensation and reimbursement

of expenses in accordance with applicable provisions of the Bankruptcy Code; the Bankruptcy

Rules; the Guidelines for Reviewing Applications for Compensation and Reimbursement of

Expenses Filed Under 11 U.S.C. § 330 by Attorneys in Larger Chapter 11 Cases Effective as of

November 1, 2013 (the “Revised UST Guidelines”); and the Local Rules and orders of this Court;

and pursuant to the Order (I) Establishing Procedures for Interim Compensation and

Reimbursement of Expenses for Retained Professionals [Docket No. 425] entered in these Chapter

11 Cases on June 30, 2020 (the “Interim Compensation Order”) and any additional procedures that

may be or have already been established by the Court in these Chapter 11 Cases.

14. Subject to the Court’s approval, BSP will be compensated for its services to the

Committee at its standard hourly rates, which are based on each professional’s level of experience,

plus reimbursement of the actual and necessary expenses that BSP incurs in accordance with the

ordinary and customary rates which are in effect on the date the services are rendered. At present,

the standard hourly rates charged by BSP range from $600 to $800 for Partners, $450 to $550 for

Counsels, $350 to $450 for Senior Associates, $250 to $350 for Associates, and $125 to $175 for

Legal Assistants. These hourly rates are subject to periodic firm-wide adjustments in the ordinary

course of BSP’s business, notice of which adjustments shall be provided to the Debtors and the

U.S. Trustee. These hourly rates are not subject to fluctuations in the EUR/USD exchange rate,

as BSP’s rates are directly quoted in USD. BSP will maintain detailed, contemporaneous records

of time and any necessary costs and expenses incurred in connection with the rendering of the

legal services described above, and will be reimbursed for such costs and expenses in conformity

with the Revised UST Guidelines.

Relief Requested

15. By this Application, the Committee respectfully requests entry of the attached

proposed order authorizing the employment and retention of BSP as special counsel to the

Committee, effective as of June 24, 2020, pursuant to sections 328(a) and 1103(a) of the

Bankruptcy Code, Bankruptcy Rules 2014 and 5002, and Local Rule 2014-1.

Basis for Relief

16. The Committee respectfully requests that the Court authorize retention of BSP as

its attorneys pursuant to section 1103(a) of the Bankruptcy Code, which provides that a committee

appointed under section 1102 of the Bankruptcy Code:

[M]ay select and authorize the employment by such committee of one or more attorneys, accountants, or other agents, to represent or perform services for such committee.

17. Further, section 328(a) of the Bankruptcy Code provides that professionals

employed pursuant to section 1103 may be employed “on any reasonable terms and conditions of

employment, including on a retainer, on an hourly basis, on a fixed or percentage fee basis, or on

a contingency fee basis.”

18. The Committee submits that, for all the reasons stated above and in the Steichen

Declaration, the retention of BSP as special counsel to the Committee is warranted. Further, as

stated in the Steichen Declaration, BSP is a “disinterested person” within the meaning of section

101(14) of the Bankruptcy Code and does not hold or represent an interest adverse to the Debtors’

estates and has no connection to the Debtors, their creditors or their related parties except as may

be disclosed in the Steichen Declaration. Accordingly, the retention of BSP as special counsel to

the Committee should be approved.

Notice

19. Notice of this Application will be provided to (i) the Debtors and their counsel,

(ii) the Office of the United States Trustee for the Eastern District of Virginia, (iii) the Core Group,

and (iv) any other party that has requested service pursuant to Bankruptcy Rule 2002 as of the time

of service (the “Notice Parties”) in accordance with the Notice, Case Management, and

Administrative Procedures applicable in these chapter 11 cases. The Committee believes that no

other or further notice is required under the circumstances.

No Prior Request

20. No previous request for the relief sought herein has been made to this or any other

Court.

WHEREFORE, the Committee respectfully requests that the Court enter an order, in the

form attached hereto as Exhibit A, (a) authorizing the Committee to retain BSP effective as of

June 24, 2020; and (b) granting such further relief as is just and proper.

3. Pursuant to sections 328(a) and 1103(a) of the Bankruptcy Code, Bankruptcy Rules

special counsel for the Committee, effective as of June 24, 2020, on the terms set forth in the

Application and the Steichen Declaration.

4. Subject to the Court’s approval, BSP shall be compensated for its services and

reimbursed for reasonable and necessary expenses and shall file interim and final fee applications

for allowance of its compensation and expenses pursuant to sections 330 and 331 of the

Bankruptcy Code and in accordance with the Bankruptcy Rules, Local Rules 2016-1 and 2016-2,

the Order Authorizing Procedures for Interim Compensation and Reimbursement of Expenses of

Professionals [Docket No. 308] and any other order entered by the Court. BSP shall make a

reasonable effort to comply with the U.S. Trustee’s requests for information and additional

disclosures as set forth in the Guidelines for Reviewing Applications for Compensation and

Reimbursement of Expenses Filed Under 11 U.S.C. § 330 by Attorneys in Larger Chapter 11 Cases

Effective as of November 1, 2013, both in connection with the Application and the interim and

final fee applications to be filed by BSP in these Chapter 11 Cases. Any fees or expenses allowed

by the Court shall be joint and several obligations of the Debtors. For the avoidance of doubt,

under no circumstance shall any of the compensation or expense reimbursement obligations set

forth in the Application be an obligation of or paid by the Committee or any of its members.

5. The Committee and BSP are authorized to take all actions they deem necessary and

appropriate to effectuate the relief granted pursuant to this Order.

6. The terms and conditions of this order shall be immediately effective and

enforceable upon its entry.

creditors, shareholders or new investors (as the case may be), in various high profile Luxembourg

restructuring cases including (among others) representations in the restructurings of: (i) Arcelor-

wake of the 2008 financial crisis; (iii) the debt restructuring of Lehman Brothers’ Luxembourg

entities, that essentially were holding and financing the European group entities; (iv) over the last

two years the debt restructuring of the second largest Luxembourg real estate developer, as a result

of delays incurred in the context of the largest real estate project ever developed in Luxembourg;

(v) on behalf of the private equity arm of Goldman Sachs, the debt restructuring of an investment

made in the context of the acquisition of the Eurotunnel project; and (vi) the insolvency aspects of

Hellas Telecommunications, a Luxembourg company that transferred its COMI (“center of main

interests”) to the United Kingdom, in order to avail itself of certain UK insolvency rules deemed

favorable.

5. Moreover, BSP has expertise and experience in the area of international

transactions and is acknowledged in all major international directories as one of the leading

Luxembourg transactional practices, both in the corporate and restructuring sectors.

6. In the restructuring involving several Luxembourg companies, tax aspects will have

to be dealt with as well by the Committee. BSP is perfectly well placed for advising the Committee

on these aspects, and more generally on any Luxembourg tax issue that may result from the

restructuring of the group, as it is widely regarded in the market as either the leader, or the co-

leader in tax matters (when considering law firms). This has also led the Luxembourg government

to turn to BSP for all its State aid cases in tax matters (unless there was a conflict of interest as a

result of previous dealings by BSP for the client) with the EU Commission (McDonalds, Fiat,

Amazon), which has led BSP to represent the Luxembourg government at the European Court of

Justice in pending cases.

Services to Be Rendered

7. The Committee has requested that BSP render the following

services, among others, as directed by the Committee:

(a) advising the Committee regarding Luxembourg law issues that impact the Debtors’ estates or otherwise affect the rights of the Debtors’ unsecured creditors;

(b) assisting and representing the Committee with regard to any filings in Luxembourg;

(c) advising the Committee on the relationships between the Debtors and other parties in interest based in Luxembourg; and

(d) providing such other services to the Committee in relation to Luxembourg law as may be necessary and requested by the Committee.

8. Subject to Court approval of the Application, BSP is willing to serve as special

counsel to the Committee and to perform the services described above. BSP will work with

counsel to the Committee, as well as the Committee’s other advisors to allocate responsibility for

various tasks and the other services to be provided so as to avoid duplication of effort and to move

these Chapter 11 Cases forward as quickly, harmoniously and efficiently as possible.

BSP’s Disinterestedness

9. BSP does not represent and will not represent any entity, other than the Committee,

in matters related to these Chapter 11 Cases.

10. To the best of my knowledge and, except as otherwise set forth herein, the partners,

counsel, associates and employees of BSP do not have any connection with the Debtors, their

known creditors, other known or potential parties in interest, their respective attorneys or

accountants or other professionals, the U.S. Trustee or any person employed in the office of the

U.S. Trustee, any United States Bankruptcy Judge or District Judge for the Eastern District of

Virginia, the Clerk of the Bankruptcy Court for the Eastern District of Virginia or any person

employed by the office of such Clerk.

11. In connection with its proposed retention by the Committee, BSP searched its client

database to determine whether it had any relationships with: (i) any party listed on the Debtors’

list of potential parties in interest (the “Debtors Interested Party List”),5 which is summarized on

Schedule 1 to the Declaration of Steven N. Serajeddini in Support of the Debtors’ Application for

Entry of an Order Authorizing the Retention and Employment of Kirkland & Ellis LLP and

Kirkland & Ellis International LLP as Attorneys for the Debtors and Debtors In Possession

Effective as of May 13, 2020 [Docket No. 295]; and (ii) all other known or potential parties in

interest based upon information provided to BSP by the Debtors or that was otherwise publicly

available. The list of potentially interested parties thus compiled (the “Potential Interested Party

List”) is attached hereto as Schedule 1 and incorporated herein by reference.

12. To the extent that BSP’s searches of its client database indicated that BSP (or any

of its partners or employees) has or had a relationship with any of the identified entities within the

last three (3) years, the identity of such entity, and BSP’s relationship therewith, are set forth on

the list annexed hereto as Schedule 2 and incorporated herein.

13. A conflicts search was also conducted with respect to all members of the

Committee. To the extent that such searches indicated that BSP has or had a relationship with any

such entity within the last three years, the identity of such entity, and BSP’s relationship therewith,

is set also forth on Schedule 2 attached hereto.

14. From time to time, BSP interacts with certain of the professional firms that have

been or are proposed to be employed by the Debtors or other parties in these Chapter 11 Cases.

Except as may be set forth on Schedule 2 attached hereto, to the best of my knowledge, BSP has

not represented any of such professional firms during the three-year period prior to the date hereof.

5 BSP did not perform any independent diligence with respect to the accuracy of the Debtors’ Interested Party List. The Potential Interested Party List also contained a number of generic names or terms that by themselves cannot be searched through BSP’s conflict database with any definitiveness or accuracy. As such, BSP has excluded any such generic search results from its disclosures herein.

To the best of my knowledge, during the three-year period prior to the date hereof, BSP did not

represent any of the Debtors or their respective officers or directors.

15. The Debtors have numerous relationships and creditors. Consequently, although

every reasonable effort has been made to discover and eliminate the possibility of any connection

or conflict, including the efforts outlined above, BSP is unable to state with certainty which of its

clients or such clients’ affiliated entities hold claims or otherwise are parties in interest in these

Chapter 11 Cases. If BSP discovers any information that is contrary or pertinent to the statements

made herein, BSP will promptly disclose such information to the Court on notice to such creditors

and to the U.S. Trustee and such other creditors or other parties in interest as may be required

under noticing procedures applicable in these Chapter 11 Cases.

Professional Compensation

16. As of the date of this Declaration, BSP has received no compensation for its work

on behalf of the Committee.

17. Subject to the Court’s approval, BSP will be compensated for its services to the

Committee at its standard hourly rates, which are based on each professionals’ level of experience,

plus reimbursement of the actual and necessary expenses that BSP incurs in accordance with the

ordinary and customary rates which are in effect on the date the services are rendered. At present,

the standard hourly rates charged by BSP range from $600 to $800 for Partners, $450 to $550 for

Counsel, $350 to $450 for Senior Associates, $250 to $350 for Associates and $125 to $175 for

Legal Assistants. These hourly rates are subject to periodic firm-wide adjustments in the ordinary

course of BSP’s business, notice of which adjustments shall be provided to the Debtors and the

U.S. Trustee. These hourly rates are not subject to fluctuations in the EUR/USD exchange rate as

BSP’s rates are directly quoted in USD. BSP will maintain detailed, contemporaneous records of

time and any necessary costs and expenses incurred in connection with the rendering of the legal

services described above, and will be reimbursed for such costs and expenses in conformity with

the Revised UST Guidelines.

18. The hourly rates set forth herein are the firm’s standard hourly rates for work of

this nature. These rates are set at a competitive level designed to compensate BSP for the work of

its attorneys and legal assistants and to cover fixed and routine overhead expenses. It is the firm’s

policy to charge its clients for all disbursements and expenses incurred in the rendering of services.

These disbursements and expenses include, among other things, costs for telephone and facsimile

charges, photocopying, travel, business meals, computerized research, messengers, couriers,

postage, witness fees and other fees related to trials and hearings.

19. BSP intends to apply to the Court for payment of compensation and reimbursement

of expenses incurred as special counsel to the Committee in accordance with applicable provisions

of the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, the Revised UST Guidelines, the

Interim Compensation Order and any additional procedures that may be or have already been

established by the Court in these Chapter 11 Cases.

20. Other than as set forth above, there is no proposed arrangement between the

Committee and BSP for compensation to be paid in these Chapter 11 Cases. BSP has no agreement

with any other entity to share any compensation received, nor will any be made, except as

permitted under section 504(b)(1) of the Bankruptcy Code.

21. The proposed employment of BSP is not prohibited by or improper under

Bankruptcy Rule 5002. To the best of my knowledge, no attorney or employee at the firm is

related to any United States Bankruptcy Judge or District Court Judge for the Eastern District of

Virginia or to the United States Trustee for such district or any employee in the office thereof.

22. BSP is carrying on further inquiries of its partners, counsel and associates with

respect to the matters contained herein. BSP will file supplemental declarations regarding this

retention as and if any additional relevant information comes to its attention.

Statement Regarding U.S. Trustee Guidelines

23. The following information is provided in response to the request for additional

information set forth in Paragraph D.1. of the Revised UST Guidelines:

Question: Did you agree to any variations from, or alternatives to, your standard or customary billing arrangements for this engagement?

Response: No.

Question: Do any of the professionals included in this engagement vary their rate based on the geographic location of the bankruptcy case?

Response: No.

Question: If you represented the client in the 12 months prepetition, disclose your billing rates and material financial terms for the prepetition engagement, including any adjustments during the 12 months prepetition. If your billing rates and material financial terms have changed postpetition, explain the difference and the reasons for the difference.

Response: BSP did not represent the Committee prior to the commencement of these Chapter 11 Cases. BSP has in the past represented, currently represents and may represent in the future certain Committee members and/or their affiliates in their capacities as members of official committees in other chapter 11 cases or individually in matters wholly unrelated to these Chapter 11 Cases.

Question: Has your client approved your prospective budget and staffing plan, and, if so for what budget period?

Response: BSP is in the process of developing a prospective budget and staffing plan for the Committee’s review and approval. Furthermore, BSP understands that the Committee, along with the Debtors and the U.S. Trustee, will maintain active oversight of BSP’s billing practices.

24. BSP will use reasonable efforts to comply with the Revised UST Guidelines.

25. The foregoing constitutes the statement of BSP pursuant to section 1103(b) the

1. I am employed by Delaware Trust Company, a member and co-chair of the Official

Committee of Unsecured Creditors (the “Committee”) of Intelsat S.A. and certain of its affiliates

that are Debtors and Debtors in Possession (collectively, the “Debtors”) in these chapter 11 cases

(the “Chapter 11 Cases”).

2. I am authorized to make this declaration in support of the Committee’s application

(the “Application”)2 seeking authorization to retain Bonn Steichen & Partners (“BSP”) as special

counsel for the Committee for Luxembourg law pursuant to sections 328(a) and 1103(a) of the

Bankruptcy Code, Bankruptcy Rules 2014 and 5002, and Local Rule 2014-1.

3. This declaration is provided pursuant to the Revised UST Guidelines. Except as

otherwise noted, all facts in this Declaration are based on my personal knowledge of the matters

set forth herein, information gathered from my review of relevant documents, and information

supplied to me by BSP.

4. I am informed by BSP that ¶ D.2. of the Revised UST Guidelines requires that any

application for employment of an attorney under 11 U.S.C. §§ 327 or 1103 be accompanied by a

verified statement from the client that addresses the following:

(i) The identity and position of the person making the verification. The person ordinarily should be the general counsel of the debtor or another officer responsible for supervising outside counsel and monitoring and controlling legal costs.

(ii) The steps taken by the client to ensure that the applicant’s billing rates and material terms for the engagement are comparable to the applicant’s billing rates and terms for other non-bankruptcy engagements and to the billing rates and terms of other comparably skilled professionals.

(iii)The number of firms the client interviewed.

(iv) If the billing rates are not comparable to the applicant’s billing rates for other non-bankruptcy engagements and to the billing rates of other comparably skilled professionals, the circumstances warranting the retention of that firm.

(v) The procedures the client has established to supervise the applicant’s fees and expenses and to manage costs. If the procedures for the budgeting, review and approval of fees and expenses differ from those the client regularly employs in

non-bankruptcy cases to supervise outside counsel, explain how and why. In addition, describe any efforts to negotiate rates, including rates for routine matters, or in the alternative to delegate such matters to less expensive counsel.

Identity of Declarant

5. On May 27, 2020, pursuant to section 1102(a)(1) of the Bankruptcy Code, the

Office of the United States Trustee for the Eastern District of Virginia appointed the Committee.

The Committee consists of: (i) The Boeing Company; (ii) Delaware Trust Company; (iii) Tysons

Corner Office I, LLC; (iv) Pension Benefit Guaranty Corporation; (v) US Bank, National

Association; (vi) BOKF, N.A.; and (vii) JSAT International, Inc.

6. As a representative of Delaware Trust Company, a member and co-chair of the

Committee, I was directly involved in the Committee’s decision to retain BSP and actively

participated in negotiating the terms of BSP’s employment together with the other members of the

Committee.

Steps Taken to Ensure the Comparability of Engagement Terms

7. BSP has informed the Committee that its rates for bankruptcy representations are

comparable to the rates BSP charges for non-bankruptcy representations, and that BSP endeavors

to set its hourly rates for attorneys and paraprofessionals at levels competitive to those charged by

peer firms.

The Committee’s Selection of Counsel

8. Following its formation, the Committee evaluated the credentials of several law

firms to represent the Committee as special counsel in these Chapter 11 Cases, with respect to all

matters relating to Luxembourg law. The Committee found BSP to be uniquely qualified for the

present engagement. As described in the Application, BSP maintains a broad-based, international

practice and boasts a long history in complex bankruptcy cases. Therefore, it is the Committee’s

opinion that BSP’s capabilities and expertise will enable it to faithfully execute its responsibilities

to the Debtors’ unsecured creditors.

Rate Structure

9. BSP has informed the Committee that its hourly rates are subject to periodic

adjustments to reflect economic and other conditions, plus variations in the EUR/USD exchange

rate. BSP has advised me that they will inform the Committee in advance of any such adjustments

to their existing rate structure. Further, I have been specifically advised by BSP that, pursuant to

ABA Formal Ethics Opinion 11-458, “periodic, incremental increases in a lawyer’s regular hourly

billing rates are generally permissible if such practice is communicated clearly to and accepted by

the client at the commencement of the client-lawyer relationship and any periodic increases are

reasonable under the circumstances.” I have also been specifically advised by BSP that, pursuant

to ABA Formal Ethics Opinion 11-458, “the client need not agree to pay the modified fee to have

the lawyer continue the representation.” To the extent BSP seeks to make any such adjustment to

its rate structure, the Committee expressly reserves the right to reject any such modification to the

extent the Committee deems it unreasonable.

Cost Supervision

10. The Committee recognizes its responsibility to closely monitor BSP’s billing

practices to ensure the fees and expenses paid by the estate remain consistent with the Committee’s

expectations and the exigencies of these Chapter 11 Cases. Accordingly, the Committee will work

with BSP to develop a prospective budget and staffing plan, which the Committee intends to

review on an ongoing basis, as necessary. The Committee will also review BSP’s invoices and

any applications for payment of fees and reimbursement of expenses that it submits to the Court.

In addition, BSP’s fees and expenses will be subject to review, comment, objection (if warranted),

and Court approval pursuant to the Interim Compensation Order.

11. Except as noted above, nothing contained herein is intended to limit BSP’s ability

to request allowance and payment of fees and expenses pursuant to 11 U.S.C. §§ 330 and 331, nor

to restrict BSP’s right to defend any objection raised to the allowance or payment of such fees, nor

to restrict the Committee’s right to retain conflicts counsel to prosecute any such fee objection to

the extent it is not resolved informally by the parties or raised by another party in interest, such as

the U.S. Trustee.
