Manager Note for Brazilian Equities USD I BRAM - Bradesco Asset Management S.A. DTVM Av. Brigadeiro Faria Lima, 3064, 7th Floor Sao Paulo - SP, Brazil Portfolio Manager Quarterly Commentary Tel. +55 11 3847 9028 [email protected] www.bradescoasset.com Review The fund returned 16,95% during the quarter and 37,52% in 2019 (in nominal terms), compared to 12,31% and 26,78% for the Ibovespa in the same period (nominal terms). Sector-wise, the main contributor to fund’s performance was the heavy overweight in Consumer Discretionary (B2W Digital and Lojas Americanas) Global Distributor and Homebuilders (EzTec and Construtora Tenda). Both sectors have a cyclical Banco Bradesco Europa S.A. exposure to the recovery of the domestic economy as well as benefit from tailwinds 29, Avenue Porte-Neuve of lower interest rates. On the other hand, our structural funding in commodities, L-2227 Luxembourg due to weakness in global activity, did not work as expected and was the main drag to performance, especially the underweight of the mining company Vale. Transfer Agent, Custodian Bank and Administrator Outlook BNP Paribas Securities Services, Luxembourg Branch The Brazilian macro scenario has not changed significantly in the past few months. 60, Avenue J.F.Kennedy Inflation remains benign with current and mid-term forecasts below the Central L-1855 Luxembourg Bank’s target, which should enable rates to remain low during 2020. As we have written in previous reports, Brazil is probably at the early stage of an economic recovery and with all data currently available, GDP is forecast to grow at 2.5% in 2020. This number is skewed to the upside and will be the best print for the Auditor Brazilian economy in the last seven years, also good compared to other LATAM KPMG economies. Regarding developed economies, a slowdown is our base case but 39, Avenue J.F.Kennedy without any major consequences for Brazil. Current valuations are not cheap, but in L-1855 Luxembourg line with the historical average and with likely positive surprises coming from companies as profitability improves. We are seeing good opportunities in domestic sectors such as retail, homebuilders, and utilities. Workshop on State-Owned Enterprises in the Development Process Paris, 4 April 2014 OECD Conference Centre, Room 4 STATE-OWNED ENTERPRISES IN BRAZIL: HISTORY AND LESSONS by Aldo Musacchio and Sergio G. Lazzarini This paper serves as background material for the Workshop on SOEs in the Development Process taking place in Paris on 4 April 2014. It was prepared by Aldo Musacchio and Sergio G. Lazzarini working as consultants for the OECD Secretariat. The opinions and views expressed and arguments employed herein are those of the author and do not necessarily reflect or represent the official views of the OECD or of the governments of its member countries. STATE-OWNED ENTERPRISES IN BRAZIL: HISTORY AND LESSONS Aldo Musacchio Harvard Business School and NBER Sergio G. Lazzarini Insper Prepared for The Working Party on State-Ownership and Privatisation Practices OECD (Revised version, February 28, 2014) INTRODUCTION Despite decades of liberalization and privatization in many countries, state ownership and state-led business activity remains widespread (Christiansen, 2011). Governments still often use state-owned enterprises (SOEs) to promote local development and invest in sectors in which private investment is scant. Many SOEs endured over the years and turned into large corporations partnering with market investors and competing on a global scale against private multinationals. The forms of ownership and control governments use in the set of surviving SOEs is, however, poorly understood. Beyond the traditional wholly-owned SOEs, governments also intervene to support specific industries by propping up privately held enterprises (i.e., “national champions”). These private firms receive government support in the form of minority equity investments, direct subsidized loans from development banks, and equity and debt purchases by sovereign wealth funds.

Disentangling the Effect of Private and Public Cash Flows on Firm Value Cristina Mabel Scherrer and Marcelo Fernandes Working Paper No. 800 August 2016 ISSN 1473-0278 School of Economics and Finance Disentangling the effect of private and public cash flows on firm value Cristina Mabel Scherrer ∗1 and Marcelo Fernandes 2 1Aarhus University and CREATES 2Sao Paulo School of Economics, FGV and Queen Mary University of London June 8, 2016 Abstract This paper presents a simple model for dual-class stock shares, in which com- mon shareholders receive both public and private cash flows (i.e. dividends and any private benefit of holding voting rights) and preferred shareholders only receive public cash flows (i.e. dividends). The dual-class premium is driven not only by the firm’s ability to generate cash flows, but also by voting rights. We isolate these two effects in order to identify the role of voting rights on equity-holders’ wealth. In particular, we employ a cointegrated VAR model to retrieve the impact of the voting rights value on cash flow rights. We find a negative relation between the value of the voting right and the preferred shareholders’ wealth for Brazilian cross- listed firms. In addition, we examine the connection between the voting right value and market and firm specific risks.
