MONTAGUE.35.1 (Do Not Delete) 10/9/2013 6:22 PM THE LAW AND FINANCIAL TRANSPARENCY IN CHURCHES: RECONSIDERING THE FORM 990 EXEMPTION John Montague† Most tax-exempt organizations are required to file the IRS Form 990, an information return that is open to the public. The Form 990 is used by watchdogs and donors to learn detailed financial information about charities. However, churches are exempt from filing the Form 990 and need not disclose any financial information to the IRS, the public, or their donors. In December 2012, the Evangelical Council for Financial Accountability recommended to Senator Charles Grassley that Congress should preserve the exemption, despite recent financial scandals at churches. Examining the legislative history, this Article argues that the primary function of the information return has become its utility to donors, and policymakers have recognized the role that public access can play in keeping nonprofits honest and efficient. Unfortunately, because churches do not have to be transparent or accountable, few of them are. Using research and insights from sociology, this Article contends that because of their opacity and the unique nature of religious authority, churches are more likely to foster and shelter malfeasance. Churchgoers are unlikely to challenge leaders because doing so can endanger their position in the religious community, making it imperative that transparency be mandated by outside authorities. Ironically, increased transparency may actually be good for churches because, as studies suggest, it is likely to increase donations and because, by minimizing opportunities for financial improprieties, it may preserve the religious experience of churchgoers. In addition, transparency is consistent with the teaching of many Christian leaders and with the expressed preferences of a large portion of churchgoers. -

Executive Summary To support their philanthropic missions, U.S. nonprofit groups raise and spend trillions of dollars each year, and employ about 11 million people. They have access to unmatched wealth, dazzling technology and increasingly sophisticated and data-hungry donors. But challenges abound. They include an intense rivalry for dollars, whether fundraising is done face-to-face or by electronic means. In addition, nonprofits have learned that they cannot win or retain support based on the merit of their causes alone—they also must be able to show measurable, transparent results. To meet these challenges, managers increasingly are emphasizing the same bottom-line oriented techniques used by their for-profit counterparts. Among the questions under discussion: Can for-profit management principles and practices fit the philanthropic model? Can data measure good work? Can technology improve fundraising? Overview CARE, the iconic international human relief organization, got its start distributing packages of much-needed food and supplies to European survivors of World War II. Through cultural shifts, policy reversals, local political conflicts and volatile economic climates, CARE has not altered its ambitious philanthropic mission: to serve individuals and families in the poorest communities in the world. 1 CEO Helene Gayle arrived at Atlanta-based CARE in 2006 with a mandate to multiply the impact of the sprawling global organization. -

Introduction Many nonprofit organizations have the capacity to positively impact communities, individuals, and causes. The success of such organizations is highly dependent on donations and external support; some organizations manage this better than others. Using a case study approach, this thesis examines strategies for successfully managing the credibility of nonprofit organizations during times of unexpected publicity in order to maintain financial support from donors. This thesis will begin with a history of the nonprofit industry, focusing specifically on a comparison of the industry’s performance in 1995 versus 2015. This will be followed by an examination of key ethical issues that today’s nonprofit organizations face and a review of three nonprofit organizations that have exemplified each ethical issue either positively or negatively: United Way, Susan G. -

INTRODUCTION: THE CHALLENGES FOR STATE ENFORCEMENT OF FIDUCIARY DUTIES Governing charitable organizations isn’t getting any easier. Not only has the number of organizations grown,1 but their legal complexity has increased as well.2 Charities play a crucial role in the economic, social, and cultural structures of society,3 but they are privately governed organizations with legal structures that closely resemble businesses.4 The better charities are run, the more they can contribute to their public missions and overall social welfare.5 The state does not dictate “how to ‘do’ charity,”6 but state attorneys general (“AG”) are the primary overseers of charity behavior, responsible for enforcing the obligations of loyalty, 7 care,8 and obedience9 that fiduciaries have under the laws of every state.
