I have greatly benefited from using it. ABSTRACT In carriage of goods by sea the bill of lading is the document through which third parties acquire contractual rights and liabilities. The bill of lading is thus the document which provides title to sue to third parties. Having said that, the bill of lading is very important in determining when and under what circumstances such rights and liabilities are acquired. It is therefore important in cargo claims that either the consignee or the carrier ascertains their rights and liabilities under the bill of lading before instituting legal action. A claim instituted against the wrong party will not be entertained by the Court. South African maritime law was based on the English Bills of Lading Act, 1855. That Act has been replaced by the Carriage of Goods by Sea Act 1992 c.50 (COGSA 1992), which is the Act regulating title to sue in the United Kingdom. The enactment of the South African Sea Transport Documents Act 65 of 2000 (STDA) was inspired by COGSA 1992. Many other countries like New Zealand and Australia have adopted provisions similar to the COGSA 1992. The purpose of this study is to critically analyse the concept of title to sue in cargo claims under a negotiable bill of lading. The focus shall be on the relevant provisions of the South African Sea Transport Document Act 65 of 2000 and the UK Carriage of Goods by Sea Act (C.50) of 1992. CONTENTS 1. Its importance is reflected in its ability to perform three functions: a receipt for the goods, evidence of the contract of carriage and a document of title to the goods. However it is also an essential document to facilitate the transfer of contractual rights and liabilities from a shipper to a consignee. The bill of lading is the document through which a consignee acquires contractual rights of suit. Before a consignee can sue a carrier in contract, he must ensure that he has acquired rights of suit and liabilities under a bill of lading. On the other side, a carrier must also ascertain which party has acquired contractual rights of suit and liabilities under a bill of lading so that he does not find himself instituting an action against a wrong party. The transfer of contractual rights of suit and liabilities does not take place at common law. This thesis will examine the legislatives mechanisms by which such a transfer of rights of suit and liabilities is facilitated in English and South African law. In international trade law a seller from one country normally enters into a sale contract with a buyer from another country. In concluding the sale contract, the seller and the buyer must decide the mode of transport by which the goods will be carried at the port of destination. Various factors will affect whether the goods will be carried by air, road, rail or sea.1 This thesis only discusses the carriage of goods by sea. The seller who is the person responsible for arranging a contract of carriage of goods by sea is known as the shipper. The person with whom the shipper enters into a carriage contract is known as the carrier. The buyer who is the person to whom the goods are delivered by the carrier is known as the consignee.2 A contract of carriage of goods by sea is also called a contract of affreightment. In a carriage contract, the shipper hires a space on a carrier’s vessel so that the carrier may deliver the goods to a consignee as indicated under a bill of lading. The money a carrier receives for his services is called freight. For the avoidance of breach, certain obligations and responsibilities of the parties to the contract need to be performed promptly. Ocean transport is an expensive venture and a shipowner could suffer considerable financial losses if an unnecessary but serious delay interrupt the vessel’s earning power in the course of the charterer’s performance of his contractual obligation. On the other hand, a charterer could also incur a substantial loss if arrangements for the shipment and receipt of cargo fail to go according to plan as a result of the shipowner’s failure to perform his charterparty obligation timely and with reasonable diligence. With these considerations in mind, this thesis critically explores the concept of timely performance in the discharge of the contractual obligations of parties to a contract of carriage. While the thesis is not an expository of the occurrence of time in all the obligations of parties to the carriage contract, it focusses particularly on the identity, scope, and limitations of timeliness in the context of timely payment of hire, laytime and reasonable despatch.

    Contracts A Contract A contract is a legally enforceable agreement between two or more parties with mutual obligations. The remedy at law for breach of contract is "damages" or monetary compensation. In equity, the remedy can be specific performance of the contract or an injunction. Both remedies award the damaged party the "benefit of the bargain" or expectation damages, which are greater than mere reliance damages, as in promissory estoppels. Origin and Scope Contract law is based on the principle expressed in the Latin phrase pacta sunt servanda, which is usually translated "agreements to be kept" but more literally means, "pacts must be kept". Contract law can be classified, as is habitual in civil law systems, as part of a general law of obligations, along with tort, unjust enrichment, and restitution. As a means of economic ordering, contract relies on the notion of consensual exchange and has been extensively discussed in broader economic, sociological, and anthropological terms. In American English, the term extends beyond the legal meaning to encompass a broader category of agreements. Such jurisdictions usually retain a high degree of freedom of contract, with parties largely at liberty to set their own terms. This is in contrast to the civil law, which typically applies certain overarching principles to disputes arising out of contract, as in the French Civil Code. Their similarities and difference, and respective uses, in such trade should be clearly understood by all who are involved in that activity. In particular the meaning of “document of title” used in respect of bills of lading, and whether sea waybills are or are not also such documents of title, have given rise to much debate, which has now largely been resolved in major shipping nations. Because merchants know what is expected from them, trade terms provide legal certainty, which means less disputes and lower transaction costs.     LAYING THE MARK TO PORT AND STARBOARD: SALVAGE UNDER DURESS AND ECONOMIC DURESS AT CONTRACT LAW Olivia Lennox-King* The law of salvage rewards volunteers who render valuable services to recognised subjects of salvage in danger. The nature of this legal right is neither consent-based, nor contractual in nature, and appears as antithetical to the contract law, being based on public policy and equitable considerations. Nevertheless, in modern times contracts control salvage operations with such frequency that contractual salvage has become the norm, usually under a standard form contract known colloquially as the Lloyd's Open Form. Despite this development, there has been little discussion on the interrelationship between salvage and contract law. This has led to theoretical uncertainty in areas where the two jurisdictions apply different rules to the same concepts, particularly in the area of duress. While the approach of contract law is procedural, salvage law combines a procedural approach with an enquiry into the substantive fairness of the contractual terms. After consideration of alternative models, where each regime overrides the other, this paper argues that a scenario where the two regimes co-exist is preferable. Based on the common rationale of controlling illegitimate behaviour, it is argued that the procedural approach of contract law should be incorporated into salvage law, and the latter's substantive requirements correspondingly relaxed. 1.
