Implica una muy sólida calidad crediticia respecto de otros emisores o emisiones del país. El riesgo crediticio inherente a estas obligaciones financieras difiere levemente de los emisores o emisiones domésticas mejor calificadas. Calificación otorgada por Standard & Poor´s, S.A. de C.V. a la presente Emisión: "mxAA+" es decir, que considera que tiene una muy fuerte capacidad de pago tanto en intereses como del principal y difiere tan solo en un pequeño grado de las calificadas con la máxima categoría. Tasa de interés: De conformidad con el calendario de pagos que aparece en la sección denominada “Periodicidad en el pago de intereses”, y en tanto no sean amortizados, los Certificados Bursátiles devengarán un interés bruto anual fijo sobre su valor nominal igual a una tasa de interés bruto anual de 10.25% (diez punto veinticinco por ciento), la cual se mantendrá fija durante la vigencia de la Emisión. El interés que devenguen los Certificados Bursátiles se computará a partir de su fecha de emisión o al inicio de cada período de intereses y los cálculos para determinar el monto a pagar, deberán comprender los días naturales efectivamente transcurridos hasta la fecha de su pago. Para determinar el monto de intereses pagaderos en cada período respecto de los Certificados Bursátiles, el Representante Común utilizará la siguiente fórmula: I = [(TI)* PL] * VN ------------------------- 36000 En donde: I = Intereses a pagar en la fecha de pago de intereses. TI = Tasa de Interés Bruto Anual (expresada en porcentaje). PL = Número de días efectivamente transcurridos del período. VN = Valor Nominal total de los Certificados Bursátiles en circulación. Los intereses que devenguen los Certificados Bursátiles se pagarán cada 182 (ciento ochenta y dos) días, en las fechas señaladas en el calendario de pagos que se incluye en la sección denominada “Periodicidad en el Pago de Intereses”, o si cualquiera de dichas fechas fuere un día inhábil, en el siguiente Día Hábil. El Representante Común, 2 (dos) Días Hábiles antes de la fecha de pago de intereses que corresponda, dará a conocer por escrito a la CNBV y al Indeval, el importe de los intereses a pagar. Asimismo, dará a conocer a la BMV a través del SEDI (o cualesquiera otros medios que la BMV determine) a más tardar 2 (dos) Días Hábiles anteriores a la fecha de pago de intereses, el importe de los intereses ordinarios a pagar, así como la Tasa de Interés Bruto Anual aplicable al siguiente periodo de intereses. Los Certificados Bursátiles dejarán de devengar intereses a partir de la fecha señalada para su pago, siempre que la Emisora hubiere constituido el depósito del importe de la amortización y, en su caso, de los intereses correspondientes, en las oficinas del Indeval, a más tardar a las 11:00 a.m. de ese día. En los términos del artículo 282 de la Ley del Mercado de Valores, el título que ampare los Certificados Bursátiles no llevará cupones adheridos, haciendo las veces de éstos, para todos los efectos legales, las constancias que expida la propia Indeval. Intereses moratorios: En caso de incumplimiento en el pago de principal de los Certificados Bursátiles, se causarán intereses moratorios sobre el principal insoluto de los Certificados Bursátiles a la Tasa de Interés Bruto Anual de los Certificados Bursátiles aplicable durante cada 2 periodo en que ocurra y continúe el incumplimiento más 2 (dos) puntos porcentuales. Los intereses moratorios serán pagaderos a la vista desde la fecha en que tenga lugar el incumplimiento y hasta que la suma principal haya quedado íntegramente cubierta. La suma que se adeude por concepto de intereses moratorios deberá ser cubierta en el domicilio de la Emisora o del Representante Común, según sea el caso. Periodicidad en el pago de intereses: Los intereses que devenguen los Certificados Bursátiles se liquidarán cada 182 (ciento ochenta y dos) días, conforme al calendario que se indica en el título que documenta la presente Emisión y que se reproduce en el suplemento respectivo o, si fuera inhábil, el siguiente día hábil, durante la vigencia de la Emisión, contra la entrega de las constancias que la S.D. Indeval Institución para el Depósito de Valores, S.A. de C.V., haya expedido. El primer pago de intereses se efectuará precisamente el 22 de enero de 2009. Tasa de interés bruto anual aplicable para el primer periodo de interés: 10.25% (diez punto veinticinco por ciento). Amortización de principal: Un solo pago en la fecha de vencimiento. Casos de vencimiento anticipado: Los Certificados Bursátiles contienen obligaciones de hacer y de no hacer, cuyo incumplimiento podría resultar en su vencimiento anticipado, conforme a los términos y condiciones del título que documenta la presente Emisión y que se reproducen en el suplemento respectivo. Régimen fiscal: La tasa de retención aplicable, en la fecha del suplemento respectivo, respecto de los intereses pagados conforme a los Certificados Bursátiles, se encuentra sujeta (i) para las personas físicas o morales residentes en México para efectos fiscales, a lo previsto en los artículos 54, 135 y demás aplicables de la Ley del Impuesto Sobre la Renta vigente; y (ii) para las personas físicas y morales residentes en el extranjero para efectos fiscales, a lo previsto en los artículos 153, 166 y demás aplicables de la Ley del Impuesto Sobre la Renta vigente. Los posibles adquirentes de los Certificados Bursátiles deberán consultar con sus asesores las consecuencias fiscales resultantes de su inversión en los Certificados Bursátiles, incluyendo la aplicación de reglas específicas respecto a su situación particular. El régimen fiscal vigente podrá modificarse a lo largo de la duración del programa y a lo largo de la vigencia de la presente Emisión. Lugar y forma de pago de principal e intereses: El principal y los intereses ordinarios devengados respecto de los Certificados Bursátiles se pagarán el día de su vencimiento y en cada una de las fechas de pago de intereses respectivamente, mediante transferencia electrónica, en el domicilio de la S.D. Indeval Institución para el Depósito de Valores, S.A. de C.V., ubicado en Paseo de la Reforma No. 255, Piso 3, Col. Cuauhtémoc, 06500, Ciudad de México o, en su caso, en las oficinas de la Emisora ubicadas en Avenida Gómez Morín 1111 Sur, Col. Carrizalejo, Garza García, Nuevo León, C.P. 66254, México. La suma que se adeude por concepto de intereses moratorios deberá ser cubierta en las oficinas de la Emisora o del Representante Común, según sea el caso. Depositario: S.D.
