Speed Chart (optional) Account Code (optional) HL00018528 71304000 02-18-21 GR GRANT CONTRACT BETWEEN THE STATE OF TENNESSEE, DEPARTMENT OF HEALTH AND GRANTEE NAME This Grant Contract, by and between the State of Tennessee, Department of Health, hereinafter referred to as the “State” and Contractor Legal Entity Name, hereinafter referred to as the “Grantee,” is for the provision of COVID-10 Community Health Worker Initiative, as further defined in the "SCOPE OF SERVICES." The Grantee is a/an Individual, For-Profit Corporation, Non-Profit Corporation, Special Purpose Corporation Or Association, Partnership, Joint Venture, Or Limited Liability Company. Grantee Place of Incorporation or Organization: Tennessee Grantee Edison Vendor ID # Number A. SCOPE OF SERVICES AND DELIVERABLES: A.1. The Grantee shall provide all services and deliverables (“Scope”) as required, described, and detailed in this Grant Contract. A.2. Service Definitions. a. Accrual - A charge for work that has been done but not yet invoiced, for which provision is made at the end of a financial period. b. Community Health Worker - As defined by the American Public Health Association, is a frontline public health worker who is a trusted member of and/or has an close understanding of the community served. c. OMHDE – Office of Minority Health and Disparities Elimination d. Social Determinants of Health (SDH) – Reflect the social factors and physical conditions of the environment in which people are born, live, learn, play, work, and age. They impact a wide range of health, functioning, and quality-of-life outcomes. e. TDH – Tennessee Department of Health. A.3. Service Goal. To increase COVID-19 vaccination uptake in high-risk, minority, and underserved communities across Tennessee. A.4. Service Recipients. High-risk, minority, and vulnerable population groups in Tennessee. A.5. Service Description. The Grantee shall provide all services as detailed in its approved application as set forth in Attachment 1 with measurable outcomes and as required by this Scope of Services. The Grantee shall meet all service and delivery timelines specified in the Scope of Services section or elsewhere in this Grant Contract. These services shall include at a minimum: a. The Grantee shall build relationships with other community and faith-based organizations. b. Serve as a liaison to assist with care coordination connecting community members with COVID19 testing, vaccine and other support services. c. Meet with clients, individuals and community organizations as needed to create health programs designed for individual use and for groups. 1 02-18-21 GR d. The Grantee shall participate in weekly outreach efforts to raise community awareness of COVID19, general health, program eligibility for specific risk groups, such as pregnant women, high-risk, underserved and low-income populations. e. The Grantee shall assist OMHDE to measure and evaluate the health impact of their proposed project activities/strategies and outcomes. f. The Grantee shall identify health equity champions in their community and submit at least two success stories. g. The Grantee shall participate in any webinars/conference calls/meetings, either in-person or via technology, regarding this funding application. Dates will be determined by the OMHDE. h. The Grantee shall regularly attend the Tennessee Health Disparity Task Force Meetings as convened by the TDH Division of Health Disparities Elimination. i. The Grantee shall attend at least four in-person meetings hosted by the TDH Division of Health Disparities Elimination. A.6. Service Reporting. The Grantee shall collect, compile, and evaluate program data and submit reports to the OMHDE on the status of identified community need, deliverables, interventions, and outreach activities. This requirement will be completed as a monthly report, an interim (mid-year) report and year-end report to the OMHDE for each funding year and as requested by TDH. a. By the 3rd Monday of each month, the Grantee shall submit a monthly report which will be a detailed summary of deliverables/activities/strategies conducted each month and status of each to the OMHDE. A link will be provided for submitting the reports. b. Provide interim and year-end report(s) with detailed activities of proposed plan and describing progress in achieving the outcome measures. A link will be provided for submitting the reports. When submitting the final report, summarize the positive and negative attributes of the program based on the expected outcomes enumerated in the proposed activities in addition including all analysis and assessments of the program, The year-end report should be submitted thirty (30) days following the end of the Grant Term. c. The Grantee shall submit an annual work plan and a detailed description of line items within the budget prior to the beginning of each contract year to the OMHDE, to be approved by TDH. A.7. Incorporation of Additional Documents. Each of the following documents is included as a part of this Grant Contract by reference or attachment. In the event of a discrepancy or ambiguity regarding the Grantee's duties, responsibilities, and performance hereunder, these items shall govern in order of precedence below. a. this Grant Contract document with any attachments or exhibits (excluding the items listed at subsections b. and c., below); b. the State grant proposal solicitation as may be amended, if any; c. the Grantee’s proposal (Attachment 1) incorporated to elaborate supplementary scope of services specifications. A.8. Incorporation of Federal Award Identification Worksheet. The federal award identification worksheet, which appears as Attachment 2, is incorporated in this Grant Contract. 2 02-18-21 GR A.9. The Grantee shall provide Accrual data to the Program Director in a format provided by the State by no later than June 15 of each Term (see section B. Term of Grant Contract below). A.10. Inspection and Acceptance. Acceptance of the work outlined above will be made by the State or its authorized representative through reports, teleconferences, site visits and/or other periodic reviews. The State will make the final determination in terms of acceptance of the work being performed under this Contract. A.11. Audit Requirements. In the event that the Grantee is subject to an audit in accordance with Section D.19. hereunder, the Grantee shall submit to the State contact listed in D.8. a copy of the audit report and Notice of Audit Report Attachment. B. TERM OF GRANT CONTRACT: B.1. This Grant Contract shall be effective on September 1, 2021 (“Effective Date”) and extend for a period of twenty-two (22) months after the Effective Date (“Term”). The State shall have no obligation for goods or services provided by the Grantee prior to the Effective Date. B.2. Term Extension. It is understood and agreed that the State may extend the Term an additional period of time, not to exceed one hundred-eighty (180) days beyond the expiration date of this Grant Contract, under the same terms and conditions. In no event, however, shall the maximum Term, including all extensions or renewals, exceed a total of sixty (60) months. C. PAYMENT TERMS AND CONDITIONS: C.1. Maximum Liability. In no event shall the maximum liability of the State under this Grant Contract exceed Written Dollar Amount ($Number) (“Maximum Liability”). The Grant Budget, attached and incorporated hereto as Attachment 3, shall constitute the maximum amount due the Grantee under this Grant Contract. The Grant Budget line-items include, but are not limited to, all applicable taxes, fees, overhead, and all other direct and indirect costs incurred or to be incurred by the Grantee. C.2. Compensation Firm. The Maximum Liability of the State is not subject to escalation for any reason unless amended. The Grant Budget amounts are firm for the Term and are not subject to escalation for any reason unless amended, except as provided in Section C.6. C.3. Payment Methodology. The Grantee shall be reimbursed for actual, reasonable, and necessary costs based upon the Grant Budget, not to exceed the Maximum Liability established in Section C.1.
