I refer to the above resolution of the Legislative Council under Standing Order 52 made on 5 August 2020 and your correspondence of 6 August 2020. I am now delivering to you documents referred to in that resolution. On 1 May 2020, those staff were transferred from OPIE to Regional NSW pursuant to clause 8 of the Administrative Arrangements (Administrative Changes - Regional NSW and Independent Planning Commission) Order 2020. Under the terms of a Memorandum of Understanding between DPC and Regional NSW, Regional NSW is permitted to use DPC's electronic document management system to store its records. I note that Regional NSW is responsible to the Deputy Premier, Minister for Regional NSW, Industry and Trade, and is responsible for the administration of the Stronger Country Communities Fund (SCCF), but is not named in the resolution of 5 August 2020. This may have been an oversight, as Regional NSW was named in a previous resolution under Standing Order 52 in relation to the SCCF and returned over 100 documents to the House under that resolution on 24 June 2020. The functions around the Fund are undertaken by the Public Works Advisory unit, which was transferred to the new Department of Regional NSW (DRNSW) on 2 April 2020. I note that the Order is directed at the Office of Local Government (OLG) within OPIE. However, OLG administered the Stronger Communities Fund, which is unrelated to the Stronger Country Communities Fund. OLG has had no involvement in the Stronger Country Communities Fund.

In accordance with the terms of the resolution agreed to by the Legislative Council on 5 August 2020, and the terms of Standing Order 52, documents have been identified for production by the Department of Premier and Cabinet and the potential application of privilege to those documents has been considered. This submission has been prepared in support of the claims for privilege made by the Department.

It is to be noted that these claims for privilege are not raised as a basis to resist production of documents that are within scope of the resolution. Rather, these claims are made, pursuant to Standing Order 52(5), to identify those documents over which privilege may be claimed, in order to allow the Legislative Council to consider the claims and in support of an application that it is in the public interest that the documents should not be made publicly available.

Legal professional privilege

It is submitted that certain of the documents identified and indexed as privileged are privileged and should not be made public on one or more of the available grounds of the common law principle of legal professional privilege or client legal privilege under the Evidence Act 1995.

In particular, it is submitted that the documents are privileged because:

1. they were brought into existence for the purpose of enabling the client to obtain, or its legal advisers to give, legal advice;

and/or

2. they are confidential communications between the client or its legal advisers and persons with whom the client shares or shared a common interest in relation to the subject matter of the advice received by one of them.

The documents in respect of which legal privilege are claimed are:

(a) document 119, insofar as it relates to a request for legal advice from the Department's Legal Branch, and (b) documents 120-122, being attachments to the request for legal advice (document 119), provided for the purpose of the Department's Legal Branch to provide legal advice.

It is relevant to note that legal professional privilege is a ground upon which there is a conclusive presumption of an overriding public interest against disclosure in the Government Information (Public Access) Act 2009 (GIPA Act) (see section 14(1) and clause 5 of Schedule 1 to the GIPA Act). It has also been noted in numerous reports of the arbiter that legal professional privilege should be respected as a strong claim of privilege.

It is submitted that legal professional privilege in these documents should be upheld because the protection of legally privileged Crown documents is in the public interest. Commercial in co.nfidence

It is submitted that certain of the documents identified and indexed as privileged contain information in relation to the commercial interests of third parties, and that the public interest in their non-disclosure outweighs the interest in their disclosure.

In support of this claim, it is submitted that such information would ordinarily be protected from public disclosure under the common law or the GIPA Act.

It is also well-established at common law that the principle of public interest immunity requires the balancing of conflicting interests to determine whether it would be "injurious to the public interest to disclose" the impugned material.' In Parliamentary proceedings, a balance must be struck between the significance of the information to Parliament against the public harm that would flow from its public disclosure.' According to the New South Wales Legislative Council Practice:

"the proper basis for claims of commercial-in-confidence information is not that there may be a commercially confidential dealing, but that the disclosure of the matter is likely to cause damage to the commercial activity". 3

The documents over which public interest immunity is claimed in this regard include, but are not limited to:

(a) summaries of applications made to the SCCF; (b) documents containing comments by the panel assessing the applications; (c) documents containing the results of consultation with community members about responses to and ranking of applications.

The information claimed to be privileged includes information regarding unsuccessful applications and applicants. The likely prejudice caused by disclosure of this information to an applicant's commercial reputation and ability to apply for other similar funding is considered.to outweigh the public interest in disclosure of the documents. It is common practice that Government does not disclose the details of unsuccessful applicants for Government programs, specifically funding programs. This is particularly important in regional areas, which are often smaller communities and a local business's failure to secure a grant, and the comments, community rankings and assessment that led to that failure, may be detrimental to its standing in the local community.

SUBMISSION IN SUPPORT OF CLAIM FOR CONFIDENTIALITY AND PRIVILEGE BY THE OFFICE OF THE NSW DEPUTY PREMIER ORDER FOR PAPERS - STRONGER COUNTRY COMMUNITIES APPLICATIONS - 5 AUGUST 2020

In accordance with the terms of the resolution agreed to by the Legislative Council on 5 August 2020, and the terms of Standing Order 52, documents have been identified for production by the Office of the NSW Deputy Premier and the potential application of privilege to those documents has been considered. This submission has been prepared in support of the claims for privilege made by the Office of the NSW Deputy Premier.

It is to be noted that these claims for privilege are not raised as a basis to resist production of documents that are within scope of the resolution. Rather, these claims are made, pursuant to Standing Order 52(5), to identify those documents over which privilege may be claimed, in order to allow the Legislative Council to consider the claims and in support of an application that it is in the public interest that the documents should not be made publicly available.

Please note that where there are attachments to documents and only the attachment attracts privilege, the Office of the NSW Deputy Premier has claimed privilege over the primary document as well in order to maintain context for the entire document tree.

Personal information

It is submitted that certain documents identified and indexed as privileged contain personal information and that the public interest in the non-disclosure of that information outweighs the interest in its disclosure.

In support of this claim, it is submitted that such information would ordinarily be protected from public disclosure under common law or pursuant to the Government Information {Public Access) Act 2009 (the GIPA Act) or the Privacy and Personal Information Protection Act 1998.

The Hon. Mr Keith Mason AO QC has noted that the House has undoubted power to take additional measures to prevent disclosure of confidential information where that is not in the public interest. 1 The arbiter has also, on several occasions, endorsed the agreement of members, who had initially disputed a claim of privilege, that certain personal "private" infor.mation be redacted, avoiding the need for the arbiter to resolve such disputes. 2 The arbiter has noted, amongst other matters, that members will always have access to un-redacted versions of the documents and the capac.ity to access such information if it is really needed. 3

The Office of the NSW Deputy Premier considers that it would be prejudicial to the public interest and to the system of representative and responsible government in NSW for interactions between individuals and their elected representatives to be made public, in circumstances where the communication may originally have been made without any expectation that it would be published. It would be reasonable to assume that the candour of such communications may be impeded if

It is, of course, necessary that each instance should be examined on its merits, and it is not suggested the circumstances in those matters are equivalent to the current matter. 5 Sydney Stadiums Report at p. 1 individuals were aware that, with no notice and without consultation, not only might their correspondence be released, but also their personal information in. connection with that correspondence.

The Office of the NSW Deputy Premier notes that no redactions have been undertaken, due to time constraints. It is also noted that the documents which contain personal information, are also deemed to be privileged due to commercial in confidence.

Legal professional privilege

It is submitted that certain documents identified and indexed as privileged are privileged and should not be made public on one or more of the available grounds of the common law principle of legal professional privilege or client legal privilege under the Evidence Act 1995. In particular, it is submitted that the above documents are privileged because: 1. they were brought into existence for the purpose of: a. enabling the client to obtain, or its legal advisers to give, legal advice; or b. for use in actual litigation or litigation reasonably contemplated by the client and in respect of which privilege has not been waived; and/or 2. they are confidential communications between the client or its legal advisers and persons with whom the client shares or shared a common interest in relation to the subject matter of the advice received by one of them.

It is relevant to note that legal professional privilege is a ground upon which there is a conclusive presumption of an overriding public interest against disclosure in the GIPA Act (see section 14(1) and clause 5 of Schedule 1 to the GIPA Act). It has also been noted in numerous reports of the arbiter . that legal professional privilege should be respected as a strong claim of privilege. It is submitted that legal professional privilege in these documents should be upheld because the protection of legally privileged Crown documents is in the public interest.

Commercial in confidence

It is submitted that certain documents identified and indexed as privileged contain information in relation to the commercial interests of third parties and the State, and that the public interest in their non-disclosure outweighs the interest in their disclosure. In support of this claim, it is submitted that such information would ordinarily be protected from public disclosure under the common law or the GIPA Act.

The documents should be considered privileged as their disclosure would prejudice the commercial interests of the entities that are the subjects of those document. The nature of the documents includes significant internal financial information of corporate, and government entities. It also includes information which may undermine the position of corporate and government entities in the market. The likely prejudice caused by disclosure is considered to outweigh the public interest in disclosure of the documents.

In addition, it is common practice that Government does not disclose the details of unsuccessful applicants for Government programs, specifically funding programs. The nature of the documents includes details of unsuccessful applicants. The likely prejudice caused by disclosure is considered to outweigh the public interest in disclosure of the documents.
