Attendance by Bidders (as defined herein) is optional, but strongly recommended by BUILDINGS. Bidder attendance at the Scheduled Site Visit is: Mandatory Optional If the attendance by Bidders (as defined herein) is mandatory, then failure to attend the Scheduled Site Visit shall be grounds for rejection of the Bid. All questions and requests for additional information concerning the Scheduled Site Visit should be directed solely to the Authorized Agency Contact Person. At least five Days prior to the Scheduled Site Visit, a Bidder should notify the Authorized Agency Contact Person of the number of representatives that will attend. 1.5. EPIN: 81016B0002 QUALITY CONTROL MONITORING OF PERIODIC ELEVATOR INSPECTIONS Page 4 of 167 PART B – DEFINITIONS ARTICLE 2 DEFINITIONS 2.1. The following words and expressions, or pronouns used in their stead, shall, wherever they appear in this Contract (as defined herein), be construed as follows, unless a different meaning is clear from the context. 2.1.1. “Addendum” or “Addenda” shall mean the additional Contract provisions issued in writing by BUILDINGS prior to the receipt of Bids. 2.1.2. “Agency” shall mean a city, county, borough or other office position, department, division, bureau, board or commission, or a corporation, institution or agency of government, the expenses of which are paid in whole or in part from the City treasury. 2.1.3. “Agency Chief Contracting Officer” or “ACCO” shall mean the person delegated authority by the Commissioner to organize and supervise the procurement activity of subordinate agency staff in conjunction with the CCPO, or his/her duly authorized representative. All written notices or communications to the ACCO shall be sent, as specified, to 280 Broadway, 6th Floor, New York, New York 10007 (“Office of the ACCO”). 2.1.4. “Allowance” shall mean a sum of money which the Agency may include in the total amount of the Contract for such specific contingencies as the Agency believes may be necessary to complete the Work, e.g., lead or asbestos remediation, and for which the Contractor will be paid on the basis of stipulated unit prices or a formula set forth in the Contract or negotiated between the parties provided, however, that if the Contractor is not directed to use the Allowance, the Contractor shall have no right to such money and it shall be deducted from the total amount of the Contract. 2.1.5. “Bid” shall mean an offer in the designated form and format submitted in response to this solicitation. 2.1.6. “Bidder” shall mean any entity that submits a Bid. 2.1.7. “City” shall mean the City of New York. 2.1.8. “City Chief Procurement Officer” or “CCPO” shall mean a person delegated authority by the Mayor to coordinate and oversee the procurement activity of Mayoral agency staff, including the ACCO and any offices which have oversight responsibility for the procurement of supplies and services, or his/her duly authorized representative. 2.1.9. “Commissioner” shall mean the head of the City Department of Buildings, or his/her duly authorized representative. All written notices or communications to the Commissioner shall be sent, as specified, to 280 Broadway, 7th Floor, New York, New York 10007. 2.1.10. “Comptroller” shall mean the City Comptroller. EPIN: 81016B0002 QUALITY CONTROL MONITORING OF PERIODIC ELEVATOR INSPECTIONS Page 5 of 167 2.1.11. “Contract” or “Contract Documents” shall mean and shall be deemed to include the following, except for titles, subtitles, headings, running headlines, tables of contents and indices (all of which are printed herein merely for convenience): 2.1.11.1. The Advertisement for Bids; 2.1.11.2. The Information for Bidders; 2.1.11.3. The Bid; 2.1.11.4. The Supply and Service General Conditions; 2.1.11.5. The Procurement Policy Board Rules; 2.1.11.6. The Specifications; 2.1.11.7. The Contract Drawings (if applicable); 2.1.11.8. All Addenda issued by BUILDINGS prior to the receipt of Bids; 2.1.11.9. All provisions required by law to be inserted in this Contract, whether actually inserted or not; 2.1.11.10. The Notice of Recommendation of Award; 2.1.11.11. Insurance Documents; 2.1.11.12. Payment and Performance Bonds (if required); 2.1.11.13. The Contract Attachments; and 2.1.11.14. Notice to Proceed and/or Order to Work. 2.1.12. “Contract Drawings” shall mean those drawings specifically entitled as such and listed in the Contract, and any drawings furnished by BUILDINGS pursuant to the Contract. 2.1.13. “Contracting Officer” shall mean any person duly authorized to enter into and administer contracts and make determinations with respect thereto. The term also includes an authorized representative acting within limits of authority. 2.1.14. “Contract Price” shall mean the lump sum price or unit prices which this Contract was awarded, plus the amount required to be paid for any Extra Work ordered by the Commissioner under Article 49, less credit for any Work omitted pursuant to Article 53 which the City shall pay, and the Contractor agrees to accept, in full consideration for the Contractor's performance of the Work subject to the terms and conditions hereof. 2.1.15. “Contract Work” shall mean everything required to be furnished and/or performed by the Contractor pursuant to the Contract, except Extra Work as hereinafter defined. EPIN: 81016B0002 QUALITY CONTROL MONITORING OF PERIODIC ELEVATOR INSPECTIONS Page 6 of 167 2.1.16. “Contractor” shall mean the entity signing this Contract, whether a corporation, firm, partnership, joint venture, individual, or any combination thereof, and its, their, his/her successors, personal representatives, executors, administrators and assigns, and any person, firm, partnership, joint venture, individual, or corporation which shall at any time be substituted in the place of the Contractor under this Contract. 2.1.17. “Days”
