SUCCESS IN BIDDING FOR LEASING AND OPERATIONAL MANAGEMENT CONTRACT: COMMERCIAL SPACE IN FIVE METRO LINE 4 STATIONS

The Company is pleased to announce that Nanjing Golden Wheel Business Management, a wholly- owned subsidiary of the Company, has been informed by Changsha City Land Auction that it has succeeded in the bidding for the leasing and operational management contract in relation to underground commercial space in five stations on Line 4 for a term of ten years.

Upon execution of the leasing and operational management contract, the Group will become an important operator of underground commercial space on Changsha Metro Line 4 in Changsha, the PRC.

Golden Wheel Tiandi Holdings Company Limited ( 金 輪 天 地 控 股 有 限 公 司 ) (the “Company”, together with its subsidiaries, the “Group”) is pleased to announce that Nanjing Golden Wheel Business Management Corporation Limited* (南京金輪商業管理股份有限公司) (“Nanjing Golden Wheel Business Management”), a wholly-owned subsidiary of the Company, has been informed by Changsha City Land Auction Company Limited* (長沙市土地拍賣有限公 司) (“Changsha City Land Auction”) that it has succeeded in the bidding for the leasing and operational management contract in relation to underground commercial space in five stations on Changsha Metro Line 4 for a term of ten years. The Company expects to execute the leasing and operational management contract within 30 calendar days from the date of signing the relevant lease confirmation.

Further details of the leasing and operational management contract are set out below:

Location of the properties: Underground commercial space in the following Changsha metro stations:

1) Bishahu Station* (碧沙湖站) 2) Guanziling Station* (罐子岭站) 3) Shumuling Station* (樹木岭站) 4) Chazishan Station* (茶子山站) 5) Dujiaping Station* (杜家坪站)

Lease Term: Ten years from the date of delivery

Leasable gross floor area: 21,774.27 square meters

Rental payment under contract: RMB1,968,100 for the initial year rental payment (increase by 5% every three years) which equals to RMB20,892,200 in total for ten years for the underground commercial space in five metro stations

Scope of operational management: Sub-leasing, operation and property management

The Group is an integrated commercial and residential property developer, owner and operator. The principal activities of the Group are property development and property leasing, including leasing of self-owned properties and sub-lease of rented properties, hotel operations and management in the People’s Republic of (the “PRC”) including Hong Kong. The Group also focuses on projects that are physically connected or in close proximity to metro stations or other transportation hubs.

The board of directors of the Company considers that the lease and the operational management of underground commercial space is in line with the business development strategy and plan of the Group. With the success in bidding for the leasing and operational management contract, the Group will become an important operator of underground commercial space on Changsha Metro Line 4 in Changsha, the PRC. The Company will sub-lease, operate and manage the commercial properties on a project basis.
