Hasbro Closes Acquisition of Saban Properties’ Power Rangers and other Entertainment Assets June 12, 2018 PAWTUCKET, R.I.--(BUSINESS WIRE)--Jun. 12, 2018-- Hasbro, Inc. (NASDAQ: HAS) today announced it has closed the previously announced acquisition of Saban Properties’ Power Rangers and other Entertainment Assets. The transaction was funded through a combination of cash and stock valued at $522 million. “Power Rangers will benefit from execution across Hasbro’s Brand Blueprint and distribution through our omni-channel retail relationships globally,” said Brian Goldner, Hasbro’s chairman and chief executive officer. “Informed by engaging, multi-screen entertainment, a robust and innovative product line and consumer products opportunities all built on the brand’s strong heritage of teamwork and inclusivity, we see a tremendous future for Power Rangers as part of Hasbro’s brand portfolio.” Hasbro previously paid Saban Brands$22.25 million pursuant to the Power Rangers master toy license agreement, announced by the parties in February of 2018, that was scheduled to begin in 2019. Those amounts were credited against the purchase price. Upon closing, Hasbro paid $131.23 million in cash (including a $1.48 million working capital purchase price adjustment) and $25 million was placed into an escrow account. An additional $75 million will be paid on January 3, 2019. These payments are being funded by cash on the Company’s balance sheet. In addition, the Company issued 3,074,190 shares of Hasbro common stock to Saban Properties, valued at $270 million. The transaction, including intangible amortization expense, is not expected to have a material impact on Hasbro’s 2018 results of operations.

‘HEALING HANDS’ CAST BIOS EDDIE CIBRIAN (Buddy Hoyt) – A versatile actor who continues to expand his career in television and film, Eddie Cibrian is fast becoming one of the leading young actors in the business today. Born and raised in California, Cibrian began his acting career at the age of 12, landing a Coca-Cola commercial on his very first audition. Following the success of that spot, Cibrian appeared in numerous other national commercials. Upon entering high school, Cibrian decided to put his acting career on hold to pursue his other passion: Sports. He excelled in every sport he competed in – football, baseball, soccer and volleyball – and graduated high school with several All-State honors. Cibrian continued his successful athletic career when he entered UCLA’s football program in the fall of 1991. Unfortunately, an injury during his first year on the team left Cibrian sidelined, so he decided to return to acting. Cibrian immediately landed several national commercials and soon after, starred in Malcolm- Jamal Warner’s Emmy® Award winning television special “Kids Killing Kids.” The attention Cibrian garnered for his appearance on Warner’s special led to several soap opera auditions, including one for “The Young and the Restless.” The show’s producers were impressed with Cibrian’s acting abilities and created a character for him on the show, that of the conniving Matt Clark. Within three months, Cibrian had received so much fan mail that CBS signed him to a three-year contract. After appearing on “The Young and the Restless” for two years, Cibrian starred in several television shows including “The Bold and the Beautiful,” “Baywatch Nights,” “Beverly Hills, 90210,” “Sabrina The Teenage Witch” and “Saved by the Bell: The College Years.” It was not long before Aaron Spelling offered Cibrian the starring role of Cole Deschanel on the NBC daytime drama, “Sunset Beach.” Just five months after his debut, TV Guide named Cibrian one of Daytime’s 12 Hottest Stars.

  • Response to This Article About the Hasbro/Discovery Hub Shift In
Response to this article about the Hasbro/Discovery Hub shift in power...which turned into another my long-winded, thoughtful rants: http://online.wsj.com/articles/discovery-to-take-control-of-the-hub-network- 1410979842 Well, that's...somewhat shocking. From what I can tell, the Hasbro/Discovery partnership in The Hub has been an amazing success. I watch the channel almost every day. Most of its programming is--and has been, for the past 3.5 years--excellent. From the original series (FiM, Pound Puppies, Strawberry Shortcake, LPS, Dan Vs., Aquabats Super Show, Family Game Night, Care Bears, Transformers, Haunting Hour), to all the other wonderful shows/sitcoms (oh my goodness!! Tiny Toon Adventures, Animaniacs, Goosebumps, Laverne & Shirley, Happy Days, Mork & Mindy, Step By Step, Who's the Boss, Family Ties, The Facts of Life, Sister, Sister, Sabrina, Atomic Betty, etc.), to the extremely well-chosen family movies (I loved it when they aired the Homeward Bound films, All Dogs Go to Heaven 2...today I saw Spaceballs...and they've just made so many other great movie picks every season.) They've been an outstanding example of listening to your viewers and giving them what they want. Even their misfires and middle-of-the-road shows are more than bearable (SheZow, animated Sabrina, Teenage Fairytale Dropouts, Kid President, Parents Just Don't Understand, and such.) If Hasbro were to grow dissatisfied with controlling six hours of its toy-based cartoons daily on Hub (which seems like a fair deal they've cut, tbh), and moved them over to Cartoon Network or Disney...well, at least the shows would still continue on, and be a MASSIVE boon to either of those channels.
