Dear Society Member, It is time again for the annual election of School governors. This letter serves to advise you of the work that has been completed by the Nominations Committee and to seek any additional nominations from the Society. This year, the terms of four governors will expire at the October 2014 Annual General Meeting. The nominations committee has met over the last several months to review the composition of the current Board as well as the experience and skills we will require as the School moves forward with the execution of the priority elements of its mission, vision and Strategic Plan. In doing so, we aim to ensure continued success in the School’s core goals of distinctive excellence, lifelong engagement and organizational strength. This is a task we take very seriously. We have sought candidates who are willing and able to contribute their expertise, energy, time and resources to the School, to be fully engaged with the School, to provide a balanced, dedicated, and fair-minded approach to the issues of the Board, and who are capable of long-term strategic thinking and vision to steward the School from strength to strength through the coming years. We always strive to achieve a Board which is representative of the various school constituencies and one which is balanced in gender and . Governors who are completing terms are carefully evaluated for re-nomination relative to their contribution to the Board, their adherence to prescribed expectations, and principles of good governance. As a result of our work this year, the Nominations Committee is very pleased that current governors Ron Solmer, Sandy Stedman and Dan Sheehan along with new nominee Ann Glazier Rothwell have agreed to put their names forward for nomination. More detailed biographies and photos of these candidates are attached. In brief: Ron Solmer is a parent of three SMUS graduates. Ron graduated from Shawnigan Lake School in 1972 and went on to obtain his Bachelor of Commerce and Bachelor of Law from University of . He has practiced law in Kelowna since 1980 and for most of those years has been a partner at Pushor Mitchell LLP. His practice focuses on the areas of corporate/commercial law, commercial lending and real estate development. Ron is a firm believer in giving back to his community. He was elected to the board three years ago and is currently the SMUS Board Secretary and chairs the Governance and Nominations Committees. Sandy Stedman and his wife Roxanne are parents of three SMUS graduates. Sandy is a Chartered Accountant and a partner with the firm Schibli Stedman King in Victoria. His professional experience has included an internal audit for a large public company and controllership for a group of privately held companies. Sandy is an author of taxation courses for the Institute of Chartered Accountants of BC and the Chartered Accountants Provincial Committee for On-Going Education. He also instructs taxation courses for the BC Institute of Chartered Accountants. Sandy has been a member of the Finance committee at SMUS since 2003. Sandy was elected to the Board in 2008 and currently serves as the Board’s Treasurer. Dan Sheehan is a current parent with a daughter and a son who both attend the SMUS Junior School. Dan has been an entrepreneur for over 25 years and he is currently CEO of Winplus. He has spent his career creating and building companies in the consumer products industry. Dan has served on the board of governors since last October and is a member of the Investment and Strategic Planning Committees.

Page 2 NOMINATION PAPERS Ann Glazier Rothwell '85 is a finance professional with more than 20 years’ experience in Canadian capital SMUS Board of Governors markets. Ann is the Head of Business Development at RP Investment Advisors, a specialized fixed-income manager based in Toronto. She is also Vice Chair of the Board of Governors at The York School, a co-ed IB World School 2014 in Toronto. Ann grew up in Victoria and is a graduate of SMUS, Class of 1985. Ann is currently a member of the SMUS Investment Committee. All four candidates are talented and dedicated individuals whose commitment, leadership and energy will be invaluable to the Board and the School. These nominees are willing and able to contribute to the ongoing development and governance of the School. Each can serve the Board in different, yet complementary capacities. Each is aware of the level of commitment that is involved in accepting a position as governor and is more than up to the task. It is for these reasons that we ask you to consider favourably endorsing the Nominations Committee’s slate of candidates. For the benefit of new Society members or for those members who may be unfamiliar with the nominations process, the Nominations Committee has prepared a question and answer paper that outlines much of the detail of the process and lists the committee members. The Q&A paper is accessible on the School’s website at www.smus.ca/nominations or can be requested by emailing [email protected]. A copy of the 2012 SMUS Strategic Plan is also available at the SMUS website at www.smus.ca/strategicplan. Under the Bylaws, Society members may also, at this time, nominate members for these board positions. Candidates proposed by members should submit the Nomination Papers from Page 8 of this document, together with a detailed biography of about 300 words addressing both general and specific skills and experience. All candidates must also include a recent colour photograph (white background, high resolution file, 900x1260 pixels). We ask all prospective candidates to fully consider the expectations of board service prior to nomination. These expectations include: attending board meetings, contributing to the activities of at least one board committee, attending multi-day retreats at the School twice a year, contributing to the development of the School through specific knowledge and skill sets, contributing to the development of the School through financial support and active involvement in the annual and capital funds and contributing as a fiduciary of the School, setting the course for sound fiscal, strategic and educational policy. Page 3 Four Candidates Nominated by the NOMINATION PAPERS SMUS Board of Governors St. Michaels University School 2014 Board of Governors Nominations Committee Ann glazier rothwell '85 is a finance professional with more than 20 years of experience in Canadian capital markets. Ann is currently the Head of Business Development at RP Investment Advisors, a specialized fixed-income manager based in Toronto. Prior to joining RPIA, Ann was the Founder and Chief Investment Officer at Alpha Scout Capital Management and managed a fund of hedge funds. Ann was Vice President and Director in the Alternative Investment Strategy and Proprietary Trading Group at TD Securities/Newcrest Capital as well as Vice President and Director of Institutional Equity sales covering Canadian and US hedge funds at National Bank Financial and RBC Dominion Securities. Ann grew up in Victoria and is a graduate of SMUS, Class of 1985. She has greatly enjoyed maintaining a connection to the school, most recently through her involvement with the Investment Management Committee for the SMUS Endowment. Ann attended The Sauder School of Business at the University of British Columbia and is a Leslie Wong Fellow from the UBC Portfolio Management Foundation as well as a CFA Charter Holder. After graduating from UBC in 1990, Ann moved to Toronto where, after three years of working in New York, she now resides with her husband Alex Rothwell and their five children ages 7 to 12. She is active as a volunteer in the not-for-profit community and is Vice-Chair of the Board of Governors at The York School, a co-ed IB World School in Toronto. Ann and Alex enjoy spending time with family, skiing, playing , golfing and returning to BC whenever possible.

Dan Sheehan NOMINATION PAPERS A graduate of water resources engineering at The University of Guelph, SMUS Board of Governors Dan started his first company while studying for his graduate degree and has spent his career creating and building companies in the consumer 2014 products industry. In the '90s, Dan built several international distribution companies in Hong Kong. Living and working in Asia broadened his perspectives by bringing into focus the reality that China was rapidly becoming a global powerhouse. He quickly realized that there existed an opportunity to leverage China’s manufacturing strengths and deliver well-designed, low cost, branded products to global retailers. His current venture, Winplus, where his role is CEO, is now in its fourteenth year. Winplus develops and markets automotive accessories, electronics and wiper blades to major retailers like Costco, Target, Autozone and Canadian Tire under the brand names of Type S, Yada, Valvoline, and Windex. Dan and his wife reside in Victoria, British Columbia with their two young children, who attend the SMUS Junior School. He is the father of six children ranging in ages from five to 24. Dan enjoys running, hiking, cooking and quality family time as well as physically-challenging experiences. He has completed an Ironman distance triathlon, numerous marathons, and most recently summited Mt. Shasta. Dan is currently a member of the Board of St. Michaels University School.

Page 5 NOMINATION PAPERS SMUS Board of Governors ron solmer and his wife, Lisa, have three daughters who graduated from SMUS: Ashley in 2009, Raquel in 2011 and Lindsay in 2014 2012. Ron graduated from Shawnigan Lake School in 1972 and went on to obtain his bachelor of commerce and bachelor of law degrees from the University of British Columbia. Ron has been on the SMUS Board for the past three years and is currently the Board Secretary and chairs the Governance and Nominations Committees. Ron has practiced law in Kelowna, BC, since 1980 and for most of those years has been a partner at Pushor Mitchell LLP. His practice is focused in the areas of corporate and commercial law, commercial lending and real estate development. Ron has been active in the governance of the law firm, serving on numerous committees including a three-year term as the firm’s managing partner. Ron is a firm believer in giving back to his community. He recently completed a six-year term with the Kelowna Hospital Foundation serving on its executive committee and as co-chair of the “Gift of Life” campaign. He is a past director of the Kelowna Chamber of Commerce and past executive vice- president of the Urban Development Institute (Kelowna Chapter).

Their first son graduated in 2006, the second son in SMUS Board of Governors 2008 and their daughter in 2011. Sandy has been a member of the Finance Committee at SMUS since 2003 and is currently the Board’s Treasurer. 2014 Sandy is a Chartered Accountant and a partner with the firm Schibli Stedman King in Victoria. His professional experience has included an internal audit for a large public company and controllership for a group of privately held companies. He has been a member of the Communications and the Practice Review and Licensing committees at the Institute of Chartered Accountants of BC and, since 2001, a member of the Tax Professional Development committee at the Institute. Sandy has authored taxation courses for the Institute of Chartered Accountants of BC and the Chartered Accountants Provincial Committee for On-Going Education. He also instructs taxation courses for the BC, Saskatchewan and Manitoba Institutes of Chartered Accountants. Previous volunteer experience includes serving on the boards of a diverse range of not-for-profit organizations. Since moving to Victoria in 1996 he has served as the Treasurer for the Greater Victoria region of Scouts Canada and was member of the Board of the Victoria Conservatory of Music. Sandy has been involved with youth as a soccer coach with Bays United and a Cub and Scout leader with the 12th Garry Oak Scouts in Oak Bay. Sandy would like to help the school continue to provide the highest-quality education in a cost-effective manner and to provide value to the parents and students. He would also like to build the School's long-term financial strength.
